INTRODUCTION

Miles LeakDetection, LLC willconduct a water leak detection survey oftheCity of Rome's water distribution system, including Griffiss Air Park. Miles Leak Detection, LLC will provide fully trained leak detection technicians and the necessary equipment. Reports willbeprepared for daily andsummary results.

SCOPEOF SERVICES

1. Project Start-Up & Logistics

A. MeetwithCitypersonnel todiscuss theproject approach andreview thewater system mapsto getfamiliarized withthetype ofpipe, theageofthepipe, and areaswhere water mainleaks have historically beenaproblem. A leaksurvey plan will thenbe madefrom the information.

B. MilesLeakDetection, LLC willneeda copy ofanoverall general distribution map (preferably 400 scale) which shows the general location of valves and hydrants in thesystem to bechecked. Itis recommended to supply a copy on whichnotesandcomments canbe written on.

C. MilesLeakDetection, LLC mayalsoneedaccess toanysectional maps ofthe system including fieldbooks, as-builts andservice tie-ins. Good records are veryimportant to the accuracy of pinpointing as well as the timerequired to survey awatersystem. Although Miles Leak Detection, LLC haspipetracing and valve locating equipment, the responsibility for accurate locations ultimately lieswiththe City.

D. Miles Leak Detection, LLC requests that the City furnish an experienced, knowledgeable personwhoisfamiliar withthe distribution system with access to a City vehicle with curb keys and valve box keys/openers and other commonly usedtoolsforthisperson to use. This person's responsibilities will include assistance inlocating andopening valve andservice covers aswell as othertasksinvolved inthepinpointing oflealcs. Itispreferred thatthisperson is assigned to thisproject ona full time basis, butis not required.

E. Thenames, contact information andassigned duties ofKey Personnel forthis projectwill be identified during this meeting. 2. Phase I- Initial Sounding & Leak Sound Documentation

A. Conduct a comprehensive leakdetection survey using theFluidConservation Systems S-30 survey unit, whichconsists of an acoustic sounding amplifier usinga piezoelectric accelerometer sensor with a sensitivity rating of 12VG (voltsper G) minimum for leak soundmagnification.

B. Listening points on themetallic and ACtype pipein the system will include all fire hydrants, all main valves, and customer services when there are no hydrants or valves available for distances greater than400feet.

C. Listening points on plastic type pipe in the system will include all fire hydrants, all mainvalves and all service connections.

D. Whenthepipematerial isnon-metallic orwhen normal contact points arenot available for a distance greater than 400feet, andthe ground cover is a hard surface, Miles Leak Detection, LLC will use a ground microphone with a sensitivity rating of 12VG making physical ground contact at intervals ofno greater than 6 feetdirectly overthe pipe.

E. Whenthepipematerial is non-metallic orwhen normal contact points arenot available for a distance greater than 400 feet, andthe ground coveris nota hard surface, Miles Leak Detection, LLC will usetheS-30survey unittolisten on probe rods, driven to a minimum depth of 6 inches, at intervals of no greater than 6 feet directly overthe pipeto sound for leaks.

F. To increase the speed of the survey, all suspected leak sounds will be documented withintensity ratings for re-investigation and pinpointing at a latertime. This re-investigation helpsto eliminate usage andotherfalse leak sounds, and is quicker overall than correlating at the first indication of a potential leak.

3. PhaseII - Secondary Sounding & Pinpointing

A. Re-sound andverify allpotential leakindications identified during Phase 1.

B. Pinpointing of leak indications will be accomplished using the Fluid Conservation Systems - AccuCorr 3000 fully digital water leak correlator. The AccuCorr 3000 is a microprocessor based correlation unit with 3 outstations, giving ittheability toperform linear regression calculations which eliminates the mostcommon causeof inaccuracy. TheAccuCorr 3000 uses operator inputto determine thelocation ofaleak. Whenever possible, atleast two (2)unique setups willbe usedin correlating forthepurpose of verifying consistency andaccuracy of answers.

C. The secondary method of pinpointing leak indications will be the use of a ground microphone. The ground microphone will be used on all leaks to confirm thelocation andaccuracy ofleakspinpointed withthecorrelator oras the primary pinpointing method in situations where the correlator cannot be used.

D. Allresults will bemarked inthefield andaleakreport willbeturned inwhich provides a sketch of the leak location with a classification of potential leak size to aid in scheduling of repairs. Locations and ties from permanent structures willbeincluded, as wellasthenearest address andthenearest cross street. Miles LeakDetection, LLC's leakreports canbemodified to include anyadditional information the Citymayrequire.

E. Any areas where leaksare repaired priorto the completion of the field work will be re-sounded to determine that the repair was completed successfully, andthat therewereno otherleaksin that area.

F. Conduct the survey during the specified working hours. Areas which may require survey work during a different time of day will be discussed and scheduled in advance withthe City.

4. DailyReports

A. Provide hard copies and/or E-mail copies of daily survey logs,which give a description of the workperformed andareas covered, andleakreports to the Cityeachday.

B. All Miles Leak Detection, LLC paperwork submitted electronically will be Microsoft Word documents.

5. FinalReport

Resultsofthesurvey willbedocumented anddefined ina fmal report presented to the City. The final reportwill include a copy of all daily logs and leakreports. The final report will also include a break-down of the types of suspected leaks categorized byleaktype(main, service, valve, hydrant, etc.) showing thenumber ofleaks andtheestimated leakage ingallons perdayineachcategory. Finally, the reportwillinclude aproject summary including thedays worked, number ofmiles of main surveyed, totalnumber of suspected leaks andtotalestimated water loss as detected bythe survey.

6. Warranty

Itis MilesLeak Detection, LLC'sgoalto accurately detect andpinpoint allleaks in the watersystem so the Citycaneasily find and repair themwhenthey dig. If the Cityhas reason to suspect a leak(s) in their water system which was not turned in during the survey, within 30 days ofthedateofthe Final Report, Miles Leak Detection, LLC will return to investigate the suspected leak(s) at no additional costto the City.

In the event thattheCityperforms anexcavation ata location turned induring the survey andcannotfindevidence ofa leakwithin 5feetoftheoriginal mark, Miles Leak Detection, LLC will, at the City's request, return to correct the errant pinpointing at no additional costto the City.

7. Project Follow-Up

After the City has repaired the leaks turned in during the survey, Miles Leak Detection, LLC will, at the City's request, return to re-sound theareas where the leakswere repaired to make suretherewereno additional leaks in those areas.

SAFETY

A. All Miles LeakDetection, LLC technicians are issued ANSI Class I shirts, ANSI ClassIIsafety vests andANSI Class illcoats andareinstructed to wear the appropriate visibility level forthe traffic conditions theyareworking in.

B. AllMiles LeakDetection, LLC vehicles have thecompany name onthedoors andareequipped withflashing amber strobe and/or L.E.D. warning beacons. Eachvehicle carries a minimum of4 traffic cones withreflective bands which areused in situations where thevehicle cannot beparked fully outofthelanes of traffic.

TRAFFIC CONTROL

Miles Leak Detection, LLC will be responsible for traffic control including any required permits. Miles Leak Detection, LLC may asktheCITY forassistance in traffic control (additional signage, cones, manpower, etc.) should a situation arise which exceeds Miles Leak Detection, LLC's capabilities. Traffic control assistance mayrarely be needed during the survey phase of the project. Traffic control assistance mayoccasionally beneeded during thepinpointing phase ofthe project. Anysituations which require a Police detail will betheresponsibility of the Cityto coordinate.

SCHEDULE

Uponnotice toproceed, Miles Leak Detection, LLC willcoordinate with theCity to schedule a startdate. Phase I ofthisproject isestimated willtake17-20 days to cover the 208 miles of distribution main depending on conditions in the field. PhaseIIofthis project isestimated willtake5-7days depending onthenumber of leaksfound. PhaseIT maybeperformed concurrent to Phase1. A final report will be delivered to the Citywithin2 weeks of thecompletion of the field work.

INSURANCE

MilesLeakDetection, LLCwill meet and/orexceed the insurance requirements for the City. An insurance certificate withtherequired wording willbe provided to the Cityprior to the projectstart-up.

Thank you for the opportunity to submit our amended budget for specified work tasks in support of the Waterfront Village Planning and Engineering Services Request for Proposal.

We continue to be very interested in working with the City and its partners to advance the planning, design and engineering efforts associated with this implementation project. As demonstrated and noted in our original proposal, we are committed to meeting the 20% MWBE requirements for our scope of work, utilizing the subconsultant team identified in our proposal package.

As requested, we have amended our budget figures to align with the requested work tasks, including but not limited to: public engagement, coordination and progress meetings with the project team, planning, overall site design and engineering, streetscapes and gateways, street connections design and engineering, permitting for landside improvements, and placemaking. Our revised budget numbers incorporate expenses and the purchase of materials as noted in the RFP.

We have also made the following assumptions associated with project coordination meetings, expectations for on-site meetings with the Project Team and general considerations. The budget breakdown below includes:

• Coordination calls with City staff as needed to advance project tasks. • Coordination with other consultant teams as needed to align work efforts. • Twenty in person meetings with Project Committee to define direction and review deliverables. • Fivesite visits for site reconnaissance. • Preparation of the NOI and SWPPP documentation. SWPPP inspections are not included. • Bergmann's permitting is limited to wetlands section 404 and individual water quality certification for the BA site scope only. This proposal does not include section 10 and 404 Army Corp permitting, DEC permitting, NYS Canal Corp permitting, or OGS permitting for the work related to the canal. • Survey will be for the entire project site including canal. • Traffic study to be performed and coordinated with the NYSDOT and City of Rome. Scope of traffic study area needs to be confirmed with reviewing agencies. • Preparation of subdivision map and easements are not included. • Expenses for the project including travel, meals, reproduction of materials, and purchasing of equipment are included in the lump sum fee. The expenses have been spread acrossall Tasks identified as Bergmann's. Should tasks be removed from Bergmann's scope remaining tasks will need to be adjusted to include all expenses.

South Genesee River Brownfield Opportunity Area I Rochester, NY The City of Rochester has moved into a critical phase of redevelopment planning for a Project Owner 100+ acre waterfront area that was formerly home to an Exxon Mobil refinery. A long-term Cityof Rochester vision and master plan was previously developed by the City, residents and Bergmann Dorraine Kirkmire Associates during a process that ran from 2010-2013. The master plan identified 30 Church Street additional studies and planning that was necessary in order for the community's vision Rochester, NY 14614 to become a reality. In this phase of the project Bergmann Associates is managing (585) 428-5990 an interdisciplinary team to conduct additional studies and investigations to refine the master plan and facilitate both public and private investment in the study area. Lower Schuylkill River Master Plan I Philadelphia, PA The Philadelphia Industrial Development Corporation, in partnership with the Philadelphia Project Owner City Planning Commission, commissioned the Lower Schuylkill River Master Plan. The Philadelphia Industrial study area includes 4,100 acres surrounding the Lower Schuylkill River, south of Center Development City, and adjacent to additional economic generators, such as University City, the Corporation Navy Yard, and the Philadelphia Inter-national Airport. Presently, 68% of Philadelphia's under-utilized industrial land is located within the study area. Much of the study area is dedicated to active industrial uses including petroleum energy production, manufacturing, distribution, utility, waste management and transportation. The master plan is a multi-disciplinary effort focused on the preservation and creation of jobs, expansion and attraction of industry, environmental restoration, infrastructure improvements and an expansion of the City's open space network. While the planning effort is ongoing, current recommendations include: district gateways, transportation improvements to catalyze development and improve circulation, economic development strategies, the extension of the river trail and the naturalization of shared stormwater infrastructu reo

Knoxville South Waterfront Vision and Action Plan I Knoxville, TN Bounded by both active and derelict industrial uses, the Tennessee River in Knoxville Project Owner will be trans-formed over the next generation from an underutilized edge of downtown Cityof Knoxville to a vibrant center that connects both sides of the city. The Vision and Action Plan for redevelopment focused on a three-mile length of the Knoxville South Waterfront. The plan created a framework for growth in South Knoxville that can accommodate the nearly three million square feet of anticipated growth in the area over the next 20 years. The framework of open spaces and building blocks creates a patchwork of development linked by continuous public access along the river's edge. Development "windows" oriented perpendicular to the waterfront make connections into the existing, residential neighborhoods inland from the exist-ing industrial uses. Three well-attended workshops facilitated public involvement in establishing development goals and objectives and identifying appropriate locations for future waterfront uses. Form-based zoning was created to appropriately direct development that does not overwhelm the existing fabric. This project was completed in association with Hargreaves Associates.

Bergmann Associates I Waterfront Village Public Infrastructure Planning, Design, & Permitting 9 - RAV/ ENGINEERING & LAND SURVEYING, ec. "_.-"~_._=--_. Buffalo Harbor State Park I Buffalo, NY Ravi Engineering and Land Surveying, P.C. (RE&LS) was responsible for surveying and Project Owner mapping for approximately 5,000 ft. of land along Lake Erie in Buffalo Harbor State Park Niagara Frontier in Buffalo, New York. RE&LS surveyed the properties using GPSand terrestrial methods. Transportation All topographic features were located at the time of survey, as well as utility features and Authority boundary/ROW features. RE&LS also merged multiple existing base mapping and DTM's provided by NYSDOT and information collected by Aquatic Sciences with the ground survey. Base Mapping was prepared in both Bentley Microstation and Autodesk Civil 3D formats. Additionally, RE&LS was responsible for preparing a sizeable boundary survey for multiple parcels. Subject property research was followed by preparing metes and bounds descriptions for the properties RE&LS had completed boundary surveys for. RE&LS was also responsible for asbestos and hazardous materials survey and sampling, inspection and testing for PCB caulks on this project. Our staff conducted a room-by­ room investigation of all interior spaces within ten buildings and investigated the building exterior. Sampling was performed in accordance with AHERA regulations, 40 CFR Part 763.86 and 763.87 and NYS Code Rule 56. RE&LS developed an Asbestos Pre­ Demolition Survey Report summarizing the findings of the site investigation and sampling as well as a Hazardous Materials Pre-Renovation Survey Report.

The Buffalo Outer Harbor Access & Activation Project I Buffalo, NY This project was located at the Buffalo Outer Harbor properties and Times Beach Nature Project Owner Preserve in Buffalo, New York. The project site consists of temporary improvements Erie Canal Harbor across several Erie Canal Harbor Development Corporation owned Buffalo Outer Harbor Development parcels. Harbor sites include the Queen City Bike Ferry Landing, Wilkeson Pointe and the Corporation Michigan Pier (aka Seaway Pier) This area also includes the Greenbelt Pathway along the water's edge and the Bell Slip. The main section of the Outer Harbor is located on 120 acres at the northern end of 901 Fuhrmann Boulevard. Environmental Services provided by RE&LS on this project included: an Asbestos Pre-Renovation Survey Report summarizing the findings of the site investigation and sampling, a Hazardous Materials Pre-Renovation Survey Report and X-Ray Fluorescence (XRF) inspection of lead based paint (LBP) within the four buildings and the building exterior to develop a Lead Pre-Renovation Survey Report. A Hazardous Materials screening was conducted at Terminal B for Asbestos, Lead, PCB caulk & Mold. The screening identified significant environmental hazards such as friable asbestos containing materials, deteriorated lead-based paint, PCB caulks in poor condition and large colonies of mold growth.

Inner Harbor Park I Syracuse, NY Maxian + Horst, under term agreement with the City of Syracuse, prepared Schematic Project Owner Site Plans for the redevelopment of Inner Harbor Park on Onondaga Lake. The park Cityof Syracuse is planned to be renovated to compliment the new development in the Inner Harbor. Services performed included site analysis to identify features that will be required to be demolished and spaces for new uses. Several meetings with stake holders were conducted to develop appropriate program for development. Stakeholders include City of Syracuse Parks Department, Police Department, Fire Department, and other Departments in the City of Syracuse. Concept plans were developed that identify areas for a new boat house serving water rescue and police department with a rent-able space overlooking the harbor. The park will offer a boat launch, picnic and barbecue area, dog park and beach volleyball.

Kris Tech Wire Manufacturing Plant I Rome, NY

Maxian + Horst provided design through construction services for the Kris Tech Wire Project Owner Manufacturing Plant in Rome, NY. Services include site design, renderings, 3D Modeling Kris Tech Wire images, construction documents, stormwater calculations, and SWPPP Report. The site design included sidewalks, parking lot, access drives, loading docks, and stormwater treatment through green infrastructure practices. The design also included room for future expansion of the building and parking lot.

In 2016, a 22,220 sf building addition, as well as a new patio and expansion of existing parking lot. Green Infrastructure practices include Bioretention Basins, Drywells, Underground Infiltration System, Vegetated Swales, and Interceptor Trench.

Bergmann Associates I Waterfront Village Public Infrastructure Planning, Design, & Permitting 11 - rl ~~~ill~~;~ Market Analysis of Vacuum Oil Brownfield Opportunity Area I Rochester, NY Camoin Associates teamed with Bergmann Associates to complete a comprehensive Project Owner market analysis of the Vacuum Oil Brownfield Opportunity Area (BOA), located a few miles Cityof Rochester from Downtown Rochester along the Genesee River. The physical geography of the site forms an arrangement of open space, wood cover, and waterfront that is uncommon in an urban setting. This area presents a one-of-a-kind opportunity for the City of Rochester and redevelopment of this site has been identified as a priority project by the Finger Lakes Region Economic Development Council.

The market analysis completed by Camoin provided the City and BOA Steering Committee with a number of short-term, mid-term, and long-term redevelopment opportunities to consider. During the next phase of this project, Camoin will work with the project team to create market-driven development scenarios and analyze the financial feasibility of each scenario, which will be used by the Steering Committee to make decisions about how to approach redevelopment of the BOA.

Allentown Metal Works Redevelopment Strategy I Allentown, PA The City of Allentown and the Allentown Economic Development Corporation Project Owner commissioned Camoin Associates and Bergmann Associates to prepare an analysis Cityof Allentown of the Allentown Metal Works site as Phase III in a comprehensive Re-Industrialization and the Allentown Strategy for Allentown. This vacant industrial complex contains over a dozen structures on Economic Development two (2) parcels that total approximately 19.22 acres. It is ideally situated as the next step Corporation in the City's ongoing efforts to re-industriatize and support both economic growth and job creation. This site's proximity to a readily available labor pool, optimal transportation links and solid infrastructure makes it an ideal and very marketable opportunity for potential manufacturers. This Phase III study addressed the challenges and opportunities contained within this site and its immediate surroundings. This vision, supported by data and analysis, shows that with the inclusion of publicly assisted gap financing, redevelopment of this property to meet both contemporary and future need can be made financially viable. • We recognize the City has a March 31, 2018 deadline and are committed to ensuring all work that is within our control is completed by this date. Bergmann Associates shall not be held responsible for any delays related to reviews by local, state or federal agencies that are out of the control of our team members. As such, Bergmann Associates shall not be held responsible for liquidated damages of $500 per business day for any tasks delayed by agency review or otherwise beyond our control.

• Bergmann Associates will establish, as part of this project contract and at cost to this contract, a shared server through M.A. Polce Consulting Inc. The server and maintenance fees through March 31, 2018 will be incorporated into the overall project budget.

In collaboration with private enterprises, the City of Rome will design roads, infrastructure, a new bulkhead and expansion of the canal to provide improved physical connections and public access to the water and the Canalway Trail. With new large-scale private development projects underway, the City is committed to properly assessing, planning, and designing new infrastructure to support current and future growth within the project area. The City is also committed to long-term sustainability measures to be incorporated into the plans and designs including smart growth practices, stormwater management practices, multimodal transportation choices, and environmental justice. The intent of this project is to support private development projects through infrastructure upgrades and well-planned new infrastructure construction.

The purpose of this RFP is to solicit proposals from qualified full service planning, architectural, and engineering firms to issue a contract to provide all deliverables listed within the attached work plan and ultimately provide final design, construction, and bid documents forthe infrastructure project including any and all required permits.

2. Project Background

The City of Rome has diligently worked on progressing waterfront development planning and implementation projects for decades. Currently, the City of Rome isworking with a professional firm to complete a Brownfield Opportunity Area Step III Implementation Strategy which includes this project location known as the "Waterfront Village" subarea. Within the Waterfront Village subarea a system of disconnected streets have created undesirable conditions for new developments and lack of connections from James Street and Erie Boulevard have created disinvestment and lack of development interest. The City of Rome has secured a NYS Department of State grant that will provide the funding for this project. This grant project must support the private sector development projects in the immediate area and enhance the quality of life and experience of Rome's waterfront area. The project area includes the NYS Canalway Trail along the water's edge of a large harbor area set back from the navigation channel of the canal. This large harbor is ideal for boat docking, docking capacity, and connecting boaters to the adjacent neighborhoods and the downtown. Recently, a developer has purchased the former Dewitt-Clinton school building and property for a 60-unit housing development. This private project is the catalyst for all other improvements and investments into this area and it is paramount that the developer is collaborated with during this project to enhance both the public and private spaces.

3. Project Budget

The budget is an amount not to exceed $683,550. Mohawk Valley EDGE will be undertaking the project management and oversight. Consultant's time will be billed on an hourly basisalong with subcontract expenses.

5. Work Plan

Task 1: Project Kick-Off Meeting

The Consultant, the Department of State, project partners and any other appropriate entities shall hold an initial meeting to review the project scope, project schedule, project requirements, roles and responsibilities of project partners, the selection process for procuring consultants, State Environmental Quality Review Act (SEQRA) compliance requirements, the number of public meetings and techniques for public involvement proposed for the project, attendance at NYS Community Seminar Series training sessions, and any other information which would assist in project completion. In addition, the composition of a project advisory committee shall be discussed during the project kick-off meeting. The Consultant, or a designated project partner, shall prepare and distribute to all project partners a brief meeting summary clearly indicating the agreements/understandings reached at the meeting. Work on subsequent tasks shall not proceed prior to Department approval of the proposed approach as outlined in the meeting summary.

Products: Project kick-off meeting held with appropriate parties. Written meeting summary outlining agreements/understandings reached. Finalized project schedule.

Task 2: Project Advisory Committee

The Consultant and City shall establish a project advisory committee to oversee all aspects of the project in cooperation with municipal officials and the project consultant(s), if applicable. The committee shall be representative of project stakeholders, including representatives of State and municipal agencies with jurisdiction over project activities or the project area, and non-governmental and community based organizations. A draft list of proposed members shall be circulated to the Department for review and approval prior to establishment of the committee.

Products: Draft and final list of proposed members of project advisory committee. Project advisory committee established.

Task 3: Second Project Meeting

Waterfront Village Request for Proposals Planning & Design Services Page 4 In consultation with the Department, the Consultant shall hold a second project meeting with the consultant(s), and other project partners as appropriate, to review project requirements, site conditions, and roles and responsibilities; identify new information needs and next steps; and transfer any information to the consultant(s) which would assist in completion of the project. The consultant(s) shall prepare and distribute a brief meeting summary clearly indicating the agreements/understandings reached at the meeting. Work on subsequent tasks shall not proceed prior to Department approval of the proposed approach as outlined in the meeting summary.

Task 4: Site Reconnaissance and Schematic Designs

A. SiteReconnaissance

The Consultant or its consultant(s) shall conduct site-specific reconnaissance, in preparation for design. Work shall include, at a minimum, identification and mapping of the following:

• Site survey showing extent of project boundary • Ownership/grant/lease status of all lands to be incorporated into the design • Manmade structures, buildings, or facilities on or adjacent to the site • Above and below ground infrastructure, including stormwater treatment structures • Transportation/circulation systems (truck, car, bus, ferry, train, pedestrian, bicycle, etc.) that serve or are located near the site • Adjacent land and water uses • Historic and archeological resources • Soil and, as appropriate, core sampling to determine site stability • Topography and hydrology • Natural resources, including location of mature trees • View corridors • Zoning and other applicable designations • Analysis of site constraints, needs and opportunities

Products: Map(s) and written summary describing the above information and any other appropriate information identified during the project kick-off meeting.

B. Schematic Designs

The Consultant or its consultant(s) shall prepare alternative schematic designs of the facility or facilities, considering and including a summary of the following:

• Best management practices to be employed to avoid or reduce water quality impairments from upland runoff or in-water activities, and • Impacts, if any, to State designated Significant Coastal Fish and Wildlife Habitat areas, Scenic

Unless otherwise specified during the project kick-off meeting, the Contractor or its consultant(s) shall prepare a minimum of three alternative schematic designsfor review by the project advisory committee and the Department.

In consultation with the Department and the project advisory committee, the Consultant shall select one of the alternative schematic designs as the basis for final design and engineering/construction plans and specifications, or shall work with the consultant(s) to develop a final schematic design incorporating elements of or bulldlng upon the alternative schematic designs. Final design and engineering/construction plans and specifications shall be prepared based on the selected schematic design.

Products: Alternative schematic designs. Schematic design alternative selected.

Task5: Public Meeting

In consultation with the Department, a public information meeting shall be conducted to solicit public input on the schematic designs to assist in selecting a preferred alternative. A written summary of public input obtained at this meeting shall be prepared and provided to the .Department for review and comment.

Products: Public information meeting held. Minutes/Summary of meeting prepared and submitted to the Department.

Task6: Construction Requirement Analysis

The Consultant or its consultant(s) shall prepare an analysis of all federal, state and local requirements for the selected schematic design alternative, including necessarypermits and approvals, and a description of how these requirements will be satisfied by the design. This analysis shall be submitted to appropriate project partners and the Department for review. A pre-permitting meeting with the Department and the identified federal, state and local entities may be required to discuss any revisions needed to satisfy regulatory requirements. Work on final design shall not proceed prior to the Department approval of the construction requirement analysis and the pre-permitting meeting, if necessary.

Products: Written construction requirement analysis. Pre-permitting meeting with identified entities.

Task 7: Environmental Quality Review

The Consultant or its consultant(s) shall prepare all documents necessaryto comply with the State Environmental Quality Review Act (SEQRA) through determination of significance. If a positive declaration is made, a Draft Environmental Impact Statement shall be prepared.

Products: SEQRA documents and, if necessary, a Draft Environmental Impact Statement.

Task 8: Draft Final Design

The Consultant or its consultant(s) shall prepare a draft final design based on the selected

The draft final design shall include all required maps, tables, data, written discussions, and other information identified in the contract and subcontract work plans and during the project kick-off meeting. The draft final design shall be provided to the Department and the project advisory committee for review at least two weeks prior to the due date for comments. Department comments must be addressedto the satisfaction of the Department in subsequent revisions of the products and the final design.

Products: Draft final design and supporting materials.

Task9: Final Design and Construction Documents

The Consultant or its consultant{s) shall prepare the final design and construction drawings, plans, specifications, and cost estimates. The final design and construction documents shall be provided to the Department and the project advisory committee for review at least two weeks prior to the due date for comments. Final design and construction documents are subject to approval by the Department. These documents must be certified by a licensed professional engineer, architect, or landscape architect and the appropriate seal must be affixed to these documents. Final design and construction documents shall include all roadways, intersections, sidewalks, bicycle paths, water, sewer, gas, electric, lighting, public docking, bulkhead, public park{s) and parking and all associated construction elements.

Products: Final design and construction documents, certified by a licensed professional engineer, architect or landscape architect.

Task 10: Permits

After the final design and construction documents have been approved by the Department, the Consultant or its consultant{s) shall prepare the necessary permit or other approval applications and obtain the required permits or approvals. A pre-application meeting with the Department and the appropriate federal, state and local regulatory authorities may be required to discuss the necessary permit or other approval applications. Prior to filing, the Contractor or its consultant(s) shall submit all applications to the Department for review and comment.

Potential permitting and approval agencies include but are not limited to:

• federal agencies such as the Corps of Engineers; • the Department, pursuant to the consistency provisions ofthe federal Coastal Zone Management Act; • other New York State agencies such asthe Department of Environmental Conservation; the Office of General Servicespursuant to the Public Lands Law, or similar authorization from the Power Authority (in certain areas of the St. Lawrence Seaway) or Canal Authority (in the State Canal System), in order to use or occupy certain State-owned lands or waters overlying those lands; and the Office of Parks, Recreation, and Historic Preservation or the State Historic Preservation Officer; and • agencies of a county, city, town, village, or special purpose district, including but not limited to: town boards, boards of trustees, or city councils; planning commissions, boards or departments; and/or building or health officials.

Waterfront Village Request for Proposals Planning & Design Services Page 7 Prior to construction the Contractor or its consultant(s) shall also demonstrate that the project is in compliance with 6 NYCRR Part 502, "Floodplain Management Criteria For State Projects" by obtaining a floodplain development permit, if local regulations establish such requirements, or by submitting a signed certification, by an official authorized to enforce local floodplain management regulations, that the project complies with the requirements of the statute.

Copiesof all required permits and approvals shall be subm itted to the Department upon receipt.

Products: All required permits and approvals received. Written certification of compliance with floodplain management regulations, if applicable.

Task 11: Pilot Incremental Financing (PIF) District

Financial analysis, revenue projections, and framework for a potential PIF in the immediate project area. Analysis shall include an assessment of current and potential value of properties including in the district and financial impacts of planned developments and capital projects. This process will include evaluation and a defined boundary.

Products: PIF district analysis, report, and final recommendation to be presented to the Common Council, School District, and Oneida County for adoption.

6. Minority & Women-owned Business Contracting Requirements For the purposes of this procurement, the Department of State hasestablished an overall goal of 20% for Minority and Women-Owned Business Enterprises (MWBE) participation, 10% for Minority­ Owned Business Enterprises (MBE) participation and 10% for Women-Owned Business Enterprises (WBE) participation. The Consultant must document "good faith efforts" to provide meaningful participation by MWBEs as subcontractors or suppliers in the performance ofthe contract. The Consultant acknowledges that if the consultant is found to have willfully and intentionally failed to comply with the MWBE participation goals set forth in this contract, such a finding constitutes a breach of contract and the consultant shall be liable to the City of Rome or NYS Department of State for liquidated or other appropriate damages. The Consultant is encouraged to contact the Division of Minority and Woman Business Development (518) 292-5250 to discuss additional methods of maximizing participation by MWBEs on the contract.

7. SPECIAL NOTES a. This project deadline has been established for March 31,2018. Time is of the essence, and there will be no extensions of time granted. This is basedon a DOS funding contract end date as is out of the local governments control. b. Liquidated damages of $500 per day exceeding the deadline will be strictly applied.

It is strongly encouraged that a field office be established in Rome for the duration of this project that is staffed adequately to see this project completed on time. Proposalswill be evaluated accordingly. d. Because of the key partners working remotely, this project will require the establishment of a shared server through M.A. Polce Consulting Inc., the City'stechnology service provider. This proposal will include the cost of establishing the server and any maintenance fees for the duration of the project. e. 8. Submission Requirements The Consultant shall submit a price for each item indicated on the work plan.

The Consultant shall demonstrate related project experience via descriptions of at least two projects completed within the last 5 years via contract similar in size and scope. Please attached (1 page or less) a narrative or link that includes: • Project title, location and brief description. • Project owner and name and telephone number of owner's contact person. • Project prime contractor and major subcontractors. • Project duration and cost.

The Consultant shall list key personnel. Please attach (1 page or less) list including:

• Project manager and qualifications • Sub-consultants or employees for specific tasks identified and qualifications • Minority & Women-owned Business Enterprises (MWBEs), and qualifications, that will be utilized and their cost breakdown to equal at least 20%of the total not to exceed contract price.

9. Selection of Consultant The City of Rome will utilize professional staff to measure, rank, and select a qualified Consultant. During the review of proposals, the City of Rome may ask for additional information and may initiate action to award a contract at any point after review of the proposals. Therefore, proposals should reflect the firm's best terms both from a technical and cost standpoint.

Proposals will be evaluated and an award will be made on the basis of both cost and technical considerations most advantageous to the City of Rome. PROJECT DESCRIPTION: In collaboration with private enterprises, the City ofRome will design roads, infrastructure, a new bulkhead and expansion ofthe canal to provide improved physical connections and public access to the water and the Canalway Trail. Fisher Associates has been tasked with completing the design and engineering for the street (public ROW) improvements across and adjacent to the DePaul property. This includes the extension ofEast North Street and Lynch Street, the intersection ofEast North and Lynch, as well as the future extension of infrastructure to the west. We believe it would be beneficial to expand the project limits to include the right-of-way for Ann Street and Lynch Street east to the intersection ofLouisa Street, as well as East North Street to its intersection with Depeyster Street. These streets all service as gateways into Waterfront Village and we can incorporate streetscape enhancements (sidewalks, lighting, landscape, and green infrastructure) to create a cohesive image entering the district. The design schemes will be carried through the future right-of-way extension to the west of the East North and Lynch intersection.

Task 6: Construction Requirements Analysis Fisher Associates is familiar with the NYS DOS process for developing a construction requirements analysis. The intent will be to submit one consolidated document to the DOS on behalf ofthe City.

Task 9: Final Design Based on the comments received from the City and utility agencies (public and private) we will advance the draft design plans to final construction documents. Each ofthe plans (see task 8 above) will be edited and revised to prepare plans for advertising, bidding and construction. Fisher will work with the City who will provide the front end documents and current wage rates. The final specifications and bidding schedule will depend on the overall project schedule and when funding is available for construction ofproject elements.

Task 10: Permitting Fisher Associates will collaborate with our design team colleagues to assess all permits required including environmental assessment for the overall project. We will identify permits required in task 4B. We anticipate needing wetland jurisdictional determinations and SHPO determination of no impact letters for various elements ofthe project. We work together to submit single request letters to the agencies. We have anticipated the utility agency coordination under this 'permitting' task. We plan to have to utility agency coordination meetings; one during the draft final design task and a second during the final design task. Comments received during these meetings will be incorporated into the plans and specifications as well as the project schedule and construction requirements analysis. The time associated with plan revisions based on utility agency meetings is incorporated into tasks 8 and 9. Within this task we also assume the effort to dedicate the East North Street and Lynch Street extensions. This will require mapping and legal descriptions ofthe proposed rights-of-way.

We became aware of this project through our work with DePaul on the redevelopment of the former DeWitt Clinton school site prominently located in the study area. Fisher's role in the DePaul project involved site survey, civil engineering and public entitlement services including coordination with the NYS Historic Preservation Office (SHPO).

In preparation of this proposal, we have thoroughly reviewed the RFP and all documents related to "From Brown to Green: A Revitalization Strategy for the Downtown Rome BOA," including the Waterfront Village Subarea Plan, the Real Estate Market Analysis, and the Downtown & Waterfront Wayfinding Plan, We visited the project site on several occasions to assess neighborhood character, current land use mix and connectivity (physical and visual). We also prepared a list of questions which were submitted to your office, Based on the responses to our questions, we understand that Waterfront Village is envisioned as a destination from both land and the canal. With limited destinations between Sylvan Beach (west) and Little Falls (East) along the canal, both the City and Mohawk Valley Edge (Edge) see Waterfront Village offering an iconic destination to the boating public. Landside, the site provides the linkage from the canal to downtown amenities and vice versa, and has the potential to provide a unique, mixed use product that would create a year round waterfront destination, The fact that two property owners including DePaul control the majority of the developable land area, also offers a great potential for public-private collaboration which will encourage mutually beneficial programming and design alternatives.

We believe the project offers great opportunities to create a city gateway and thriving waterfront destination utilizing James Street as a critical spine connecting the site to the historic downtown, Waterfront Village can provide the ideal mix of commercial and residential uses identified in a focused market analysis while improving east-west and north­ south downtown-waterfront connectivity. The original Erie Canal alignment traverses the site and offers a historic and functional way to activate the site, encourage broader access to the water (kayaks, canoes, rowing, skating, etc.), and create an authentic experience for residents and visitors alike.

The RFP includes tasks and conditions which are not typical of professional planning and design agreements. These include the Pilot Increment Financing District task and the Liquidated Damages provision, PILOT Increment Financing (PIF) is a financing concept implemented with the assistance of an industrial development agency, and is similar to statutory Tax Increment Financing (TIF) as permitted under the New York General Municipal Law. TIF transactions have only rarely been implemented in New York State, while PIF transactions have been widely used throughout New York on a variety of projects of varying scopes and sizes. Our team includes Harris Beach attorneys, a law firm with expertise in economic development and public financing, and a law firm that represents over 30 IDAs within New York and that has creatively and successfully implemented many PIF programs over the last fifteen years, Our Team will work with the City and Edge to define the objectives of the proposed PIF district, assist in determining the best

New York mechanism for project success, and work closely with all affected taxing jurisdictions to facilitate approval of the PIF program. We also see substantial benefits to advancing private development alternatives through programming and schematic design. This will also help determine the most appropriate infrastructure improvements as well.

To prepare a reliable fiscal analysis (tax revenues and jobs) to guide the creation of a PIF district, we recommend the following tasks: • Prepare a more focused market analysis for Waterfront Village and James Street corridor • Prepare a program statement based on the market analysis (uses, quantities, amenities) • Prepare schematic design alternatives (architecture and site) • Test development scenarios (revenue projections, buildout, absorption rate) Base PIF district strategies on projected revenues

These tasks associated with private development and PIF implementation have been built into our project time line and will not negatively affect the schedule. In fact, we highly recommend a project program statement which is based on current market data. We also propose assisting the City with its PIF presentations and recommendations to the Common Council, School District, and County, including any related preparation of associated resolutions as well as PIF funding agreements that would guide use of and distribution of PIF proceeds.

Regarding liquidated damages, we understand that to secure funding the project must be complete and ready to bid by March 31st, 2018. Our team has assumed updates to the construction requirements in every phase of the project to assess the permits required and impact to the schedule. We will collaborate with the City, Edge and PAC to evaluate design alternatives which best meet the project goals over the long term. We trust this collaboration will also include representatives from NYS DOS.

Our team understands that these projects will take time to complete and we will present creative, thoughtful design concepts firmly rooted in the best practices and principles of urbanism, sustainability and resiliency. This proposal presents our project team, our experience and qualifications, our proposed work flow and ability to meet the schedule, and confirm to our fee. Key Personnel Fisher Associates (FA) will be the prime consultant for this project and be responsible for all contractual obligations and the performance of the team, FA will provide the following services: Survey, Transportation planning, Civil Engineering, Environmental Assessment (SEQR), Permitting and Project Management.

Principal-ln-Charge and Project Manager Qualifications William Price, RLA and Vice President will serve as PIC and direct the planning and design effort. Bill's most recent waterfront projects include the Geneva Waterfront, Matton Shipyard Master Plan on the Hudson River in Cohoes and Canalside in Buffalo. Tim Faulkner, P.E. will serve as the day-to-day project manager and be responsible for coordination between the City and our consultant team, Tim has notable experience with public infrastructure projects including Syracuse Clinton Square and Watertown Public Square. Tim will staff the Rome office and be accompanied by multiple staff throughout the project term, Frank Armento, AICP will direct the environmental assessment and permitting tasks. Frank is currently working on several BOA projects and the new Buffalo Green Code. Frank and Tim developed the Transportation Demand Management (TDM) Policy Guide incorporated into the Green Code.

Subconsultants Our team of subconsultants are all widely recognized, extremely well qualified and respected, FA has collaborated with each of these firms on multiple projects (current and recent past) and we are confident in their capabilities.

SWBR will provide urban planning, programming and architectural design services, They have experience with mixed use projects, FA and SWBR are currently teamed to provide design and engineering services for the DePaul project on the former DeWitt Clinton school site, HR&A Advisors will provide market analysis, programming and fiscal impact assessment services. FA and HR&A completed the Ithaca Waterfront Feasibility Study, and are currently working together on the Bull's Head BOA. Jordan Hare (Associate Director) will lead this effort for HR&A. Trowbridge, Wolf, Michaels Landscape Architects (TWMLA) (WBE) will provide landscape architectural services for the project including public spaces, trails, amenities and green infrastructure practices. Kim Michaels, RLA will lead TWMLA. They have been involved with the Downtown Rome BOA project and preparation of the Rome Urban Design Plan & Design Guidelines, TWMLA was also on the team with FA and HR&A for the Ithaca Waterfront Feasibility Study project. FA and TWMLA also teamed to prepare the Downtown Buffalo Infrastructure & Public Realm Framework. MJ Engineering & Land Surveying (MBE) will provide hydrological, geotechnical and structural engineering for waterfront improvements (bulkhead, revetment, and marina), FA and MJ are currently working on the Matton Shipyard Master Plan for the Erie Canalway Heritage Corridor and NYS Canal Corporation, Hartgen Archaeological Associates will provide cultural resource assessment services. Justin DiVirgilio will lead the archaeological effort. Hartgen is also on our team for the Matton Shipyard Master Plan. Harris Beach will provide legal services associated with the PILOT Increment Financing District. Bob Murray, Esq. will lead this effort. Bob and Harris Beach serve as the attorneys for over 30 IDAs statewide and amongst many PIF programs the firm has handled, Bob has implemented the Seneca Street PIF that formed the basis for infrastructure and streetscape investments along this major transportation corridor connecting the burgeoning Larkinville neighborhood to Downtown Buffalo, the Conventus Center for Collaborative Medicine PIF project located within the Buffalo Medical Campus that provides infrastructure funding for the SUNY Buffalo Medical Campus in Downtown Buffalo. New York, the Batavia Pathway to Property PIF that will fund public infrastructure brownfield redevelopment within the City of Batavia, New York, the Canandaigua Lakefront Redevelopment PIF Project that funds certain project infrastructure costs related to a mixed-use development project in Canandaigua, New York, and the Glen Cove - Garvies Point PIF project located in Glen Cove, New York, that used PIF proceeds to fund infrastructure.

MWBE Participation Our team includes TWMLA (WBE) and MJ (MBE). The participation goals are 20% for this project, We fully expect to meet or exceed the participation goals for the project based on the project tasks that will be performed by each firm.

Office Location and Equipment FA will lease office space within or immediately adjacent to the Waterfront Village neighborhood for the duration of the project. We understand there is equipment to be purchased for this project and network connections necessary for secure communications among partners, We will confirm equipment requirements at the project kick-off meeting and promptly place an order for such equipment. Final selection of an office location may in part be decided on network availability.

Ability To Perform All Tasks Listed In the Workplan Within The Project Timeline The Waterfront Village Public Infrastructure project must be designed and permitted by the end of March 2018. The RFP identifies eleven (11) specific tasks to be included. We have prepared a work flow diagram (Figure 1) which graphically illustrates: • Project phases and tasks • Timeline from August 2017 through March 2018 • Proposed meetings and deliverables

We are confident that our team will meet the requisite project deadline and provide creative and dynamic design solutions grounded in sound engineering principles. This effort will require mutual collaboration by the City, Edge and our consultant team. Our proposed schedule assumes that consultant selection and contract negotiations will be completed in July and a notice to proceed issued by August 15th. We will immediately organize the kick-off meeting and start the Design Discovery tasks including: survey, geotechnical investigation and the cultural resource survey (lA) (among other tasks).

We will also schedule a series of pre-application meetings with all of the permitting agencies to present the project, identify staff assignments and review application submittal requirements and review procedures. Our work-flow diagram presents the design tasks, environmental assessment and permitting as well as the meetings identified in the RFP. We anticipate many more meetings between our team, City departments, Edge and the PAC.

In order to meet the schedule, the City, Edge and PAC will need to be united in their efforts to provide timely feedback and clear direction on planning and design decisions. Our schedule assumes that we will receive comments from the City one week from the date of our presentation meetings. We will commit to preparing and distributing meeting minutes within two business days of the meetings to help expedite the review and comment process. Also, we trust the City and Edge will select one person with the authority to act on behalf of the client group and all matters of project coordination.

Public participation has not been identified as a significant requirement of the project. One public meeting is scheduled. We anticipate supplementing this meeting with social media postings to distribute plans and schedule updates. We will also have office space within or adjacent to the Waterfront Village neighborhood, staffed full-time by an experienced professional. This will also serve as a design storefront to display project plans and graphics. Residents and visitors will be welcome to come in and learn more as the project progresses.

Assumptions 1. The SEQR review documents will be prepared to assess the potential impacts associated with the public infrastructure improvements only.

2. A Type 1 Action with coordinated review is assumed for SEQR purposes. The appropriate level of SEQR review will be determined through early discussions with the City and Edge. This will need to include development of a preferred alternative and a robust environmental review that results in a Negative Declaration or a Positive Declaration and preparation of an EIS. For purposes of this proposal, we have budgeted for completion of an EIS, but meeting the tight schedule will depend on the City's input on the final preferred alternative and its cooperation to complete its tasks and responsibilities as lead agency under SEQR. While we anticipate drafting key SEQR documentation on the City's behalf, the City as lead agency would drive the SEQR schedule.

3. A full buildout analysis of private development will not be included and the requisite SEQR environmental assessment will be performed as separate private developments are proposed, independent of this public infrastructure project.

4. Presentation meetings will be held with the City, Edge and PAC during all project phases. The City, Edge and PAC will have one week to review all materials presented and provide written comments, which will serve as authorization to proceed to the next phase. Absence of written comments will be deemed as approval to proceed.

5. Our team will endeavor to work with the private utility agencies / providers regarding the availability, capacity and condition of electric, gas, fiber, cable TV, and telephone services. Our services do not include planning or design of any private utilities and our team will not be responsible for any project delays caused by private utility infrastructure availability or capacity or any costs associated with the planning, design or improvements to facilities. Private utility infrastructure is as critical as public utilities and we do anticipate meeting with utility agencies early in the Design Discovery process. However, we have also included two (2) utility agency coordination meeting during preliminary (draft) and final design phases.

6. Field studies that indicate sensitive resources are present requiring further study and/or mitigation (e.g., archeological, wetlands) have the potential to cause project delays. The Fisher team recognizes the time sensitivity associated with the project, however, unforeseen circumstances such as these may arise that are out of our control.

7. Pre-application meetings will be held with involved agencies, as appropriate, early in the process to introduce the project, discuss the expedited schedule, and define any specific permit needs or concerns. It is noted that permit review timeframes vary by agency and the individual permit reviewer and, therefore, permit/approval issuance timeframes will also vary. Fisher cannot ensure that all requisite permits needed for the project will be issued by March 2018, regardless of when the applications are submitted for review and processing.

In collaboration with private enterprises, the City of Rome will design roads, infrastructure, a new bulkhead and expansion of the canal to provide improved physical connections and public access to the water and the Canalway Trail. With new large-scale private development projects underway, the City is committed to properly assessing, planning, and designing new infrastructure to support current and future growth within the project area. The City is also committed to long-term sustainability measures to be incorporated into the plans and designs including smart growth practices, stormwater management practices, multimodal transportation choices, and environmental justice. The intent of this project is to support private development projects through infrastructure upgrades and well-planned new infrastructure construction.

The purpose of this RFP is to solicit proposals from qualified full service planning, architectural, and engineering firms to issue a contract to provide all deliverables listed within the attached work plan and ultimately provide final design, construction, and bid documents for the infrastructure project including any and all required permits.

2. Project Background

The City of Rome has diligently worked on progressing waterfront development planning and implementation projects for decades. Currently, the City of Rome is working with a professional firm to complete a Brownfield Opportunity Area Step III Implementation Strategy which includes this project location known asthe "Waterfront Village" subarea. Within the Waterfront Village subarea a system of disconnected streets have created undesirable conditions for new developments and lack of connections from JamesStreet and Erie Boulevard have created disinvestment and lack of development interest. The City of Rome has secured a NYS Department of State grant that will provide the funding for this project. This grant project must support the private sector development projects in the immediate area and enhance the quality of life and experience of Rome's waterfront area. The project area includes the NYS Canalway Trail along the water's edge of a large harbor area set back from the navigation channel of the canal. This large harbor is ideal for boat docking, docking capacity, and connecting boaters to the adjacent neighborhoods and the downtown. Recently, a developer has purchased the former Dewitt-Clinton school building and property for a 60-unit housing development. This private project is the catalyst for all other improvements and investments into this area and it is paramount that the developer is collaborated with during this project to enhance both the public and private spaces.

3. Project Budget

The budget is an amount not to exceed $683,550. Mohawk Valley EDGE will be undertaking the project management and oversight. Consultant's time will be billed on an hourly basis along with subcontract expenses.

5. Work Plan

Task 1: Project Kick-Off Meeting

The Consultant, the Department of State, project partners and any other appropriate entities shall hold an initial meeting to review the project scope, project schedule, project requirements, roles and responsibilities of project partners, the selection processfor procuring consultants, State Environmental Quality Review Act (SEQRA) compliance requirements, the number of public meetings and techniques for public involvement proposed for the project, attendance at NYS Community Seminar Series training sessions, and any other information which would assist in project completion. In addition, the composition of a project advisory committee shall be discussed during the project kick-off meeting. The Consultant, or a designated project partner, shall prepare and distribute to all project partners a brief meeting summary clearly indicating the agreements/understandings reached at the meeting. Work on subsequent tasks shall not proceed prior to Department approval of the proposed approach as outlined in the meeting summary.

Task 2: Project Advisory Committee

The Consultant and City shall establish a project advisory committee to oversee all aspects of the project in cooperation with municipal officials and the project consultant(s), if applicable. The committee shall be representative of project stakeholders, including representatives of State and municipal agencies with jurisdiction over project activities or the project area, and non-governmental and community based organizations. A draft list of proposed members shall be circulated to the Department for review and approval priorto establishment of the committee.

Waterfront Village Request for Proposals Planning & Design Services Page 4 In consultation with the Department, the Consultant shall hold a second project meeting with the consultant(s), and other project partners as appropriate, to review project requirements, site conditions, and roles and responsibilities; identify new information needs and next steps; and transfer any information to the consultant(s) which would assist in completion of the project. The consultant(s) shall prepare and distribute a brief meeting summary clearly indicating the agreements/understandings reached at the meeting. Work on subsequent tasks shall not proceed prior to Department approval of the proposed approach as outlined in the meeting summary.

Task4: Site Reconnaissance and Schematic Designs

A. Site Reconnaissance

The Consultant or its consultant(s) shall conduct site-specific reconnaissance, in preparation for design. Work shall include, at a minimum, identification and mapping of the following:

• Site survey showing extent of project boundary • Ownership/grant/lease status of all lands to be incorporated into the design • Manmade structures, buildings, or facilities on or adjacent to the site • Above and below ground infrastructure, including stormwater treatment structures • Transportation/circulation systems (truck, car, bus, ferry, train, pedestrian, bicycle, etc.) that serve or are located near the site • Adjacent land and water uses • Historic and archeological resources • Soil and, as appropriate, core sampling to determine site stability • Topography and hydrology • Natural resources, including location of mature trees • View corridors • Zoning and other applicable designations • Analysis of site constraints, needs and opportunities

Products: Map(s) and written summary describing the above information and any other appropriate information identified during the project kick-off meeting.

B. Schematic Designs

The Consultant or its consultant(s) shall prepare alternative schematic designs ofthe facility or facilities, considering and including a summary of the following:

• Best management practices to be employed to avoid or reduce water quality impairments from upland runoff or in-water activities, and • Impacts, if any, to State designated Significant Coastal Fish and Wildlife Habitat areas, Scenic

Waterfront Village Request for Proposals Planning & Design Services Page 5 Areas of Statewide Significance, other Coastal Management Program special management areas, or other sensitive resources, and how those impacts should be avoided or mitigated.

Unless otherwise specified during the project kick-off meeting, the Contractor or its consultant(s) shall prepare a minimum of three alternative schematic designs for review by the project advisory committee and the Department.

In consultation with the Department and the project advisory committee, the Consultant shall select one of the alternative schematic designs as the basis for final design and engineering/construction plans and specifications, or shall work with the consultant(s) to develop a final schematic design incorporating elements of or building upon the alternative schematic designs. Final design and engineering/construction plans and specifications shall be prepared based on the selected schematic design.

Products: Alternative schematic designs. Schematic design alternative selected.

Task 5: Public Meeting

In consultation with the Department, a public information meeting shall be conducted to solicit public input on the schematic designs to assist in selecting a preferred alternative. A written summary of public input obtained at this meeting shall be prepared and provided to the Department for review and comment.

Products: Public information meeting held. Minutes/Summary of meeting prepared and submitted to the Department.

Task 6: Construction Requirement Analysis

The Consultant or its consultant(s) shall prepare an analysis of all federal, state and local requirements for the selected schematic design alternative, including necessary permits and approvals, and a description of how these requirements will be satisfied by the design. This analysis shall be submitted to appropriate project partners and the Department for review. A pre-permitting meeting with the Department and the identified federal, state and local entities may be required to discuss any revisions needed to satisfy regulatory requirements. Work on final design shall not proceed prior to the Department approval ofthe construction requirement analysis and the pre-permitting meeting, if necessary.

Products: Written construction requirement analysis. Pre-permitting meeting with identified entities.

Task 7: Environmental Quality Review

The Consultant or its consultant(s) shall prepare all documents necessary to comply with the State Environmental Quality Review Act (SEQRA) through determination of significance. If a positive declaration is made, a Draft Environmental Impact Statement shall be prepared.

Products: SEQRA documents and, if necessary, a Draft Environmental Impact Statement.

Task 8: Draft Final Design

The Consultant or its consultant(s) shall prepare a draft final design based on the selected

The draft final design shall include all required maps, tables, data, written discussions, and other information identified in the contract and subcontract work plans and during the project kick-off meeting. The draft final design shall be provided to the Department and the project advisory committee for review at least two weeks prior to the due date for comments. Department comments must be addressed to the satisfaction of the Department in subsequent revisions of the products and the final design.

Products: Draft final design and supporting materials.

Task 9: Final Design and Construction Documents

The Consultant or its consultant(s) shall prepare the final design and construction drawings, plans, specifications, and cost estimates. The final design and construction documents shall be provided to the Department and the project advisory committee for review at least two weeks prior to the due date for comments. Final design and construction documents are subject to approval by the Department. These documents must be certified by a licensed professional engineer, architect, or landscape architect and the appropriate seal must be affixed to these documents. Final design and construction documents shall include all roadways, intersections, sidewalks, bicycle paths, water, sewer, gas, electric, lighting, public docking, bulkhead, public park(s) and parking and all associated construction elements.

Products: Final design and construction documents, certified by a licensed professional engineer, architect or landscape architect.

Task 10: Permits

After the final design and construction documents have been approved by the Department, the Consultant or its consultant(s) shall prepare the necessary permit or other approval applications and obtain the required permits or approvals. A pre-application meeting with the Department and the appropriate federal, state and local regulatory authorities may be required to discuss the necessary permit or other approval applications. Prior to filing, the Contractor or its consultant(s) shall submit all applications to the Department for review and comment.

Potential permitting and approval agencies include but are not limited to:

• federal agencies such as the United States Army Corps of Engineers; • the Department, pursuant to the consistency provisions of the federal Coastal Zone Management Act; • other New York State agencies such as the Department of Environmental Conservation; the Office of General Services pursuant to the Public Lands Law, or similar authorization from the Power Authority (in certain areas of the St. Lawrence Seaway) or Canal Authority (in the State Canal System), in order to use or occupy certain State-owned lands or waters overlying those lands; and the Office of Parks, Recreation, and Historic Preservation or the State Historic Preservation Officer; and • agencies of a county, city, town, village, or special purpose district, including but not limited to: town boards, boards of trustees, or city councils; planning commissions, boards or departments; and/or building or health officials.

Waterfront Village Request for Proposals Planning & Design Services Page 7 Prior to construction the Contractor or its consultant(s) shall also demonstrate that the project is in compliance with 6 NYCRR Part 502, "Floodplain Management Criteria For State Projects" by obtaining a floodplain development permit, if local regulations establish such requirements, or by submitting a signed certification, by an official authorized to enforce local floodplain management regulations, that the project complies with the requirements of the statute.

Copies of all required permits and approvals shall be submitted to the Department upon receipt.

Products: All required permits and approvals received. Written certification of compliance with floodplain management regulations, if applicable.

Task 11: Pilot Incremental Financing (PIF) District

Financial analysis, revenue projections, and framework for a potential PIF in the immediate project area. Analysis shall include an assessment of current and potential value of properties including in the district and financial impacts of planned developments and capital projects. This process will include evaluation and a defined boundary.

Products: PIF district analysis, report, and final recommendation to be presented to the Common Council, School District, and Oneida County for adoption.

6. Minority & Women-owned BusinessContracting Requirements For the purposes of this procurement, the Department of State has established an overall goal of 20% for Minority and Women-Owned Business Enterprises (MWBE) participation, 10% for Minority­ Owned Business Enterprises (MBE) participation and 10% for Women-Owned Business Enterprises (WBE) participation. The Consultant must document "good faith efforts" to provide meaningful participation by MWBEs as subcontractors or suppliers in the performance of the contract. The Consultant acknowledges that if the consultant is found to have willfully and intentionally failed to comply with the MWBE participation goals set forth in this contract, such a finding constitutes a breach of contract and the consultant shall be liable to the City of Rome or NYS Department of State for liquidated or other appropriate damages. The Consultant is encouraged to contact the Division of Minority and Woman Business Development (518) 292-5250 to discussadditional methods of maximizing participation by MWBEs on the contract.

7. SPECIAL NOTES a. This project deadline has been established for March 31, 2018. Time is of the essence, and there will be no extensions of time granted. This is based on a DOS funding contract end date as is out of the local governments control. b. Liquidated damages of $500 per day exceeding the deadline will be strictly applied.

Therefore, proposals should reflect the firm's best terms both from a technical and cost standpoint.

Proposals will be evaluated and an award will be made on the basis of both cost and technical considerations most advantageous to the City of Rome. O'Brien & Gere (OBG) appreciates the opportunity to submit this revised proposal for the-scope of work in your letter dated July 17, 2017, to the City of Rome (City) for the Waterfront VillageInfrastructure Planning, Design, and Permitting Services.

The information provided in this proposal, is in response to the City's Request for Additional Information as well as the telephone conversation with you on July 18, 2017. PROJECT UNDERSTANDING

The Cityhas requested OBG to focus on the following planning, design, and permitting to include the immediate waterfront lands, seawall, docking, canal inland re-watering, pedestrian and / or vehicular bridge over the inland cut, and trail / pedestrian network along the inland cut including public park spaces.

SCOPE OF WORK

OBG's proposed Scope of Services will consist of the following:

TASK 4: SITE RECONNAISSANCE & SCHEMATIC DESIGN The OBG team will conduct a site reconnaissance to identify items that may limit or restrict design of the seawall, trail, inland waterway, and associated features within Waterfront Villageimmediate waterfront lands. OBG will evaluate information collected from a desktop analysis and conduct on-site field investigation that includes: a topography survey and archeological investigation within the limits of the seawall and inland waterway alignment; (6) soil borings along the proposed bulkhead alignment and inland cut; request utility mark-out from UFPO; review aerial photography and other available site information to determine potential development constraints. Afield investigation will be performed to check the accuracy of the existing information gathered through the desktop analysis. The results of this analysis will serve as the foundation for developing the detailed draft design.

The inventory will identify how the requirements have been, or will be, addressed by the design.

TASK 8: DRAFT FINAL DESIGN OBG will advance the design to a bid-ready phase including the analysis ofthe bulkhead sheet pile seawall, inland waterway, trail design, pedestrian / vehicular bridge, and landscaping plans for the project area. For the seawall, this will include a sheet pile anchoring system, anchor tie-rod and waler assembly analysis, and a soil settlement analysis. This work will require the following confirmations: a) existing canal bathymetry, b) daily and seasonal tidal ranges (per NYS Canal Corporation), and c) surcharge load limitations for the planned recreational activities. The design of site improvements associated with bulkhead reconstruction will be completed under this task including walkways extending 15- to 20-feet behind the sheet piles, general site grading and restoration. It is assumed that the future bulkheads will not require moorings and fenders, as a floating dock system will be used to accommodate recreational watercraft. To that end, various floating dock systems will be explored so that necessary adaptions to the bulkheads be can considered (i.e. railing systems etc. that would be used as connection points for the floating docks) .. OBG will prepare a set of contract documents, including plans and specifications, and submit to the City for final review / approval and submit to City, Project Advisory Committee, and New York State Department of State (NYSDOS) for review and comments.

TASK 9: FINAL DESIGN &CONSTRUCTION DOCUMENTS OBG will prepare Contract Documents including technical specifications and supporting information. Final Design (100%) will include final project design drawings, construction cost opinion, and contract documents signed and sealed by an engineer who is licensed in the State of New York.

TASK 10: PERMITS

II Attend a pre-application meeting to consult with the United States Army Corps of Engineers (USACE), New York State Department of Environmental Conservation (NYSDEC), and New York State Canal Corporation (NYSCC). The objective of the meeting will be to obtain consensus on a permitting approach.

II Prepare a Joint Application for Permit / Pre-Construction Notification (PCN) to obtain the following permits: )} USACE - PCN to obtain concurrence that activities can proceed under Nationwide Permit 3 (Maintenance) )} NYSDEC - Article 15 (Protection of Waters) )} NYSDEC - 401 Water Quality Certification (potential use of "Blanket" 401 Water Quality Certification of USACE's Nationwide Permit program) e Prepare an Occupancy and Work Permit application for submission to the NYSCC.

LaFave White & McGivern LSPCis a small business and veteran owned Land Surveying Professional Corporation, providing high quality professional land surveying services and photogrammetric mapping. Founded in 1946, the firm, headquartered in Theresa, NY with an office in Oneida County, in Boonville, NY, has provided professional land surveying and mapping services to both the public and private sectors throughout Oneida County and the surrounding area. The Firm has worked with OBG on a number oflocal projects, including the Nanocenter in Marcy, NY for SUNYIT and MVEDGE. UTICAHARBOR REDEVELOPMENT Since the project commenced in 2013, OBG has completed approximately $600,000 in services in support of the redevelopment of the Utica Harbor. The objective of the project is to develop a niche destination attraction that leverages the natural appeal ofthe waterfront, the charm of an industrial-era harbor, and the harbor's location along the historic Barge Canal. OBG provided consulting services related to the environmental, permitting (GElS, SEQRA), and infrastructure needs of future mixed-use development at the Utica Harbor. OBG has advanced the design on several public infrastructure components including the Wurz Avenue West Entranceway, Harbor Bulkhead Replacement and Dredge Spoils Area Closure. OBG served as a subcontractor to ELAN Planning on this project.

MARCY NANOCENTER Marcy Nanocenter at SUNYIT is a 420+ acre greenfield site located on the Marcy Campus of SUNY-Polytechnic Institute. It is the largest shovel-ready site in New York State's Tech Valley,Mohawk Valley Economic Development Growth Enterprises (MVEDGE) is leading the site development and marketing; it competes on a global scale to recruit the industry. OBG has been involved with this project since its inception in 1997. We continue to be a key consultant in the ongoing development from a greenfield site to a shovel-ready site; assisting with the necessary regulatory approvals and infrastructure to attract large-scale nanotechnology industrial development. Shaun B. Gannon, P.E., D.WRE, P.H., CFM, PMP - Project Manager has 20 years of experience conducting complex hydrologic studies and managing large, complex municipal, state and Federal projects. He is a certified Project Management Professional, a NYS licensed Professional Engineer, a certified Professional Hydrologist, a Certified Floodplain Manager and a Diplomate Water Resource Engineer. Mr.Gannon will be responsible for developing a robust Project Management Plan to capture the City, ProjectAdvisory Committee, and Department of State requirements, manage project risk and scope and develop a project schedule, staffing plan and milestones to ensure project completion by March 31, 2018.

Stephen Snell, PEl CPESC - AssistantProject Manager has 17 years of professional engineering experience in the area of municipal and site infrastructure engineering, which includes site development, water, wastewater, storm drainage systems, and erosion and sediment control. He is a NYS licensed Professional Engineer and Certified Professional in Erosion and Sediment Control (CPESC). Mr. Snell served as the Project Manager for the City ofRome Martin Street Sanitary Sewer Extension project and included coordination with the project funding agency and NYSDEC, scheduling, scope and budget preparation, client management, and cost estimating.

Jane Nicholson-Dourdas, AICP - Assistant Project Manager has over 13 years of experience in urban planning, and is well versed in the municipal planning process including brownfield redevelopment, site-specific development, and SEQR compliance and permitting. Ms. Nicholson-Dourdas has recently assisted the City of Rome in the preparation of the Erie Boulevard (Step 2) Brownfield Opportunity Area, and Downtown Rome Implementation Strategy (Step 3) Brownfield Opportunity Area which included securing EPA funding for the cleanup of the Rome-Turney Radiator site, development of the Waterfront Village zoning maps, housing inventoryand analysis, and extensive coordination with both Project Advisory Committees. She is certified by the American Institute of Certified Planners, and a member of the American Planning Association. Ms. Nicholson­ Dourdas holds advanced certification in facilitation and conflict resolution.

Susan Hopkins, AICP is a Senior Planner with Highland Planning with 14 years of experience. She holds an Advanced Degree in Community and Regional Planner, is a Member of the American Institute of Certified Planners and is a Member of the Upstate NY Chapter ofthe American Planning Association. Prior to joining Highland Planning, she assisted the City of Rome with development of a Step 3 Implementation Strategy for the Downtown Rome Brownfield Opportunity Area in Rome, NY. In 2015 and 2016, she completed a form-based zoning code for the Waterfront Village subarea and a housing inventory and analysis, both for the Downtown Brownfield Opportunity Area in Rome, NY.

PeterLoyola, RLA, Principal Senior Project Manager of CLA SITEhas over 30 years of design, construction and environmental compliance experience as a Landscape Architect and Planning Consultant. As CLA SITE's founder, Peter provides innovative leadership and offers creative technical solutions to public and private developers, universities, housing authorities, municipalities, and industrial corporations. Mr. Loyola's project work focuses on low impact development and master planning; public participation and design charrettes; environmental permitting and environmental impact mitigation; visual impact assessments; stormwater and green infrastructure design and permitting; and construction documentation and administration.

Ann Morton Owner and Principal of Morton Archaeological Research Services, is a 36CFR61 qualified archaeologist. She has a Ph.D.in Archaeology and is a certified member of the Register of Professional Archaeologists (RPA). Dr. Morton conducted the cultural resources investigations for the Canalway Trail in Rome, New York; an integral element in the Waterfront Village Project. Dr.Morton conducted Phase IA background studies and Phase IB field investigations for approximately 3 miles of trail in the City of Rome. Dr. Morton coordinated with the SHPO, NYSTA Canal Corporation and the Oneida Nation to insure concerns of all were met and the project was able to proceed smoothly.

TASK 1: PROJECT KICK-OFF MEETING OBG, with assistance from our team members, will facilitate a Kick-Offmeeting with the project partners and the Department of State (DOS) to review the Scope of Work (SOW),reach agreement on work products, and capture project requirements. Outputs from this meeting, in addition to meeting minutes, will include a draft Requirement Matrix, Communication and Risk Management Plan, Public Meeting Schedule, Project Milestones, High level Staffing Plan, Safety Plan, Work Breakdown Structure (WBS), and Project Management Plan and Quality Plan. These plans will be shared with the DOS and project partners for review and comment.

TASK 2: PROJECT ADVISORY COMMITTEE The OBG team will work closely with the City to establish a Project Advisory Committee (PAC) consisting of key stakeholders and involved agencies to direct the planning process, provide critical feedback, and review project deliverables. We recommend that the PAC communicate via a weekly conference call with the project team followed by a minimum of one (1), in-person meeting each month through the duration of the project. The PAC will also play an important role in community-wide outreach, and ensuring that all interests are represented.

TASK 3: SECONDARY PROJECT MEETING During this meeting, OBG, DOS and the project partners will review the draft plans from the Kick-Offmeeting. Additionally, in advance of the meeting, OBG and our partners shall conduct a desktop evaluation of the project site to assess potential constraints, visit the Rome Historical Society to search for relevant information pertaining to archeological issues, and visit the City of Rome Engineering Department to collect copies of relevant as-built infrastructure plans. From this information, the OBG team, DOS and project partners will identify missing information, assess its impact on the project, update the Risk Management Plan and Requirement Matrix accordingly, and outline any assumptions going forward.

TASK 4-A: SITE RECONNAISSANCE Our team will prepare a site reconnaissance to identify items that may limit or restrict development or other proposed land uses within Waterfront Village.We will evaluate information collected from a desktop analysis and on-site field investigation that includes the items outlined in the Work Plan, including a review of topography survey within the limits of the selected concept, boundary survey, (2) soil borings along the proposed bulkhead alignment, utilities, zoning, and natural resources, as well as aerial photography and other available site information to determine potential development constraints. We will perform a field investigation to check the accuracy of the existing information gathered through the desktop analysis. The results of this analysis will serve as the foundation for developing the detailed schematic designs (Task 4B).

TASK 4-8: SCHEMATIC DESIGN The OBG team, based on information collected to date regarding site constraints (Task 4A), will develop three (3) alternative planning level site schematics for review by the Project Advisory Committee and the DOS. Our team will conduct a design charrette with the Project Advisory Committee and DOS to select the final site schematic as the bases for final design.

TASK 5: PUBLIC MEETING{S) A critical component of this process is ensuring the general public supports the project and the project team is responsive to the needs of local community members. We propose two (2) public meetings as well as value­ added opportunities, such as a community-wide surveyor door-to-door information sessions, to maximize citizen engagement. Additional public meetings and hearings will be held prior to any actions that require legislative approval and/or adoption as required by New York State law.

If any agencies or utilities [i.e. National Grid) require an in-person meeting(s) or conference call(s), the team will schedule and conduct these meetings, and update the required matrix accordingly. The inventory will identify how the requirements have been or will be addressed by the design. TASK 7: ENVIRONMENTAL QUALITY REVIEW The OBG team will assist the City in complying with the SEQR review process throughout the entire project initiative. We will request the City of Rome be designated as Lead Agency for purposes of SEQR. We will prepare, distribute, and file a Full Environmental Assessment Form (EAF) for purposes of evaluating the importance/significance of the impacts associated with the selected schematic design. We will assist the City in the Determi nation of Significance in accordance with the SEQR regulations and in preparing for and holding a Public Hearing on the schematic design. TASK 8: DRAFT FINAL DESIGN Our team will prepare a Draft Final Design (80%) which advance the schematic design to include plan, profile, and typical cross sections and will reflect comments from the Project Advisory Committee and DOS. Plans will include the following elements: Title sheet, Beginning and end of Project and Project limit lines, existing conditions, including titles of adjacent roadways and watercourses; location of utilities, drainage facilities, and associated appurtenances; designated wetlands; and property lines (to be established in easement mapping), plan view, proposed improvements, including plan view and longitudinal profiles, construction control point, demolitions and site restoration, drainage and utilities, proposed grading, typical cross sections, proposed planting/restoration plans, proposed water control during construction, standard design details, special design details, proposed soil erosion and sedimentation controls and sequence of construction. TASK 9: FINAL DESIGN AND CONSTRUCTION DOCUMENTS Our team will prepare Contract Documents including technical specifications and supporting information for the front-end specifications (bid forms, conditions of the contract, and forms ofagreement). Final Design (100%) will include final Project design drawings, construction cost opinion, and contract documents signed and sealed by an engineer who is licensed in the State of New York. TASK 10: PERMITS The OBG team will prepare and obtain the necessary Federal, state, and local permits to comply with all regulatory requirements. We will develop a comprehensive permit matrix that specifies the permit type, activity, agency, approval and submittal timeline, and strategy for coordination. We will submit this matrix with copies of each permit application to the City for review and comment. Additionally, Mr. Gannon, who is a Certified Floodplain Manager (CFM) will work with the City Floodplain Manager and the NYS Department of Environmental Conservation (NYSDEC) Bureau of Flood Protection to assure compliance with the Local Floodplain Ordinance, NYS Regulations and the National Flood Insurance Program (NFIP). TASK 11: PILOT INCREMENTAL FINANCING (PIF) DISTRICT Our team will assist the City of Rome and MVEDGE in developing a framework for a potential PIF district (PILOT incrementfinance district), which will include an understanding of the current and potential future value of subjectproperties,land disposition, and the potential amount of increment that could be used to secure bonds for infrastructure improvements, and repay the debt service on those bonds. We will also assist, as needed, with engaging and negotiating with affected taxing jurisdictions.

In collaboration with private enterprises, the City of Rome will design roads, infrastructure, a new bulkhead and expansion ofthe canal to provide improved physical connections and public access to the water and the Canalway Trail. With new large-scale private development projects underway, the City is committed to properly assessing, planning, and designing new infrastructure to support current and future growth within the project area. The City is also committed to long-term sustainability measures to be incorporated into the plans and designs including smart growth practices, stormwater management practices, multimodal transportation choices, and environmental justice. The intent of this project is to support private development projects through infrastructure upgrades and well-planned new infrastructure construction.

The purpose of this RFP is to solicit proposals from qualified full service planning, architectural, and engineering firms to issue a contract to provide all deliverables listed within the attached work plan and ultimately provide final design, construction, and bid documents for the infrastructure project including any and all required permits.

2. Project Background

The City of Rome has diligently worked on progressing waterfront development planning and implementation projects for decades. Currently, the City of Rome isworking with a professional firm to complete a Brownfield Opportunity Area Step III Implementation Strategy which includes this project location known as the "Waterfront Village" subarea. Within the Waterfront Village subarea a system of disconnected streets have created undesirable conditions for new developments and lack of connections from James Street and Erie Boulevard have created disinvestment and lack of development interest. The City of Rome has secured a NYS Department of State grant that will provide the funding for this project. This grant project must support the private sector development projects in the immediate area and enhance the quality of life and experience of Rome's waterfront area. The project area includes the NYS Canalway Trail along the water's edge of a large harbor area set back from the navigation channel of the canal. This large harbor is ideal for boat docking, docking capacity, and connecting boaters to the adjacent neighborhoods and the downtown. Recently, a developer has purchased the former Dewitt-Clinton school building and property for a 60-unit housing development. This private project is the catalyst for all other improvements and investments into this area and it is paramount that the developer is collaborated with during this project to enhance both the public and private spaces.

3. Project Budget

The budget is an amount not to exceed $683,550. Mohawk Valley EDGE will be undertaking the project management and oversight. Consultant's time will be billed on an hourly basis along with subcontract expenses.

5. Work Plan

Task 1: Project Kick-Off Meeting

The Consultant, the Department of State, project partners and any other appropriate entities shall hold an initial meeting to review the project scope, project schedule, project requirements, roles and responsibilities of project partners, the selection processfor procuring consultants, State Environmental Quality Review Act (SEQRA) compliance requirements, the number of public meetings and techniques for public involvement proposed for the project, attendance at NYS Community Seminar Series training sessions, and any other information which would assist in project completion. In addition, the composition of a project advisory committee shall be discussed during the project kick-off meeting. The Consultant, or a designated project partner, shall prepare and distribute to all project partners a brief meeting summary clearly indicating the agreements/understandings reached at the meeting. Work on subsequent tasks shall not proceed prior to Department approval of the proposed approach as outlined in the meeting summary.

Products: Project kick-off meeting held with appropriate parties. Written meeting summary outlining agreements/understandings reached. Finalized project schedule.

Task 2: ProjectAdvisory Committee

The Consultant and City shall establish a project advisory committee to oversee all aspects of the project in cooperation with municipal officials and the project consultant(s), if applicable. The committee shall be representative of project stakeholders, including representatives of State and municipal agencies with jurisdiction over project activities or the project area, and non-governmental and community based organizations. A draft list of proposed members shall be circulated to the Department for review and approval prior to establishment of the committee.

Products: Draft and final list of proposed members of project advisory committee. Project advisory committee established.

Task 3: Second Project Meeting

Waterfront Village Request for Proposals Planning & Design Services Page 4 In consultation with the Department, the Consultant shall hold a second project meeting with the consultant(s), and other project partners as appropriate, to review project requirements, site conditions, and roles and responsibilities; identify new information needs and next steps; and transfer any information to the consultant(s) which would assist in completion of the project. The consultant(s) shall prepare and distribute a brief meeting summary clearly indicating the agreements/understandings reached at the meeting. Work on subsequent tasks shall not proceed prior to Department approval of the proposed approach as outlined in the meeting summary.

Products: Second project meeting held with appropriate parties. Written meeting summary outlining agreements/understandings reached. Collaborate file server with associated hardware for project team and meetings (see special notes section)

Task 4: Site Reconnaissance and Schematic Designs

A. Site Reconnaissance

The Consultant or its consultant(s) shall conduct site-specific reconnaissance, in preparation for design. Work shall include, at a minimum, identification and mapping ofthe following:

• Site survey showing extent of project boundary • Ownership/grant/lease status of all lands to be incorporated into the design • Manmade structures, buildings, or facilities on or adjacent to the site • Above and below ground infrastructure, including stormwater treatment structures • Transportation/circulation systems (truck, car, bus, ferry, train, pedestrian, bicycle, etc.) that serve or are located near the site • Adjacent land and water uses • Historic and archeological resources • Soil and, as appropriate, core sampling to determine site stability • Topography and hydrology • Natural resources, including location of mature trees • View corridors • Zoning and other applicable designations • Analysis of site constraints, needs and opportunities

Products: Map(s) and written summary describing the above information and any other appropriate information identified during the project kick-off meeting.

B. Schematic Designs

The Consultant or its consultant(s) shall prepare alternative schematic designs of the facility or facilities, considering and including a summary of the following:

• Best management practices to be employed to avoid or reduce water quality impairments from upland runoff or in-water activities, and • Impacts, if any, to State designated Significant Coastal Fish and Wildlife Habitat areas, Scenic

Unless otherwise specified during the project kick-off meeting, the Contractor or its consultant(s) shall prepare a minimum of three alternative schematic designsfor review by the project advisory committee and the Department.

In consultation with the Department and the project advisory committee, the Consultant shall select one of the alternative schematic designs asthe basis for final design and engineering/construction plans and specifications, or shall work with the consultant(s) to develop a final schematic design incorporating elements of or building upon the alternative schematic designs. Final design and engineering/construction plans and specifications shall be prepared based on the selected schematic design.

Products: Alternative schematic designs. Schematic design alternative selected.

Task5: Public Meeting

In consultation with the Department, a public information meeting shall be conducted to solicit public input on the schematic designs to assist in selecting a preferred alternative. A written summary of public input obtained at this meeting shall be prepared and provided to the .Department for review and comment.

Products: Public information meeting held. Minutes/Summary of meeting prepared and submitted to the Department.

Task6: Construction Requirement Analysis

The Consultant or its consultant(s) shall prepare an analysis of all federal, state and local requirements for the selected schematic design alternative, including necessarypermits and approvals, and a description of how these requirements will be satisfied by the design. This analysis shall be submitted to appropriate project partners and the Department for review. A pre-permitting meeting with the Department and the identified federal, state and local entities may be required to discuss any revisions needed to satisfy regulatory requirements. Work on final design shall not proceed prior to the Department approval ofthe construction requirement analysis and the pre-permitting meeting, if necessary.

Products: Written construction requirement analysis. Pre-permitting meeting with identified entities.

Task 7: Environmental Quality Review

The Consultant or its consultant(s) shall prepare all documents necessaryto comply with the State Environmental Quality Review Act (SEQRA) through determination of significance. If a positive declaration is made, a Draft Environmental Impact Statement shall be prepared.

Products: SEQRA documents and, if necessary, a Draft Environmental Impact Statement.

Task 8: Draft Final Design

The Consultant or its consultant(s) shall prepare a draft final design based on the selected

The draft final design shall include all required maps, tables, data, written discussions, and other information identified in the contract and subcontract work plans and during the project kick-off meeting. The draft final design shall be provided to the Department and the project advisory committee for review at least two weeks prior to the due date for comments. Department comments must be addressed to the satisfaction of the Department in subsequent revisions of the products and the final design.

Products: Draft final design and supporting materials.

Task 9: Final Design and Construction Documents

The Consultant or its consultant(s) shall prepare the final design and construction drawings, plans, specifications, and cost estimates. The final design and construction documents shall be provided to the Department and the project advisory committee for review at least two weeks prior to the due date for comments. Final design and construction documents are subject to approval by the Department. These documents must be certified by a licensed professional engineer, architect, or landscape architect and the appropriate seal must be affixed to these documents. Final design and construction documents shall include all roadways, intersections, sidewalks, bicycle paths, water, sewer, gas, electric, lighting, public docking, bulkhead, public park(s) and parking and all associated construction elements.

Products: Final design and construction documents, certified by a licensed professional engineer, architect or landscape architect.

Task 10: Permits

After the final design and construction documents have been approved by the Department, the Consultant or its consultant(s) shall prepare the necessary permit or other approval applications and obtain the required permits or approvals. A pre-application meeting with the Department and the appropriate federal, state and local regulatory authorities may be required to discuss the necessary permit or other approval applications. Prior to filing, the Contractor or its consultant(s) shall submit all applications to the Departmentfor review and comment.

Potential permitting and approval agencies include but are not limited to:

• federal agencies such as the United States Army Corps of Engineers; • the Department, pursuant to the consistency provisions of the federal Coastal Zone Management Act; • other New York State agencies such asthe Department of Environmental Conservation; the Office of General Services pursuant to the Public Lands Law, or similar authorization from the Power Authority (in certain areas of the St. Lawrence Seaway) or Canal Authority (in the State Canal System), in order to use or occupy certain State-owned lands or waters overlying those lands; and the Office of Parks, Recreation, and Historic Preservation or the State Historic Preservation Officer; and • agencies of a county, city, town, village, or special purpose district, including but not limited to: town boards, boards of trustees, or city councils; planning commissions, boards or departments; and/or building or health officials.

Waterfront Village Request for Proposals Planning & Design Services Page 7 Prior to construction the Contractor or its consultant(s) shall also demonstrate that the project is in compliance with 6 NYCRR Part 502, "Floodplain Management Criteria For State Projects" by obtaining a floodplain development permit, if local regulations establish such requirements, or by submitting a signed certification, by an official authorized to enforce local floodplain management regulations, that the project complies with the requirements of the statute.

Copies of all required permits and approvals shall be submitted to the Department upon receipt.

Products: All required permits and approvals received. Written certification of compliance with floodplain management regulations, if applicable.

Task 11: Pilot Incremental Financing (PIF)District

Financial analysis, revenue projections, and framework for a potential PIF in the immediate project area. Analysis shall include an assessment of current and potential value of properties including in the district and financial impacts of planned developments and capital projects. This process will include evaluation and a defined boundary.

Products: PIF district analysis, report, and final recommendation to be presented to the Common Council, School District, and Oneida County for adoption.

6. Minority & Women-owned Business Contracting Requirements For the purposes of this procurement, the Department of State has established an overall goal of 20% for Minority and Women-Owned Business Enterprises (MWBE) participation, 10% for Minority­ Owned Business Enterprises (MBE) participation and 10% for Women-Owned Business Enterprises (WBE) participation. The Consultant must document "good faith efforts" to provide meaningful participation by MWBEs as subcontractors or suppliers in the performance of the contract. The Consultant acknowledges that if the consultant is found to have willfully and intentionally failed to comply with the MWBE participation goals set forth in this contract, such a finding constitutes a breach of contract and the consultant shall be liable to the City of Rome or NYS Department of State for liquidated or other appropriate damages. The Consultant is encouraged to contact the Division of Minority and Woman Business Development (518) 292-5250 to discuss additional methods of maximizing participation by MWBEson the contract.

7. SPECIAL NOTES a. This project deadline has been established for March 31, 2018. Time is of the essence, and there will be no extensions of time granted. This is based on a DOS funding contract end date as is out of the local governments control. b. Liquidated damages of $500 per day exceeding the deadline will be strictly applied.

8. Submission Requirements The Consultant shall submit a price for each item indicated on the work plan.

The Consultant shall demonstrate related project experience via descriptions of at least two projects completed within the last 5 years via contract similar in size and scope. Please attached (1 page or less) a narrative or link that includes: • Project title, location and brief description. • Project owner and name and telephone number of owner's contact person. • Project prime contractor and major subcontractors. • Project duration and cost.

The Consultant shall list key personnel. Please attach (1 page or less) list including:

• Project manager and qualifications • Sub-consultants or employees for specific tasks identified and qualifications • Minority & Women-owned Business Enterprises (MWBEs), and qualifications, that will be utilized and their cost breakdown to equal at least 20% of the total not to exceed contract price.

9. Selection of Consultant The City of Rome will utilize professional staff to measure, rank, and select a qualified Consultant. During the review of proposals, the City of Rome may ask for additional information and may initiate action to award a contract at any point after review of the proposals. Therefore, proposals should reflect the firm's best terms both from a technical and cost standpoint.

Proposals will be evaluated and an award will be made on the basis of both cost and technical considerations most advantageous to the City of Rome. We are pleased to provide you with our proposal for professional planning and design services related to the sidewalk replacement project located along Embargo Street in the City of Rome. The anticipated services are based on our April 27, 2017 meeting and our past work on similar projects.

This project involves the installation ofnew sidewalks, meeting Americans with Disabilities Act (ADA) standards, tree plantings and other street side improvements along each side of Embargo Street from North James Street to a location approximately 200 feet west.

SCOPE OF WORK

Preliminary Site Plan

We will prepare a Preliminary Site Plan for review by the City using the survey and based on our discussions. The Preliminary Site Plan will include the existing conditions, as well as the proposed improvements, landscaping/plantings, sidewalks and other site amenities.

The Preliminary Site Plan will be provided to the City for review and comment. We anticipate attending two meetings with the City and its representatives as part of this task. Attendance at additional meetings will be billed at our standard hourly rates.

Final Site Plan, Design and Construction Drawings

Following approval by the City, the Preliminary Site Plan, along with any necessary details or specifications, will be incorporated into a Final Site Plan, Construction Drawings and Specifications.

The Construction Drawings will include plans and details for the site improvements depicted on the Preliminary Site Plan, including handicapped ramps designed in accordance with ADA standards, preparation ofa grading plan, and details for tree planting and sidewalk construction.

As the project will not result in the disturbance of more than one acre, a State Pollutant Discharge Elimination System (SPDES) General Permit for Stormwater Discharges from Construction Activity will not be required from the New York State Department of Environmental Conservation (DEC). An Erosion and Sediment Control plan for the proposed improvements will be prepared and provided.

Bidding Documents

We will work with the City to prepare a bid package and provide electronic copies of our work (plans and specifications) to the City, including the required forms and documents, as per City of Rome guidelines for public bidding and contracting. We will be available to support the City and prospective bidders throughout the bidding process. Services During Construction

We will provide the following services during construction. As indicated, general construction inspection services will be provided by the City ofRome.

• Attendance at progress meetings - anticipated meetings include a preconstruction meeting and up to three progress meetings during construction.

• Design and contract interpretations, responses to requests for information, and review of contractor change orders, as necessary.

• Preparation of updated construction drawings for minor field changes and/or changes requested by the City during construction.

Our services during construction anticipate the work will be completed within a one month period. Ifconstruction extends beyond one month and additional services are required, the work will be billed at our standard rates.

COST ESTIMATE

The scope of work, as presented above, can be completed for a total estimated cost of $14,750. This estimated cost is broken down as follows:

3. SUBCONTRACTORSANDSUBCONSULTANTS

Subcontractors and subconsultants supervised by and billed through our office will be invoiced at our cost plus 15%.

4. TRAVEL

Travel time plus the IRS standard mileage reimbursement rate (per mile) will be charged portal-to-portal. Ifovernight stay is required, the hotel will be billed at our cost plus 10% and a $40.00 per day meal charge will be billed for each overnight stay.

5. EXPENSES

Any out-of-pocket expenses incurred for the job will be billed at our cost plus 15%. All other overhead is included in the above rates.

6. TERMS

Invoices will be mailed/emailed in 4-week increments or uponcompletion of work. Payment is expected within 30 days ofdate ofinvoice unless prior arrangements are made. Payment is not contingent upon Client's receipt of payment from another party unless prior arrangements are made. All accounts 30 days past due will be charged 1% interest per month. Statements will be mailed on a monthly basis. All projects will require a retainer to begin work unless prior arrangements are made. Retainers will be applied at the completion ofthe project.

7. STANDARD OF CARE

The standard of care for all professional services performed or furnished by Plumley Engineering under this Agreement will be the skill and careordinarily used by members of Plumley Engineering's profession performing similar servicesand practicing under similar circumstances at the same time and in the same locality. Plumley Engineering makes no warranties, express or implied, under this Agreement or otherwise, in connection with Plumley Engineering's services.

8. COJ\1PENSATION

For the scope of services stated, the Client agrees to pay Plumley Engineering the compensation stated in this Agreement. The Client understands that if an estimate is provided, it is approximate and subject to change. Plumley Engineering agrees to advise Client ofsubstantial changes in scope or fee in advance of services. Plumley Engineering agrees to submit invoices every four (4) weeks or at completion of services. The Client agrees that Plumley Engineering's compensation is not contingent upon receipt ofpayment from another party and the Client agrees to submit payment to Plumley Engineering within STANDARD TERMS AND CONDITIONS Page 3

thirty (30) days ofreceipt. Ifthe Client does not pay an invoice within thirty (30) days of receipt, Plumley Engineering may, upon written notice to the Client, suspend further work until payments are brought current. The Client agrees to indemnify and hold Plumley Engineering harmless from any claim or liability resulting from such suspension.

In the event that it is necessary for Plumley Engineering to bring suit to enforce any provision ofthese Standard Terms and Conditions, including the collection ofany payment due, Plumley Engineering shall be entitled to recover all costs and expenses of such litigation, including reasonable attorneys fees and the costs of appeals or bankruptcy proceedings.

9. INDEMNIFICATION

The Client and Plumley Engineering each agree to indemnify and hold the other harmless, and their respective officers, employees and directors, from and against liability for losses, damages and expenses, including reasonable attorneys' fees, to the extent such claims, losses, damages, or expenses are caused by the indemnifying party's negligent acts, errors or omissions. In the event claims, losses, damages or expenses are caused by the joint or concurrent negligence ofthe Client and Plumley Engineering, they shall be borne by each party in proportion to its negligence.

10. AGREED REMEDY

To the fullest extent permitted by law, the total liability, in the aggregate, of Plumley Engineering and Plumley Engineering's officers, directors, employees, agents, and consultants to the Client and anyone claiming by, through orunder the Client, for any and all injuries, claims, losses, expenses or damages whatsoever arising out ofor in any way related to Plumley Engineering's services, the Proj ect or this Agreement, from any cause or causes whatsoever, including but not limited to negligence, strict liability, breach of contract or breach of warranty, shall not exceed the total compensation received by Plumley Engineering under this Agreement, or the total amount of$2,000,000, whichever is greater.

11. FORCE MAJEURE

Neither party shall be deemed in default ofthis Agreement to the extent that any delay or failure in the performance of its obligations results from any cause beyond its reasonable control and without its negligence, including but not limited to delays because of strikes, lockouts, work slowdowns or stoppages, accidents, acts of God, failure ofany governmental or other regulatory authority to act in a timely manner, failure ofthe Client to furnish timely information or approve or disapprove ofPlumley Engineering's services or work product, or delays caused by faulty performance by the Client's or by contractors ofany level. When such delays beyond Plumley Engineering's reasonable control occur, the Client agrees that Plumley Engineering shall not be responsible for damages, nor shall Plumley Engineering be deemed in default ofthis Agreement. 12. DISPUTE RESOLUTION

Prior to the initiation of any legal proceedings, the Client and Plumley Engineering agree that they shall first submit any and all unsettled claims, counter claims, disputes and other matters in question between them arising out ofor relating tothis Agreement to mediation in accordance with the Construction Industry Mediation Rules of the American Arbitration Association, effective as ofthe date ofthis Agreement.

The Party seeking to initiate mediation shall do so by submitting a formal, written request to the other Party to this Agreement. This section shall survive completion or termination of this Agreement, but under no circumstances shall either party call for mediation ofany claim or dispute arising out ofthis Agreement after such period oftime as would normally bar the initiation oflegal proceedings to litigate such claim or dispute under the applicable law.

13. TERMINATION OF CONTRACT

The Client may terminate this Agreement with seven days prior written notice to Plumley Engineering for convenience or cause. Plumley Engineering may terminate this Agreement for cause with seven days prior written notice to the Client. Failure ofthe Client to make payments when due shall be cause for suspension of services, or ultimately termination, unless and until Plumley Engineering has been paid in full all amounts due for services, expenses and other related charges.

14. HAZARDOUS ENVIRONMENTAL CONDITIONS

It is acknowledged by both parties that Plumley Engineering's scope of services does not include any services related to the handling at the site of asbestos, PCBs, petroleum, hazardous waste or radioactive materials. The Client acknowledges that Plumley Engineering is performing professional services for the Client and Plumley Engineering is not and shall not be required to become an "arranger", "operator", "generator" or "transporter" of hazardous substances, as defined in the Comprehensive Environmental Response, Compensation and Liability Act of 1990 (CERCLA).

15. SUBSURFACE EXPLORATIONS AND UTILITY CLEARANCE

Plumley Engineering will notify Dig Safely New York, formerly the Underground Facilities Protective Organization (UFPO). Plumley Engineering will seek to locate subterranean structures in the vicinity of proposed subsurface excavation at the site using plans or information about the site provided by the Client. Plumley Engineering will not be responsible for any damage, injury or interference with any subterranean structure, pipe, tank, cable or any other element or condition ifnotcalled toPlumley Engineering's attention STANDARD TERMS AND CONDITIONS PageS

prior to commencement ofthe work or which is not shown, or accurately located, on any plans furnished to Plumley Engineering by the Client.

16. OWNERSHIP OF DOCUMENTS

All reports, notes, drawings, specifications, data, calculations and other documents, including those in electronic form, prepared or furnished byPlumley Engineering pursuant to this Agreement are instruments ofPlumley Engineering's professional service, and Plumley Engineering shall retain all ownership and property interest therein. Plumley Engineering grants the Client a license to use instruments ofPlumley Engineering's professional service solely for the purpose of constructing, occupying and maintaining the Project. Reuse or modification ofany such documents by the Client, without Plumley Engineering's written permission, shall be at the Client's sole risk and without liability to Plumley Engineering or its employees, subsidiaries, independent professional associates, subconsultants and subcontractors, and the Client agrees to defend, indemnify and hold Plumley Engineering harmless from all costs, fees, losses, demands, liabilities, suits, actions, claims, damages and expenses, including attorneys' fees, whatsoever arising out ofsuch reuse or modification by the Client or by others acting through the Client.

17. CONSTRUCTION PHASE SERVICES

IfPlumley Engineering performs any services during the construction phase ofthe project, Plumley Engineering shall not supervise, direct or have control over the Contractor's work. Plumley Engineering shall not have authority over or responsibility for the construction means, methods, techniques, sequences or procedures or forsafety precautions and programs in connection with the work ofthe Contractor. Plumley Engineering does not guarantee the performance of the construction contract by the Contractor and does not assume responsibility for the Contractor's failure to furnish and perform its work in accordance with the Contract Documents.

18. OPINION OF PROBABLE COSTS

When required as part ofits work, Plumley Engineering will furnish opinions ofprobable cost, but does not guarantee the accuracy of such estimates. Opinions of probable cost, financial evaluations, feasibility studies, economic analyses of alternate solutions, and utilitarian considerations of operations and maintenance costs prepared by Plumley Engineering hereunder will be made on the basis ofPlumley Engineering's experience and qualifications and will represent Plumley Engineering's judgment as an experienced and qualified design professional. However, users ofthe probable cost opinions must recognize that Plumley Engineering does not have control over the cost oflabor, material, equipment or services furnished by others or over market conditions or contractors' methods of determining prices or performing the work. 19. INFORMATION RELIANCE

Plumley Engineering shall be entitled to rely, without liability, on the accuracy and completenessof any and all informationprovided by the Client, the Client's consultants and contractors, and information from public records, without the need for independent verification.

20. CERTIFICATIONS

Plumley Engineering shall not be required to sign any documents, no matter by whom requested, that would result in PlumleyEngineering's havingto certify, guaranty orwarrant the existence of conditions that Plumley Engineering cannotascertain.

21. THIRD PARTIES

Nothing contained in this Agreement shall create a contractualrelationship with, or a cause of actionin favor of, a third party against eitherthe Client orPlumleyEngineering. Plumley Engineerings's services hereunder are being performed solelyfor the benefitof the Client, and no. other entity shall have any claim against Plumley Engineering because of this Agreement or Plumley Engineering's performance of serviceshereunder.

22. CONSEQUENTIAL DAMAGES

Neither the Client nor Plumley Engineering shall be liable to the other or shall make any claim for any incidental, indirect or consequential damages arisingout of, or connected in anyway to the Project or this Agreement. This mutualwaiverincludes, butis notlimitedto, damagesrelated to loss ofuse, loss ofprofits, loss ofincome, lossofreputation, unrealized savings or diminution of property value, and shall apply to any cause of action including negligence,strict liability, breach of contract and breach of warranty.

23. GOVERNING LAW

The laws of the state in which Plumley Engineering's office executingthis Agreement is located shall govern the validity and interpretationof this Agreement.
