NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. Please read these rules (the “Official Rules”) before entering the Contest.

Contest Description: Recognizing that success in science is driven not only by a combination of talent and motivation but also access to a strong support network and opportunities, Cell Press and Cell Signaling Technology, Inc. are excited to announce the Rising Black Scientist Award. Our goal is to support talented and motivated young Black scientists on their journey. Therefore, we invite entrants to tell us in individual essays about what inspires their passion for science, experiences that sparked their journey in the life sciences, and/or how they want to contribute to a more inclusive scientific community. Essays should be limited to 750 words and will be evaluated by a panel of Cell Press editors and academic advisors composed of leading Black voices in the life science community. The award is meant to break down barriers and create opportunities, and we encourage submissions from aspiring scientists spanning undergraduate to postdoctoral levels. No prior publication record is required, and essays will be judged based on personal voice, narrative quality, content & creativity, and clarity.

Eligibility: The 2020 Rising Black Scientist Award Essay Contest (“Contest”) is open to legal residents of the fifty (50) United States and District of Columbia who are (a) undergraduate or graduate students or postdoctoral fellows at American institutions within the United States; (b) at least twenty-one (21) years of age or have attained the age of majority in their relevant jurisdiction at the time of entry ; and (c) identify as Black/African-American. Employees of Elsevier Inc.. (“Sponsor”), Cell Signaling Technology Inc., and their parents, subsidiaries and affiliated companies, which is providing financial support for this Contest, (collectively the “Contest Entities” , the Contest judging panel, and advertising and promotion agencies, including companies involved in the implementation and execution of the Contest and the immediate families and those living in the same household of the foregoing, are not eligible to enter. Government officials are also not eligible to enter. Entrants may be subject to rules imposed by their institutions or employers relative to their participation in trade promotions and should check with their institutions or employers for any relevant policies. Contest is void in Puerto Rico, and U.S. Territories and jurisdictions (including overseas military installations) and where prohibited or restricted by law.

Entry Period: This Contest commences at 12:01:01 A.M. ET on October 5, 2020 and ends at 11:59:59 P.M. ET on December 4, 2020 ("Entry Period"). Cell Press’s server is the official clock for the Contest. How To Enter: All potential Entrants must (i) visit cell.com/diversity/awards during Entry Period; (ii) complete an entry form by providing (a) their full name, address, e-mail address,

title, age, institutional affiliation, race/ethnicity, level of study (undergraduate, graduate, or postdoctoral or fellow), (b) a copy of their current curriculum vitae, and (c) a submission via the comment box or uploading a Word or PDF attachment that meets the Essay Requirements stated below, and (iii) submit as directed the completed entry form (collectively a “Submission Entry”). No changes may be made to an Entry once it has been submitted. All Submission Entries must be in English. Incomplete, illegible, or garbled Submission Entries will be disqualified. Any Submission Entry must be fully completed and submitted by 11:59:59 ET on the last date of the Entry Period in order to be eligible for entry into the Contest. No alternate means of entry permitted. LIMIT ONE (1) ENTRY PER PERSON. All Submission Entries become the exclusive property of Sponsor. The Sponsor is not obligated to acknowledge or return Submission Entries. All Contest participation including Submission Entries must strictly comply with these Official Rules.

Selection of Winners: Up to two (2) winners will be selected by our panel of eleven (11) judges comprising of several Cell Press editors and external academic advisory committee members (collectively, the "Panel") who will review each Entrant’s curriculum vitae to ensure that all eligibility requirements are met and then apply the following judging criteria to eligible Submission Entries: a) reviewing each Entrant’s essay and evaluating its compelling nature based on Entrant’s personal voice, narrative quality, content & creativity, and clarity. Decisions of the Panel will be final and binding in all respects. This is a contest of skill. Your likelihood of winning depend on how well your Submission Entry compares with others submitted to the Contest pursuant to the judging criteria. Sponsor, as determined through the sole discretion of their Panel, reserves the right to not select a winner(s) if it determines that the Submission Entry(ies) do not meet, or may not meet, these judging criteria. Each Entry will be evaluated by at least two (2) members of the Panel, with the top candidates then reviewed by the entire Panel. Two (2) winners will then be selected – one (1) at the undergraduate level and one (1) at the graduate/postdoctoral fellow level. Winners will be chosen based on scores on a predefined rubric, averaged across the Panel. In the event of a tie, the Cell Press editorial lead will make the final decision based on the above evaluation criteria.

Essay Requirements: The essay submission in each Submission Entry must comply with the following requirements (the “Essay Requirements”):

• Essay must consist of no more than seven hundred and fifty (750) words; • Essays should be an original work • Essay must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity, or intellectual property rights; • Essay must not contain brand names or trademarks or contains any product or service endorsement, or “commercial tie-ins”; and • Essay must not contain material that is unlawful, hateful, intimidating, profane, or obscene, or otherwise be in violation of or contrary to the laws or regulations in any state.

Sponsors reserve the right to exclude or disqualify any Submission Entry in which the submitted story does not meet, or may not meet, these Essay Requirements, as determined in the Sponsors’ sole discretion.

Prizes: Two (2) winners (one (1) at the undergraduate level and one (1) at the graduate/post- doctoral level) will be chosen from all eligible entries on or about January 18, 2021 to each receive the following prizes: a $10,000 Scholarship, scientific materials of approximately $1000 in value donated to winner’s institution and subject to institution’s acceptance of any conditions relating to use and prohibition of further transfer or sale , publication of their essays in Cell, and, potentially, subject to Sponsor’s sole discretion, a Cell Signaling Technology, Inc. (“CST”) facility tour, CST mentoring/coaching, and time with a CST Scientist. The total approximate retail value (ARV) of these prizes is $11,000 for each winner. The prizes are intended to support the research and advance professional development of the award recipient; for example, to purchase research materials, equipment, travel to scientific meetings, society membership, training courses, etc. All prize details not set forth in these Official Rules will be determined in Contest Entities sole discretion. Contest Entities are not responsible for any inability or unwillingness of any winner to accept or use the prize (or portion thereof) for any reason. All taxes (including, without limitation, federal, state, and/or local taxes), as well as any expenses arising from acceptance or use of the prize and not specified in these Official Rules as being provided as part of the prize, are the sole responsibility of the winner. Contest Entities are not responsible for and will not replace any lost, mutilated or stolen prize or prize element or any prize that is undeliverable or does not reach a winner because of incorrect or changed contact or bank routing information. If a winner does not accept or use the entire prize for any reason, the unaccepted or unused part of the prize will be forfeited and Contest Entities will have no further obligation with respect to that prize or portion of the prize. No transfers, prize substitutions, or cash redemptions will be made, except at Sponsor’s sole discretion. Sponsor reserve the right to substitute any stated prize or any component thereof with another prize or component of equal or greater value for any reason. No more than the stated prizes will be awarded.

Notice to Winners: Potential winners will be notified by e-mail on or about January 18, 2021 and will be asked to execute and return to Sponsor a declaration of eligibility and liability/publicity release, where lawful, within fourteen (14) days of attempted notification. If a prize notification is returned as undeliverable, or if a potential winner does not return the signed claim forms within the required time, or is otherwise found to be ineligible or not in full compliance with these Official Rules, then the potential winner will be disqualified and an alternate winner will be selected based upon the judging criteria. Sponsor will not be obligated to pursue more than three (3) alternate winners (time permitting) for each prize for any reason, provided that Sponsor will have no obligation to pursue alternate winners should no eligible entries remain.

Limitations of Liability/Reserved Rights: Contest Entities, their parents, subsidiaries, or affiliated companies, shall have any obligation, liability or responsibility with regard to (i)

entries that contain incorrect or inaccurate information or do not comply with these Official Rules, (ii) entries, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, technical or other error of any kind, (iii) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties, (iv) any condition caused by events beyond the control of Contest Entities that may cause the Contest to be disrupted or delayed, or (v) any damages or losses of any kind caused by any prize or resulting from participation in the Contest, accessing, uploading or downloading data in connection with the Contest, or acceptance, possession or use of any prize. If for any reason the Contest is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which in the opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right at their sole discretion to disqualify any suspect Submission Entry or Entrant and to cancel, terminate, modify or suspend the Contest. In the event of any cancellation, termination or suspension, notice thereof will be posted at cell.com/diversity/awards and the determination of the Contest winners will be made per the Essay Requirements from among all eligible, non-suspect Contest Entries received as of the date of the termination, cancellation or suspension, as Sponsor determine in their sole discretion provided that in such circumstances Sponsor reserve the right not to award any prizes.

Release: BY ENTERING THE CONTEST, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS CONTEST ENTITIES AND THEIR PARENTS, SUBSIDIARIES, AND AFFILIATED COMPANIES, AND EACH OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, VENDORS, AND AGENCIES, FROM ANY AND ALL LIABILITY WHATSOEVER, AND WAIVE ANY AND ALL CAUSES OF ACTION, RELATED TO ANY CLAIMS, COSTS, INJURIES, LOSSES, LIABILITIES, OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, PERSONAL INJURY, DEATH, DAMAGE TO OR DESTRUCTION OF PROPERTY, RIGHTS OF PUBLICITY OR PRIVACY, DEFAMATION OR PORTRAYAL IN A FALSE LIGHT, WHETHER INTENTIONAL OR UNINTENTIONAL) ARISING OUT OF OR IN CONNECTION WITH THE CONTEST OR THE ACCEPTANCE, POSSESSION, OR USE OR MIS-USE OF ANY PRIZE OR PARTICIPATION (INCLUDING TRAVEL TO AND FROM) IN ANY PRIZE- RELATED ACTIVITY, WHETHER UNDER A THEORY OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), STRICT LIABILITY, PRODUCT LIABILITY, CONTRIBUTION, OR ANY OTHER THEORY, TO THE EXTENT PERMITTED BY LAW.

Consent to Use of Personal Information: By accepting a prize, a winner acknowledges compliance with these Official Rules and agrees to permit Contest Entities to use the winner’s name and institutional affiliation in any media for any commercial, advertising, publicity or promotional purpose, without limitation or additional compensation or permission, unless prohibited by law or the winner’s institution. Further, a winner irrevocably assigns and transfers to Sponsor all rights in their Submission Entry/Essay, including without limitation, all copyrights. Sponsor shall have the right to use/edit the Submission Entry/Essay in any manner in any and all media (including publication in Cell) worldwide in perpetuity without further compensation or consent. Upon request of Sponsor, Entrants will provide written consent to

the foregoing in a form provided by Sponsor. None of the entries submitted by participants will be treated as confidential. As such, entrants should not submit proprietary information. Entrants further agree that personally identifiable information may be processed, stored, and otherwise used for the purposes of the Contest, including, but not limited to, checking participant's identity, email address, and institutional affiliation, or to otherwise verify eligibility to participate. The personal data submitted through Sponsor’s platform is subject to its privacy policy at http://www.relx.com/site-services/privacy.

Right to Use Entries: Entrants retain copyright to all submitted work. However, by entering the Contest, entrants grant Contest Entities a non-exclusive, irrevocable, royalty-free, perpetual, worldwide right and license to reproduce, publish, display, edit, and otherwise use the submitted entries/essays, and entrant’s full name, city, state, photograph, likeness, online, and in print or any other media for purposes of editorials, exhibition, advertising, publicity, promotion of the Contest, and Contest Entities’ publications and products, without additional compensation or permission, unless prohibited by law.

Construction: The construction, validity, interpretation, and enforceability of these Official Rules shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to its conflicts of law principles.

Rules: By entering the Contest, Entrant agrees to abide by the terms and conditions of these Official Rules, which are final on all matters pertaining to the Contest, agrees to be bound by the decisions of the Panel, and warrants that he/she is eligible to participate in the Contest. The Contest is subject to all applicable federal, state, and local laws and regulations.

Winners List: The winning essays will be published in Cell and announced on its website page. Winners will also be announced by Cell Signaling Technology Inc. via its Lab Expectations blog and social media channels.
