VOLUNTARY ANNOUNCEMENT STRATEGIC COOPERATION AGREEMENTS

This is a voluntary announcement made by Fu Shou Yuan International Group Limited (the “Company”, together with its subsidiaries, the “Group”) for keeping the shareholders of the Company and potential investors informed of the latest business development of the Group.

The board of directors (the “Board”) of the Company is pleased to announce that, on December 19, 2014, the Company entered into strategic cooperation agreements with each of the People’s Government of Hunnan of City* (瀋陽市渾南區人民政府)(“Shenyang City Hunnan District Government”) (“Shenyang Strategic Cooperation”) and the People’s Government of City* in Province (遼寧省錦州市人民政府)(“Jinzhou City Government”) (“Jinzhou Strategic Cooperation”), in relation to the further development and cooperation in the death care services industry in the respective cities.

SHENYANG STRATEGIC COOPERATION

Under the Shenyang Strategic Cooperation, among other things, the Shenyang City Hunnan District Government will source potential funeral services development projects for the Company, which they will in return (i) provide due diligence support and feasibility analysis (ii) source investment funding and introduce high-technology funeral equipments and (iii) structure innovative service system, implement the Company’s business objectives and management expertise. Shenyang City Hunnan District Government will also facilitate, including the approval process for establishing the projects and obtaining the relevant construction permits and provide business and tax concessions. The duration of cooperation is set for 10 years with a targeted total investment value of RMB2 billion.

—1— JINZHOU STRATEGIC COOPERATION

Under the Jinzhou Strategic Cooperation, the Jinzhou City Government will source potential funeral services development projects for the Company, which the Company will in return (i) provide due diligence support and feasibility analysis (ii) source investment funding and (iii) structure innovative service system, implement the Company’s business objectives and management expertise. Jinzhou City Government will also facilitate, including the approval process for establishing the projects and obtaining the relevant construction permits and extend business and tax concessions. The duration of cooperation is set for 10 years with a targeted investment value of RMB280 million.

As one of the representative corporations in the district of Shanghai, the Group participated in a forum jointly held by the government of Liaoning Province and the Shanghai city government in respect of rejuvenating old industries in Liaoning Province. The cooperations with each of the Shenyang City Hunnan District Government and Jinzhou City Government, will be conducive to the development and expansion of the Group’s business in Liaoning Province. Leveraging on the Company’s extensive experience in the development, operation and management of death care services in the People’s Republic of (the “PRC”), the Board is of the view that pursuant to such strategic cooperation the Company will be well-positioned to capture business opportunities in Liaoning Province. Furthermore, the PRC is promoting the government and social capital cooperation public-private-partnership model (the “PPP Model”), where government-responsible public services and infrastructure projects suitable for marketization shall be provided by the government and social capital be fully utilized in such services and projects. The PPP Model can improve operational efficiency and service quality of enterprises, and in turn achieve a win-win situation of social benefits and investment return. This trend is destined to drive a further collaboration between funeral enterprises owned or operated by local governments and social capital. In light of the above, the local government of Shenyang city and Jinzhou City Government entrust the local funeral industry in the professionals such as the Group and jointly promote and develop the funeral industry in Liaoning Province through the respective strategic cooperations with the Group.

—2— The parties may further negotiate or enter into additional agreements to provide for the detailed scope, terms and conditions of the cooperation. Further announcement will be made by the Company in respect of the cooperation in accordance with the Listing Rules if and when required.
