COMPANY BACKGROUND OVG Facilities is a young and dynamic company that provides venue owners and operators with customized services that addresses the specific needs of their entertainment, sports, performing arts, conference and expo, civic, and city venues. OVG Facilities provides strategic planning and consulting services to ensure a project's long-term viability by providing comprehensive strategic planning work in collaboration with facility owners. We have a unique perspective on the industry, as we are currently the managing partners developing new (“NHL”) arenas in , WA and , NY, as well as in Austin, TX, where we are partners with the University of Texas at Austin for the creation of their new campus arena. We think like owners - always looking for ways to provide optimum service at the best prices.

Our corporate support team is comprised of some of the industry’s most seasoned executives, who, in their tenure, have helped build other venue management companies including SMG, Global Spectrum (now Spectra), and AEG. In fact, OVG Facilities Co-Chairman, Peter Luukko; President, Hank Abate; and Senior Vice President, Sims Hinds, were all instrumental in the early success and establishment of SMG, later having brought their expertise to Global Spectrum. Luukko’s responsibilities with Global Spectrum also included the creation and oversight of a food and beverage service provider, Ovations Food Services (now Spectra Food Services & Hospitality) and serving as the lead executive for the Philadelphia Flyers of the NHL and 76ers of the National Basketball Association (“NBA”). Senior Vice Presidents, Doug Higgons, Tom Paquette, and Shura Garnett also worked for Global Spectrum, as the company was beginning to grow and expand, and were major contributors to the company’s development. Furthermore, OVG co-founder, , served as President and CEO of AEG from 1996 to 2013. Leiweke led the development and operation of AEG’s many sports and entertainment venues during his tenure.

Oak View Group Facilities is prepared to offer a full-service management solution for the Fort Smith Convention Center. We have the experience, resources, programs, and the talent to ensure that the FSCC will operate efficiently OVG will provide operational oversight and management of the FSCC, under the direction of City staff. The City will establish all policies and standards for the venues including a Standard User Agreement, Booking Policy, and rules and regulations by which OVG Facilities will manage the venues on behalf of the City.

We will make a comprehensive effort to customize our programs based on the true needs of the FSCC. We do not have pre-conceived solutions and will use our vast experience operating venues to establish best practice operating procedures that are most beneficial to the City.

June 25, 2019 Special Meeting & Study Session 10 MEETING SUMMARY SHURA GARNETT MEETINGS SUMMARY Shura Garnett met with Carl Geffken on Wednesday, April 17th in Fort Smith, AK. The meeting was very productive and allowed her to introduce Oak View Group to Mr. Geffken. He shared the average annual revenues and subsidy amounts for the convention center. They talked a little about some industry standards regarding operations and food and beverage. He asked her to review their 2017 annual report and provide her observations back to him. They also have an amphitheater that he asked her to look at.

The following morning on the 18th the Center’s General Manager, Tim Seeberg took her on a short tour of the venue. The Fort Smith Convention Center has 40,000 square feet of partitionable exhibit hall. It offers eight versatile and flexible meeting rooms that can be customized to add five additional breakout rooms for a total of 13 useable meetings spaces. The 39,000 sq. ft. ArcBest Performing Arts Center features comfortable theatre-style and ADA seating for 1,331, cast & company backstage facilities, and full state-of-the-art sound, lighting and electrical. There are 230 to 250 events annually and of those 25 are Jehovah Witnesses events. The Convention Center was constructed in 2000 with the ability to expand doubling the space. It is averaging $800K loss each year without tax subsidy that is funded by the general fund. The number of events grew in 2018 to 264 from 248 in 2017. Of the 2018 revenue, $734,131 was from convention center rental and $99,415 was from beverages, catering and concessions. The beverage revenue was down 6% from 2017. Though revenues continue to grow, they are not surpassing expenditures. In 2018, the convention center had $1.6 million in expenses, up 10.2% from 2017’s almost $1.5 million.

The public spaces surrounding the exhibit halls have recently been re-carpeted and it looks nice. The meeting rooms are basic and could use touch up paint and décor enhancements to make them more visually appealing.

The exhibit hall is nice and big with high ceilings. The flooring is standard concrete that works fine for trade and consumer shows. Although they own roll carpet, it appears worn out, stained and dirty with cobwebs covering it. Roll carpet is challenging in an exhibit hall space as maintaining it stain free is impossible. It is also very heavy and challenging to install and remove without risking injury to the staff. I recommend the purchase of carpet tiles that can be easily installed and removed on an event by event basis, stored in less space and easily maintained by simply replacing individual tiles as they become damaged. Given that there is no dedicated ballroom space I would also recommend the installation of a cable system to easily and temporarily install draping that would allow the transformation of the exhibit hall into a ballroom. Additional décor enhancements could also be added to build on this concept as demand for the space increases.

The convention center has a “warming” kitchen that includes a dishwasher, hood, maybe four carter hoffmans/warming boxes. There is a storage room that opens into the existing space. In Shura’s opinion, the two combined would be sufficient for a small efficient kitchen and small wares storage. We need to get an estimate of what it would take financially to build out a full kitchen. Based off the estimated $500K annually that the center generates in gross catering (derived from using 18% commission that nets about $90K to the venue) and the ability to increase net profit margin and increase events and attendance, the investment to build out a kitchen would likely pay for itself over a two to three year period. The GM said they will do $25K in concessions on a really busy concert night but most times average around $8K. They are using a contract company to provide the bartending services. I would explore creating a temp pool of staff that we would train in service standards and delivery and likely increase the per-caps as a result.

Gross revenues annually are around $800K and subsidy for operations is about the same at $700-$800K annually. If you take the $800K in gross revenue and divide it out by 230 events, the average revenue per event is $3,478 and average revenue per square foot based on 45K net is $17 which is extremely low. Without having detailed financial statements, space usage/occupancy reports and events by category, it is difficult to say why the revenues are so low. Obviously, the lack of onsite exclusive food and beverage service has a large impact on the revenues but it is likely that discounting, rental pricing and service rates all need to be reviewed with a comp set analysis done to determine where adjustments need to be made.

Shura met with Councilman Keith Lau and discussed the benefits of private management, the history of OVG and her personal experience in the industry. He gave me a lot of information on initiatives occurring in the city and why there is a need to reduce the operating shortfall of the convention center. He also brought up the amphitheater and asked that I review it and see if there was any opportunity to increase activity with it.

June 25, 2019 Special Meeting & Study Session 11 RIVERFRONT AMPHITHEATER AND ARCBEST PERFORMING ARTS CENTER Riverfront Amphitheater is located next to the Arkansas River, adjacent to the River Park Events Building and one block west of the River Front Pavilion. This facility represents one-third of the River Park Complex. The rising, terraced walkways frame seating for 1128 persons. Additional seating is available on the hillsides.

The Riverfront Amphitheater and ArcBest Performing Arts Center will realize a variety of benefits from this new partnership with OVG, including new event bookings for the amphitheater, maximized event-related income, and new profits from corporate sponsorships and premium seating sales. Overview The AMP has been one of the top 100 amphitheaters in the nation and has produced headlining concerts for the past 10 years. It began offering seasonal music performances at the Northwest Arkansas Mall parking lot in 2005.

Walton Arts Center purchased the AMP in February 2011 with the goal of expanding arts and entertainment and serving a broader audience. The intent was to reposition the venue from the mall parking lot to the adjacent hillside, increasing the capacity and improving the overall experience. In 2011, lease negotiations fell through and the venue was moved to a temporary location at the Washington County Fairgrounds for the 2012-13 seasons.

The temporary site at the Washington County Fairgrounds served as a springboard for larger stage set-ups and expanded programming. After significant growth in attendance, ticket sales and demand, it became clear that a permanent and dedicated site was needed to sustain a profitable business model and meet the growing need for arts and entertainment in the region. In 2013, Walton Arts Center officials began meeting with municipalities and developers all over the region to search for a new location and was given the opportunity to move to seven acres of land in Pinnacle Hills. This proved to be a viable option with all the criteria in place including proximity to I-540, multiple access points, supporting infrastructure—all set in a vibrant commercial district. In May 2013, the WAC Board approved a proposal to relocate the new, permanent amphitheater in Rogers.

Construction started in November 2013 with the goal of opening in time for the summer 2014 season. In February 2014, WAC announced that Walmart would be the founding title sponsor for the Arkansas Music Pavilion to be called the Walmart AMP.

The new venue opened in June 2014 and accommodates 9, 500+ people, with 3,200 covered seats and additional general admission seating on a sloped lawn. The new Walmart AMP has upgraded air-conditioned concessions and restrooms, a permanent pavilion and the biggest stage house in Arkansas.

The arena, with a 47-foot (14 m) ceiling height and 30,750 square feet (2,857 m2) of exhibit space, is the newest facility in the Hot Springs Convention Center complex, which also includes a 72,000-square-foot (6,700 m2) exhibit hall which is used for trade shows, conventions, and other events (maximum capacity: 8,000), has a 30-foot (9 m) ceiling height, and can be divisible into four smaller halls; and fifteen meeting rooms, including the 15,950-square-foot (1,482 m2) Horner Hall ballroom with capacity of up to 1,850 and capable of hosting banquets, meetings and other special events, along with 13,735 square feet (1,276 m2) of meeting space in the other 14 meeting rooms.

Overview Next year, the Embassy Suites by Hilton Jonesboro Convention Center will open on the campus of Arkansas State University. Footings have been poured and concrete work is finished, he said. After the project was stalled for more than a year, O’Reilly Hospitality Management said there have been no setbacks since construction began, and it should be completed in July 2019. ASU approved of the O’Reilly project in February 2016. ASU and OHM agreed on a 50-year lease that can be extended another 40 years. Starting in the fourth year, OHM will pay ASU $250,000 annually, and then starting in year 10 the amount will rise by a positive percentage difference based on the federal consumer price index. The university will also receive other benefits such as yearly room stays and others. Jonesboro Mayor Harold Perrin has said one of his main objectives was to bring a convention center to Jonesboro. By 2015, two competing projects, one by O’Reilly and another by, Northern Arkansas Hotel and Convention Center (NAHCC) emerged. Originally called the Keller project, NAHCC proposed to build a 78,000-square- foot convention center and 165-bed Hyatt Place Hotel on the property adjacent to Interstate 555 near its confluence with Caraway Road just off the city’s hotel row. It was estimated to cost about $50 million.

Groundwork on a 78,000-square-foot convention center and 165-bed Hyatt Place Hotel began in early 2017 but was stopped later that year after liens were placed on the property. NAHCC CEO Chris Keller returned $71,000 of the $75,000 the A&P had already given to his organization to build a convention center. In a letter to the city, Keller said construction on the stalled $50 million project would resume in the following months and it will be “coming out of the ground” within 120 days. The $4,000 not returned had already been spent on advertising and promotion.

Keller said his legal counsel was working to satisfy the liens and allow work to proceed. Investor issues led to financial problems, but Keller said investor Carl Kaeding should help get the project back on track. The project never resumed. When NAHCC returned the money, it opened the door for the A&P to support OHM. The A&P Commission agreed in November 2017 to give up to $2.5 million in hotel tax rebates for the proposed hotel/convention center. The agreement is for 10 years after the open date but is capped at $2.5 million.

Overview Connected directly to the 418-room Little Rock Marriott (Arkansas’ only full- service Marriott), the Statehouse Convention Center is approximately 220,000 square feet of public, meeting and exhibit space. It includes four exhibit halls, one ballroom (divisible into five sections), twelve meeting rooms and three registration rooms.

This facility offers planners ultimate flexibility in designing conventions, special events, exhibitions and trade shows. A 650-space parking deck is located only one block south of the convention center. Downtown Little Rock is less than 10 minutes from the Bill and Hillary National Airport, and parking options are plentiful. There are many restaurants, nightlife venues and museums including the Clinton Presidential Center and Heifer Village all within walking distance of the center.

Venue Size Exhibit Hall: 82,892 square feet of exhibit space that can be opened into one large area or divided into four halls, each with its own separate entrance and restrooms. Ballroom: 18,362 square feet which can be divided into five separate, more intimate spaces. Meeting Rooms: Twelve meeting rooms ranging from 327 to 1,819 square feet.

Peter Luukko, co-chair of OVG’s Arena Alliance, and Chairman, OVG Facilities. Luukko founded Global Spectrum (now Spectra) and led its growth to more than 200 accounts when he was President of Comcast-Spectacor from 1993-2013. Luukko has over 35 years of industry experience, including serving as a Regional Vice President for SMG, as well as the lead executive for both the Philadelphia Flyers and Florida Panthers, both of the National Hockey League (NHL), where he also served on the League’s Board of Governors, and for the Philadelphia 76ers of the National Basketball Association (NBA).

Hank Abate is the President of OVG Facilities. Abate has over 30 years of experience and has held senior management roles with Company as Executive Vice President having oversight of Madison Square Garden, Radio City Music Hall, The Beacon Theater, The Chicago Theater, and The Los Angeles Forum. Doug Higgons Senior Vice President for OVG Facilities, has over 25 years of industry experience and was a former Regional Vice President with Global Spectrum (now Spectra). He worked for the 2002 Salt Lake Winter Olympics and was also one of the founders of Pinnacle Venue Services (which was acquired by Oak View Group in 2017, forming OVG Facilities). He was also part of the operations team at Super Bowl XLII in Glendale, AZ.

Tom Paquette Senior Vice President for OVG Facilities, has over 30 years of industry experience, including overseeing the day-to-day operations of AT&T Center in San Antonio, TX, home of the National Basketball Association’s San Antonio Spurs. He held numerous General Manager positions with Global Spectrum (now Spectra) and is also one of the founders of Pinnacle Venue Services.

Sims Hinds is the Senior Vice President of Development for OVG Facilities. Hinds has more than a 40-year history in the venue management and concert industry. He has held senior management positions with AEG and SMG and has toured with some of the largest acts on the road.

Shura Garnett is Senior Vice President of Convention Centers for OVG Facilities. With almost 30 years of industry experience, Garnett has served as Senior Vice President of Convention Centers for Spectra Venue Management and Food Services & Hospitality, helping build Spectra’s portfolio of over five million square feet. Her responsibilities included oversight of all Spectra Convention Centers. Garnett has also held positions as Regional Vice President for Spectra, General Manager of the St. Charles Convention Center, Director and CEO of the Midland Convention Center, and the Vice President of Visitor Development for the Midland Chamber of Commerce.

OVG Facilities assumed management of the Kovalchik Convention and Athletic Complex on March 2016 from Spectra. OVG Facilities was selected because of our dedication to clients and their goals, our focus on the bottom-line, and our industry experience in managing Indiana University of Pennsylvania (“IUP”) properties. The management group oversees all venue operations including building maintenance, event management and set-up, security, box office, booking, finance, and marketing for the venue, events and IUP Athletics (football and basketball).

The Kovalchick Complex is located on the campus of IUP. Expanded grassroot efforts to include window wraps, posters City, and live-size cutouts and photo frames of upcoming events . Expanded the marketing mix to include social media advertising . Increased the frequency and diversity of ticketed and free entertainment by working closely with area promoters and co-promoting concerts and shows . Created events and event series to increase the variety of entertainment options . In 2018, there were 11 Sold Out Shows at the Avalon Theatre, more than any year since the City of Grand Junction has owned the facility. . $11,600 in monetary donations were made to non-profit organizations on behalf of their volunteers during the 2018 Amp season.

SUMMARY On January 30, 2017, The City of Grand Junction, CO selected Oak View Group Facilities (formerly Pinnacle Venues Services) to manage the 23,000 square foot Two Rivers Convention Center and 1,100-seat Avalon Theatre. OVG Facilities was hired because of their industry experience and relationships. The team’s directive was to minimize the City’s subsidy, make the venues more profitable, and bring a stronger and more diverse line- up to the Grand Junction region. The management group oversees all venue operations including building maintenance, food and beverage, event management and set-up, security, box office, booking, finance, and marketing for the two venues. The OVG Facilities team was also hired to operate and manage all ticketed events at the City’s new Amphitheater at Las Colonias Park.

Located on the Western Slope of Colorado the Two Rivers Convention Center is a 23,000 square foot multipurpose facility that hosts conventions, meetings, banquets, concerts, sporting events and more. The historic Avalon Theatre is a 1,100-seat theater that hosts a multitude of events including concerts, theatrical performances, movies, variety shows and private functions.
