Pursuant to that certain Letter Agreeinent dated as of February 2, 1995 between Paul Michael Schaeffer and Sony Pictures Entertainment Inc. (the "Company")/ Mr. Schaeffer resigned, effective as of the close of business on February 28, 1995, as Director, Executive Vice President' and Secretary of the Company, and as an officer and/or a director of the Company and of any direct or indirect subsidiaries or affiliates .of the Company of which he served as an officer and/or a director, and as a member of any and all committees of such boards of directors of the Company and such subsidiaries or affiliates upon which he served. A list of these subsidiaries and the positions Mr. Schaeffer held is attached hereto as Exhibit A.
