COMPLAINT Complainant Robert Smith ("Complainant") alleges that the Fine Arts Musuems of of San Francisco ("F AMSF") violated public records laws by failing to respond to Complainant's Immediate Disclosure Request ("IDR"). COMPLAINANT FILES COMPLAINT On June 5, 2019, Complainant filed a complaint with the Task Force regarding F AMSF's alleged failure to respond to Complainant's IDR in a complete manner. JURISDICTION The FAMSF is a department subject to the provisions of the Sunshine Ordinance and the California Records Act ("CPRA") regarding records requests. Respondent does not contest jurisdiction to hear this complaint. APPLICABLE STATUTORY SECTIONS Section 67 of the San Francisco Administrative Code: • Section 67.21(b) provides the timeframe for complying with public records requests. • Section 67.25(a) governs the timeframe for responding to immediate disclosure requests ("ID Rs "). Section 6253 ofthe Cal. Govt. Code (CPRA) • Section 6253(c) governs the timeframe in which general requests for public documents must be honored. APPLICABLE CASE LAW •None BACKGROUND Complainant requested "[a]ll documents relating in any fashion to the stepping down of Diane B. Wilsey as President of the Board." Respondent has produced a number of documents responsive to Complainant's request. However, Complainant contends that the document production is incomplete.

CHAPTER 67, SAN FRANCISCO ADMINISTRATIVE CODE (SUNSHINE ORDINANCE) SEC. 67.21. PROCESS FOR GAINING ACCESS TO PUBLIC RECORDS; ADMINISTRATIVE APPEALS. (b) A custodian of a public record shall, as soon as possible and within ten days following receipt of a request for inspection or copy of a public record, comply with such request. Such request may be delivered to the office of the custodian by the requester orally or in writing by fax, postal delivery, or e-mail. If the custodian believes the record or information requested is not a public record or is exempt, the custodian shall justify withholding any record by demonstrating, in writing as soon as possible and within ten days following receipt of a request, that the record in question is exempt under express provisions of this ordinance. SEC. 67.25. IMMEDIACY OF RESPONSE (a) Notwithstanding the 10-day period for response to a request permitted in Government Code Section 6256 and in this Article, a written request for information described in any category of non-exempt public information shall be satisfied no later than the close of business on the day following the day of the request. This deadline shall apply only if the words "Immediate Disclosure Request" are placed across the top of the request and on the envelope, subject line, or cover sheet in which the request is transmitted. Maximum deadlines provided in this article are appropriate for more extensive or demanding requests, but shall not be used to delay fulfilling a simple, routine or otherwise readily answerable request. (b) If the voluminous nature of the information requested, its location in a remote storage facility or the need to consult with another interested department warrants an extension of 10 days as provided in Government Code Section 6456.1, the requester shall be notified as required by the close of business on the business day following the request. (c) The person seeking the information need not state his or her reason for making the request or the use to which the information will be put, and requesters shall not be routinely asked to make such a disclosure. Where a record being requested contains information most of which is exempt from disclosure under the California Public Records Act and this article, however, the City Attorney or custodian of the record may inform the requester of the nature and extent of the non-exempt information and inquire as to the requester's purpose for seeking it, in order to suggest alternative sources for the information which may involve less redaction or to otherwise prepare a response to the request. (d) Notwithstanding any provisions of California Law or this ordinance, in response to a request for information describing any category of non-exempt public information, when so requested, the City and County shall produce any and all responsive public records as soon as reasonably possible on an incremental or "rolling" basis such that responsive records are produced as soon as possible by the end of the same business day that they are reviewed and collected. This section is intended to prohibit the withholding of public records that are responsive to a records request until all potentially responsive documents have been reviewed and collected. San Francisco Municipal Transportation CALIFORNIA PUBLIC RECORDS ACT (GOVT CODE SECTION 6250 ET SEQ.) SECTION 6253 (b) Except with respect to public records exempt from disclosure by express provisions of law, each state or local agency, upon a request for a copy of records that reasonably describes an identifiable record or records, shall make the records promptly available to any person upon payment of fees covering direct costs of duplication, or a statutory fee if applicable. Upon request, an exact copy shall be provided unless impracticable to do so. (c) Each agency, upon a request for a copy of records, shall, within 10 days from receipt of the request, determine whether the request, in whole or in part, seeks copies of disclosable public records in the possession of the agency and shall promptly notify the person making the request of the determination and the reasons therefor. In unusual circumstances, the time limit prescribed in this section may be extended by written notice by the head of the agency or his or her designee to the person making the request, setting forth the reasons for the extension and the date on which a determination is expected to be dispatched. No notice shall specify a date that would result in an extension for more than 14 days. When the agency dispatches the detennination, and if the agency determines that the request seeks disclosable public records, the agency shall state the estimated date and time when the records will be made available. (4) The need to compile data, to write programming language or a computer program, or to construct a computer report to extract data.

This does not seem to be what is happening.

Nominating Committee Co-Chairs Kathryn Lasater and Lisa Zanze proposed the following bylaws amendments, which both the Nominating Committee and the Executive Committee voted to recommend to the full Boards of Trustees on their June 4, 2019 agendas (proposed amendments in red): Corporation of the Fine Arts Museums 2 Executive and Nominating Committees Board of Trustees April 9, 2019

BYLAWS OF THE BOARD OF TRUSTEES OF THE FINE ARTS MUSEUMS OF SAN FRANCISCO. ARTICLE I, Board of Trustees; Section 1. TRUSTEES. The Board of Trustees of the Fine Arts Museums of San Francisco shall consist of not more than 62 Trustees, of which the Mayor and the President of the Recreation and Park Commission shall be ex-officio members, the exact number to be set by the Board from time to time. With the exception of ex-officio members, Honorary Trustees and Trustees Emeriti, each Trustee shall be elected for a term of three year~, 11 Except as otherwise provided herein, the tenure of a Trustee shall be limited to thr~'.~'/:&onsecutive terms of three years. The Nominating Committee has Voted unanimously, and in conjunction with the Executive Committee which concurs, to recommend the election to the position of Chair Emerita, Diane B. Wilsey, and to the position of President, Jason Moment. Both effective June 4, 2019.

In summary, Mrs Wilsey has served as President of FAM since 1998, having raised in excess of $206 million to rebuild the de Young and gift to the city of San Francisco, among other renovation projects at both the de Young and Legion of Honor. She has given 22 works of art and supported innumerable exhibitions at the Museums. Mrs Wilsey has worked with Jason since he joined the board in 2014. Jason has served on the Finance committee and joined the Executive Committee in 2017. He also Chairs the Audit Committee and funded the start-up costs of the museum's Free Saturdays. The Board expresses its gratitude to Dede and to Jason for past and future leadership.

This transition is coming at a time when the Museums' financials are sound, exhibitions are robust and our Director of Museums is unsurpassed.

The confidential notes of the January 8, 2019 meeting were approved.

Discuss Cultivation Event

The Committee discussed holding a Director's Dinner, recommended by Mr. Campbell, on April 25, 2019. Mr. Campbell described the dinner as a broad cultivation event, with drinks and dinner, followed by inviting guests into curator led visits into the galleries. The guest list would be a mix of donors, Trustees, thought leaders, politicians and people the museums would like to cultivate as leaders and as donors.

Other Matters

Director Campbell recommended that a representative of the Development office join Nominating meetings and that together, the Committee and Development build a list of leadership prospects and systematically work through that list, reviewing 10 at each Nominating Committee meeting.

The Committee discussed defining the attributes it seeks in nominees.

Chair Wilsey announced that she will retire as President of FAMSF and Chair of COFAM at the June 4, 2019 Board meetings. She heartily recommended that Jason Moment succeed her in these roles. The Committee discussed amending bylaws to restore Emeritus/Emerita positions for the Boards' chairs.

Discuss Next Nominating Committee Meeting Date

The next meeting will be a joint meeting of the COFAM Executive and Nominating Committees on April 9 at 12:00 p.m.

Article I, Section 1. Trustees

The amendment creates the position of Chair Emeritus/Emerita:

Proposed bylaws Amendment:

The Board of Trustees of the Fine Arts Museums of San Francisco shall consist of not more than 62 Trustees, of which the Mayor and the President of the Recreation and Park Commission shall be ex-officio members, the exact number to be set by the Board from time to time. With the exception of ex-officio members, Honorary Trustees and Trustees Emeriti, each Trustee sha!! be elected for a term of three years. Except as otherwise provided herein, the tenure of a Trustee shall be limited to three consecutive terms of three years. After a Trustee has completed three consecutive three-year terms, such former Trustee may be considered for re­ election to the Board of Trustees for an unlimited number of consecutive three-year terms when the Board of Trustees finds that such former Trustee has demonstrated extraordinary service to the Museums and that such former Trustee's absence would be detrimental to the Museums. Any vacancy on the Board because of death, resignation, removal or any other cause shall be filled by the vote of the majority of the Trustees in office at the time. A former Trustee may be elected a Trustee Emeritus, Chair Emerita/us, or an Honorary Trustee; these status categories will be reviewed annually. A Trustee Emeritus or Chair Emerita/us, shall be elected based upon outstanding meritorious service to the Museums as a Trustee and in expectation of continued participation and commitment to the goals of the Fine Arts Museums of San Francisco. An Honorary Trustee is elected for life in special recognition of an extraordinary commitment to the Fine Arts Museums of San Francisco and may be awarded to individuals who have never served as a Trustee. (1) The Nominating Committee shall nominate individuals to serve as Trustees, Honorary Trustees, Trustees Emeriti, Chair Emerita/us, officers, and members of the Executive Committee of the Fine A.rts Museums of San Francisco. The Nominating Committee shall also review the Trustee Emeritus and Honorary status categories annually and make recommendations in regard thereto to the Board of Trustees of the Fine Arts Museums of San Francisco.

(2) The Nominating Committee shall present its nominations to the Board of Trustees of the Fine Arts Museums of San Francisco; provided, however that in the case of nominations as Honorary Trustees, Chair Emerita/us or Trustees Emeriti, the nominations may be presented to the Executive Committee of the Fine Arts Museums of San Francisco. C. Consideration and Possible Action to Adopt a Resolution to Ratify Salary Action Supplements to be Funded Through Contributions from the Corporation of the Fine Arts Museums, Under Article V of the San Francisco Charter

WHEREAS, Under Section 5.102 ofthe San Francisco Charter, the Fine Arts Museums Board of Trustees ("Board") may "accept and utilize contributions to supplement or pay for the salaries and benefits of' the "director and such other executive and administrative positions" that the Board appoints "in order to establish competitive compensation"; and

WHEREAS, The Board finds that salary supplements, to be funded through contributions from the Corporation of the Fine Arts Museums, are appropriate for the Director and for the Curator of the Achenbach Graphic Arts Department in order to "establish competitive compensation" under Article V of the Charter and subject to the salary provisions of the Charter; now therefore be it

RESOLVED, that the Fine Arts Museums of San Francisco does hereby ratify and accept any prior, current or possible future contributions from the Corporation of the Fine Arts Museums to supplement the annual salary of the Director and of the Curator of the Achenbach Graphic Arts Department in order to "establish competitive compensation" under Article V of the Charter and subject to the salary provisions of the Charter; and be it

FURTHER RESOLVED that Board Resolution 1749 (Accepting and Ratifying Salary Supplements for the City Positions of Director of Human Resources and Administration and of Curator of the Achenbach Graphic Arts Department, to be Funded Through Contributions from the Corporation of the Fine Arts Museums, Under Article V of the San Francisco Charter) is hereby rescinded.

Proposed Bylaws Amendment:

The Board of Trustees of the Fine Arts Museums of San Francisco shall consist of not more than 62 Trustees, of which the Mayor and the President of the Recreation and Park Commission shall be ex-officio members, the exact number to be set by the Board from time to time. With the exception of ex-officio members, Honorary Trustees and Trustees Emeriti, each Trustee shall be elected for a term of three years. Except as otherwise provided herein, the tenure of aTrustee shall be limited to three consecutive terms of three years. After a Trustee has completed three consecutive three-year terms, such former Trustee may be considered for re-election to the Board of Trustees for ·an unlimited number of consecutive three-year terms when the Board of Trustees finds that such former Trustee has demonstrated extraordinary service to the Museums and that such former Trustee's absence would be detrimental to the Museums. Any vacancy on the Board because of death, resignation, removal or any other cause shall be filled by the vote of the majority of the Trustees in office at the time. A former Trustee may be elected a Chair Emeritus/Emerita, a Trustee Emeritus, or an Honorary Trustee; the Trustee Emeritus and Honorary Trustee status categories will be reviewed annually. A Chair Emeritus/Emerita or Trustee Emeritus shall be elected based upon outstanding meritorious service to the Museums as a Trustee and in expectation of continued participation and commitment to the goals of the Fine Arts Museums of San Francisco. An Honorary Trustee is elected for life in special recognition of an extraordinary commitment to the Fine Arts Museums of San Francisco.and may be awarded to individuals who have never served. as a Trustee. As you may have seen today in the Chronicle, this afternoon we expect Diane B. Wilsey to assume the role of Chair Emerita of the Fii.MSF Board and Chair Emerita of the Board of the Corporation of the Fine Arts Museums (COFAM). Jason Moment is expected to succeed Mrs. Wilsey as President of the FAMSF Board and Chair of the COFAM Board.

Mrs. Wilsey, who has expressed the intention of dedicating more time to the needs of her family, has served since 1998 as President and Chair and has worked closely with Mr. Moment since he joined the Boards in 2014. Mr. Moment has served on the Executive Committees since 2017. These changes will be officially approved during this afternoon's meeting of the COFAM and FAMSF Boards.

I, along with the Board, express my gratitude to Mrs. Wilsey and Mr. Moment for their past and ·future leadership and look forward with confidence to the continued success of the de Young Museum and the Legion of Honor.
