The collection includes: • 1974 Can-Am Championship winning car • 1976 Canada WSC Formula Libre Winner •1977 Austrian Grand Prix Winning Car Proprietary and Confidential 1 Shadow Race Team Opportunity • This document describes a unique opportunity to acquire a complete collection of 20 cars - one of every F1 and Can-Am model type car created by the Shadow Race Team. • The collection includes the: – 1977 F1 winning car at the Austrian Grand Prix – 1976 Formula Libre/Canada WSC 200 winner – 1975 Formula 1: Five Pole Positions – 1974 Can-Am Championship Winniner • (Pole position & fastest lap in all 1974 events) – 1973 F1 Canadian GP Winner (Disputed finish) • The 20 cars offered for sale require an extensive restoration, (to include engines and gearboxes). • To ensure world-class authenticity of the collection, the buyer is recommended to use the Shadow Race team (described herein) to restore the cars, supervised by Shadow founder, Don Nichols. • An ideal restored collection site would be at or near a race track, a la Jim Hall’s Chaparral Museum in Midland TX, or near Laguna Seca Raceway, next door to Shadow home base Proprietary and Confidential 2 Shadow in Can-Am 1971-1975: Early years in CanAm • The company was founded and self-funded by Don Nichols in 1969 as Nichols Advanced Vehicle Systems. • In 1971, Universal Oil Products (UOP) funded the team which promoted Lead Free Gas worldwide. The original cars were designed by Trevor Harris and raced under the “Team Shadow” banner. • The first Shadow (Mk-I) was entered in the Can-Am series and driven by George Follmer and Vic Elford. The Mk-I featured an innovative design, using ultra low profile and very small wheels for low drag. • The team won the Can-Am championship in 1974 with Jackie Oliver driving. The Championship winning car (requiring restoration) is included as part of this collection. Proprietary and Confidential 3 Shadow in Formula 1 1973-1979 Formula One • In 1972 Nichols led the Shadow team into Formula One with UOP sponsored cars designed by Tony Southgate. Tony designed the BRM that gave Jean-Pierre Beltoise victory at the Monaco Grand Prix the previous year. • The team debuted in Formula One at the 1973 South African Grand Prix with the DN1 chassis. Two cars were available for drivers Jackie Oliver and George Follmer, as well as a private entry for Graham Hill who ran his car under the Embassy Hill banner. • During 1974-1979, the cars were driven by world class drivers including Peter Revson, Clay Regazzoni, Jean-Pierre Jarier, Tom Pryce, Hans Stuck, Carlos Pace, Elio de Angelis and Alan Jones (1980 F1 World Champion). • The Shadow team competed in 104 F1 GP races (more than all the other American teams combined). Starting from 14th grid position, Alan Jones won the 1977 Austrian Grand Prix at the Osterreichring, August 14, 1977. The winning car (restoration required) is included in this collection. The process steps are as follows: – Original drawings (with oversight from Tony Southgate) will govern the restoration process. – Each tub will be completely restored to original (as raced) specifications. – All suspension, braking, electrical and bodywork components will be re-manufactured to original specifications. – Engines and gearboxes will be re-manufactured to (as raced) specifications. – Bodywork color and detailing will be at new owners discretion, but preferably in “as raced” logo livery. Proprietary and Confidential 7 The Shadow Restoration Team • The following individuals are available for a three year term to organize and complete the 20 car restoration project: – Don Nichols, Restoration Project General Manager, (Shadow Team Founder). – Tony Southgate, Advising Designer and Fabricator, (F1 Shadow Race Car Designer). – Jim Eccles, Restoration Engineer, (original Shadow Race Team member). – Gene Lentz, Restoration Engineer, (original Shadow Race Team member). – Bob Slade, CEO Slade Engines, Cosworth DFV engine expert. – Marc Bahner, CEO Bahner Engineering, Tub fabrication expert. Proprietary and Confidential 8 Acquisition cost & terms • The sale price for the 20 cars and Team Memorabilia is $6.5 million. • The restoration cost for the 20 cars is estimated at $2.9 million. • The ideal acquirer would house the restored collection at or near a major racetrack, ideally Laguna Seca, Monterey, CA. More than one year was spent in the completion and development of the initial chassis. Primary effort was the development of the chassis and primary subsystems of powertrain and suspension utilizing ultra-low profile tires for minimal frontal area.
