NOTICE of STATEMENT of RECEIVER (Subsections 245(1) and 246(1) of the Act) NOTICE OF STATEMENT OF RECEIVER (Subsections 245(1) and 246(1) of the Act) IN THE MATTER OF THE RECEIVERSHIP OF MORRIS SALES AND SERVICE LTD. The receiver gives notice and declares that: 1. On March 26, 2021, the Court of Queen’s Bench for Saskatchewan (the “Court”) granted an Order (the “Receivership Order”) pursuant to section 243(1) of the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3 (the “BIA”), and sections 13(2) of the Judicature Act, R.S.A. 2000, c.J- 2, 99(a) of the Business Corporations Act, R.S.A. 2000, c.B-9, and 65(7) of the Personal Property Security Act, R.S.A. 2000, c.P-7, whereby Alvarez and Marsal Canada Inc. (“A&M”) was appointed Receiver, without security, of all of Morris Sales and Service Ltd.’s (“MSS” or the “Debtor”) current and future assets, undertakings and properties of every nature and kind whatsoever, and wherever situate, including all proceeds thereof (the “Property”). 2. Since January 8, 2020, MSS has been in creditor protection pursuant to the Companies’ Creditors Arrangement Act (“CCAA”) and the CCAA proceedings were terminated on March 26, 2021. A&M was the court-appointed monitor (the “Monitor”) in the CCAA Proceedings and was discharged as the Monitor when the CCAA was terminated. During the CCAA proceedings, the Company, with the approval of the Court, sold all of its assets to a third party. The main purpose of the Receiver’s appointment is to carry-out the remaining duties and other matters of the Monitor not completed in the CCAA. On the same day, after the Receivership Order was granted, the Court adjudged MUSA bankrupt by order (the “Bankruptcy Order”) of the Court. A&M was also appointed as the Licensed Insolvency Trustee (the “Trustee”) of the Debtor pursuant to the Bankruptcy Order, subject to affirmation by the creditors of the Trustee’s appointment or substitution of another trustee by the creditors of the Debtor. 3. The Receiver understands that there are no remaining assets within MSS. 4. A&M was appointed as Receiver in respect of the Property described above by virtue of the Receivership Order, a copy of which may be found on the Receiver’s website at: www.alvarezandmarsal.com/morris. 5. Upon receiving the Receivership Order, the Receiver took possession and control of the Property described above on March 26, 2021. 6. The following information relates to the receivership: a) Civic Address: 2131 Airport Drive, S7L 7E1 b) Principal line of business: MSS’s principal business activity is the selling of machinery, parts and services for the agricultural industry. c) Location of business: Saskatoon, Saskatchewan 7.     September 2019 “You have brains in your head. You have feet in your shoes. You can steer yourself any direction you choose.” Dr. Seuss The 2019-2020 school year began in Hamiota on September 4th with 115 students enrolled at the elementary school and 156 students registered at the collegiate. 23 staff members work at HCI,18 are employed at HES and 7 bus drivers bringing the students to and from school for a total of 48 jobs in all! Students at both schools have already experienced picture day and a welcome barbecue at the collegiate. The Terry Fox walk will take place September 26 @ 11:30 a.m. beginning at the elementary school; all community members are welcome to join in. A new fundraiser for HCI students this year will be: “Little Caesar Pizza Kits & Oak River Quick Freeze Meat”. This October fundraiser will be instead of magazine sales. Anoth- er October happening will be a concert put on by the Westman Youth Choir on October 21 at HCI. Enjoy the school year staff and students! The Hamiota Class of 69 celebrated their 50 year reunion from August 9 - 11. Councillor Wolstenholme reported on the Midwest Weed Control District meeting he attended in Hamiota. Councillor Wilson reported on the L.U.D. Committee of Rapid City meeting he attended. Councillor Reynolds reported on a water break that occurred in the Town of Rapid City. The Oak River utility line also had a water leak along PTH #24 in Oak River. Reception of Delegation/Hearings: 7:30 pm Mark Knight – Drainage Mark, Brad Kirk, and Neil Mathison were in attendance to discuss drainage issues around PR 469 and Municipal Road 141N. A survey has been done of the area north and south of PR 469 and the delegation wanted to address their concerns about accumulated water to the north on their lands and on the municipal road. They wanted to let Council know that they agreed with pursuing a licence for drainage improvements to the south and they also wanted to be able to help wherever they could. Going south will help alleviate a number of issues with roads in poor shape as well as water trapped on private land. They would also like to be informed as things happen. Council thanked the delegation for taking the time to bring forward their views and indicated they would work with them on any solution that can work. 4.
