REQUEST FOR PROPOSAL

The City of Rochelle (“City”) requests the submission of proposals from developers, end-users and interested parties ("Proposer") for the purchase, redevelopment and operation of a restaurant/bar/banquet facility ("Facility") on 1.433 acres of improved real estate located at 541 S 7th St, Rochelle, Illinois 61068 (“Property”).

The Property is depicted in the plat of survey attached as Exhibit A. The legal description of the Property is shown on Exhibit B. The tax identification number is part of 24-25-176-006.

The Property is a part of a 74.29-acre tract located on Illinois Route 251 near the intersection of and , which is owned by the City and the Flagg-Rochelle Community Park District, and which includes the Fairways Golf Course. The golf course was operated as a private golf club from 1930 until 2009, and the Property was the location of the clubhouse. In 2009, the golf course became a public course, and the clubhouse became a public restaurant/bar/banquet facility. In April of 2013, the entire property was purchased by the City and the Park District. Since then, it has operated as an 18-hole public golf course. The restaurant/bar/banquet facility was in operation until April of 2014, and has been vacant since then.

Upon selection of a proposal, the City intends to subdivide the 74.29-acre tract, and the Property will become Lot 1 of that subdivision.

The Property consists of a one story masonry building used for restaurant purposes. The approximate square footage of the building is 7,725 square feet. The building was the former restaurant Beacon on the Green. The building site is comprised of an irregular shape parcel with total of 1.433 acres. There is parking available on the property, with approximately 50 parking spaces; with additional spaces in adjacent golf course parking area. Arrangements for use and maintenance of the entire parking area for both the restaurant and the golf course will be a required part of any proposal. The Property has access to separate utilities from the golf course including but not limited to water, electric, telephone, sewer, and natural gas. HVAC is installed and is operational.

Terms of this Request for Proposal are found on the following page. Any proposal selected by the City will be memorialized in a written Purchase and Development Contract, with additional terms agreed by the parties, including customary legal provisions. No agreement between the parties is intended to be an enforceable contract until a written contract containing all terms has been approved by the corporate authorities of the City of Rochelle and signed by the parties.

TERMS Proposals must contain the following:

1. A detailed description of the facilities proposed to be operated on the Property, including the type of restaurant/bar/banquet operation, hours of operation, and the estimated number and type of full-time and part-time jobs to be created.

2. The purchase price to be paid for the Property, as well as any amounts to be committed for future expansion/upgrade of the Facility.

3. Any economic incentives requested from the City, and any commitments requested from the City regarding continued operation of the golf course/pro shop.

4. Proposed arrangements and commitments for use and maintenance of parking lots for the benefit of restaurant and golf course patrons, including a commitment that the owner/operator of the Facility will be responsible for snow plowing of the entire parking area.

5. A detailed construction/installation time line, including an estimated date for the Facility to be open to the public.

6. A detailed resume containing the experience of the Proposer in the restaurant/bar/banquet business, including similar facilities, together with references.

7. Financial information concerning the Proposer, evidencing the Proposer's financial ability to meet its obligations if selected, in form and substance satisfactory to the City, which may include a certified financial statement and/or credit report.

8. The correct name of the Proposer, including a description of the type of entity and State of organization (as, for example, ABC, Inc., an Illinois corporation), and the name and address of all individuals having an ownership interest in the Proposer.

9. Contact information for the Proposer, including name, phone, fax and email.

Proposals may also contain terms for the purchase and development of adjacent real estate for expansion of the Facility, and such other terms as may be requested.

The City shall select the proposal which it determines, in its sole and absolute discretion, to be in the best interests of the City. The City may negotiate modifications to proposals before making its selection, but reserves the right to select any proposal without such negotiations, or to reject all proposals. The City further reserves the right to withdraw, modify, waive, or otherwise vary the terms of this Request for Proposal at any time, and to waive irregularities in any proposals.
