PDF Format Or in HTML at the Following Internet Site Broadcasting Public Notice CRTC 2007-99 Ottawa, 5 September 2007 Applications processed pursuant to the streamlined procedure In this public notice, the Commission publishes a list of applications involving transfers of ownership and changes in the effective control of broadcasting undertakings as well as applications for amendments or extensions of deadlines not requiring a public process, which it has processed during the period 1 May 2007 to 30 June 2007 pursuant to its streamlined procedure. 1. The Commission has a streamlined procedure for its consideration of applications involving transfers of ownership and changes in the effective control of broadcasting undertakings as well as applications for amendments or extensions of deadlines not requiring a public process. Under this procedure, and on a case-by-case basis, the Commission may approve or deny such an application without first having issued a public notice provided that: a) its examination of the application reveals the presence of no significant policy concern; and b) the Commission is convinced that approval or denial would be consistent with its approvals or denials of previous applications. 2. Where these two conditions are met, the Commission is generally satisfied that a process initiated by a public notice is not required in the public interest, and would unnecessarily delay implementation of the transaction contemplated or of other proposals by the applicant. 3. In the appendices to this public notice, the Commission publishes a list of applications involving transfers of ownership and changes in the effective control of broadcasting undertakings (Appendix 1) as well as applications for amendments or extensions of deadlines not requiring a public process (Appendix 2) that it has processed during the period 1 May 2007 to 30 June 2007 pursuant to its streamlined procedure. Fairchild Radio Group 2007-0091-5 Transfer of the effective control of Fairchild Ltd. 2007-0166-6 Radio Group Ltd., Fairchild Radio (Calgary-FM) Fairchild Radio 2007-0167-4 Ltd. and Fairchild Radio (Vancouver-FM) Ltd. to (Calgary-FM) Ltd. 2 May 2007 Fairchild Broadcasting Ltd. Fairchild Radio (Vancouver-FM) Ltd. Fairchild Radio Group Ltd. is the licensee of Fairchild Broadcasting CJVB Vancouver, CHKT Toronto and Ltd. CHKT-DR-2 Toronto. Fairchild Radio (Calgary-FM) Ltd. is the licensee of CHKF-FM Calgary. Fairchild Radio (Vancouver-FM) Ltd. is the licensee of CHKG-FM Vancouver. 2. The Consumer Channel 2007-0210-2 Transfer of the ownership and control of Inc. 3 May 2007 The Consumer Channel Inc. (Consumer Inc.), from Mr. Bola to Mr. Vince Nigro, through the acquisition by VinCorp Consulting Inc., a corporation wholly-owned by Mr. Nigro, of all the issued and outstanding shares of Consumer Inc. Consumer Inc. is the authorized licensee of the national, Category 2 specialty service, The Consumer Channel, which is not yet in operation. (see Consumer Channel – Category 2 specialty service, Broadcasting Decision CRTC 2006-555, 27 September 2006) 3. Bell Canada 2007-0590-8 Corporate reorganization to simplify BCE Inc.’s 11 May 2007 corporate structure by eliminating one layer through the wind-up of Bell Canada Holdings Inc., the parent corporation of Bell Canada. As a result of this transaction, Bell Canada is now wholly owned by BCE Inc. Bell Canada is the licensee of two regional broadcasting distribution undertakings serving various communities in Ontario and Quebec. ii Application Licensee number and date Description of the application 4. 9079-3670 Québec inc. 2007-0355-5 Transfer of ownership and control of 9079-3670 17 May 2007 Québec inc. from Jacques Poulin to 9174-8004 Québec inc., a corporation owned by a group of minority shareholders and controlled by its board of directors. 9174-8004 Québec inc. is the licensee of CHEQ-FM Sainte-Marie de Beauce, Quebec. 5. Alliance Atlantis 2007-0196-3 Intra-corporate reorganization at the level of Communications Inc. 24 May 2007 Alliance Atlantis Communications Inc. (AACI), through the transfer of all AACI shares to a subsidiary of CanWest MediaWorks Inc. (CanWest), as part of a plan of arrangement for the acquisition of AACI by CanWest. AACI owns, through its licensed subsidiaries, 13 specialty services, a minority interest in 3 other services and a 50% interest in Historia and Series+. 6. CW Media Inc. 2007-0080-9 Creation of a voting trust arrangement in the 24 May 2007 context of CanWest/AACI transaction, nomination of Mr. James B. Macdonald as trustee and transfer to the trustee of the shares and control of AACI licensed subsidiaries. 7. Bragg Communications 2007-0349-8 Intra-corporate reorganization at the level of Incorporated 5 June 2007 Bragg Communications Incorporated (Bragg). This reorganization does not affect the ultimate control of Bragg and licensed subsidiaries, which continues to be exercised by Mr. J. L. Bragg Bragg owns, directly and through its licensed subsidiaries, various licensed cable broadcasting distribution undertakings in Nova Scotia and Prince Edward Island, and is authorized to operate a regional video-on-demand service, which is not yet in operation. (see Video-on-demand service, Broadcasting Decision CRTC 2007-63, 15 February 2007) 8. MusiquePlus inc. 2007-0445-4 Transfer of the ownership and control of 15 June 2007 MusiquePlus inc. to Astral Media Inc. through the acquisition by Astral Broadcasting Group Inc. (Astral) of all the shares (50%) held by CHUM Limited in MusiquePlus inc. As a result of this transaction, MusiquePlus inc. becomes a wholly-owned subsidiary of Astral. MusiquePlus inc. is the licensee of MusiquePlus and Musimax. iii Application Licensee number and date Description of the application 9. CHUM Limited 2007-0935-5 Transfer of the effective control of CHUM 22 June 2007 Limited’s five CitvTV stations to Mr. John D. McKellar, C.M., Q.C., the trustee of the voting trust agreement established in the context of the Transfer of effective control of CHUM Limited to CTVglobemedia Inc., approved in Broadcasting Decision CRTC 2007-165, 8 June 2007. Mr. McKellar controls CKAL-TV Calgary, CKEM-TV Edmonton, CHMI-TV Portage La Prairie/Winnipeg, CITY-TV Toronto, CITY-DT Toronto and CKVU-TV Vancouver. 10. Câblevision du Nord de 2007-0881-0 Change in the ownership structure of Québec inc. 29 June 2007 Câblevision du Nord de Québec inc. (CNQ), involving the transfer to Bell Aliant Regional Communications Inc. (Bell Aliant) of the 63.40% interest in Telebec, Limited Partnership (Telebec) held by Bell Nordiq Group Inc. (Bell Nordiq). As a result of this transaction, Bell Nordiq is now wound-up into Bell Aliant. The above transaction does not affect the effective control of CNQ, which continues to be exercised by BCE Inc.
