We believe that simple, affordable, reliable and fair connectivity should be available to everyone. Since entering the market in the early 2000s, we have a proud history as an innovative challenger brand ensuring customers benefit from more choice, affordable prices and better services. Today, we provide Fibre, broadband, landline, TV and mobile services to over four million customers. We serve our residential customers through the TalkTalk brand, our business customers through TalkTalk Business, whilst also wholesaling to resellers via TalkTalk Wholesale Services. Our fixed line network currently covers approximately 96% of UK homes, with unbundling equipment (such as digital subscriber line access multiplexers, multi-service access nodes and Ethernet switches) installed in over 3,000 exchanges, which is the largest such deployment in the UK. As we look forward, we are well positioned to benefit from the roll-out of Full Fibre (Fibre to the Premises or FTTP) across the UK as network builders seek immediate access to high volumes of customers to support their investment. We therefore expect to be able to negotiate wholesale terms which enable us to cost effectively migrate our new and existing customers at pace to higher bandwidth and more reliable connectivity products. On 15 March 2021 TalkTalk was officially de-listed from the London Stock Exchange, following the acquisition of the Company by Tosca IOM Limited, pursuant to a Scheme of Arrangement that became effective on 12 March 2021 (the “Public to Private Transaction”). As a consequence of the transaction the Group re-registered from a public company called TalkTalk Telecom Group PLC to a private company called TalkTalk Telecom Group Limited.     Sky launches a mobile service in the UK in anticipation of increased competition in convergence December 2016 Heenu Nihalani and Kerem Arsal Sky is the newest entrant to the UK mobile market, and the forthcoming launch of its ‘Sky Mobile’ service brings an alternative fixed–mobile proposition to a relatively nascent convergence market. As a mobile virtual network operator (MVNO), it will use O2’s network, and offer 12-month contracts in loose bundles to its fixed subscribers, as well as separately to non-subscribers at a higher price point. Sky reports that over 46 000 people have pre-registered for Sky Mobile, which will be launched in mid-December. This article examines Sky Mobile’s pricing and positioning in more detail, and discusses the effects that this service may have on the UK’s mobile and FMC markets. Sky is clearly targeting its mobile proposition at its current customer base Sky is entering the market with relatively cautious pricing, without aggressive discounting, and with continued focus on premium services. It is a convincing offer for its fixed broadband subscribers, but less so for non- subscribers. The service is positioned to compete in a marketplace increasingly dominated by converged offers following BT’s acquisition of EE in August 2016. Pricing for Sky’s fixed customers is competitive. Prices are tiered around data allowances: GBP10 per month for 1GB, GBP15 for 3GB, and GBP20 for 5GB; each comes with unlimited voice and SMS. The pricing closely matches similar plans from Virgin Media and Vodafone, while BT’s pricing is slightly lower for its FMC bundle subscribers.

Minimising disruption to existing DTT consumption, and avoiding a sense of panic at the potential loss of DTT channels – and therefore DTT platform churn - through clear communication and structured consumer support is vital in making the 700MHz clearance a success for DTT consumers. We feel a well-funded information and financial support scheme for 700MHz clearance could minimise platform churn, and ensure homes continue to benefit from free to air DTT reception. Managing expectations in a clear, concise and repeatable manner; supporting consumers end to end, financial support, and minimising disruption should be the goals of the clearance programme. We regard clearance and coexistence as different phases of the same 700MHz programme.     Review of the pay TV wholesale must-offer obligation TalkTalk initial submission Non-confidential version March 2015 1 Summary 1.1 This document is TalkTalk's response to Ofcom's consultation paper, dated 19 December 2014, on its ongoing review of the pay TV wholesale must offer ('WMO') obligation. 1.2 TalkTalk welcomes Ofcom's review of the WMO. This remedy was imposed on Sky in relation to Sky Sports 1 and 2 in 2010, and has been the subject of continual litigation and appeals since then; the appeal against the initial decision remains extant at the CAT. Nearly five years after the remedy was initially imposed, the pay TV market has changed considerably, both with the emergence of new pay TV platform operators (notably TalkTalk's TV platform) and changes in the line up of premium sports channel providers, particularly due to BT's acquisition of Premier League ('PL') and UEFA Champions League ('UCL') rights. It is vital that Ofcom reviews its WMO obligation regularly, to reflect changing circumstances and ensure that it remains effective in protecting consumers' interests. 1.3 Although we welcome the review, in its current proposals Ofcom has reached the incorrect conclusion that BT should not be subject to a WMO obligation. This incorrect conclusion has stemmed from several errors made by Ofcom in its consultation paper: • Ofcom has underweighted the importance of competitions other than the Premier League ('PL') relative to the PL itself. In reality, at least the Champions League ('UCL') has the same degree of importance to viewers. [✂]. • In determining whether to impose WMO obligations in future, Ofcom has only considered historic market shares rather than the more relevant forward looking shares.

    Directors’ Report – Business Review TalkTalk Group Financial Performance ▪ Revenue down 3% to £1,385m, reflecting a growing broadband base offset by declines in our narrowband and voice-only bases ▪ Headline EBITDA up 56% to £181m, driven by the increasing proportion of on-net customers ▪ Headline EBIT up 80% to £124m, reflecting EBITDA growth partially offset by higher depreciation and amortisation charges ▪ Capex of £106m, down 38% year-on-year after the substantial completion of our network build-out Operational Highlights ▪ Completed integration of AOL broadband business ▪ Continued migration of customers onto our own network, with 78% of all broadband customers now on-net ▪ 186,000 broadband net adds, before 93,000 AOL base TalkTalk clean-up, taking the total base to 2.8m ▪ Broadband monthly ARPU up 3% to £22.65 Group ▪ Major improvements in customer service, resulting in reduced churn and much more positive customer TalkTalk Group is our UK fixed line telecoms division, perception serving over 3.9m fixed line customers comprising 2.8m broadband and 1.1m voice-only and narrowband customers. It is currently the number 3 player in the UK broadband market, with by far the most extensive unbundled network in the UK, which supports a low-cost operating model that enables strong profitability even on market-leading tariffs. Its B2B operation, branded Opal, is a major player in the small business market. Over the last 12 months we have successfully completed the integration of the AOL broadband business and continued to grow the business organically. The bulk of our network investment is now complete and the business is set to be strongly cash generative going forward.
