Listed below are two examples of how Christians need to relate to one another as we engage in serious dialogue, particularly over issues that often divide us. In a world and in a time where the manner in which we address one another is significant, it is critical that we in the church find ways to dialogue with each other as people of faith.

Dear Clergy and Lay Members of the Susquehanna Conference,

Greetings to you in the name of Jesus Christ, Prince of Peace, Healer of our Brokenness, and Hope of the World! Welcome to the Twelfth Session of the Susquehanna Conference. While it is not ideal that we will not be able to gather in person, it will be great to be the Body of Christ together. Thanks be to God that God is not limited by time or space. I know with calm that God will be in our midst, even as we gather virtually. As we convene on June 18-19, 2021, we will continue to praise God with our theme: Vision of the Beloved Community. As we gather as an Annual Conference, we know that God will challenge and equip us to be a church in witness of the Kingdom of God. God’s desire and God’s expectation is that we, the followers of Jesus the Christ, will live and proclaim that God’s kingdom is one of love, commitment to justice and mercy and to bring people into a closer relationship with Jesus Christ. During our time together, we will remember the words of Jesus: “A new commandment I give you: Love one another. As I have loved you, so you must love one another. By this all people will know that you are my disciples if you love one another.” (John 13:34-35) As disciples of Jesus Christ, together we will continue to build the Beloved Community of Christ that is so desperately needed for such a time. As we do what we are called to do, may we be beacons of light of the Beloved Community for the sake of making disciples and transforming the world. For over a year we have been pivoting into pirouettes while trying to figure out what a new normal might actually look like and here we are again, at our next session of the Susquehanna Annual Conference. This year, as well, is not normal in that we will not be together under one roof, but we will be together across our various online networks. As we gather to do the work and worship of the Church, it will not quite be the same and we will miss having the opportunity to see one another and get caught up at what often feels like our Annual Conference family reunion. However, we do come together because the Church has a mission to fulfill of being followers of Jesus, who help others to become followers of Jesus. And so, as we anticipate this time of holy conferencing (as well as we can do that online) and care for the business that is before us, it is my hope and prayer that we enter into our work keeping an eye on the mission and are renewed in our call to make new disciples of Jesus Christ for the transformation of the world.

YOU WILL HAVE THE OPPORTUNITY TO LOG ON June 18th & 19th –beginning at 8:00 a.m. 3. OFFERING – An opportunity for offerings will take place during the Online Conference. Instructions can be found on page 12 of the Conference Workbook. 4. PROCEDURE FOR VOTING USING YOUR UNIQUE ID 1) Open your web browser on your computer, tablet, or smartphone and go to: vote.gntv.info 2) You will enter the ballot code that will be shown in red on the screen. 3) Be sure to enter the ballot code exactly as it appears on the screen with lowercase letters. 4) After the code is entered, click the green “Load Ballot” button. 5) On the next screen you will enter your Voter ID (emailed to you prior to October 3rd) in the first answer space that says, "Your Answer.” This Voter ID is unique to you and is used to validate your ballot. 6) Then, make your choice on the ballot. Verify you have made the correct choice you desire. 7) When you are ready, please click the blue "Submit" button to cast your ballot. 8) Then click the green "Return to Start" button located at the top and bottom of the page to prepare your browser for the next vote. 9) If you have made a mistake you can change your vote by doing the full process again. The last submitted vote is what will be counted. 10) You will have approximately 30 seconds to complete your ballot. 5. TECHNICAL SUPPORT-A GNTV staff member will be available at 478-216-7709 for any technical issues you may have during Annual Conference. 6. VOTING MEMBERS A. Clergy Eligible to Vote: Deacons and Elders in full connection, provisional members, associate members, affiliate members, and local pastors under full-time and part-time appointment to a pastoral charge, clergy from other denominations upon recommendation of the Board of Ordained Ministry and retired local pastors serving. Only Clergy members in full connection shall have the right to vote on all matters in the annual conference. Clergy in other categories can vote on all matters except constitutional amendments, and matters of ordination, character, and conference relations of clergy. B. Lay Persons Eligible to Vote: 1) Those persons in accordance with Section IX, ¶602, of the 2016 Book of Discipline and the Lay Equalization Policy of the Annual Conference in the Policies, Procedures, Guidelines handbook. 2) Changes in Lay Voting Members: Only the approved lay representatives may sit in the voting area during the plenary sessions. Alternate Lay Members who are present in addition to the Lay Member are visitors and must sit in the section for visitors. Alternate Lay Members present in place of the Lay Member must complete the registration process before being seated in the voting area. Changes in Lay Member or Alternates since the initial Charge Conference election must be certified to the Conference Secretary by the district superintendent on a card provided by his/her office. 7. DISTRIBUTION OF CONFERENCE JOURNALS – The 2021 Journal will be posted on the Susquehanna Conference website. Opportunity will also be made available to order a paper copy directly from the website at the individual's expense. 8. ATTENDANCE – It is the duty of every member, all provisional members, and all local pastors of the annual conference to attend its sessions. Any such person unable to attend shall report by letter to the Conference Secretary, setting forth the reason for the absence. Should any ordained minister in active service be absent from the session of the annual conference without a satisfactory reason for the absence, or excused by the Bishop, the matter shall be referred by the Conference Secretary to the Board of Ordained Ministry. Rules of Procedure Annual Conference meeting by Telephone or Online Conference Please read these Rules of Procedure before Conference begins.

1. Annual Conference meeting by Telephone or Online Conference: When the Bishop, the Cabinet and the Sessions Committee are in agreement, the Bishop may call for a meeting of the Annual Conference by telephone, online conferencing or meeting in person. Notification of such meetings shall be subject to the requirements for Annual Conference meetings specified in The Book of Discipline. The conferencing platform must ensure that all clergy and duly elected or chosen lay members of conference session can hear each other and vote and that their presence can be recorded. The Sessions Committee shall recommend the method of voting and/or balloting to the Bishop and the Conference Secretary. Voting/balloting may be by electronic, telephone, or written means.

2. The bar of the Annual Conference shall contain all conference members who are provided the log-in information and ID number.

3. The published schedule, with such changes as may be determined by the agenda sub-committee, the presiding bishop or conference action, shall be the official schedule of the current session.

4. Essential reports with recommendations shall be presented by name of report/recommendation and assigned a number by the Conference Secretary on June 18-19, 2021. All other reports shall be available for review following the Virtual Conference on June 18-19, 2021.

5. Presenters of reports shall, first, present the recommendations for action, and second, make additional remarks if time remains within their assigned timeframe.

6. After the presentation of the budget with a funding plan (via pre-conference documents), and formula for Shares of Ministry, any motion from the floor of the Susquehanna Annual Conference to increase spending in any area of the budget must include an equal or greater corresponding reduction in spending from non-General Apportioned items as part of the same motion."

7. Reports/Recommendations submitted and not acted upon at the Virtual Annual Conference on June 18-19, 2021, shall be contained in the 2021 Journal and shall be listed as submitted and will be acted upon at the 2022 Annual Conference.

8. All material to be included in the 2021 Journal shall be given to the Conference Secretary no later than July 31, 2021.

9. Speeches and motions on recommendations and reports and motions before the Conference may be offered when session is in order on June 18-19, 2021. A designee shall collect speeches and motions to be read before the body. Speeches shall be limited to three in favor and three in opposition. Each speech shall not exceed two minutes in length.

10. Agency chairpersons shall be responsible to see that the Conference Secretary receives, no later than July 31, 2021, a corrected copy of any report or recommendations in which changes were made.

1 Mission Outreach Team for the Radio/TV Ministry. This ministry began in October 1997. The goal is to reach those 2 people who are un-churched or who have drifted away from church. The radio ministry is heard on Q94 - 94.3 FM and 3 94.7 FM at 10:40am and 3:40 pm (or close to it) Monday thru Friday and WKMC Music of Your Life 1370 AM at 10:20am 4 and 3:20pm (or close to it) Monday thru Friday. 5 ● Altoona District Volunteers in Mission Team (# 4060) 6 Contact: Joy Shields at [email protected]· 7 The Altoona District Mission Team began in March 2006 with Hurricane Katrina and the subsequent need for drastic and 8 ongoing aid. Our VIM team continues to assist victims of natural disasters on the eastern side of the USA. Our VIM 9 (volunteers-in-mission) Teams have one common goal to be “God’s Builders”, reaching out to help neighbors in need 10 after a flood, tornado, or hurricane. VIM Teams have made over 49 trips and traveled to 16 different states. Altoona VIM 11 is also involved with the Blair County Emergency Management Office in response to local disasters should they occur. 12 ● Altoona District Mission Central HUB (# 8235) 13 Altoona District Mission Central HUB works as our local division of Mission Central. Our focus is on assembling Baby 14 Care Kits (sent to Mission Central), Cleaning Buckets, School Kits, and Hygiene Kits (all of which are sent to UMCOR). 15 We strive to share with our local outreach programs which we have done with 115 different mission outreach, social 16 service, and after school programs since we began 13 years ago! Some of these include Family and Teen Shelters, Precious 17 Life, LOVE. INC, St. Vincent de Paul Ministries, and Bountiful Blessings. In addition, our own Jean Quilt Ministry has 18 made and given 804 quilts to the homeless. Our work is supported by our annual blueberry sale and the donations from 19 local churches and volunteers. On the second Sunday of each month Starfish Ministries is on the 41 streets of Harrisburg handing out basic needs to the homeless, now serving about 75 homeless people. 42 2.3 LEWISBURG DISTRICT 43 • The Gate House (# 8145): 44 Contact: 21 Gate House Drive, Danville PA 17821, 570-275-6766, [email protected] 45 Since 1997, the Gate House has provided shelter for residents of Montour and Columbia Counties who find themselves 46 without a home. Gate House residents are often facing personal crises – such as unemployment, death in the family, 47 abandonment, divorce, illness, or accident – or have been victims of misfortunes such as fire, flood, rent increases, or 48 evictions. The Gate House provides shelter for both homeless men and women, along with their children. Located on 49 East Market Street in Danville, it sits at the southern entrance to the State Hospital. 50 • Haven Ministries, Inc. (# 8130): 51 Contact: Christy Zeigler, Director, 1043 S. 1 • Heart to Hand Ministries (# 8110): 2 Contact: Woody Wolfe, 799 E Front St, Danville PA 17821, 570-271-0622, www.hearttohandministries.com 3 Heart to Hand Ministries, Inc. was started in November 1992 by Woody Wolfe, Jr. and a few friends, after Woody had 4 spent nearly eleven years visiting hospitalized children in a children’s hospital in his hometown. Woody now ministers 5 weekly in four Pennsylvania hospitals. Two in the Susquehanna Conference are: The Janet Weis Children’s Hospital, 6 Danville and Penn State Children’s Hospital, Hershey. He also visits hospitals in other states. In addition to hospital 7 outreach, Heart to Hand has been involved in outreach to the orphaned children, and those with special medical needs, 8 of Ukraine since Woody’s first visit there in 1998. 9 • R.B. Winter/Pine Valley Parks Chaplaincy Program (# 8150): 10 Contact: Rev. Daniel Hicks [email protected] 11 Their mission is of providing the opportunity for campers to worship in the outdoors. The Lewisburg District has 12 supported this outreach for many years by providing logistical support and housing for the chaplain who serves R.B. 13 Winter State Park and Pine Valley State Park. Sunday Morning services are provided from Memorial Day to Labor Day. 14 This ministry provides pastoral support, care and visitation to campers and their families while they are vacationing at both 15 R.B. Winter State Park and Pine Valley State Park. 16 2.4 SCRANTON WILKES-BARRE DISTRICT: 17 • Give Ye Them to Eat (GYTTE) (# 2375): 18 Contact: Rev. Marian Hartman, [email protected] 19 GYTTE was founded in 1977 as a social outreach project of the Methodist Church of Mexico to combat hunger and 20 poverty in the rural sector. The purpose of the "Give Ye Them to Eat" program (GYTTE) is to strengthen the capabilities 21 of marginalized people and communities to meet their basic needs, and to determine and sustain a just and integrated 22 development process. Participatory methods and development tools are used to create conditions in which change can 23 take place from within the communities. The “Tree of Life” training center in Tlancualpican conducts workshops and 24 hands-on opportunities in the areas of health, sanitation, animal care and breeding, agricultural methods such as terracing, 25 composting and irrigation. Workshops also go “on the road” for VBS, Holy Week and Advent resources. The 26 Susquehanna Conference has been sending work teams for over 20 years. Rev. Marian Hartman will lead several trips in 27 2020-2021. 28 • Shoemaker Mission Central HUB: (# 8210) 29 Contact: HUB Coordinators: Kristi Lyons, [email protected] or 570-262-0382 and Sally Kennard (570-333-4218) for furniture needs 30 The former Shoemaker Memorial Church, West Eighth Street, Wyoming, has been transformed into a Mission Central 31 HUB of Mission Central, located in Mechanicsburg, PA. Under the leadership of the Kristi Lyons and the local Board of 32 Directors, the Mission Central HUB will be a place where groups can come to assemble various types of response and 33 relief kits, provide resources and furniture for persons in need, and eventually offer places to study and worship for folks 34 who traditionally find it hard to enter the doors of our churches. 35 • Elm Park African Ministry: (# 8230) 36 Contact: Rev. Mike Bealla, [email protected] 570-342-8263 37 With a growing number of Central African families finding homes in the Scranton Area, Elm Park has been blessed in its 38 ministry with this community. This vital ministry provides for weekly worship services (in Swahili and English), assistance 39 to refugee families, English as a Second Language tutoring as well as providing for a African student intern from Drew 40 Theological School. Your gifts to this Advance Special will help support the current and evolving ministries with this 41 growing local mission opportunity. 42 • Greenhouse Project: (#7310) 43 Contact: Jane Risse 200 Arthur Ave. Scranton, PA 18510 570-344-9186; [email protected] https://scrantongreenhouse.org/ 44 Begun in 2002, The Greenhouse Project (formerly Shalom Scranton) evolved from a Shalom Ministry and is now growing 45 a sustainable community through education, wholesome food and healthy living through programs such as: edible 46 gardening and cooking, and focusing on a health and disease prevention through diet and exercise. We operate two 47 community gardens and a 3000 sq. ft. greenhouse in Nay Aug Park. Recipients of 2019 Environmental Partnership Award 48 and with many programs specially designed to serve senior citizens as well as school field trips, we offer free and low-cost 49 education programs. 50 2.5 STATE COLLEGE DISTRICT 51 • The Mommy Shoppe (#7315) 52 Contact: Amy Ritter, Executive Director, [email protected], 814-499-2287, or use Facebook Messenger 53 The Mommy Shoppe began as a vision to help pregnant mothers who needed a hand with essentials for their baby, up to 54 kindergarten age, and to offer items free of charge. Soon after its beginning, the age limit was quickly increased to include 55 older children and pre-teens up to size 18. The Shoppe is open every Tuesday from 7 – 9 p.m., every Thursday from 11 56 a.m. to 2 p.m. and again at 7 – 9 p.m. for 'free bag' shopping appointments, 'buy only' shopping and limited volunteers. 57 The third Saturday every month is also scheduled with 'free bag' shopping appointments. Covid has changed the way we 21

1 support the community, but we are still serving. The appointment system (go to www.themommyshoppe.org to see it) is 2 a blessing that emerged out of necessity and spreads the 'free bag' shopping throughout the month. 3 Currently, the average attendance for shopping is still 65-90 families a month with 150-200+ children served a month. 4 There are over 800 registered families. Clients include single mothers, fathers, grandparents raising grandchildren and 5 foster parents, as well as two parent families who struggle with unemployment or under-employment. In February of 2017, 6 The Shoppe applied for 501(c)3 status and was approved. 7 The Shoppe is a thrift store with a bigger purpose. Any purchases by shoppers, support the cost of supplies and utilities, 8 but there is no doubt that 85% of the items leaving the store, go to families for free. The volunteers with The Mommy 9 Shoppe are excited and humbled in realizing what a difference this is making in the community. 10 • Wesley Foundation (# 7100) 11 Contact: St. Pauls United Methodist Church, State College PA 814-237-2163 Sarah Voigt [email protected] 12 St. Paul’s UMC & Wesley Foundation serves all students at Penn State University Park. Please 17 use #7100 in the memo for any donations coming through the conference. 18 2.6 WILLIAMSPORT DISTRICT 19 • Sierra Leone Initiative (# 8030): 20 Funds provide financial assistance to clergy in Sierra Leone through an affirmed covenant relationship between the 21 Susquehanna and Sierra Leone conferences and the General Board of Global Ministries. 22 • Sojourner Truth Ministries (# 8070): 23 STM is a district mission into God's Frontier to build bridges between the traditional church and those disenfranchised and 24 alienated by it. The initial portal is the Sojourner Cafe where Christ centered fellowship is shared around a table of food and 25 drink. Touching lives with the love and care of Christ is our mission and vision. 26 • Good Samaritan Fund (GSF) (# 9060): 27 Founded in 1988, the former Wellsboro District GSF allows churches across our district to respond to the financial crises 28 of our community members. Disbursements from the fund are made from the district office, upon request by pastors and 29 laity. Send contributions to the conference treasurer's office # 9060 marked "Good Samaritan Fund". 30 • Kasambira Scholarship Fund (KSF) (# 9055): 31 Mercy Kasambira was an African pastor in our conference who was both recommended out of the former Wellsboro District and 32 also served within its bounds twice before dying in an automobile accident in 1995. Mercy was born in Rhodesia (now Zimbabwe). 33 The Kasambira Scholarship Fund continues her legacy at Mansfield University. Churches of the district can support the GSF by 34 sending contributions to the conference treasurer's # 9055 marked "Kasambira Scholarship Fund" 35 2.7 YORK DISTRICT 36 ● York City Day Camp (# 8140) 37 Contact: Pastor Tanya Brubaker, [email protected] 38 The York City Day Camp is a 4-week summer day camp for York City children entering grades 1 through 6. We offer creative Sunday worship in the building as well 47 as on-line services all in multiple languages--English and various dialects of Spanish to suite those who come 48 from various Latino backgrounds. We have mid-week Bibles studies and Home Church opportunities. This is a 49 great time for families--children, youth, and adults--to be involved together in worship and spiritual development. 50 ● School of Hope (First UMC Chambersburg) (#8255) 51 Contact: The Rev. Steve Livermore, [email protected] 52 School of Hope was formed out of an ecumenical partnership with First UMC and UB Salem Haitienne in 53 Chambersburg. Both churches partner together to provide a school for 209 students in Petit Goave Haiti. The 54 partnership also provides a home for a worshipping congregation in Chambersburg, offering ESL classes and other 55 support for our Haitian community. In regular times, a team travels to Haiti at least once a year.

Resolutions relating to Rental/Housing Allowances for Retired or Disabled Clergy persons of the Susquehanna Conference: 6 The Susquehanna Conference (the “Conference”) adopts the following resolutions relating to rental/housing allowances for 7 retired or disabled clergypersons of the Conference: 8 WHEREAS, the religious denomination known as The United Methodist Church (the “Church”), of which this Conference is a 9 part, has in the past functioned and continues to function through ministers of the gospel (within the meaning of Internal Revenue 10 Code section 107) who were or are duly ordained, commissioned, or licensed ministers of the Church (“Clergypersons”): 11 WHEREAS, the practice of the Church and of this Conference was and is to provide active Clergypersons with a parsonage or a 12 rental/housing allowance as part of their gross compensation; 13 WHEREAS, pensions or other amounts paid to retired and disabled Clergypersons are considered to be deferred compensation 14 and are paid to retired and disabled Clergypersons in consideration of previous active service; and 15 WHEREAS, the Internal Revenue Service has recognized that the Conference (or its predecessors) is the appropriate organization 16 to designate a rental/housing allowance for retired and disabled Clergypersons who are or were members of this Conference; 17 NOW, THEREFORE, BE IT RESOLVED: 18 SUSQUEHANNA CONFERENCE RECOMMENDATIONS AND RESOLUTIONS

1 3.1 2 THAT an amount equal to 100% of the pension or disability payments received from plans authorized under The Book of Discipline 3 of The United Methodist Church (the “Discipline”), which includes all such payments from Wespath, during the year 2022 by each 4 retired or disabled Clergyperson who is or was a member of the Conference, or its predecessors, be and hereby is designated as a 5 rental/housing allowance for each such Clergyperson; and 6 3.2 7 THAT the pension or disability payments to which this rental/housing allowance applies will be any pension or disability payments 8 from plans, annuities, or funds authorized under the Discipline, including such payments from Wespath and from a commercial 9 annuity company that provides an annuity arising from benefits accrued under a Wespath plan, annuity, or fund authorized under 10 the Discipline, that result from any service a Clergyperson rendered to this Conference or that a retired or disabled Clergyperson of 11 this Conference rendered to any local church, annual conference of the Church, general agency of the Church, other institution of 12 the Church, former denomination that is now a part of the Church, or any other employer that employed the Clergyperson to 13 perform services related to the ministry of the Church, or its predecessors, and that elected to make contributions to, or accrue a 14 benefit under, such a plan, annuity, or fund for such retired or disabled Clergyperson’s pension or disability as part of his or her 15 gross compensation. 16 17 NOTE: The rental/housing allowance that may be excluded from a Clergyperson’s gross income in any year for federal income tax 18 purposes is limited under Internal Revenue Code section 107(2) and regulations there under to the least of: (1) the amount of the 19 rental/housing allowance designated by the Clergyperson’s employer or other appropriate body of the Church (such as this 20 Conference in the foregoing resolutions) for such year; (2) the amount actually expended by the Clergyperson to rent or provide a 21 home in such year; or (3) the fair rental value of the home, including furnishings and appurtenances (such as a garage), plus the cost 22 of utilities in such year. 23 24 4. 2021 Comprehensive Benefit Funding Plan (On the following pages)

Plan Overview: Supplement Three to the Clergy Retirement Security Program (CRSP), also known as the Ministerial Pension Plan (MPP) provides clergy with a pension benefit for their years of ministry with The United Methodist Church from 1982 through 2006. MPP is an Internal Revenue Code section 403(b) retirement plan. MPP requires that exactly 65% of the account balance must be annuitized when it is to be distributed. Pre-82 Plan (Pre-82)

Plan Overview: Supplement One to the Clergy Retirement Security Program (CRSP), also known as the Pre-82 Plan, provides clergy with a pension benefit for their years of ministry with The United Methodist Church prior to 1982. The Pre-82 Plan was replaced by MPP effective January 1, 1982. If a clergyperson retires within the conference (and does not terminate), the minimum benefit payable is based on two factors:

1) Years of service with pension credit--approved by each conference on the recommendation of the Conference Board of Pensions (CBOP) in accordance with plan provisions and The Book of Discipline.

2) The conference pension rate (past service rate) -- the dollar amount chosen by the conference as the amount payable for each approved year of service with pension credit (may change from year to year).

The number of years of service with pension credit is multiplied by the PSR, and the product is the minimum annual benefit payable to those clergy eligible for Pre-82 Plan benefits. In certain situations, the benefit received from the Pre-82 plan may vary based on the applicability of what is referred to as Defined Benefit Service Money (DBSM), which is the defined contribution feature of the Pre-1982 Plan. At the time that a participant retires, the DBSM account is converted to a life-based benefit. At that point, the clergy’s benefit is the greater of the PSR benefit or DBSM benefit. If the conference increases the PSR, the clergy’s benefit is recalculated; however, the DBSM-based benefit does not change.

Comprehensive Protection Plan (CPP)

Plan Overview: The Comprehensive Protection Plan (CPP) provides death, long-term disability and other welfare benefits for eligible clergy of The United Methodist Church and their families. It is an Internal Revenue Code 414(e) “church plan” funded by plan sponsor insurance premiums. Generally, clergy are eligible to participate in CPP if they satisfy the eligibility requirements, including full-time appointment with plan compensation of at least 25% of the Denominational Average Compensation (DAC). Plan sponsors may elect to cover participants with three-quarter time appointments and/or to continue to cover clergy who, due to certain leaves or appointments, are not otherwise eligible to continue coverage.

1 2. That the compensation for all part-time pastors and less than full-time appointments shall be negotiated by the Staff-Parish 2 Committee and the District Superintendent. 3 3. That in addition to the cash salary paid to each full-time pastor, an amount equal to one half of the current Self-Employment 4 tax as determined by the Internal Revenue Service shall be paid by the local church to offset the difference between self- 5 employed and employee Social Security Tax rates. Such amount shall be identified in local church and conference reports as a 6 separate line item under pastoral compensation. All pastors are encouraged to participate in the Social Security Program. This 7 supplemental amount is only available to those participating in the social Security Program. 8 4. That pastors supplying a pulpit on a temporary basis shall receive at least $75 per single church charge, at least $15 additional 9 per church or service in a multiple church charge, plus mileage reimbursement, at current Internal Revenue Service rates, in 10 each instance. 11 5. That travel provisions shall be made for all full-time pastors and student pastors and shall be considered as part of the local 12 church/charge budget under administrative expenses. The local church/charge, after consultation with the pastor, shall select 13 one of the following options to ensure adequate travel provisions for the pastor while involved in church business: 14 Option 1: The local church/charge shall rent or purchase a vehicle for the pastor and shall be responsible for all ownership and 15 operating costs of the vehicle. Ownership costs shall include gasoline, oil, tires, maintenance and repair of the vehicle. It shall 16 be understood that the vehicle is to be available to the pastor at all times, with the cost of personal use being reimbursed at 17 current Internal Revenue Service rates. 18 Option 2: The local church/charge shall pay the pastor an annual amount of at least $1,700 for ownership costs, and reimburse the 19 pastor for operating costs at the minimum rate of 14 cents per mile which is the current IRS rate, both payable at least monthly 20 upon the submission of travel vouchers. The $1,700 will be considered as salary for tax purposes. 21 Option 3: The local church/charge shall reimburse its pastors for vouchered travel expenses at Internal Revenue Service rates, as 22 defined by current IRS regulations. This may be contained within an Accountable Reimbursement Policy. 23 6. That travel expenses for pastors under special appointment shall be negotiated with the agency to which they are assigned. 24 Travel expenses of pastors in less than full-time appointments shall be negotiated between the District Superintendent and the 25 Staff-Parish Committee. 26 7. That a parsonage shall be provided for the appointed pastor and his/her family and furnished according to the standard adopted 27 in the 2016 Book of Discipline of the Untired Methodist Church. 28 a. That utilities, which include gas, electricity, TV antenna or basic cable installation, high speed Internet service, water, sewer, 29 basic private telephone bill and equipment, heat, refuse collection, smoke and carbon monoxide detectors shall be 30 furnished and paid for by the local church/charge. 31 b. Each pastor shall report the fair rental value of the parsonage as income for Social Security purposes. The fair rental value 32 of the parsonage shall be negotiated by the pastor and the Staff-Parish Committee and approved by the appropriate 33 Church/Charge Conference. 34 c. That each charge is encouraged to designate, each year, at the Church/Charge Conference, a portion of the pastor’s cash 35 salary as parsonage exclusion for use as the pastor sees fit for the purchase of furnishings for the church/charge owned 36 parsonage. 37 d. When a housing allowance is granted in lieu of a parsonage, it shall be done only by approved Conference policy. 38 8. That continuing education shall be provided for all full-time and part-time pastors under appointment. It shall be cumulative 39 and used only during the current assignment. It shall be payable upon submission of vouchers. It shall be payable at the 40 minimum rate of $750 per year for full-time pastors and $500 per year for part-time pastors. Other educational assistance may 41 be available through the Board of Ordained Ministry. 42 9. That vacations and time away from the parish be granted on the following basis: 43 a. Vacation time shall be granted based on the Conference year (July 1-June 30) and negotiated with the Staff-Parish 44 Committee. 45 b. Full-time service: Minimum of four weeks of vacation, which shall include four Sundays. 46 c. Less than full-time pastors: Minimum of two weeks, which shall include two Sundays. 47 d. Pulpit supply during vacation periods shall be arranged by the Staff-Parish Committee and paid for by the local 48 church/charge. 49 e. All Staff-Parish committees shall encourage their pastors to take a minimum of one day off a week. 50 f. Some involvement if pastors in ministries beyond the local church is expected as an aspect of our connectional ministry, 51 e.g. evangelistic missions, camping programs, work camps, etc. Such time is not to be considered as vacation. However, 52 the extent of such involvement is to be negotiated by the pastor and the Staff-Parish Committee. 53 g. Staff-Parish Committees are encouraged to pay special attention to the recommendations of the Board of Ordained 54 Ministry and Study Leave, Sabbatical Leaves and Short-Term educational opportunities. 36

1 10. That the church portion of health insurance for clergy couples will continue to be paid by their respective churches/charges 2 for their full requested contribution for each pastor. Only one clergy in the clergy couple will have the clergy portion of health 3 insurance deducted and billed to the church. Each full-time pastor will contribute the difference between the actual cost of 4 the plan selected and the premium credit provided by the Conference. This contribution will be a payroll deduction by the 5 local church. 6 11. That the primary responsibility for pastoral base compensation, subject to the above minimum recommendations, remains 7 with the individual pastoral charge. Special assistance is available to congregations unable to pay the pastor’s minimum base 8 compensation by application to their District Superintendent and through the resources of the Equitable Compensation 9 Commission. 10 Rev. 13 Please Note: 14 The Council on Finance and Administration continues to closely monitor the receipts/expenses of the Annual Conference. 15 Thankfully, with the continued faithful generous financial support of local churches across the conference, a decrease in 16 some expenses, and the inflow of some Personal Payroll Protection support, our Conference met all our financial 17 commitments in 2020. Praise God! With very thankful hearts, even in the midst of the unusually difficult circumstances of 18 a pandemic, together we have continued to engage people with the love of Jesus through ministry and mission in the name 19 of Jesus the Christ! 20 Item 1: Council on Finance and Administration – 2022 Budget 21 The 2022 proposed Annual Conference Financial Plan will be presented to a called Special Session of the Annual Conference. 22 Stay tuned…… 23 Item 2: Council on Finance and Administration – Benevolent Goals/Special Sundays/General 24 While the goal of your Council of Finance and Administration is to pay all of the funding items of the annual Spending Plan 25 at 100%, in the years when we do not receive 100% of our spending budget, our goal is to pay 100% of Benevolence Funding 26 with the Conference Program Funding paid out at the percentage received. If and when money is available from other 27 sources, the Conference Program Funding will be increased up to 100%. The Conference Treasurer in discussion with the 28 Executive Committee of CF&A will make the decision as remitted funds allow. 29 I. BENEVOLENT GOALS 30 Those churches, which have paid their Shares of Ministry in full, are encouraged to support the following benevolent 31 goals: 32 A. General Advance Specials. All churches, having paid their full shares of ministry, are urged to participate in some phase 33 of second mile support for missionary programs of the United Methodist Church. 34 B. Benevolent Institutions. A goal of $5.00 per member is recommended to each local church. Offerings will be received 35 on Golden Cross Sunday and the Advent/Christmas seasons for these ministries. The offerings will be distributed on the 36 following percentage basis: 37 1. United Methodist Home for Children (Board of Child Care) – 30% 38 2. Remaining 70% distributed to four benevolent entities (Albright, Quincy, Bethany Village and United 39 Methodist Homes) historically related to the Susquehanna Conference, according to the formula 40 previously developed by the Commission on Health Ministries and based on Medical Assistance 41 Days. 42 C. Youth Service Fund. At least $1.75 per youth member and constituent of the church and the church school be the goal 43 of the Youth Service Fund. 44 D. Higher Education. Those churches which have paid their Shares of Ministries in full are encouraged to fulfill the General 45 Conference intent of giving $1.00 per member. These additional gifts (beyond the conference plan for funding ministry) 46 may be designated for “Higher Education” and used as scholarship aid to schools related to the United Methodist Church. 47 E. RESOLUTIONS Res-1 Mental Health ACTION:

1 WHEREAS the members of the Susquehanna United Methodist Conference are guided by the Social Principles of the United 2 Methodist Church and 3 WHEREAS ¶162X of the Social Principles states that those with mental illness and their families “have a right to be treated with 4 respect” and “have a right and responsibility to obtain care appropriate to their condition, and 5 WHEREAS like physical health, mental health is important at every stage of one’s life as it determines how we cope with stress, 6 relate to others, make choices and is an integral and essential component of all persons; and 7 WHEREAS One in four persons sitting in our pews has a family member struggling with mental health issues; and 8 WHEREAS With the COVID pandemic there has been a significant increase of mental health issues such as anxiety and 9 depression; and, 10 WHEREAS This has affected not just those who have had COVID but also those who are caretakers, including emergency 11 responders, medical professionals, and family members; and, 12 WHEREAS A majority of individuals with a mental health issue go first to a spiritual leader for help; and 13 WHEREAS Our faith communities can be a caring congregation for persons living with a mental illness and their family 14 members; and 15 WHEREAS the Nation recognizes the month of May as Mental Health Awareness month, the month of September as Suicide 16 Prevention Month and National Recovery Month, and the first full week of October as Mental Illness Awareness week; 17 THEREFORE, BE IT RESOLVED that the member of the Susquehanna United Methodist Conference celebrate Mental 18 Health Awareness Month on the third Sunday in May by special offering Sunday #4050 to benefit ongoing efforts of educating 19 members, clergy, and the public and encouraging the resources necessary for early detection and appropriate treatment of a mental 20 health problem; and 21 BE IT FURTHER RESOLVED that September be recognized as Suicide Prevention Month and National Recovery Month 22 by encouraging members to become involved in community and/or local and state activities; and 23 FURTHER BE IT RESOLVED that the first week of October be celebrated as Mental Illness Awareness Week by holding a 24 day of prayer on Tuesday, October 5, 2021, for prevention and early intervention, for those who suffer from mental health problems, 25 their families, and those professionals who care for them and for a cure for all mental illness. 26 Rev. 35 Res-6 A Call to End Conversion Therapy ACTION: 36 37 WHEREAS, we as members of the United Methodist Church as a whole and the Susquehanna Annual Conference, are guided 38 by John Wesley’s three simple rules: 1. Do no harm, 2. Do good, 3. Stay in love with God; as well as the Social Principles of the 39 Untied Methodist Church, in particular ¶162, III. Section J Equal Rights Regardless of Sexual Orientation, which states “… we 40 support efforts to stop violence and other forms of coercion against all persons, regardless of sexual orientation.”. 41 WHEREAS, conversion therapy is defined as a practice or treatment that seeks to change an individual’s sexual orientation or 42 gender identity to eliminate or reduce sexual or romantic attraction towards the same gender. It needs to be noted that this does 43 not include any counseling for individuals undergoing gender transition, provided that counseling provides acceptance, support and 44 understanding. 45 WHEREAS, conversion therapy has been used to “treat” LBGTQA+ individuals when there is nothing wrong with said 46 individuals. Being LBGTQA+ is not a disorder, illness or deficiency to be corrected. Conversion therapy is a form of violence and 47 coercion against LBGTQA+ individuals. 48 WHEREAS, the repercussions of conversion therapy include and are not limited to depression, anxiety, self-hatred, self- 49 destructive behavior and suicide. 50 WHEREAS, the American Psychiatric Association, American College of Physicians, American Academy of Pediatrics, National 51 Association of Social Workers, and Pan American Health Organization, among many other groups haves stated the negative and 52 harmful effects to those forced to undergo conversion therapy. California, Connecticut, Delaware, Hawaii, Illinois, Maryland,

God doesn’t say it will be easy, but by following the pathway God lays out, we will be part of a new, 18 wholesome and inclusive, creation where all of God’s children are welcome. 19 WHEREAS, as Susquehanna Conference United Methodists, we believe that God’s Spirit is poured out onto all God’s people. We 20 stand within the best of our biblical and Wesleyan tradition in order to maintain a witness to the wideness of God’s grace in a 21 broken world in need of Christ’s healing, liberating love. 22 WHEREAS, in view of the decades-long discrimination of our LGBTQ+ siblings in The United Methodist Church, including 23 within this conference, we are committed to a new church, where grace replaces punishment, and we robustly engage with Scripture 24 rather than fall prey to biblical literalism. 25 WHEREAS, we believe God is leading us to a church where: 26 27 • All of God’s beloved children are welcomed and embraced; 28 • In a loving community, differences – race, ethnicity, language, culture, sexual orientation, gender identity, nationality – are 29 affirmed as manifestations of God’s abundant and holy creation; 30 • The sacraments of baptism and Holy Communion, as well as confirmation, ordination, marriage, servant ministries, 31 mission work, and leadership at every level, are open to all who are called by God and affirmed by the church, as witnessed 32 by our Risen Savior and Lord; 33 • A priority is placed on avoiding doing harm to persons or the creation, specifically to our LGBTQ+ siblings; 34 • The historic doctrine and Wesleyan ecclesiology of The United Methodist Church, rooted and grounded in the Trinity, 35 mark accountability by covenant and grace; and 36 • We both seek to make Disciples of Jesus Christ for the transformation of the world and engage in practices of Radical 37 Hospitality and Social Holiness in our lives of prayer and service to the Lord. 38 NOW THEREFORE, as an Annual Conference, we apologize to the LGBTQ+ persons in this conference and its predecessors 39 who felt God’s call to ministry but were unable to pursue it due to discriminatory church laws. We apologize to LGBTQ+ persons 40 who have felt marginalized within their own churches, including those denied the blessing of a church wedding. 41 FURTHERMORE, we pray that God forgive our straying away from the Greatest Commandment, where Jesus commands us to 42 “love the Lord your God with all your heart, with all your being, with all your strength, and with all your mind, and love your 43 neighbor as yourself.” (Luke 10:27 CEB) 44 WE FURTHER UNDERSTAND that transformational change often occurs slowly. As not all of our siblings-in-Christ have 45 embraced LGBTQ+ equality in The United Methodist Church, we pledge to engage in processes that require active engagement 46 and a commitment to showing grace rather than expressing anger. 1 Res-8 United Methodist Stewardship Foundation Merger with 2 United Methodist Foundation of Western Pennsylvania ACTION: 3 4 WHEREAS, United Methodist Stewardship Foundation (“UMSF”) and United Methodist Foundation of Western Pennsylvania 5 (“WPAUMF”) provide similar foundation related services to the United Methodist churches, agencies, individuals, and 6 organizations that share common bonds and convictions, and 7 WHEREAS, UMSF and WPAUMF are the only two United Methodist Foundations that primarily serve clientele within the 8 Commonwealth of Pennsylvania, and 9 WHEREAS, the Board of Directors of UMSF and the Board of Directors of WPAUMF mutually agree that joining the two 10 organizations would provide the greatest opportunity for benefit to the churches, agencies and individuals of the Susquehanna 11 Annual Conference and the Western Pennsylvania Annual Conference, and 12 WHEREAS, a sufficient period of due diligence research and discovery has been fully executed by an independent consultant 13 with expertise in such matters, to the satisfaction of the Joint Merger Ad Hoc Committee made up of directors of both UMSF and 14 WPAUMF, and 15 WHEREAS, the UMSF Board of Directors voted on February 24, 2021 and the WPAUMF Board of Directors voted on 16 February 25, 2021 to approve a combination of the two organizations, resulting in a merger of UMSF with and into WPAUMF, 17 with the WPAUMF being the surviving entity, and with all UMSF’s assets, property, and other business operations joining assets, 18 property, and other business operations of WPAUMF 19 THEREFORE BE IT RESOLVED, pursuant to the Articles of Incorporation of UMSF and upon the recommendation of 20 the UMSF Board of Directors, and the WPAUMF Board of Directors, UMSF shall be merged with and into WPAUMF, with 21 WPAUMF being the surviving entity, all UMSF assets, property, and other business operations joining assets, property, and other 22 business operations of WPAUMF and with WPAUMF, as the surviving entity, continuing to serve and act as a supporting 23 organization for the Western Pennsylvania Annual Conference. 24 BE IT FURTHER RESOLVED, that upon Susquehanna Annual Conference Approval and Approval by the Western 25 Pennsylvania Annual Conference that a merger be effectuated, and Articles of Merger be filed with the Commonwealth of 26 Pennsylvania. 27 BE IT FURTHER RESOLVED, that the Board of Directors of WPAUMF, as the governing body of the surviving entity, 28 shall take such actions, enact such policies, and execute such documents as are necessary or convenient to effectuate the intention 29 of the foregoing resolutions. 1 Res-9 United Methodist Stewardship Foundation and United Methodist Foundation of Western 2 Pennsylvania Agreement and Plan of Merger ACTION: 3 4 AGREEMENT AND PLAN OF MERGER 5 6 This Agreement and Plan of Merger (“Agreement”) is effective this ____ day of ______, 2021, by and between the United 7 Methodist Foundation of Western Pennsylvania, a Pennsylvania nonprofit corporation with its principal office located at 223 Fourth 8 Avenue, Suite 707, Pittsburgh, PA 15222 (“WPAUMF”), and The United Methodist Stewardship Foundation, a Pennsylvania 9 nonprofit corporation with its principal office located at 3901 Hartzdale Drive, Suite 110, Camp Hill, PA 17011 (“UMSF”). 10 11 BACKGROUND 12 13 A. The WPAUMF and the UMSF each provide similar foundation-related services to the United Methodist churches, agencies, 14 individuals, and organizations that share common bonds and convictions. 15 16 B. The WPAUMF and the UMSF are the only two United Methodist Foundations that primarily serve clientele within the 17 Commonwealth of Pennsylvania. 18 19 C. The WPAUMF and the UMSF mutually agree that merging the two organizations would provide the greatest 20 opportunity for benefit to the United Methodist churches, agencies and individuals of the Western Pennsylvania Annual Conference 21 (“WPAC”) and the Susquehanna Annual Conference (“SAC”). 22 23 D. As such, the WPAUMF and the UMSF each approve the merger upon the terms and conditions set forth in this 24 Agreement. 25 26 Now, therefore, in consideration of the premises and mutual agreements, provision and covenants contained in this Agreement, 27 the parties agree as follows: 28 29 1. The Merger. 30 31 1.1 WPAUMF Member Meeting. The WPAUMF is a supporting organization of the WPAC. The WPAC is the 32 sole member of WPAUMF and must approve any fundamental changes to the WPAUMF. WPAUMF shall request that WPAC 33 adopt legislation approving the within described merger at WPAC’s annual meeting scheduled to occur no later than December 34 31, 2021. 35 36 1.2 UMSF Member Meeting. The UMSF is a supporting organization of the SAC. The SAC is the sole member of 37 UMSF and must approve any fundamental changes to the UMSF. UMSF shall request that SAC adopt legislation approving the 38 within described merger at SAC’s annual meeting scheduled to occur no later than December 31, 2021. 39 40 1.3 Filing of the Statement of Merger. Following the adoption of the within described plan of merger by the 41 WPAC and the SAC, then, WPAUMF shall cause the Statement of Merger substantially in the form of Exhibit “A” to be filed 42 with Department of State of the Commonwealth of Pennsylvania. 43 44 1.4 Certain Effects of Merger. Upon the effective date set forth in the Statement of Merger, the separate existence 45 of UMSF shall cease and shall be merged into WPAUMF. WPAUMF shall be the surviving corporation. All right, title, and 46 interest in and to all of the property, whether tangible or intangible, real or personal, of the UMSF shall be vested in the 47 WPAUMF, as the surviving corporation. All liabilities of UMSF shall be assumed by WPAUMF. At any time, or from time to 48 time, after the date of merger, the last acting officers of UMSF or any of the corresponding officers of the WPAUMF, may, in the 49 name of UMSF, execute and deliver all such proper deeds, assignments and other instruments, and take or cause to be taken all 50 such further or other actions WPAUMF, as the surviving corporation, may deem necessary or desirable in order in order to vest, 51 perfect or confirm in the surviving corporation title to and possession of all of the UMSF’s rights, title and interest in and to its 52 property and to otherwise carry out the purposes of this Agreement.

1 2. Governance Matters. 2 3 2.1 Name of Surviving Corporation. The name of the surviving corporation from and after the date of merger shall be “United 4 Methodist Foundation of Pennsylvania” until such name may be changed in accordance with the Bylaws and applicable law. 5 6 2.2 Articles of Incorporation. The Articles of Incorporation of the surviving corporation from and after the date of merger shall 7 be the Articles of Incorporation of the WPAUMF in effect on the date of merger until restated or amended in accordance with the 8 Bylaws and applicable law. 9 10 2.3 Bylaws. The Bylaws of the surviving corporation from and after the date of merger shall be the Bylaws of the WPAUMF in 11 effect on the date of merger until restated and/or amended in accordance with Bylaws and applicable law. 12 13 2.4 Board of Directors. The Board of Directors of the surviving corporation from and after the date of merger shall be the 14 Board of Directors of the WPAUMF then serving on the date of merger. Each such director shall serve in accordance with the 15 Bylaws and applicable law. 16 17 2.5 Officers. The Officers of the surviving corporation from and after the date of merger shall be the Officers of the WPAUMF 18 then serving on the date of merger. Each such officer shall serve in accordance with the Bylaws and applicable law. 19 20 2.6 Member. The sole member of the surviving corporation from and after the date of the merger shall be the WPAC 21 until such time as the member of the surviving corporation changes in accordance with the Bylaws and applicable law. 22 23 2.7 Supporting Organization. The WPAUMF, as the surviving corporation, shall continue to serve as the supporting 24 organization of the WPAC from and after the date of merger. In addition, from and after the date of the merger the WPAUMF 25 shall serve the current geographic area of the SAC. 26 27 3. Representations and Warranties. Each party represents and warrants to the other the party the following: 28 29 3.1 Corporate Organization, Standing and Power. Each party is a corporation duly organized, validly existing and in good 30 standing under the laws of the Commonwealth of Pennsylvania. Each party has all corporate power and authority to own its 31 properties and to carry on its business as now being conducted and is duly qualified to do business and is in good standing in the 32 Commonwealth of Pennsylvania. 33 34 3.2 Authorization. Except with regard to approval of the WPAC and the SAC, as set forth in this Agreement, each party has 35 all the requisite corporate power and authority to enter into this Agreement and to carry out the transactions contemplated herein. 36 This Agreement is the valid and binding legal obligation of each party enforceable against each of them in accordance with its terms, 37 except as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization or similar laws that affect creditors’ 38 rights generally. 39 40 3.3 Non-Contravention. Neither the execution, delivery or performance of this Agreement nor the consummation of the 41 transactions contemplated herein will: (a) violate any provision of the articles of incorporation or bylaws of the party; (b) be in 42 conflict with, or constitute a default, however defined (or an event which, with the giving of due notice or lapse of time, or both, 43 would constitute such a default), under, or cause or permit the acceleration of the maturity of, or give rise to, any right of termination, 44 cancellation, imposition of fees or penalties under, any debt, note, bond, lease, mortgage, indenture, license, obligation, contract, 45 commitment, instrument or other agreement or obligation to which such party or its properties or assets is or may be bound; (c) 46 result in the creation or imposition of any encumbrance upon any property or assets of such property; or (d) violate any applicable 47 law.

48 3.4 Litigation. There is no legal, administrative, arbitration, or other proceeding, suit, claim or action of any nature or 49 investigation, review or audit of any kind, or any judgment, decree, decision, injunction, writ or order pending, noticed, scheduled, 50 or, to the knowledge of such party, threatened or contemplated by or against or involving such party, whether at law or in equity.

51 3.5 No Broker or Finder. No broker, finder or investment banker is entitled to any brokerage, finders or other fee or 52 commission in connection with the merger or any of the other transactions contemplated by this Agreement.

1 4. Additional Matters Pertaining to the Merger. 2 3 4.1 Provisions in Bylaws. Effective on the date of merger, the Bylaws shall include, among others, the following 4 provisions: 5 6 (a) the SAC shall be entitled to recommend up to one-third (1/3rd) of the directors of the WPAUMF, provided however, 7 that if the SAC fails to make such appointments within the timeframe set forth in the Bylaws, those positions shall be filled by the 8 WPAC; 9 10 (b) the WPAUMF shall maintain a satellite office within the current geographical boundaries of the SAC on and after the 11 merger; and 12 13 (c) the WPAUMF shall have at least one full-time employee who primarily works from the satellite office located in the 14 current geographical boundaries of the SAC. 15 16 5. Miscellaneous. 17 18 5.1 Termination. This Agreement may be terminated by either party at any time prior to being approved by both the WPAC 19 and the SAC. In the event this Agreement is terminated, then the contemplated merger under this Agreement shall be terminated 20 and abandoned. 21 22 5.2 Counterparts. For the convenience of the parties hereto and to facilitate the preparation of documents, and number of 23 counterparts hereof may be executed, and each counterpart shall be deemed to be an original instrument. 24 25 5.3 Entire Agreement. This Agreement constitutes the entire agreement among the parties and supersedes all prior and 26 contemporaneous negotiations, agreements and understandings, written or oral, of the parties pertaining to the subject matter 27 hereof. This Agreement may not be modified other than by an agreement in writing signed by each of the parties hereto. 28 29 5.4 Governing Law; Jurisdiction. This Agreement and the legal relations among the parties shall be governed by and construed 30 in accordance with the internal substantive laws of the Commonwealth of Pennsylvania (without regard to the laws of conflict that 31 might otherwise apply) as to all matters, including without limitation matters of validity, construction, effect, performance and 32 remedies. The parties agree that any suit, action or proceeding seeking to enforce any provision of, or based on any matter arising 33 out of or in connection with, this Agreement or the transactions contemplated hereby shall be brought in the District 34 Court for the Western District of Pennsylvania or the Court of Common Pleas of Allegheny County, and each of the parties hereby 35 irrevocably consents to the jurisdiction of such courts (and of the appropriate appellate courts therefrom) in any such suit, action 36 or proceeding and irrevocably waives, to the fullest extent permitted by law, any objection that it may now or hereafter have to the 37 laying of the venue of any such suit, action or proceeding in any such court or that any such suit, action or proceeding brought in 38 any such court has been brought in an inconvenient forum. 39 40 5.5 No Third-Party Beneficiaries. Nothing in this Agreement will entitle any person or entity (other than the parties to 41 this Agreement and its respective successors and assigns) to any claim, cause of action, remedy or right of any kind. 42 43 5.6 Headings. 1. Board of Pensions 1 The work of the Board of Pension and Health Benefits strives to care for those who care for the church and annual conference. Our 2 primary task is evaluating and adapting the conference offered healthcare and pension plans to meet the needs of the recipients and plan 3 for the future. Additionally, the board provides educational opportunities within the annual conference supplied by Wespath to increase 4 every clergy person’s knowledge and participation in their own pension and healthcare plans so they can continue to give their lives to 5 Christ for decades to come. To this end, we strive to fulfill the Conference’s mission to connect with one another and the world and 6 grow by caring for spiritually transformational leaders. 7 2020 was a difficult year for the board and the annual conference, as we adopted a 20% decrease in the HRA stipends for retirees and 8 their spouses, which was reflected in the CF&A budget for 2021. As a reminder, HRAs - Health Reimbursement Accounts - for those 9 retiring from full-time service in ministry and their spouses, are cared for through our connection in the annual conference through 10 Shares of Ministry. The HRAs serve as a stipend to help purchase a medicare supplement plan. The amount of HRAs is based on tiers 11 created for years of service. This decision was reached after over a year of faithful, prayerful discussion. The board considered many 12 options about the retiree stipend while holding in tension the reality that many of our local churches are seeing an increased cost in shares 13 of ministry, as there are simply less churches to apportion the costs between. In addition, the trend within our annual conference is 14 decreased worship attendance and membership, which results in less people being able to absorb these increased costs. The Board’s deeps 15 desire is to be faithful to our current retirees and our local churches, and this decision was not reached lightly. 16 This year the board is submitting another difficult, but prayerfully discerned action before the annual conference - for the 2021 Retiring 17 Class, only those retirees who are 65 years of age or medicare eligible before July 1, 2021 will be eligible to receive the Conference Retiree 18 Health Benefit. The retiree's spouse will then receive the Conference Retiree Health Benefit as he or she becomes eligible. Those retiring 19 after July 1, 2021, and their spouses, will no longer receive a Conference Retiree Health Benefit. This action was discussed both in the 20 2020 Big Financial Picture meeting prior to the 2020 Annual Conference Session, as well as at the session itself. The Book of Discipline 21 states that the board must provide access to retiree healthcare but does not stipulate what this looks like or a specific dollar amount. 22 Therefore, the Board started reaching out to other annual conferences, doing research, and being in prayer with an attitude of discernment. 23 As previously stated, the board deeply wishes to preserve and prolong the benefit for our current retirees as long as possible. We also 24 recognize the cost of retiree health care is placing an ever-growing burden on our local churches through Shares of Ministry that our 25 churches cannot withstand. These issues coupled with the amount being pulled from our reserves annually to cover expenses is not 26 sustainable. 27 As one final note, the board would like to welcome our new WesPath liaison for our annual conference, Mr. Andy Sroka. 30 Part I. Main Actions of the Board 31 32 1. The Annual Corporation meeting of the Susquehanna Conference was held virtually on October 3, 2020. The following were 33 elected as members of the Board of Trustees: Virginia Bailey (Lewisburg), in the class of 2022; Roger Mackey (Harrisburg), in the 34 class of 2023. Todd Christine (Altoona), Joseph Layman (Harrisburg), William Keiser (Williamsport) in the class of 2024. Laura 35 Stewart resigned on November 23, 2020. The 2020 Annual Conference session confirmed the other board members from 36 previous elections. 37 2. At the virtual Reorganization Meeting of the Board of Trustees on October 13, 2020 the following officers were elected for 2020- 38 2021: Rev. Mark Shover, President, Mr. Bill Keiser, 1st Vice-President, Mr. Dale Chomas, 2nd Vice-President, Mr. Joseph Layman, 39 Secretary.

The Board oversaw the maintenance of (7) district parsonages and (2) staff parsonages, expending a total of $145,560 41 allocated as follows: $ 25,430 for maintenance, $27,321 for capital improvements, $56,235 for taxes and $36,574 for utilities. This 42 total was $7915 less than the $153,475 spent in 2019.

43 4. Two churches completed their requirements for disaffiliation, per PP2553 of the United Methodist Book of Discipline and our 44 Susquehanna Annual Conference Disaffiliation Agreement, Waterfall Zion on November 24, 2020 and Singer’s Gap on December 45 3, 2020.

46 5. Due to the anticipated growth in the number of closed churches the Board began directly working with A. Anthony Corporation 47 on October 22, 2020 by giving them Beach Haven UMC. Since that time, they were also given Mainville UMC, and the plan 48 currently is to give them future closed churches.

1 6. The Board oversees the facility needs of the Conference Center. In 2020 major renovations were completed which included 2 complete change out of the Federal Pacific electrical panels, added electrical surge protection, lighting improvements, and window 3 restoration work amounting to approximately a $160K capital investment. A current study continues to plan for future capital 4 needs. Our sincere thanks to Mr. Mike Ogden (Harrisburg) for significant oversight of this work for the Conference Center.

5 7. The Board approved the 2020 Offering Circular for the Loan Committee on November 12, 2020.

6 8. The Board continues to oversee the work of the Property and Casualty Insurance Committee. A report from this committee is 7 attached to this report. Engle-Hambright & Davies is our Insurance Broker and Philadelphia Insurance Company is the Insurance 8 Carrier. Our sincere thanks to Lew Parks for the oversight on this committee.

9 9. The Board elects the Conference’s voting representative on the United Methodist Workers’ Compensation Trust that we 10 participate in with several other Conference-related United Methodist Corporations. The Board receives regular reports from

The Board of Trustees had three Seedling Investments: $311,918 in the District/Staff Parsonage Capital Reserve; $102,197 13 in the Board of Trustees Fund, and $419,867 in the Property and Casualty Insurance SAM Reserve. Reflected in the Seedling 14 investments is interest earned on these accounts and reinvested totaling $15,485. 15 11. On December 31, 2020 the Board had three Investments with the Stewardship Foundation: Crane Trust with a market value of 16 $1,465,026; Snyder Trust with a market value of $965,052 and Kanarr/Gouldin Endowment Fund with a market value 17 of $132,300. Four percent of the average income from the Crane and Snyder Trusts is distributed to designated Benevolent 18 Homes. In the year when the market value of the Kanarr/Gouldin reaches $100,000 on December 31, the following year 19 income will be made available to the Appointive/Program Cabinet of the Susquehanna Conference for creative ministry 20 12. The Board of Trustees is in the process of selling the Vital Congregations Director’s parsonage at 214 Hope Drive, Boiling 21 Springs, PA. The property was sold for $425,000 with an anticipated closing on April 2, 2021. 22 13. The Board of Trustees now under the new requirement of PP 1504.23 in the United Methodist Book of Discipline will be paying 23 unfunded pension liability out of the closed church proceeds. If the 44 mission of the church is to make disciples of Jesus for the transformation of the world, the work of this committee is to ensure that the 45 mission goes forward in spite of the vicissitudes of nature and the actions or failure to act of fallible humans. The committee adopts a 46 posture of being alert and responsive to present realities while trying to anticipate emerging needs. 47 All four regular meetings of the PCIC as well as several special meetings of a subcommittee this past year were conducted virtually. 48 The regular meetings included detailed reports on the budget and premium participation by the churches. Claims from the various 49 coverage areas of the program were reviewed: property, casualty, directors and officers, automobile, cyberattack, elevators, and boilers. 50 An ongoing program of appraising all conference properties was monitored. A list of risk and critical risk recommendations was reviewed 51 and new programs for loss prevention were approved and implemented. A subcommittee chaired by Mike Ogden was created to assess 52 the performance of the broker of the program as well as invite other brokers to bid on the program. The decision on the broker will be 53 finalized by annual conference. 54 There were no major property claims in the 2020 insurance year and other claims were at a moderate level. But there have been 55 developments in the larger insurance market that have driven up premiums. The committee, through its broker, will place the insurance 56 program out for bid through the existing or new broker this summer in the hope of tempering the sharp increases in premiums over the 57 past two years. 58 Linda Willis has reached the limit of her term on the property and casualty committee. Linda served several years as vice-chair of the 59 committee and throughout her time has been a source of critical questions and wise observations speaking from the perspective of her 60 career in insurance and her love of the local church. 1 Item 2: General Policy 2 At the 2019 Session of the Susquehanna Annual Conference, the following general policies were adopted. (Please note: These policies 3 are compiled and updated from policies previously approved in 1997, 2012, and 2018.) They are printed here for convenience. 4 5 General Policy 6 Council on Finance and Administration 7 8 The Council on Finance and Administration (CF&A) makes the following recommendations to the Annual Conference for consideration 9 and action: (Please note: These policies are compiled and updated from policies previously approved in 1997, 2012, and 2018. 10 11 1. All pastors/lay members shall call to the attention of their local administrative body (ex. Church Council, Administrative Board, 12 Leadership Team, etc.) and local church treasurers that Shares of Ministry shall be remitted at least monthly to the Conference 13 Treasurer along with the church’s premiums for Property and Casualty Insurance, Health Insurance and Pension Payments. 14 • Contributions to benevolences shall not be used for any causes other than that for which they were given. 15 • In order that all phases of our church administration be conducted with good business procedure, it is expected that each 16 local church pay their Shares of Ministry, insurance responsibilities and pension payments in full. Failure to complete these 17 connectional responsibilities will require that the local church prepare a remedial plan to address its financial situation. This 18 plan will be shared by the pastor with the District Superintendent and with the CF&A, and will be reviewed at the church’s 19 annual church conference until the church is 100% in compliance. 20 21 2. In the event payments of Shares of Ministry fall short of the Budget, the CF&A shall determine where to adjust the Budget. 22 23 3. In the event that funds received in the Benevolence Budget exceed actual expenditures, then the additional funds shall be distributed 24 within Conference Benevolence as determined by CF&A. 25 26 4. The line items for Social Ministries and Health Care Ministries will be administered by a grant process by the Missional Board. 27 28 5. All requests for conference funds for inclusion in the Conference’s Annual Budget shall be submitted to the CF&A for review and 29 recommendation, as according to the CF&A’s budget proceedings, before being presented to the Annual Conference for adoption. 30 Failure to submit a request may necessitate the proposed ministry being removed for consideration from the conference budget for 31 that year. In order to be good stewards of God’s resources, all requests for funds will include an evaluation of past and current 32 ministries, and the missional reasons for new ministries. CF&A will encourage all agencies, committees, boards, and commissions 33 to begin to work on a quadrennial budget plan in order to be more financially responsible and to be better stewards of God’s 34 resources. 65

1 2 6. In case of oversight of any essential budgetary item, the CF&A is authorized to make such adjustments as necessary. 3 4 7. In compliance with the 2016 Book of Discipline, the Council draws attention to disciplinary paragraph 614.5.a and b, regarding 5 conference-wide appeals. Appeals approved by the Annual Conference must be implemented within the next conference year. 6 a. No Annual Conference agency or interest, including any related agency or institution such as a school, college, university, 7 hospital, home, housing project, or other service institution, shall make a special Conference-wide appeal to the local churches 8 for funds without the approval of the Annual Conference upon recommendation of the CF&A, except in case of an extreme 9 emergency, when such approval may be given by a two-thirds vote of the District Superintendents and of the CF&A, acting 10 jointly. Neither shall special Conference-wide appeals to local churches for funds be made by such boards, interests, agencies, 11 or institutions that are not related to the Annual Conference in which the appeal is to be made, unless approval for such an 12 appeal is granted by the Annual Conference upon recommendation of the CF&A. 13 b. When application is made to the Council for the privilege of a special Conference-wide financial appeal, whether by special 14 collections, campaigns, or otherwise, the CF&A shall investigate the application and its possible relation to other obligations of 15 the Conference, and in the light of the facts, make recommendations to the Conference for its action and determination. If 16 application for privilege of a special appeal is made directly to the Conference, the application shall be referred to the CF&A 17 before final action is taken. 18 19 8. No board, commission or committee shall be entitled to payment of a deficit not previously authorized or as approved by CF&A. 20 21 9. No unused funds of any budgetary line item (unless specifically permitted by the Discipline, or action of the Annual Conference, 22 or exempted by CF&A) can be carried over from one year to the next. Funds are only available for the budgeted year. 23 24 10. Funding for any task force established in the Annual Conference without funding from their own administrative account must be 25 authorized by CF&A. 26 27 11. In compliance with auditing procedures recommended by the Auditor of our Conference funds, all vouchers presented to the 28 Treasurer, including miscellaneous items, shall include the date of purchase, the name of the item or service purchased, and required 29 signature(s). 30 31 12. Mileage for conference employees for reimbursement shall be paid at the rate set by the Internal Revenue Service. Expenses will 32 be reimbursed only upon submission of a travel voucher. 33 34 13. Volunteers eligible for travel reimbursement for official meetings of Annual Conference agencies shall be paid at the rate set by the 35 Internal Revenue Service. Expenses will be reimbursed only upon submission of a travel voucher. The Council strongly urges 36 carpooling when practical. 37 38 14. Pastors shall be compensated for services rendered. Pastors shall not receive salary payments in advance. 39 40 15. The Annual Conference through Shares of Ministry shall pay for the cost of a pastor’s move according to the moving policy of the 41 Annual Conference. 42 43 16. Retired clergy or the surviving spouse of clergy shall be eligible to receive one retirement move as according to the moving policy 44 of the Annual Conference. This retirement move unrelated to an appointment must occur within five years of the annual conference 45 at which their retirement was recognized. When a pastor is going to or returning from sabbatical leave, leave of absence, retirement, 46 special assignment, or incapacity leave, the cabinet shall be authorized to negotiate the amount of reimbursement for the cost of 47 the move. 48 49 17. In keeping with good business procedure and the 2016 Book of Discipline, paragraph 258.4a, all financial income in the local church 50 shall be counted by two or more unrelated persons. 51 52 18. Each local church will conduct an Annual Audit that will be shared with the District Superintendent and at the church’s next annual 53 charge conference for adoption and review. 66

1 2 19. All statistical reports shall be submitted to the Conference Finance Office by January 31. Shares of Ministry are calculated using 3 selected statistical data submitted by each pastor on these End-of-Year reports. 4 5 20. Expenses associated with church-provided pre-school, day-care, elder-care, and college campus ministries under direct, complete 6 and active control of the local church shall be included in statistical information. Exemptions for these expenses from the 7 calculations for Shares of Ministry must be included in the designated section of the statistical report. 8 9 21. The formula for calculating Shares of Ministry shall be recommended by the CF&A and approved by the Annual Conference. 10 11 22. In recognition that members attending the Annual Conference sessions receive some financial support through the Conference 12 Budget, each member shall be required to pay the additional costs to attend Annual Conference at the time of the pre-registration 13 application. This fee will be calculated annually by the Conference Sessions Committee. 14 15 23. The CF&A encourages all conference committees, agencies, boards, and committees to move to electronic forms of communication 16 whenever possible. 17 18 24. New Church Starts and New Sites/Fresh Expressions: Over the decades of our history, we know starting new congregations that 19 flourished and became active participants in the ministry and mission of the United Methodist Church (and its antecedents) was and 20 continues to be a blessing, not only to our journey together, but also to the entire world. As we look to the future, it is incumbent 21 on us to encourage, start, and support new opportunities to grow communities of faith. In order to accomplish this, and over a 22 period of years enable these new opportunities to flourish and in turn support the shared ministry and mission of the Annual 23 Conference, the following will guide churches in how new beginnings will figure into the calculations of the Annual Conference 24 Financial Plan and shared by all through Shares of Ministry: 25 26 A. New Church Starts - New Church starts will have no Shares of Ministry for the first year. After one year, they will tithe their 27 offerings (with the exceptions of restricted endowments and missional money going outside church expenses) to the Annual 28 Conference until they are chartered. After chartering, they will be phased in to paying their full Shares of Ministry starting at 29 25% and increasing 25% over the following three years until their Shares of Ministry are being paid in full. 30 B. New Sites and Fresh Expressions - New Sites and Fresh Expressions approved by and through the local congregation and 31 approved by the Full Cabinet; new site/fresh expression costs in the first year will be exempted from church expenses and 32 considered a missional expense. For the next two years, they will tithe the income of the site/fresh expression to the Conference. 33 Following the second year, the costs associated with the new site/fresh expression will be phased into the base church’s yearly 34 expense at a rate of 25% per year until all expenses of the new site/fresh expressions is considered part of the base church’s 35 financial calculations.
