1. INTRODUCTION

The Tourism Development Corporation of Punjab (hereinafter referred to as "TDCP") has advertised the Expression of Interest (EOI) for the “Hiring of Consultancy Firm/ Joint Venture”(The selected firm shall therefore, be responsible for Transaction Advisory Services) to invite application from prospective bidders (herein after referred to as "Applicant") to conduct Feasibility and Designing For Development of Tourist Resort/ Entertainment Park & at Uchali Lake, Soon Valley District Khushab (PPP Mode) (herein after referred to as “Assignment”).The underlying EOI Document is in accordance with Punjab Procurement Rules 2014. The short- listed applicants will only be issued the “Request for Proposal” regarding this assignment. The draft Terms of Reference of the assignment are attached as Annex-1 for the understanding of the assignment by the Applicant and the final Terms of Reference will be provided in the “Request for Proposal”

2. RATIONALE The Tourism Development Corporation of Punjab is an autonomous body incorporated under the Companies Ordinances 1984 on 10th December 1986. The Corporation is governed by Managing Director under the administrative control of Secretary, Government of the Punjab, Youth Affairs, Sports, Archaeology & Tourism Department. Major decisions are taken by the Board of Directors (BOD) under the Chairmanship of Chief Minister Punjab.

TDCP plays a crucial role in coordinating and supplementing the efforts of the Government in strengthening promotional and marketing efforts, catalyzing private investment and in providing trained manpower resources. TDCP has Tourist offices at various places in Punjab which are responsible for providing information service to tourists, tourism promotion and marketing in their respective areas.

3. KEY OBJECTIVES

The major objectives of the assignment is to:

a) To engage International/National consultancy firm/Consortium to conduct comprehensive feasibility study through Private Interventions b) To provide state of the Art and well managed recreational touristic facilities to the local population of District Khushab and surrounding areas at Uchali Lake, Soon Valley. c) To efficiently utilize the resources of the Government in a revenue generating activities.

4. APPLICANT

A Prospective Bidder may be a single entity or may take the form of a consortium comprise of companies, firms, corporate bodies or other legal entities.

Each Consortium shall appoint and authorize one (01) lead member (hereinafter called as "Lead Member") to represent and irrevocably bind all members of the Consortium in all matters connected with the short listing, including but not limited to the submission of the EOI Application on behalf of the Consortium.

After short-listing, any change in the composition of the Consortium (except lead member) will be subject to approval from the TDCP.

5. SHORT-LISTING CRITERIA

The short-listing criteria for the evaluation of applicants are based on the company / consortium’s experience, technical ability and financial capability. Detail of short listing criteria is attached as Annex 2.

The short listed consultancy firms will be issued RFP of the assignment.

6. INELIGIBILITY OF A PROSPECTIVE BIDDER

If the Applicant / Consortium member has been barred from participating in any project by the Federal , Provincial or local government or government instrumentality in Pakistan or in any other jurisdiction to which the Applicant or a Consortium member belongs or in which the Applicant or a Consortium member conducts its business, whereas the bar subsists as on the EOI Application Submission Deadline, such entity shall not be eligible to submit Application for EOI, either individually or as a Consortium member.

7. PREPARATION COSTS

The Applicant shall bear all costs associated with the preparation and submission of this EOI Application, all costs and expenses related to the Applicant’s preparation of responses to questions or requests for clarification.

8. LANGUAGE

The EOI Application and all related correspondence and documents must be written in English. Supporting documents and printed literature furnished by Applicant with the EOI Application may be in any other language provided that they are accompanied by appropriate translations of the submitted documents in English and being duly certified. Supporting materials, which are not translated into English, will not be considered for short listing purpose.

9. CLARIFICATIONS

The Applicant requiring any clarification on the EOI documents, may send a request for clarification to TDCP at the address given below on or before ten (10) days of application submission date:

The copies of the response, including an explanation of the query but no identification of its source (the "Response to Questions Document"), will be sent on or before seven (07) days of application submission date to all Applicant who has obtained the EOI Document and will form part of the EOI Document. If similar or repeated queries are made by Applicant, those queries may be listed as one query and responded once.

11. SUBMISSION OF EOI APPLICATION

a) Format and Signing of the EOI Application i. Each Applicant shall prepare and submit one (1) printed original, two (2) printed copies and (1) electronic copy (on DVD, CD or USB drive) of its EOI Application, clearly marking each one as "Original", "Copy No. 1", "Copy No. 2", etc., as appropriate. In the event of any discrepancy between the copies and the original, the original shall govern. ii. The original and all printed copies of the EOI application shall be typed or written in indelible ink. The person or persons duly authorized shall sign the EOI application by: a. Signing the original EOI Application; and b. Initialing all the pages of the EOI document. iii. The relevant EOI application shall contain no alterations, omissions or additions, unless such corrections are signed by the person or persons duly authorized. iv. The information to be provided within the DVD/CD/USB shall contain non-compressed and un-protected files in printable formats. Furthermore, the DVD/CD/USB must be free from virus.

b) Sealing and Marking of EOI Applications

i. The Applicant shall seal the original EOI Application and each copy in separate envelopes, each containing the documents specified in the EOI application. The envelope bearing original documents shall mark "EOI Application - Original" on the front. Likewise, the copies submitted must mark "EOI Application - Copies" (all duly marked as required herein). should be submitted to the TDCP enclosed in a single envelop bearing the words "HIRING OF CONSULTANCY FIRM".

ii. The inner envelope shall each indicate the name and address of the Applicant (in case of a Consortium, the name and address of the Lead Member) to enable the relevant EOI Application to be returned unopened if it is declared "late". iii. The DVD/CD/USB requested shall be submitted with the printed EOI Application as provided in Annex 3. For the avoidance of doubt, it is expressly specified that the Prospective Bidders shall not be allowed to submit their EOI Applications by e- mail or fax.

c) Application Submission Date and Time EOI applications should be submitted via post or in person on or before 02:00 P.M 20th September, 2018 to the office of Chief (P&D) TDCP 151-Abu Bakar Block New Garden Town, Lahore in the manner and form as detailed in this EOI document. The applications submitted electronically will not be considered for evaluation and short listing. However, TDCP, Lahore reserves the right to extend the EOI application submission Date and Time, at any time prior to opening of EOI applications. d) List of Supporting Documents

12. EVALUATION OF EOI APPLICATIONS

The TDCP will open the applications for the short listing as per Punjab Procurement Rules 2014 and will subsequently examine and evaluate EOI Applications in accordance with the criteria mentioned in Annex 2.

13. ANNOUNCEMENT OF SHORT LISTED APPLICANT

After the evaluation of EOI Applications, the TDCP will announce a list of “Shortlisted Applicants” Bidders who meet the evaluation criteria. “Request for Proposal” for the said assignment will be issued only to the “Shortlisted Applicants”.

Annex 1: Draft Terms of Reference

DRAFT TERMS OF REFERENCES (Final Terms of Reference will be given in the RFP Document)

Pakistan has great potential for Eco-tourism, enriched with natural resources that include mountains, valleys, lakes & rivers, deserts, and a wide diversity of flora and fauna. Soon valley is one among the beautiful places of Punjab containing important lakes/wetlands and biodiversity. It is situated in the north-west of District Khushab of Punjab. District Khushab is centrally located in the Province of Punjab near the west bank of River Jhelum between & Mianwali Districts. It has a distinctive position amongst the other Districts of the Punjab Province due to its terrain and topography. It has mountains, scenic valleys, lakes, fertile plains, desert and river. The Soon Valley starts from village and ends in which is the highest peak of (5010 feet above sea level) having three important lakes i.e. Uchali, Khabeki and Jhalar lake along with some beautiful places like Chitta, Kufri, Anga, Ugali, Mardwal, Dhadhar, Bagh Shams-ud-Din, Kanhati Garden, Sodhi Garden, Da'ep and Sakesar.

The District is full of natural beauty containing River Jhelum, Fields, Mountains (Sakesar) and . Parts of the Thal desert touch the District and River Jhelum runs alongside making it highly fertile for agriculture.

The Soan Valley is in the north west of . It is adjacent to Salt Range and Potohar Plateau. Its largest settlement is the town of Naushera. Total population of the Valley including Moharr is about 248,320. The valley extends from the village of Padhrar to Sakesar, the highest peak in the Salt Range. The valley is 35 miles (56 km) long and has an average width of 9 miles (14 km). It covers a 300-square-mile (780 km2) area. Soon Valley has much scenic beauty, with lakes, waterfalls, jungle, natural pools and ponds. Uchhali is a saltwater lake in Soan Sakaser Valley in the southern Salt Range area. This lake is formed due to the absence of drainage in the range. Sakaser, the highest mountain in the Salt Range looms over the lake. The peak of Mount Sakesar is at 5,010 feet (1,530 m) above sea level. It was once the summer headquarters of the Deputy Commissioners of three districts – Campbelpur (now Attock), Mianwali and Shahpur (now Sargodha). It is the only mountain in this part of the Punjab which receives snowfall in winter.

Soon Valley is accessible through public transport from (M2 Balkasar Interchange), Lahore (M2 Kallar Kahar Interchange) Sargodha, Khushab and Mianwali. The distance from Islamabad is 290 km, from Lahore is 300 km and from Sargodha is 120 km. It has three lakes namely Khabbeki, Uchali and Jahlar. The Soon Valley provides a unique sanctuary for a variety of migratory birds in winter. It consists of beautiful lakes, waterfalls, forests, natural pools and ponds. Soon Valley is also blessed with ancient civilisation, natural resources and fertile farms offering visitors a unique experience of extraordinary serene landscape. Thus, development and management of these resources will lead to socio–economic benefits while maintaining cultural integrity, essential eco-system, and bio-diversity with life support systems. A project was initiated in 2014-15 through ADP Scheme in form of PC-I by the Tourism Development Sign & Stamp of Applicant u Expression of Interest “Hiring of Consultancy Firm/Consortium” Page 10 of 27

Corporation of Punjab for preservation, development and beautification of Soon Valley known for its natural beauty. In the first phase. The Kenhati Garden, Khabeki Lake was developed. Activities proposed for Tourism Promotion at Khabeki Lake includes Cafes &Restaurants, Bird Watching Towers, Boatig, Cycling, Board Walks Jetties and Eco-Tours. Directional and Informational Sign Boards for the visitors were also installed on the major roads and internal roads of Soon valley for the guidance of visitors. An advertising campaign was launched for publicity of the beauty and attraction of the Soon valley. TDCP also intends to develop a Tourist Resort at Uchali Lake. For this purpose, TDCP has purchased a piece of land measuring 160 Kanals at Chitta Village adjacent to the Uchali Lake at prime location for construction of a Tourist Resort. Notification under Section 4 and under Section 17 & 6 has already been issued. Copies of these notifications are enclosed.(Annex-A) District Collector, Khushab is processing to issue award and transfer of land in the name of TDCP. The master plan for development of resort at Uchali Lake has been prepared by the consultants appointed under the main project. The scope mentioned in the master plan is as under: • Construction of Chalets • Restaurant • Tourism Information Centre • Parking Area • Lakefront boardwalk and allied facilities • Trekking Tracks with varying distances and levels of difficulty • Boating Jetties • Bird Watching Towers • Gazebos and Benches • Other activities for entertainment

Objectives of the Project: The objectives of private interventions for this project are as under:- a. To create a fiscal space for the Government in order to allocate scarce resources to other developmental needs b. To provide state of the art and well managed Tourist Resort at Uchali Lake to facilitate the Tourist at the beautiful and prime location. c. To efficiently utilize the resources of the Government in a revenue generating activities.

Benefits of the Project: a. The facility will be created through private investment. It would be well managed since the private investor would provide the well-equipped and state of the art facilities in order to attract maximum visitors. It will not only create profitability for the private investors but will also generate ample revenues for the Government. b. The Government resources, state land in this case, will be best utilized in terms of financial / monetary returns. c. To enhance and create business and job opportunities at Uchali Lake, SoonValley for local residents. d. It will provide a unique and state of the art resort at the remote area of the soon valley. Salient Features of the Project: • Construction of at least 10 Chalets. • A Restaurant. • An Information Centre. • A Parking Area, • Lakefront boardwalk and allied facilities. • Trekking Tracks with varying distances and levels of difficulty. • Boating Jetties • Bird Watching Towers • Gazebos and Benches. • Other activities for entertainment

The structural and architectural design of project will be finalized by the Transaction Advisor on the basis of detailed deliberations and site requirements. The Project will be conceived in a manner whereby the private sector will be responsible for BOT or other permissible modality. The TDCP will offer land to the successful bidder to construct aforementioned projects. The private party will recover its investment over the concession period via operating the Tourist Resort and allied facilities on commercial basis. At the end of the concession period (that will be long enough for the private party to recover costs) the entire system would revert to the TDCP.

Objectives of Hiring of Transaction Advisor/The Assignment: By virtue of the fact that TDCP has no expertise in dealing with the proposed intervention being new in nature, it has been planned to avail all possible technical assistance by hiring “Transaction-Advisor” in order to materialize the concept of Public Private Partnership. The objectives of hiring of Transaction Advisor are:

• To prepare a comprehensive feasibility for the project development under Public Private Partnership mode and implementation of the Project with private sector participation; • To prepare Project Proposal based on the feasibility study with concrete justifications; • To assist TDCP in obtaining required approvals / consents under the PPP Act, 2014 including the Steering Committee approvals; • To conduct pre-qualification of interested private investors, financial, technical & legal analysis of proposals, develop bidding documents and solicit bidder’s interest which leads to a successful Public Private Partnership contract between TDCP and the successful Private Investor.

Scope of the Assignment These Terms of Reference invite proposals from a team of suitably qualified and experienced financial, technical, and legal advisors. The scope of work is divided in the following two phases:

- Phase I: Project Development - Phase-II: Transaction Implementation PHASE-I: PROJECT DEVELOPMENT

Task 1: Kick-off Meeting Within one week of the award of the Assignment, the Transaction Advisor will conduct a kickoff meeting with the Client TDCP and its representatives. Objective of this meeting will be to discuss and finalize the detailed plan of activities proposed by the Transaction Advisor.

The meeting will cover the following: i. Review of the existing work and master planning done by the TDCP. ii. Review of the proposed methodology and requirements to complete the assignment; iii. Review of timetable of activities / milestones; iv. Review of the team organization and detailed functions of the team members; v. Discuss and finalize a communication strategy; and vi. Any specific issue requiring immediate attention of the Client.

Deliverables: 1. Detailed methodology and time schedule; 2. Completion dates for the Information Memorandum; 3. Communication strategy; and 4. A brief report on key issues

Task 2: Due Diligence During the process of due diligence, TA will liaise closely with TDCP and other relevant stakeholders and will visit the site to collect relevant information. The TA will also conduct desk review of similar facilities in Pakistan and around the world and present the best model for approval. The TA will conduct soft marketing to assess the appetite of potential investors.

Deliverables: 1. Due Diligence Report (Legal, Technical, Operational and Financial) including market assessment.

Task 3: Preparation of Feasibility Study, Preparation and finalization of Transaction Structure The Transaction Advisor will study and propose various alternative models of PPP to carry out project, covering all the legal, technical, and financial implications. TA will also determine the facilities requirement, size, capacity and a concept design with complete capital costs and study existing and future demand. A comprehensive financial model will be prepared that determines the optimal design parameters, service level, all risks assessment (identification, evaluation, estimation of risk cost and occurrence, mitigation and allocation) & cost analysis, cash flow, sensitivity analysis, capacity of the project to meet its obligations of lease payments to TDCP, Debt service coverage and Return on Equity (ROE) and all such financial and legal assessment. The TA will also conduct Geo-technical investigation to ascertain the bearing capacity of site for preparing designs. The detailed architectural, structural, plumbing design drawings and specifications will also be a part of feasibility study. Drafting of Procurement Documents TA will develop bidding documents including Draft Concession Agreement for implementation of the project based on PPP framework. Bidding documents will include following but not limited to:

Task 4: Approval of project by the PPP Steering Committee TA will assist TDCP to obtain approvals from the PPP Steering Committee.

Task 1: Communication Strategy for the project and Drafting of Information Memorandum (IM)/Investment Prospectus TA will assist TDCP for communication of the project to the potential interested bidders by circulating Information Memorandum (IM).

The IM will contain concise information about project and envisaged timelines. It will highlight salient features, financial viability, development plan, market soundings and appropriate solution for project development as well as broad terms & conditions and draft transaction documents for the execution of the project.

Deliverables 1. Information Memorandum; and 2. Communication strategy, advertising, marketing and implementation plan.

Task 2: Procurement Process Transaction Advisor will assist TDCP in drafting of pre-qualification and bid documents, EOIs advertisements, conduct pre-bid meeting, bid evaluation, selection of successful bidder and signing of Concession Agreement. Recommendations, preparation and issuance of Letter of Invitation (LOI) to the successful bidder and any other activity required under similar transactions.

Deliverables: 1. Pre-qualification Report of Potential Bidders including evaluation of RFQs furnished by Bidders and short-listing of Bidders, recommendations for pre-qualification of Bidders and presentation to TDCP for seeking approval of said recommendations; 2. Pre-bid conference after issuance of the RFP to pre-qualified Bidders; 3. Bids evaluation and selection and appraisal/approval of Successful Bidder; 4. Consolidated report which includes Bids evaluation, selection/appraisal of Successful Bidder, final agreement and the process of selection; and 5. Letter of Invitation (LOI)/Letter of Award (LOA)

Task 3: Deal Closure and Signing of the Concession Agreement After selection and approval of successful bidder, Transaction Advisor shall assist TDCP: . General Conditions

1. A committee constituted will oversee the project. The Steering Committee will meet at designated place to review each deliverable. The proceeding of the committee will not be affected due to lack of quorum. Failure on part of any of the member of the committee to submit the comments in prescribed time period will be assumed to be concurrence with the contents of the deliverables. Committee will be comprised of the following: - Managing Director, TDCP In Chair - General Manager (Operations) Member - General Manager (Finance) Member - Chief (P&D), TDCP Member - Manager (P&D), TDCP Member 2. The overall scope of work of Consultant shall be dependent on the decision of the PPP Steering Committee. The assignment of Consultant may close at this stage if PPP Steering committee does not approve the Project for implementation. 3. The PPP Act, 2014 or its latest amendments, if any, shall govern the overall process of PPP Project. 4. The amendments as required either by TDCP or other relevant forum including PPP Cell, Risk Management Unit and PPP Steering Committee shall be considered as part of TORs. 5. Five hard copies and one soft copy of each draft document mentioned under deliverables will be submitted to the Client. The Client will offer its comments and recommendations. The Consultant shall incorporate these to the draft final documents. After incorporation of The Client comments, the Consultant shall submit 5 hard copies and one soft copy of each of the final documents to the Client. 6. All documents shall be prepared in English and submitted on electronic media along with required number of hard copies. 7. All the data, documents and reports produced by the Consultant for the said services shall be the property of the Client. The Consultant shall not share and use any data, document and reports for any other purpose / job without the explicit written approval of the Client. 8. TDCP will nominate one Project Manager to liaise with TA on all activities pertaining to this assignment. The manager will be responsible for providing technical inputs and information to the advisor on the project. The manager will assist in securing appointments with Government ministries and Departments, as may be required. 9. The Consultant shall begin this assignment as soon as TASA is signed.

Transaction Advisor Profile/ Personnel Requirements The Transaction Advisor must have proven Technical, Financial and Legal expertise. Brief Requirement of all expertise is as under: a) Team Leader/Transaction Advisor

• Master in Environment Sciences/ Tourism & Hospitality Management/ Project Management/ MBA (Minimum 16 years of Qualification). • Minimum of 10 years experience preferably related to similar assignments, experience of developing projects on PPP mode is mandatory. • Hands on experience in structuring of PPP transaction, drafting of project proposal, holding of bidding process and facilitation in bid negotiation process is required.

b) Tourism Development Expertise:

• Qualification Must have Degree in Tourism (Minimum 16 years of Qualification) • Track record of Tourism Development expertise required for at least 8 to 10 years • Must have degree in tourism of recognized national or international Institute. • Must have experience in the tourism and infrastructure sector • Knowledge of tourism industry and development of touristic options and ecotourism without disturbing the natural ecosystem. • Process and facilitation in bid negotiation process is required.

c) Technical Expertise:

• Pakistani or International consultants having degree in Engineering preferably Civil Engineering, having experience in Tourist Resort Development. • 8-10 years demonstrative experience in similar assignments. • Proven experience in preparation of technical and feasibility studies, site investigations, conduct surveys, developing detailed designs, assessing the potential risks of specific projects, as well as risk management in specialist roles. • Proven experience in preparation, integration, development and management of plan for infrastructure projects. • Experience of preparing development projects on Public-Private-Partnership modes, especially infrastructure projects. • Knowledge of adoption of all relevant requirements around issues such as building permits, environmental regulations, sanitary design, good manufacturing practices and safety on all work assignments. • Experience in development of funding mechanism of projects related to infrastructure development. • Experience to conduct research in the area of weed biology and ecology in agricultural and non- agricultural systems. Which include molecular biology, whole plant physiology, ecosystem scale and precision agriculture techniques. • Experience in production and utilization of agronomic and turf-grass crops. d) Financial Expertise:

• Pakistani or International consultants having degree in Finance, Statistics, Economics, Mathematics, Accounts, Business administration etc. Professional Qualification holder like CA, CIMA would be given preference (Minimum 16 years of Qualification in relevant field). • 8-10 years demonstrative experience in similar assignments • Proven experience in developing and presenting financial strategies and plans for infrastructure projects. • Expertise to conduct feasibility surveys, economic and financial modeling. • Knowledge of financial modeling, financial planning, financial markets and general economic conditions. • Expertise in risk assessment and formulation of remedial / risk mitigation plans. • Experience of financial modeling of development projects on Public-Private-Partnership modes, especially infrastructure projects.

e) Legal Expertise: • Pakistani or International consultants having advanced degree in law (Minimum 16 years of Qualification in relevant field). • 8-10 years demonstrative experience in similar assignments. • Experience of identifying and analyzing legal issues; negotiating and drafting key documents; writing, reviewing, and editing reports, opinions, correspondence, articles, and other documents. • Must have complete knowledge of prevailing Public Private Partnership Act and all other relevant rules and laws. • Broad understanding of domestic legislation of relevance to the Public Private Partnership led programs’ implementation, for example, the Labour law, environmental laws, and legislation dealing with land use. • Must be able to provide legal advice on issues related to government contracts, third party commercial contracts, fiscal law, and corporate records management etc. • Can prepare documentation covering all legal aspects in a presentable form before the Provincial Steering Committee. • Experience of participation in negotiations, and tendering arrangements / contracts for the implementation of the infrastructure projects on PPP Modes. f) Agronomist/ Horticulturist:

• M.Sc Agriculture Engineering. (Minimum 16 years of Qualification in relevant field). • 8-10 years demonstrative experience in similar assignments. • Expertise in existing fruits, crop, plants at site. • Expertise in selection of plants as per site requirement.

• Master’s degree in Environmental Engineering / Environmental Sciences. • 8-10 years experience related to environment management and natural resource management • Preferably having experience of preparing IEE/ EIA reports. deciding on the best data collection methods • conducting field surveys and collecting data • conducting lab tests on water, air and soil samples • interpreting data to identify whether contamination exists in accordance with environmental laws • building conceptual models that identify the potential contaminant sources that could have an adverse impact on the environment
