SECTION 1 Proposal Transmittal Letter

PROPOSAL TRANSMITTAL LETTER

This Section shall include the completed Proposal Transmittal Letter. The Proposal Transmittal Letter (See Proposal Form 1, appended to this RFP) and all attachments thereto must be signed by a representative of the Proposer who is empowered to sign it and to commit the Proposer to the obligations contained in the Proposal.

A completed Certificate of Authorization, which is included as Attachment 1 to the Proposal Transmittal Letter, must also be submitted in this Section. If the Proposer is a partnership, the Proposal shall be signed by one or more of the general partners. If the Proposer is a corporation, an authorized officer shall sign his or her name and indicate his or her title beneath the full corporate name. Anyone signing the Proposal as an agent must file with it legal evidence of his or her authority to execute such Proposal.

Proposers shall attach a sample insurance certificate and a letter from the surety named in the Proposal Transmittal Letter, confirming Proposer’s bonding capacity.

A complete list of key personnel indicating name of individual and their role shall be provided in Attachment 2 to the Proposal Transmittal Letter and be submitted in this Section. In submitting the identity of any such individuals, the Proposer commits to the Owner that such individuals will remain on the Project in accordance with the requirements of the Agreement. Proposers shall attach a copy of their hourly rates schedule.

In Attachment 3 to the Proposal Transmittal Letter, Proposers shall include a copy of any Ohio licenses and certificates of registration held by the Proposer and the individuals named in Attachment 2 which are related to the Work to be performed on the Project, including any architectural and engineering licenses of the professional engineer(s) and or architect(s) that will sign the design drawings and/or documents must be given responsible charge for the design work and shall be licensed in the State of Ohio. Provide proof of current registration for all such professional engineer(s) and/or architect(s).Proposers shall submit a properly completed Delinquent Personal Property Tax Affidavit in the form included in Attachment 4 to the Proposal Transmittal Letter.

Re: Proposal for the Medina Courthouse Project (the Project)

Gilbane Building Company (the “Proposer”) hereby submits its Proposal in response to the Request for Proposals (“RFP”) for the Medina Courthouse Project issued by the Owner November 5, 2019. As a duly authorized representative of the Proposer, I hereby certify, represent, and warrant as follows in connection with the Proposal: 1. The Proposer acknowledges receipt of the RFP and the following Addenda: No. Date 0 0 2. The submittal of the Proposal has been duly authorized by, and in all respects is binding upon, the Proposer. Attachment 1 to this Proposal Form is a Certificate of Authorization which evidences my authority to submit the Proposal and bind the Proposer. 3. The Proposer has reviewed all of the engagements and pending engagements of the Proposer and no potential exists for any conflict of interest or unfair advantage. 14. No person or selling agency has been employed or retained to solicit the award of the Agreement under an arrangement for a commission, percentage, brokerage, or contingency fee or on any other success fee basis, except bona fide employees of the Proposer. 15. Proposer accepts all of the terms and conditions of the RFP, including without limitation those dealing with the disposition of Proposal security. This Proposal will remain subject to acceptance for the time period set forth in the RFP. Proposer will sign the Agreement and will furnish the required security and other required documents within the time periods set forth in the Agreement. 16. The Proposer has visited the Site and become familiar with and is satisfied as to the general, local, and Site conditions that may affect cost, progress, and performance for the Work. 17. The Proposer is familiar with and is satisfied as to all Laws or Regulations that may affect cost, progress, and performance of the Work. 18. Proposer does not consider that any further examinations, investigations, explorations, tests, studies, or data are necessary for the determination of this Proposal for performance of the Work at the price(s) and within the times and in accordance with the other terms and conditions of the Agreement.

The Proposer has obtained and carefully studied (or assumes responsibility for having done so) all additional or supplementary examinations, investigations, explorations, tests, studies, and data concerning conditions at or contiguous to the Site which may affect cost, progress, or performance of the Work or which relate to any aspect of the means, methods, techniques, sequences, and procedures of construction to be employed by Proposer, including applying the specific means, methods, techniques, sequences, and procedures of construction expressly required by the Agreement to be employed by Proposer, and safety precautions and programs incident thereto. 20. Proposer has correlated the information known to Proposer, information and observations obtained from visits to the Site, reports and drawings identified in the RFP and Agreement, and all additional examinations, investigations, explorations, tests, studies, and data provided by the Owner. 21. Proposer has given the Owner written notice of all conflicts, errors, ambiguities, or discrepancies that Proposer has discovered in the Agreement, and the written resolution thereof by the Owner is acceptable to Proposer. 22. The Agreement is generally sufficient to indicate and convey understanding of all terms and conditions for the performance of the Work for which this Proposal is submitted. 23. The Proposer has carefully examined all documents constituting the RFP and the Addenda thereto and, being familiar with the Work and the conditions affecting the Work contemplated by the RFP and such Addenda, offers to furnish all plant, labor, materials, supplies, equipment, facilities, and services which are necessary, proper, or incidental to carry out such Work as required by and in strict accordance with the RFP and the Proposal, all for the prices set forth in the Proposal Forms. II. DETAILED DESCRIPTIONS OF PRECONSTRUCTION SERVICES

COURTROOM BEST PRACTICES

Gilbane applies relevant lessons learned and best practices collected from previous experience and the Correctional Center of Excellence to ensure watch-outs are avoided and the most advantageous approaches taken. With over 100 lessons learned on courtrooms in our database, the team will implement best practices on the Medina County Courthouse project. Our team members have managed projects similar to yours all over the country and Medina County will benefit greatly from this experience. ERGONOMICS AND FLEXIBLE COURTROOMS Explore use of adjustable height countertops at the bench and clerk station and the option of bench-top monitor trenching to minimize the height of the monitors. Create additional mock-ups for the security command center where multiple monitors have to be viewed simultaneously and mock-up accommodating the clerk of the court public stations. MOCK TRIAL IN COURTROOM – Construct a physical mock courtroom or utilize a virtual mock-up to evaluate adjustments to heights, widths and locations to immediately see the impact to the end user, allowing for adjustments to be made before installation. ANTICIPATING FUTURE TECHNOLOGY – Explore degrees of functionality between raised-access flooring, a grid of recessed raceway and fixed floor boxes. Provide access panels in bench casework and platforms to allow for easy distribution of new cabling. Provide extra cooling capacity and rack space in IT closets. Provide extra capacity in cabling pathways. PLANNING FOR PROPER ACOUSTICS – Add sound vestibules between the courtroom and adjacent holding and public spaces to minimize unwanted noise. Control sound transmission between attorney and client interview rooms at in-custody areas. Evaluate costs of various sound absorptive and reflective materials, appropriate STC wall assemblies around courtrooms, white noise masking and sound amplification systems. Use the same subcontractor to seal all penetrations in the sound walls to ensure consistency. MAXIMIZING SECURITY – Evaluate impacts of after-hours use and multipurpose spaces to building security. Evaluate universal screening verse bypass aisles, single point of entry, mail screening, exterior material selection, CPTED, blast protection and crash bollards. Consider providing food services inside security to prevent the need to leave the building at lunch.

When used, the project team gains the advantage of the trade contractor’s knowledge at a competitive price at a time it can be most effective – as design is still underway. Design-assist trade contractors work with us and the design team to make design decisions enabling the incorporation of project systems, products, and details to be the highest level of quality, for the best value to the client, fully coordinated between all systems, in the fastest time possible. Gilbane actively engages the design-assist partners to discuss pros and cons of each key building system allowing the team to make conceptual changes in advance rather than require a redesign later. Once we’ve established a list of subcontractors to bid the work, Gilbane will then prequalify the firms using our on line iBidPro procurement system. Gilbane will develop a purchasing strategy for buying out the work, working with Brandstetter Carroll, Inc. to identify the Design Releases for bidding and awarding the work and what items of work should be shown on the drawing in each particular Release to coincide with our bid package breakdown. Gilbane will also work with the County and the local newspapers to run Bid Advertisements for each Bid Release prior to release of the bid documents. After receipt of the bid documents from Brandstetter Carroll, Inc., Gilbane i.BidPro will post the documents on a secure ftp site for the qualified bidders to Gilbane’s online procurement system, access. Gilbane will work with the design team, owner, and local authorities having Jurisdiction and co-lead the project’s quality management team. As the construction manager, Gilbane will develop, lead, and coordinate all aspects of the Quality Management effort for the project, working together with the design team. Gilbane will conduct a Quality Management Team kick-off meeting at the onset of the project followed by weekly meetings to monitor the Quality Management Plan.

QUALITY-IN-CONSTRUCTION (QIC) PROGRAM Gilbane quality team will develop a Quality-In-Construction (QIC) Program as our formal Quality Assurance and Quality Control plan for the construction phase. It works to assure that Medina County receives the highest quality building product through a more highly coordinated involvement with the building contractors. These QC inspections are performed by a designated inspection team composed of authorized representatives from Medina County, Gilbane, the design team, the trade contractor(s) whose work is being inspected, and others as may be required. Many of the QC activities will overlap with the requirements of the commissioning plan for the project, and Gilbane will be coordinating these activities to assure that there is no redundancy and that Medina County is not paying twice for the same work.

Quality Control: Requirements LEAN APPROACH The QC plan will be organized by CSI Specification division, with each Proactive and Preventative component within the division identified by name and subdivision number, by type of inspection or test required, by test parameter and reporting required, and by requirements for sign-off and acceptance. Chad Stevers | Project Executive Chad is a seasoned construction executive with a solid background working in Ohio and brings recent, relevant courthouse experience to the Medina County Courthouse project. He will provide the team with leadership and best practices in ensuring the Courthouse project is smoothly run and will be an advocate for Medina County throughout the project.

Keri Ash | Senior Project Manager Keri, senior project manager, will manage the project under Chad. A seasoned builder, Keri has a strong background in historic renovations. She is able to manage the large scope of the project, applying best practices for active site construction and high-quality, state-of-the- art facilities. Keri’s abilities and familiarity with the project site make her the perfect project manager for the Medina County Courthouse project.

Lane Brubaker, STS | Superintendent As superintendent, Lane will oversee the preparation of the site utilization and logistics planning, traffi c fl ow and parking plans for the Medina County Courthouse project to determine the most effi cient use of the site, and will control the project in the fi eld. During construction, he will oversee safety, site utilization and quality. Lane brings intimate knowledge of courthouse construction projects from his time on several criminal justice projects, most notably the Seneca County Justice Center and Franklin County Courthouse projects. He understands how to ensure safety and minimal disruption on a tight site. Mike Smith| Superintendent Mike is detail-oriented and possesses proven management and organizational skills. He communicates skillfully with subcontractors to ensure that the work executed and the materials used are in strict accordance with the contract documents and submittals, scheduling requirements and safety standards. Working with Lane, Mike will conduct regularly scheduled job meetings for on-site personnel and assist with maintaining daily progress reports for subcontractors to ensure schedule, safety and quality program expectations are met.

Chris Kowalczyk| Project Engineer Chris brings his experience in implementing project controls and strong profi ciency with the Procore project controls software to provide timely and current project information to all members of the project team. As the project engineer, he will be responsible for review of all contract drawings and specifi cations for completeness and constructability. He will also review of all scopes of work to ensure that all labor, material and equipment necessary for the project have been purchased and are in accordance with the contract documents.

Jeff Hutchison| Preconstruction Manager Jeff will lead the coordination of all design-phase activities including: scope defi nition; estimating and value analysis; constructability review; scheduling; quality and safety programs; regulatory compliance; and planning requirements to ensure a seamless transition into the procurement and construction phases.

Tom Leonard| Courthouse Estimator Tom will work closely with Medina County staff , Brandstetter Carroll, Inc. Gilbane team members and other key stakeholders to generate critical cost estimating, value analysis and constructability information at regular intervals, keeping the project on track. Tom will coordinate a team of in-house civil, structural, architectural, mechanical, fi re protection/ plumbing and electrical estimators to develop various estimates. He will support subcontractor qualifi cation, bidding, bid scope reviews and lead the development of a GMP within budget.

Ed Paradise LEED GA | Estimator Ed brings comprehensive knowledge from estimating similar correctional projects and a history of highly accurate estimates from earliest possible stages. 3. MINIMIZING IMPACT TO OWNER’S OPERATIONS Evident from our past project experience, Gilbane has extensive experience working in occupied correctional facilities. A close-knit knowledge sharing approach by Gilbane enables project teams to utilize a vast database of lessons learned in addition to their own expertise and experience, to continuously improve our project deliveries as we find improved ways to minimize disruption to on-going building and correctional operations. We recognize two critical aspects are managing construction activities in an occupied correctional facility and or campus; seamless communication with all stakeholders associated with the building. We will closely coordinate with the department heads to develop and maintain communication protocols that will work for the building. The following specifics will be addressed within the process: ›› All utility interruptions and shutdowns will be identified well ahead of time during the planning phase. This allows for multiple shutdowns to be coordinated and co-related so the total number of interruptions to building operations can be minimized. Where applicable, options for temporary utility plans will be proposed for discussion with the affected departments. For critical utility outages, we routinely conduct “Method of Operation” pre-conferences with all stakeholders, also addressing a recovery plan in the event of an unforeseen situation. ›› “Quiet Hours” will be established to avoid heavy construction during critical times. We understand that demolition activities are permitted during regular hours and therefore, special care will be taken to prevent excessive noise, control dust and to isolate vibrations. ›› A primary focus will be keeping all security systems 100% operational during the construction process and through the transitions from the existing to new buildings. ›› Another important aspect of a well thought out logistics plan is temporary signage. It is important to install highly visible signage identifying changes in their surroundings and to hold planning sessions well in advance to notify them of the upcoming changes. ›› One major issue on urban sites is heavy vehicular and pedestrian traffic. We attribute a lot of our success to a clear plan that is well thought out and flawlessly executed. On each urban site, we develop a thorough logistics plan that includes buy-in from all the stakeholders and we ensure all of our trade contractors clearly understand what is expected in terms of parking, material delivery and staging, safety procedures and temporary measures to maintain the necessary separation between the work and the public.

Potential Change Item Summary and Potential Change Item Audit Report The Potential Change Item Summary and Potential Change Item Audit Report are two reports most effectively used together. Events that have the potential for a change in scope are identified with a potential change item number. The Potential Change Item Summary Report provides a listing of these items to provide a general order of magnitude overview of the budget cost and extent of potential out-of-scope work. The Potential Change Item Audit Report shows the status of all potential changes and identifies how they have been incorporated into the Project Management Cost Report. Cash Flow Projections The Cash Flow Projection Report is developed in conjunction with the Primavera scheduling system at the onset of the project. By loading the schedule with the cost of individual trade packages, Gilbane projects the cost of construction by month. As the project progresses, our financial management system tracks trade cost to date against the projected cost.

MECHANICAL AND ELECTRICAL COST MANAGEMENT Our team is deeply entrenched in the details with a clear understanding to allow for each phase to move forward smoothly and on budget. As the detail level increases, we complete in-depth document reviews for feedback on items impacting budget (positive and negative), “what if” scenarios, constructability vetting, and construction discipline coordination. This also ensures the team members complete open items positively affecting not only the budget, but schedule as well. The architectural design can significantly impact the mechanical/electrical distribution costs (due to equipment location as well as means and methods) and the distribution can, in turn, affect the direction of the architect. These premiums need to be accounted for from the very beginning through the following methods: ›› Identify if the M/E design team has a history with the architect on their projects. This is helpful to understand the working relationship and the ability to communicate effectively and candidly. ›I› nvolve M/E estimators early to work closely with the M/E designers while the conceptual or SD narrative is being developed, not afterwards. SELF PERFORMING Gilbane does not self-perform trade contractor work as we believe that only a non self-performing construction firm can truly act on the owner’s behalf 100% of the time, looking out for the owner’s best interest and not their own. For example, during the construction manager selection process, there are opportunities to “reallocate” costs from CM services to a self-performing bid package later in the project, be it with regards to labor, general conditions, etc. This puts the other competing CM firms at a disadvantage and ultimately skews the bid process. In today’s business climate, the owner has to be sure the entire procurement process can stand up to scrutiny. In the end, while it may appear that the client is paying less for CM services up front, they will most likely pay for that difference, and more, during the buyout of the work. By taking a hard line stance with regards to self-performing work on our jobsites, we are communicating to our clients that their best interest will be the top priority in every negotiation, change order review, and meeting in which we participate on the project. Our open book policy alleviates any concern that we are “reallocating” costs elsewhere and provides complete transparency throughout the life of the program.

G.O. CONSTRUCTION SERVICES In 2011, Gilbane formed G.O. Construction Services, a wholly-owned subsidiary of Gilbane Building Company that provides jobsite safety, general labor, carpentry, final clean-up and trash removal on project sites across the country. Over the last eight years, Gilbane has utilized G.O. Construction Services to improve local workforce utilization on our projects and drive economic development. Since this change, Gilbane’s projects have created more local jobs than ever before. Look at any construction site you visit. Construction Services (with Medina County’s approval) to install temporary protection around work zones, construction rough and finish clean, general cleaning of work zones, installing and maintaining construction access points, and general safety and protection work. Due to the existing synergies between G.O. Construction Services and Gilbane superintendents, effective execution of these key control measures required to isolate the construction activities will significantly minimize impact on the occupied facility. 1. Provide your plan for prequalifying Subcontractors in accordance with Ohio law including (1) general and Project specific prequalification criteria, (2) activities for developing prospective bidders’ interest in the Project, and (3) the Proposer’s evaluation processes.

Chad Stevers | Project Executive Chad is a 24-year construction veteran with extensive experience serving as project executive during preconstruction, procurement, GMP development and construction phase activities. As project executive, Chad will provide the leadership to ensure a collaborative team approach with Medina County and Brandstetter Carroll, Inc. to ensure that all parties are working toward common goals and objectives. Chad is accountable for the overall management and administration of the project from contract award through fi nal acceptance and occupancy. He is responsible to direct and implement activities necessary to achieve Medina County’s goals on the courthouse project. Chad will provide continuity between the preconstruction and construction phases of this project. The 2011 Engineering News-Record, pavilion also links the existing jail to the new courthouse through a Midwest secure underground-tunneling system, which allows detainees to be transported to the courts without vehicle assistance. An uninterrupted flow of traffic on the street was maintained throughout the tunnel construction. An entire city block of surface parking was transformed into a community centerpiece displaying high-quality urban spaces with an entrance fore court, pocket park, seating terrace, and streetscapes, all with a focus on sustainable design. Seneca County Justice Center Tiffin, Ohio

Management at-Risk The new courthouse is a four-story, structural steel facility with two masonry elevator shafts (one single cab and one double cab) and two, masonry stairwell shafts. The facility contains two holding cells on a recessed portion of the main floor, followed by one holding cell on the remaining levels. The building has a brick veneer exterior and a mansard roof. On the west side of the building, a Lady Justice Statue resembling the statue on the previous courthouse was installed on the new clock tower. Gilbane included students from Sentinel Career and Technology Center’s building/construction, CAD, and electrical trades programs to visit the new courthouse site.

Confirm that all information provided in the Proposer’s SOQ remains true and accurate, or, if any such information is no longer true or accurate, then provide updated information that is true and accurate. As it pertains to the financial information submitted in the SOQ, Proposers are required to notify the Owner in this Section of any material change in the financial position or condition of the Proposer and provide an explanation of those changes. The Owner may require the submission of additional information. The information provided in the SOQs was used as a basis for short-listing Respondents. Therefore, any changes to the Proposer’s financial information, project team, including key staff, or relevant project experience, may result in a disqualification of the Proposer if found to be unacceptable by the Evaluation Committee.
