The meeting was called to order at 6:14 p.m. by Commissioner Nunley standing in for Chairperson Taylor. Chairperson Taylor arrived at this time and requested for Commissioner Nunley to continue to preside over the meeting.

Motion - Chairman Nunley proposed a motion to bring Ms. West forward at this time, Commissioner Sanders seconded, and the motion was passed unanimously. Ms. West introduced herself and brief discussions occurred prior to retiring to executive session at 6:54 p.m. and returning at 7:42 p.m.

Motion: Commissioner Sanders made a motion to approve the August 28, 2013 International Airport Commission Meeting Minutes and the September 7, 2013 Public Workshop meeting minutes, Commissioner Gallaher offered a second, the minutes were passed by unanimous vote.

Commissioner Sanders questioned if we had received notice yet, Ms. Grafton said we have not received any notice as of today

FedEx

Commissioner Sanders asked the status of Fed Ex. Ms. Grafton said FedEx is in the process of requesting the additional funding necessary to complete the facility. Additional discussions occurred about the type of facility Fed Ex is looking at for DRT operations. It was clarified they are looking at a customer intake facility along with freight sorting. Current operations are 2 caravans per day except during Christmas they operate 3 per day for a period of time.

8. Other Business

a. Del Rio International Master Plan 2013 – Discuss and Act – Recommend Adoption of the Del Rio International Airport Master Plan 2013

Some of the Commissioners conveyed that they were not comfortable at this point to recommend the adoption of the Master Plan and needed further time to review and consider.

Further discussions occurred about the assumptions of having air service. Clarification that the master plan is a plan which contains goals, all or some may be selected as the situation warrants and the City wishes. It was also clarified that the Master Plan is supposed to be updated every five years.

Discussions also occurred about the level of general aviation support and the possibilities that further compromises may need to be considered.

Details on the timeline along with the processes required if changes were going to be recommended were discussed.

Motion: Commissioner Gallaher made a motion to table the Master Plan until the next meeting Commissioner Martinez second the motion. – the motion passed by unanimous vote.

10. Schedule Next Meeting

Motion: Commissioner Paxton made a motion to conduct a special meeting on October 9, 2013 at 6:00 p.m. a second was offered by Commissioner Martinez. Commissioner Nunley acknowledged the motion and second and clarified that this would also qualify as the October meeting. The motion passed by unanimous vote. The Commissioners requested that not only the Master Plan be on the agenda for that night but also include discussions on the IAC policies and procedures.

Adjournment

Motion: Commissioner Nunley made a motion to adjourn with Commissioner Martinez offering a second. The meeting was adjourned at approximately 8:12 p.m. by unanimous vote.

Airline

 The City of Del Rio received notification on September 27th that it was awarded the Department of Transportation Small Community Air Service Development Program Grant.  Staff notified the airline of the award to which they responded “Congratulations!!!”  The airline reported that their Network Planners had received the information however the airline has limited resources (aircraft/personnel) at this time which would require the need to discontinue or reduce non-performing routes prior to be able to begin new service elsewhere.  It is important to note that our consultants the Boyd Group reported that it takes 6 months to get to this point which it has and upwards of 6 months to begin service which it may.  One other variable is the merger which could potentially slow the progress.

 Next Steps  Network Planners evaluate resources (aircraft/personnel)  Network Planners evaluate current route performances  Should the airline determine it has sufficient resources and is prepared to serve a DFW/DRT route a contract would be prepared for the City to consider, as required by the SCASD Grant.  If a contract is approved the airline would then come into the community to meet with businesses, city officials, civic groups and the public to assist in promoting the new service.

As part of the preparation we will begin gathering the financial commitments made and developing a marketing plan.

 The City of Del Rio received notification on September 27th that it was awarded the Department of Transportation Small Community Air Service Development Program Grant.  “We are pleased to inform you that your community has been selected to receive a fiscal year 2013 Small Community Air Service Development Grant. Attached is a copy of the Order announcing this year’s selections. Your grant agreement will be sent to you in October.”  On October 15th, 2013 The City Council authorized the City Manager to execute the grant agreement once received.  The airline was made aware and we are eagerly awaiting the grant agreement.

DRT selected to receive $500K grant Small Community Air Service Development Program Grant

DEL RIO, Texas (September 27, 2013) – The Del Rio International Airport (DRT) has been awarded a Small Community Air Service Development Grant (SCASD) from the Department of Transportation (DOT) in the amount of $500,000.

The grant will be used to help DRT work towards restoring commercial passenger air service, targeting the highly sought after market of Fort Worth. The grant funds awarded will allow the airport to have options when looking into airline incentives and marketing/advertising initiatives for new commercial passenger air service.

“We are very pleased to learn that the Small Community Air Service Grant was awarded to the City of Del Rio. This award clearly shows the support of Del Rio’s International Airport, as we look to restore air service in our community. We are very grateful to the Department of Transportation for their decision. Now the real work begins!” states Mayor Roberto Fernandez. “Thank you to all supporters of the application process including US Congressman Gallego and US Senator Cornyn, our State and local government, our local Chambers of Commerce, and public/private partnerships and individuals which have expressed financial contributions and support throughout the grant application process.”

The Small Community Air Service Development Grant Program, administered by the Department of Transportation is designed to help smaller communities enhance their air service and address issues related to regional and isolated . The DOT received 59 grant applications in total. Based on submissions, the DOT has awarded 25 grants to communities in 20 states totaling over $11 million in total grant awards. DRT is pleased to be one of the 25 recipients of the grant.

 The process of requesting the necessary additional funding to complete the DRT Project has successfully went through approximately 75% of the necessary approval processes.  The process that was expected to take approximately 2 to 3 months for a final determination appears to be moving at a much faster pace than predicted.  In the interim Fed Ex has renewed their on airport and off airport leases for a period of time  They have tentatively selected a development firm pending additional financing final approval.  The development firm could be approaching the City before years end to begin negotiations for a long term ground lease.

It has been 18 years since the last DRT Master Plan Update and much has changed.

Nearly all of DRT has been completely rebuilt over the past 18 years thanks to a tremendous amount of support from the Texas Department of Transportation Aviation Division, the Federal Aviation Administration Airport Improvements Program Division our many City Councilpersons and International Airport Commissioners over the years.

Through the Master Planning process nine major airport projects were completed, two Small Community Air Service Development Grants were developed and filed, talks with a new air carrier began and several operational milestones were accomplished.

The DRT Master Plan 2013 process without a doubt has been a lengthy process.

Many conditions have occurred during this planning period that has created a level of instability which resulted in quite a challenge during the planning process. The nationwide economic downturn, a general decline in aviation, airline mergers, airline bankruptcies, unreliable air service followed by the discontinuation of air service to name a few, all have had an influencing factor on the DRT Master Plan 2013.

It is through the support of the City Council, the commitment of the International Airport Commission and the involvement of the citizens that the DRT Master Plan 2013 is being recommended by the International Airport Commission for adoption.

December 22, 2010 IAC Status Report Airport Improvement Plan (Master Plan/ALP) (Attachment One- Letter) A meeting is scheduled with the City of Del Rio Economic Development Coordinator December 22nd The letter to City Council from the Commission in support of the ALP and the future development plans is attached for your review and approval. If approved, this will be presented to Council at the January 26th meeting along with a presentation providing additional supporting information gathered by staff and GRW Engineers.

January 19, 2011 IAC Status Report Airport Improvement Plan (Master Plan/ALP) Mr. Willis and Ms. Grafton will be providing a presentation to City Council on Tuesday January 25th at 6:30 p.m. at City Hall in Council Chambers. The Commissioners letter will be presented to Council and staff will be looking for direction from the Council on the T Hangar replacements and Fed Ex during this meeting. Affected T-Hangar owners will be invited to this Council meeting as well. All of the aerial photography has been delivered to GRW and is expected to be delivered to the airport this week in both AutoCAD and pdf formats. The pilot questionnaires have been mailed out.

4 10/22/13 February 23, 2011 IAC Status Report Airport Improvement Plan (Master Plan/ALP) 25% The presentation made for City Council on Feb 8th was well received. The original presentation was reduced to the 2010-2012 time frame to focus on the immediate needs related to the T Hangars and Fed Ex. Council requested more information related to cost estimates and funding (hard numbers) and has indicated they are willing to attend an airport work shop to discuss these opportunities as well as the full 5 year Capital Improvement Plan. The airport has received the aerial photo of the airport and is awaiting the delivery of the rest of the aerial photography. Quite a few of the pilot questionnaires have been received back and the predominant request for improvement users identified is for the airport to provide more hangar space.

March 23, 2011 IAC Status Report AIP (Master Plan/ALP) 40% The airport has received the aerial photo of the airport and is awaiting the delivery of the rest of the aerial photography. Pilot questionnaires have been placed at the FBO in an attempt to receive additional feedback. The airport has e-mailed to all DRT hangar owners and tenants the link where the questionnaires may be filled out on line.

April 27, 2011 IAC Status Report AIP (Master Plan/ALP) 60% The airport has received all of the aerial photography. Mr. Willis and Commissioner Paxton had a very informative meeting with individuals associated with the economic development association and the maquillas association in Acuna early April. Staff and GRW attended the annual Laredo economic development meeting last week. Both of these meetings have provided a wealth of economic information for the surrounding areas.

August 24, 2011 IAC Status Report AIP (Master Plan/ALP) 70% GRW and Staff have begun work on the Draft Airport Rules and Regulations which will be presented to the Commission once in final draft form for review.

September 28, 2011 IAC Status Report Master Plan/ALP 70% GRW and Staff continue to work on the Draft Airport Rules and Regulations which will be presented to the Commission once in final draft form for review and approval. Staff and GRW will be attending a meeting with FAA SW Regional office on September 27th to discuss environmental assessments as it relates to the Master Plan and ALP. Also to be discussed will be the Fed Ex Facility.

October 26, 2011 IAC Status Report Master Plan/ALP 72% GRW and Staff continue to work on the Draft Airport Rules and Regulations which will be presented to the Commission once in final draft form for review and approval. Staff and GRW attended a meeting with FAA SW Regional office on September 27th to discuss environmental assessments as it relates to the Master Plan and ALP.

November 30, 2011 IAC Status Report Master Plan/ALP 78% (Attachment 1) GRW and Staff continue to work on the Draft Airport Rules and Regulations which will be presented to the Commission once in final draft form for review and approval. GRW is working on the forecasted growth of the airport over the next 20 years.

5 10/22/13 GRW and staff collaborated on the potential future development of the property located at the intersection of Johnson Blvd and 10th Street. This property was initially thought to be only useful as a non-aviation property however after careful evaluation it was determined that it would serve as a very useful location for a permanent helicopter life flight station.

January 4, 2012 IAC Status Report Master Plan/ALP 80% GRW is processing all data gathered and is scheduled to have the preliminary Master Plan by mid to later part of February

May 30, 2012 IAC Status Report Master Plan/ALP 89% - A review of the Updated Master Plan/ALP is tentatively scheduled to be presented to the Airport Commission on June 28th with a presentation to City Council on July 10th.

A public meeting was held on April 6th to discuss the Draft Standard Leasing Policy, Draft Non Commercial Lease Agreement and the development and purpose of the Master Plan. 10 GA Hangar Tenants, 2 FBO, 1 Aviation Business were in attendance as well as 2 Commissioners, the City Engineer, Airport Manager and GRW. Productive discussions occurred for over 2 hours. Questions were answered and clarifications were made.

A significant amount of information was provided and Staff requested that each person in attendance review the documents more thoroughly and submit in writing either via e-mail or in person any comments or questions they may have on the information. 2 T Hangar tenants submitted written comments at the end of the meeting, all in attendance were given copies.

8 10/22/13 Further investigation into State Statue will occur and additional public meetings will be scheduled as needed. Tenants were highly encourage to attend all the Public International Airport Commission meetings which normally occur every 4th Wednesday of the month at 6:00 p.m. in the Terminal Building.

Additionally the 5 Year Historical airport operating and maintenance financials are being compiled.

Dear Mayor and City Council,

As you are aware the development of a major airport master plan, airport layout plan update for the Del Rio International (DRT) Airport began some time ago.

The DRT Master Plan 2013 process without a doubt has been a lengthy and at times challenging process. However, the time and commitment invested by all resulted in an engaged and focused planning process.

It has been 18 years since the last DRT Master Plan Update and much has changed in all aspects of airport operational and Federal Aviation Administration compliance criteria.

Nearly all of DRT has been completely rebuilt over the past 18 years thanks to a tremendous amount of support from the Texas Department of Transportation Aviation Division, the Federal Aviation Administration Airport Improvements Program Division, our many City Councilpersons, International Airport Commissioners and staff over the years.

DRT has developed into an airport with many major infrastructure improvements and future development options that we believe will prove beneficial for the aviation environment while continuing to play an important role as part of the Department of Transportation (DOT), Federal Aviation Administration (FAA) National Plan of Integrated Airport Systems (NPIAPS); an airport that will encompass the entire Southwest Texas Region.

Many conditions occurred during this master planning period that created a level of instability which resulted in major challenges during the planning process. The nationwide economic downturn, a general decline in aviation, airline mergers, airline bankruptcies, unreliable air service followed by the discontinuation of air service to name a few, all have had an influencing factor on the DRT Master Plan.

Throughout these challenges the Airport Commissions commitment has been to develop a carefully crafted, comprehensive plan for the future of DRT, with a focus on all facets of aviation, while at the same time taking into consideration the many FAA grant assurances and the financial commitments of the City of Del Rio.

It is through the support of the City Council, the commitment of your International Airport Commission and the involvement of the citizens that the DRT Master Plan 2013 herein presented is recommended to the Del Rio City Council for adoption.

. We are pleased to have served the City Council through this Master Planning process and would welcome any discussions regarding this matter.

Due to recent changes within the company GRW Engineers, Inc. informed the City that they were contemplating the closing of the Arlington office however their primary concern was for their clients being served from this office.

GRW Engineering’s, Inc. President and Staff discussed the options that were available to the City under the current contract for Professional Services.

1. Continue Contract: The City may seek to continue the contract with GRW Engineers, Inc. continuing to manage the contract with the resources being provided from the Lexington Kentucky office. 2. Assignment: The City may request to assign the contract under GRW to another professional firm that specializes in aviation. 3. Request for Proposals: The City may terminate the contract and seek new Requests for Proposals for professional services.

GRW Engineers and Mr. Willis had discussions and after careful consideration Mr. Willis concluded that he would bring his company CWA, Inc. back on line in order to ensure that the GRW clients being served out of the Arlington office would have the option to continue to be served with the same level of quality that was originally contracted for. Additionally GRW has agreed to provide whatever support may be necessary and agreed upon with CWA to perform specialized services such as aerial photography etc. to support of this contract.

GRW Engineers, Inc. has since made the determination to close the Arlington office effective Nov 30, 2013.

After careful review of the options available to the City staff concluded that Option 2 (Assignment of Contract) would likely be the most beneficial to the City and as such recommended this option to City Council at the November 12th City Council meeting so as not to further delay the FAA projects.

Further explanation is offered below as to why options 1 and 3 would not be as favorable for the City to consider.

Option 1. To continue the contract with GRW would likely not serve the City nearly as well due to the significant distance that would be required for GRW to travel in order to manage the contract which would result in additional costs associated with the contract. Option 3. Request for Proposals would be very time consuming, staff labor intensive and would require approximately 4 to 6 months to complete thus delaying FAA AIP Projects.

Staff reviewed the attached CWA Statement of Qualifications and are satisfied with the individuals proposed to be used as the specialized professionals/staff in the Proposed GRW Professional Services Agreement Assignment to Charles Willis and Associates, Inc.

All of the specialized professionals/staff are the same as submitted in the GRW SOQ with one exception, the replacement of the Architect from Jim Lacquement with Donna Austin of which staff has no objections to.

CONTRACT ASSIGNMENT

For good and valuable consideration, the sufficiency and receipt of which is hereby acknowledged by the parties hereto, GRW Engineers, Inc., (hereinafter “Assignor”) assigns, sells, conveys, and transfers all of Assignor’s interest to Charles Willis and Associates, Inc. (“Assignee”) in the following described contract:

Professional Contract For Consultant Architectural and Engineering Services by and between City of Del Rio, Texas and GRW Engineers, Inc., dated August 28, 2012. (the “Contract”).

Except as described below, Assignor agrees that all rights and obligations of Assignor arising under the Contract or otherwise by law or by the existence of conditions precedent, which may or may not have occurred as of the date of this Assignment, are hereby included in this Assignment and Assignee hereby agrees to accept same as if Assignee was an original party to the Contract; provided, however, that Assignor shall remain entitled to any compensation due under the Contract for work performed by Assignor prior to the date of this Assignment.

Specifically excepted from this Assignment are those portions of the Contract covering Assignor’s rights and obligations arising out of the: (1) Taxilane H Project of Construction Management, Over Sight and Close Out; and (2) Joe Ramos Center.

Assignee agrees to hold harmless and indemnify Assignor for claims, demands, causes of action, liabilities, liens or encumbrances of any kind arising out of Assignee’s performance of the Contract from the date of this Assignment forward. Assignor agrees to hold harmless and indemnify Assignee for claims, demands, causes of action, liabilities, liens or encumbrances of any kind arising out of Assignor’s performance of the Contract to the date of this Assignment.

This Assignment shall be binding upon and inure to the benefit of Assignor and Assignee and their respective affiliates, successors, assigns, heirs and devisees and legal representatives.

It is the intention of the parties that in the event a court of competent jurisdiction finds that any provision or portion of this Assignment is unenforceable for any reason, the balance and remainder of this Assignment shall remain effective and enforceable to the extent possible under the circumstances then existing.

This Assignment supersedes all prior and contemporaneous agreements and discussions of the parties hereto regarding the subject matter hereof and the Contract and, as written, constitutes the entire agreement of the parties.

The City of Del Rio, Texas has consented to this assignment as evidenced by the Ordinance attached as Exhibit 1 and the signature of its designated representative affixed below.

In response to the City of Del Rio’s Request for Statement of Charles Willis & Associates Inc. (CWA) Qualifications to provide Architectural and Engineering Services at Del Rio International Airport, I am pleased to submit herewith our qualifications. We believe that this submittal is responsive to all of the requirements of the City with regard to the assignment of the GRW, Inc. Five Year Professional Services Agreement to CWA.

As you know, GRW, Inc. is phasing out the Arlington, Texas office, and has asked the City to approve an assignment of existing five year agreement (dated 8/28/12) to CWA, Inc. We believe this assignment will result in a seamless transition to CWA, Inc. because the principal and consultant team are the same. GRW has agreed to support CWA, Inc. if needed in certain specialties, such as aerial photography, etc. It has been our pleasure to successfully accomplish a large number of projects for the City of Del Rio, and I believe that our performance during this time absolutely demonstrates our capability to meet all of the City’s requirements and needs for future assignments.

Our firm has the capability, experience and commitment to provide the City with strategies needed to accomplish the various projects anticipated to be undertaken within the five-year Capitol Improvement Program (CIP), and for those unanticipated projects which may develop over time. As you know, we have recently assisted the City in the preparation and submission of a new CIP to the FAA, and in the transition of the airport from TxDOT-Aviation grant administration to direct technical and financial relationships with the FAA Southwest Regional offices in Fort Worth.

Please note that for this submittal we have chosen to include the professional capabilities of four exceptional subconsultants, C.P. Crossno & Associates (Lighting, Electrical), Jose Soto P.E. (Civil Engineer), and Leibowitz & Associates (Financial, PFC’s). Their qualifications are included in Section One of this submittal.

We are strongly committed to in the public process, and have successfully accomplished public involvement and participation programs for a large number of complex, controversial projects, and are well known to many of the elected officials and Del Rio professional staff.

We have shown specific Del Rio International Airport experience in Section Two of this Statement of Qualifications; I am certain you will concur that our team has the relevant experience for the project.

The proposed project is, in fact, a team effort. The team is comprised of the City of Del Rio, the consultant, the airport users and, the FAA. Airport projects cannot be unilaterally done, particularly at Del Rio, where the issues surrounding the airport are anticipated to be of great concern to local and international interests and will require major community involvement in all significant decisions. We emphasize an interactive team approach to the future projects and complete involvement by the City, community leadership, airport businesses and users, and State and Federal agencies.

Our extensive use of company aircraft has proven to be a major advantage in the delivery of professional service as our offices are less than 2 hours away by air.

In order to further expand our capabilities in specialized expertise we have associated with Summit Consultants (MEP), Callahan Engineers (Structural), CP Crossno and Associates (Nav Aids/Lighting), Leibowitz & Associates (Financial/PFC’s) and Jose Soto, P.E. of AIM Engineering (Civil Engineering). Mr. Soto is a certified DBE, and we anticipate that we will be able to meet the required City DBE goals for future projects. Jose Soto P.E., AIM Engineering, Inc. (Certified DBE)

As a Project Engineer, Mr. Soto offers cost-effective and functional design solutions. More than 27 years of experience in project management, civil engineering and construction management/inspection, combined, have given Mr. Soto extensive experience to oversee project design and construction. Mr. Soto’s project background includes aviation, military and municipal projects. Mr. Soto excels at managing and designing projects completed on time and within budget. Some of Mr. Soto’s relevant project experience is shown below:

- Del Rio International Airport Taxilane and Apron Improvements - The project included design of a new air cargo apron, new Taxilane G, new Taxilane H, and new T- hangar apron. It is anticipated that Soto will design the new North Apron project planned for the Border patrol and Customs Hangar area.

- FedEx Site Engineering Design – Mr. Soto prepared the site planning, grading and utility design for the proposed FedEx Facility at Del Rio International Airport.

- Dallas/Fort Worth (DFW) International Airport Rehabilitate Airport Pavements Project - The project included full depth repair of concrete pavements, runway and taxiway shoulder pavement seal coating, extension of TWY WF and the realignment of an ARFF road.

- Dallas/Fort Worth (DFW) International Airport Terminals A and C Re-Gating- Design for the pavement marking at Terminals A and C. The project included the re-gating of 55 gates at Terminals A and C.

- Arlington Municipal Airport Pavement Evaluation – Arlington, TX: Project Manager/Civil Engineer. Provided project management for a pavement evaluation project. The project included nondestructive testing of all airfield pavements to determine the remaining life of the pavements and improvements required for the pavements to handle anticipated future aircraft traffic.

Leibowitz & Horton Airport Management Consultants, Inc.

Leibowitz & Horton AMC, provide customized consulting services in business/financial management aspects of the aviation industry. Their experience includes financial planning, rates & charges development, airline/tenant lease negotiations, financial feasibility studies associated with revenue bond issues, economic impact studies, PFC and CFC implementations, financial controls for CIP program management, and financial plans for master plan updates. They have provided financial consulting services to more than 90 airports, including Del Rio International Airport, where they developed the current Passenger Facilities Charge (PFC) program.

 Charles Willis, NCARB, AIA, Principal-in-Charge

Mr. Willis has more than 30 years experience in airports and aviation, has prepared designs for more than 25 airport terminals, and has been involved in airport planning and design projects at more than 100 locations. While Manager of Planning for Dallas/Fort Worth International Airport, Mr. Willis was responsible for the management of planning, design and construction of major airport facilities. He was also responsible for the management and administration of highly complex, multi- discipline, fast-track projects, and managed more than 70 consultants and their subcontractors in one major project. He is extremely familiar with contemporary project management techniques, particularly in scheduling, communications, fiscal and financial management and project funding allocation.

Mr. Willis is currently Project Principal and Project Director for the current and previous 5 year GRW consulting services contracts at Del Rio International Airport, and was responsible for the design and construction oversight of the recently completed major expansion of the airline terminal. He will continue to function in that capacity for the next contract.

Mr. Willis is familiar with all applicable FAA rules, regulations, and procedures. He knows airport management and financial issues and the design of all airport and airfield facilities.

Mr. Willis' aviation planning and design experience is comprehensive. He has directed project types which have included the design of several new airports, passenger terminal design, airspace studies, system planning, heliport/vertiport studies, major noise and environmental studies, economic impact assessments, and engineering design of major airport improvements.

 Donna Austin, AIA, RID, LEED AP BD+C, Project Architect

Ms. Austin has thirty years of architectural experience, and on a wide variety of public sector projects, including transportation facilities at ports of entry and NAS Pensacola, Florida. She has

also prepared construction documents for a substantial number of municipal projects, including schools and other public buildings, and also for private sector construction with retail and commercial buildings. In addition to her registration as an architect, she is a registered Interior Designer, ICC Building plans examiner, ICC Accessibility Inspector/plans examiner, ICC Commercial Energy plan examiner and is a LEED AP BD+C.

Ms. Austin has served as construction coordinator for a major DFW Metroplex City, which required extremely complex review, prioritization, and documentation for needs assessment of various city departments, and coordinating with architects, consultants and contractors to advise ADA accessibility guidelines (ADAAG) for interiors and building sites.

 Jose Soto P.E., Project Engineer

Jose Soto has been the Project manager/Civil Engineer/Construction Manager on a number of pavement improvement projects for General Aviation Airports. These airports include Bridgeport Municipal Airport, Arlington Municipal Airport, Georgetown Municipal Airport, San Marcos Municipal Airport, Denton Municipal Airport, Mid-way Regional Airport and Collin County Regional Airport. These projects included the rehabilitation of existing pavements and the construction of new pavements for runways, taxiways and aprons. Mr. Soto has also designed projects at Del Rio International Airport, Alliance Airport, Meacham International Airport and DFW International Airport of similar nature as the projects listed above. Mr. Soto is currently Project Manager on the City of DeSoto Heliport project and is the lead design engineer on the Houston Southwest Airport Improvement Project. Both of these projects are being handled through TxDOT Aviation. Mr. Soto has worked with Charles Willis on several major airport engineering projects.

 Mathew Thomas P.E., Civil Engineer

Mr. Thomas received his M.S. in Civil Engineering from the University of Oklahoma and is a licensed Professional Engineer in Texas. He has 22 years of diverse engineering experiences and has worked with Charles Willis on a number of aviation projects, including several at Del Rio International Airport. The following summary of projects represents work accomplished by Charles Willis & Associates Inc., GRW Willis, Inc., and GRW, Inc. As principle in all three of these firms, Charles Willis brings 37 years of experience at Del Rio International Airport. Mr. Willis will continue to act as principle-in-charge for all future projects and will be directly involved in all aspects of project planning, design and construction. Schedules and Deadlines

Schedules are important in several ways beyond the primary purpose of meeting airport capital improvement requirements in a timely manner. They are also measures of professional management style (ability) and of the consultant’s early understanding of project requirements as well as the real world conditions that will affect planning, design, funding and construction of the work. We are proud of our experience and knowledge gained at Del Rio International Airport over many years and we bring unequaled insight and keen awareness of all aspects of how the City expects work to be done, and of how the process of public buy-in to airport development at Del Rio International Airport works. Any realistic schedule for virtually any airport development program or project must be respectful of these factors.

We believe our previous experience and performance in delivering projects at Del Rio International Airport has been exceptional, and establishes unequivocal evidence of our commitment to meet the City’s needs with respect to meeting schedules and deadlines, facilitating FAA funding and grant documentation, and continually raising expectations of meeting a higher standard. In just the last two years, we have met or exceeded scheduled deadlines for design of FAA projects, and continue to perform as project designer, construction administrators and on-site representatives on behalf of the City.

Current Workload

Our current workload is such that we can begin work on new assignments immediately, and complete project obligations on time, within schedule requirements.

SECTION FOUR PROPOSED TECHNICAL APPROACH

This section presents our technical approach and basis of services provided.

Technical Approach

From our many years experience in providing professional service for the City of Del Rio at Del Rio International Airport and under the previous five year contract, we will perform all services in accordance with the terms negotiated in the current five year professional services agreement. We believe the means and methods developed for the agreement are flexible yet focused to meet the City’s goal in all future projects.

Our lengthy personal and professional service experience at Del Rio International Airport, and our extensive involvement in CIP preparation for the airport, and design and construction oversight for virtually every project accomplished there for more than the last two decades, gives us an extraordinarily deep insight into the airport’s role in the community, the culture of Del Rio and its region, and the City’s relationships with the FAA, TxDOT and other relevant agencies.

This experience, coupled with our knowledge of all aspects of airport planning, financial, and environmental guidance, is absolutely unique and will bear heavily in our approach to future assignments. We strive to provide project oversight during design and construction. We typically provide full time resident inspection (RPR) for all FAA funded projects and highly recommend that the concept of RPR presence be applied to all airport projects. As a result, we maintain professional relationships with nearly a dozen highly qualified individuals for RPR assignments on projects. We also recommend rigorous attention be given to all aspects of contractor performance, ranging from day-to-day construction oversight to enforcement of all construction administration requirements, such as validation of contractor payment requests to preparation of Record Drawings (As- Builts). We are fully committed to pursuit of the City’s best interests, and our presence on most project sites typically far exceeds our minimum obligations.

WHEREAS, Mr. Robert Vanduyn has relocated to Denton, TX and sold Hangar A-4 to Mr. Jay Grabeklis of 2502 Live Oak #304, Dallas Texas 75204: and

WHEREAS, Mr. Grabeklis desires to enter into a Non Commercial Lease Agreement for a term of twenty (20) years beginning September 1st, 2013 and ending August 31st, 2033; and

WHEREAS, the City Council of the City of Del Rio agrees it is in the best interest of the City of Del Rio to rescind Resolution R2010-065 and to enter into a new ground lease agreement with Mr. Jay Grabeklis.

NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF DEL RIO, TEXAS THAT:

This lease is entered into this 1st day of September, 2013 between the City of Del Rio, 109 West Broadway Del Rio, Texas 78840, hereinafter referred to as “Lessor” and is the owner of the Del Rio International Airport, hereinafter referred to as “Airport”, and Mr. Jay Grabeklis of 2502 Live Oak #304 Dallas, TX 75204, hereinafter referred to as ‘Lessee” who covenant and agree as follows:

WHEREAS, Lessor and Lessee are committed to the proper operation, improvement and continued development of the Airport; and

WHEREAS, Lessor deems it advantageous to itself and to the operation of the Airport to lease to Lessee certain land for the purpose and upon the terms and provisions stated herein;

NOW, THEREFORE, in accordance of the terms, considerations and privileges listed herein, Lessor and Lessee covenant and agree as follows:

Section 1. Leased Area

Land-Lessor does hereby lease to Lessee approximately 750 sq. ft. of land more particularly described as follows: Hangar A-4

That land beneath that building detailed on Attachment 1 and identified as Hangar A-4 for a total of approximately 750 square feet and hereinafter referred to as the “Land” and located on the Airport. Lessee hereby leases the said Land from Lessor subject to the terms, considerations and privileges stated herein.

Section 2. Term

This lease shall be for a term of 20 years, beginning on the 1st day of September, 2013 and ending and terminating on the 31st day of August, 2033.

Section 3. Consideration

A. In consideration for the lease of the Land referenced herein, Lessee hereby agrees to pay $0.39 a square foot, which is yearly the sum of $292.50. The first year’s payment shall be made in advance. Thereafter, all future payments shall be on or

1 before the first working day of the year due for the term of this contract plus any extensions thereto.

B. Lessee agrees that the annual rent shall be subject to review and adjustment at specified intervals throughout the term of this lease, as hereinafter provided, to reflect any increase in the U.S. Department of Commerce’s Consumer Price Index (CPI) during the five (5) year term of this lease. Adjustments, if any, shall take place first at the end of the first five (5) years of the lease. If the lease is renewed, further adjustments shall take place at the end of each five year period. After each adjustment in the rent, Lessee shall pay the adjusted yearly rent until the time of the next rental adjustment called for in this section. Adjustments in the yearly rent shall be determined by multiplying the Minimum Yearly Rent set forth above by a fraction, the numerator of which is the index number for the last month of the calendar year that ended immediately before the date on which the adjustment is to be made and the denominator of which is the index number for the first month of the first year of the lease term. If the product is greater than the Minimum Yearly Rent specified above, Lessee will pay this greater amount as the yearly rent until the time of the next rental adjustment called for in this section. If the product is less than the Minimum Yearly Rent as set for above, the annual rent will not be adjusted at that time and the Lessee will pay the minimum yearly rent set forth above until the time of the next rental adjustment as called for in this section. In no event may any rental adjustments called for in this section result in an annual rent less than the minimum yearly rent set forth above.

C. All rental fees shall be paid as the same become due, without demand, in lawful currency of the United States of America, made payable to the City of Del Rio, Texas, by mail or hand delivery to the Municipal Building Billing Department located at 109 West Broadway Street Del Rio, Texas 78840.

D. In the event Lessee fails to remit any rental payments when the same are due, interest at the rate of ten percent (10%) per year shall be charged by Lessor beginning on the tenth day after the date the payment is due and such interest shall continue to accrue against such delinquent payment until the payment plus interest is received by Lessor. In the event Lessee shall become delinquent for more than thirty (30) days, this lease may be terminated by Lessor as provided in Section 7, Termination.

E. Lessee agrees that it will at all times keep the premises of the Land clean and free of trash, litter, tall grass, weeds, junked automobiles and scrap aircraft parts. Lessee shall abide by all applicable rules and recommendations of the City of Del Rio, the Federal Aviation Administration, the Texas Department of Transportation, the Texas Commission on Environmental Quality, the Environmental Protection Agency, the Texas Natural Resources Conservation Commission, the Texas Department of Agriculture, and any other public agency concerning the use, storage and disposal of hazardous chemical, fuel and/or oil. Should Lessee fail to keep the Land clean as above provided, Lessor may after ten

2 (10) days written notice, arrange for the cleanup of the area. Such clean up shall be charged to Lessee and shall be payable upon demand. Failure to render proper payment for such cleanup and/or general disregard of the considerations and restrictions listed in this lease agreement are grounds for Lessee to terminate this lease after thirty (30) days written notice by Lessor to Lessee, and upon failure of Lessee to cure his default within such thirty (30) day period of time.

F. Taxes and Fees

Lessee shall be liable for all taxes and fees owed in connection with the use and operation of its business on the Land. Under no circumstances shall Lessor be liable for or be required to pay any taxes or fees owed by Lessee.

G. Insurance i. The Lessor shall not be held liable for any loss or damages to personal property. ii. Lessee shall provide its own general liability insurance policy coverage for any personal property located in or on the Land with a policy limit of $1,000,000.00. iii. The Lessor shall be named on the liability insurance policies as additional insured. Certificates of required insurance shall be furnished by Lessee to Lessor and certificates presently then in effect shall be maintained on file at the Del Rio International Airport 1104 West 10th Street Del Rio, Texas 78840 at all times. Any changes in those certificates must have the prior written approval of Lessor. iv. Lessor shall provide insurance for all Lessor owned real property located at the Airport under Lessor’s policy which shall be for the sole benefit and protection of Lessor.

Section 4. Permitted Use

A. The land is being leased by Lessor to Lessee for any non commercial aeronautical activities and for no other purposes. Lessee may perform the following activities on the Land at its discretion: aircraft storage. Lessee represents that the use of the building situated on the Land is as follows:

B. Lessee may park his and/or his passenger’s privately owned automobile(s) inside the Hangar, but only while on a flight which originated at the Airport. C. Lessee may store up to a maximum of ten (10) one (1) quart containers of aviation oil, as long as such oil is contained in marked, approved containers. Such storage will be at the discretion of and with written approval from the local fire marshal if such storage is allowed under local fire codes. Aircraft fuel shall not be stored inside the Hangar for use in aircraft.

Section 5. Restricted use

A. Lessee agrees that the usage of the Land/Hangar plus any associated apron shall be limited to the parking/hangaring of his personal owned aircraft. No automobile, bus, truck, or other transportation mode may be permanently or habitually parked or stored on/in the Land/Hangar except in approved automobile parking areas and as agreed upon by Lessor or except as provided in Section 4 Paragraph B.

B. Lessee agrees that he will not conduct any commercial activity such as pilot instruction, aerial spraying, charter flights, air taxi, sight seeing, aerial photography, aircraft engine or airframe repair, avionics repair, or any other similar activities at the Airport without the written consent of Lessor. Any such approved commercial operation must be in accordance with a separate contract agreement with Lessor.

C. Lessee agrees that he will not store or permit the storage of any fuel or hazardous, volatile, and/or dangerous chemicals on/inside the Land/Hangar except as authorized in Section 4 C without the written consent of Lessor.

D. Lessee agrees not to fuel or defuel any aircraft parked inside the Hangar.

E. Lessee agrees to have a sufficient number of fire extinguishers of acceptable size as determined by the local fire marshal inside the Hangar/Building/Office. Such fire extinguisher(s) shall be readily accessible in the event of a fire.

F. Lessee agrees not to make any additions or modifications to the Land unless agreed upon by both parties in writing. In the event of such consent, all improvements or modifications shall be made at the expense of Lessee and, at the expiration of this Lease and any extensions to this lease, may be purchased by the Lessor at fair market value.

G. All construction, remodeling and installation of facilities and improvements shall be in compliance with all applicable federal, state and local laws, rules and regulations. Lessee agrees and understands that any services provided will be in accordance with accepted standards; local, state and federal laws; to include Federal Aviation Administration regulations.

Section 6. Sublease, Assignment or Sale

Lessee shall not sublease, assign, sell or transfer this contract agreement or any right hereunder to any person, corporation, or association. Any such sublease, assignment, sale, or transfer shall be grounds, at the option of Lessor, for Lessor to immediately terminate this contract agreement.

4 Section 7. Termination

A. This contract agreement may be prematurely terminated by Lessor or Lessee if either fails to abide by the terms and conditions expressed herein. Should Lessee be declared bankrupt, incompetent, or become deceased, this contract agreement shall immediately terminate and shall not be considered as part of Lessee’s estate and shall not become an asset of any appointed or assigned guardian, trustee, or receiver. In the event Lessee fails to make timely payments of all taxes and fees, fails to provide proof of required insurance or bond, uses the Airport property for any illegal or unauthorized purpose, files bankruptcy, abandons or leaves the leased property vacant or unoccupied for 60 consecutive days, or violates any of the terms and conditions of this contract agreement, Lessor has the right to terminate this contract agreement and retake possession of any Airport property leased to or under the control of Lessee.

B. Lessee agrees and understands that Lessor reserves the right to further expand, develop, or improve the airport including the termination of this lease agreement, in such instance that the continued leasing of the Land would have a negative impact on any proposed development or improvements at the Airport. This contract agreement may be terminated regardless of the desires, wishes, or views, of Lessee and without interference or hindrance from Lessee, but only so long as such expansion development of improvements are shown on a Texas Department of Transportation and/or FAA approved Airport Layout Plan or Master Plan.

C. This contract may be prematurely terminated by mutual agreement and consent of both parties in writing. Such termination by mutual agreement shall cause both Lessor and Lessee to be free of any and all requirements of this contract, except as contained in paragraph 7 D hereunder, and neither Lessor nor Lessee shall have any derogatory remarks or entries made upon their resumes or upon any public or private records which would indicate failure to successfully fulfill the conditions of this contract.

D. At the termination of this contract agreement, either by normal expiration, premature termination, or mutual agreement, Lessee shall peaceably vacate the premises. The Lessor may at its option renew the lease or purchase the improvements at fair market value. Should Lessee be in default of any monies owed to Lessor, Lessor may take possession of any personal property owned by Lessee and located at the Airport and hold such until the monetary default is settled. In such case that Lessee cannot or will not settle any claims against him owed to Lessor, Lessor may liquidate any personal property seized, subject to the disposition of a court of competent jurisdiction. Lessee shall be liable for any and all expenses incurred by Lessor in such action.

Section 8. Hold Harmless

5 Lessee agrees to save and hold harmless Lessor and its agents, servants, and employees of and from any and all liabilities, expenses, causes of action, damages, and/or attorney’s fees resulting from or as a result of any of Lessee’s activities, operations, occupancy, or use of the Airport or from any act or omission of Lessee’s agents, servants, or employees. This indemnity agreement shall apply and protect Lessor and its agents, servants, and employees even though it be contended, or even established, that said Lessor or its agents, servants or employees were negligent or that their conduct or omission in any way caused or contributed to any such liability, expense, cause of action, damage, and/or attorney’s fees.

Section 9. Maintenance of Landing Area

Lessee understands and agrees that Lessor reserves the right, but not the obligation, to maintain the Airport to at least the minimum standards as recommended by the Federal Aviation Administration, the Transportation Security Administration and/or the Texas Department of Transportation. Such right includes the right to maintain and keep in repair all public use areas at the Airport and the right to direct and control all activities as necessary at the Airport. Lessee also understands that Lessor is not obligated by this lease to continue operating the Airport as an airport and may close the Airport at any time and at its own discretion. Such closure shall immediately void this contract and no damages or monies or other compensation will be owed to Lessee by Lessor.

Section 10. Exclusions

A. This contract agreement embraces the entire lease agreement of the parties mentioned herein pertaining to the Land and no statement, remark, agreement, or understanding, either oral or written, not contained herein shall be recognized or enforced as it pertains to the lease of the Land, except that this contract agreement may be modified by written addendum agreed to and signed by all pertinent parties and attached hereto.

B. For the purpose of this contract agreement, the singular number shall include the plural and the masculine shall include the feminine and vice-versa, whenever the context so admits or requires.

C. The “Section” captions and headings are inserted solely for the convenience of reference and are not part of nor intended to govern, limit, or aid in the construction of any provision hereof.

D. The parties to this contract agreement hereby acknowledge and agree that they are the principals to the contract agreement and have the power, right, and authority to enter into this contract agreement and are not acting as an agent for the benefit of any third party: except that Lessor is acting on behalf of the City of Del Rio.

6 E. This contract agreement shall be governed by the lease of the State of Texas and construed thereunder and venue of any action brought under this contract agreement shall be in Val Verde County Texas.

F. If any section, paragraph, sentence, or phrase entered in this contract agreement is held to be illegal or unenforceable shall not affect the remainder of this contract agreement and, to this end the provisions of this contract agreement are declared to be severable.

WHEREAS, Mr. Scott Curtis has remained a tenant in good standing and desires to enter into a Non Commercial Lease Agreement for a term of twenty (20) years beginning July 1st, 2013 and ending June 30th, 2033; and

WHEREAS, the City Council of the City of Del Rio agrees it is in the best interest of the City of Del Rio to enter into a Non Commercial Lease Agreement with Mr. Scott Curtis.

NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF DEL RIO, TEXAS THAT:

City Manager Robert A. Eads and City Secretary Susan Corp are here by authorized and directed to execute and attest to respectively, a Non Commercial Lease Agreement between the City of Del Rio and Mr. Scott Curtis for approximately 955 square feet of land located beneath Hangar B-5 as indicated on Attachment 1.

This lease is entered into this 1st day of July, 2013 between the City of Del Rio, 109 West Broadway Del Rio, Texas 78840, hereinafter referred to as “Lessor” and is the owner of the Del Rio International Airport, hereinafter referred to as “Airport”, and Mr. Scott Curtis of 8800 N. Bensing Road, Hobbs, NM 88240, hereinafter referred to as ‘Lessee” who covenant and agree as follows:

WHEREAS, Lessor and Lessee are committed to the proper operation, improvement and continued development of the Airport; and

WHEREAS, Lessor deems it advantageous to itself and to the operation of the Airport to lease to Lessee certain land for the purpose and upon the terms and provisions stated herein;

NOW, THEREFORE, in accordance of the terms, considerations and privileges listed herein, Lessor and Lessee covenant and agree as follows:

Section 1. Leased Area

Land-Lessor does hereby lease to Lessee approximately 955 sq. ft. of land more particularly described as follows: Hangar B-5

That land beneath that building detailed on Attachment 1 and identified as Hangar B-5 for a total of approximately 955 square feet and hereinafter referred to as the “Land” and located on the Airport. Lessee hereby leases the said Land from Lessor subject to the terms, considerations and privileges stated herein.

Section 2. Term

This lease shall be for a term of 20 years, beginning on the 1st day of July, 2013 and ending and terminating on the 30th day of June, 2033.

Section 3. Consideration

A. In consideration for the lease of the Land referenced herein, Lessee hereby agrees to pay $0.39 a square foot, which is yearly the sum of $372.45. The first year’s payment shall be made in advance. Thereafter, all future payments shall be on or

1 before the first working day of the year due for the term of this contract plus any extensions thereto.

B. Lessee agrees that the annual rent shall be subject to review and adjustment at specified intervals throughout the term of this lease, as hereinafter provided, to reflect any increase in the U.S. Department of Commerce’s Consumer Price Index (CPI) during the five (5) year term of this lease. Adjustments, if any, shall take place first at the end of the first five (5) years of the lease. If the lease is renewed, further adjustments shall take place at the end of each five year period. After each adjustment in the rent, Lessee shall pay the adjusted yearly rent until the time of the next rental adjustment called for in this section. Adjustments in the yearly rent shall be determined by multiplying the Minimum Yearly Rent set forth above by a fraction, the numerator of which is the index number for the last month of the calendar year that ended immediately before the date on which the adjustment is to be made and the denominator of which is the index number for the first month of the first year of the lease term. If the product is greater than the Minimum Yearly Rent specified above, Lessee will pay this greater amount as the yearly rent until the time of the next rental adjustment called for in this section. If the product is less than the Minimum Yearly Rent as set for above, the annual rent will not be adjusted at that time and the Lessee will pay the minimum yearly rent set forth above until the time of the next rental adjustment as called for in this section. In no event may any rental adjustments called for in this section result in an annual rent less than the minimum yearly rent set forth above.

C. All rental fees shall be paid as the same become due, without demand, in lawful currency of the United States of America, made payable to the City of Del Rio, Texas, by mail or hand delivery to the Municipal Building Billing Department located at 109 West Broadway Street Del Rio, Texas 78840.

D. In the event Lessee fails to remit any rental payments when the same are due, interest at the rate of ten percent (10%) per year shall be charged by Lessor beginning on the tenth day after the date the payment is due and such interest shall continue to accrue against such delinquent payment until the payment plus interest is received by Lessor. In the event Lessee shall become delinquent for more than thirty (30) days, this lease may be terminated by Lessor as provided in Section 7, Termination.

E. Lessee agrees that it will at all times keep the premises of the Land clean and free of trash, litter, tall grass, weeds, junked automobiles and scrap aircraft parts.
