DEFENDANTS BREACHED THEIR CONTRACT OBLIGATIONS TO SHARE NETWORK-RUN BROADCAST PROFITS WITH CELADOR. 23 A. Breach Of Express Contract: The Text And Extrinsic Evidence Make The Rights Agreement Reasonably Susceptible To Celador’s Reading And Support The Jury’s Verdict. 23 1. Reasonably read, the Rights Agreement entitles Celador to share ABC’s network-run profits. 24 a. The text expressly imposes profit sharing on ABC. 24 b. On its face, Exhibit B does not supersede the Rights Agreement. 25 c. Defendants’ other Exhibit B arguments are meritless. 29 2. Substantial extrinsic evidence—including ABC’s own negotiation notes and Celador’s expressly- communicated requirement of a direct network deal—supports the jury’s interpretation. 31 a. Construed most favorably to the jury’s verdict, the extrinsic evidence supports the jury’s finding that ABC promised to share its profits. 31 b. The jury could reject defendants’ disputed extrinsic evidence. 34 iv Case: 11-55104 09/30/2011 ID: 7912936 DktEntry: 27 Page: 6 of 140 TABLE OF CONTENTS (continued) Page B. Breach Of The Implied Covenant Of Good Faith And Fair Dealing: Substantial Evidence Supports The Jury’s Conclusion That Defendants Interfered With Celador’s Right To Share Millionaire Network License Profits. 39 1. The implied covenant barred ABC and BVT from frustrating Celador’s contractual right to share Millionaire’s network-run broadcast profits. 40 2. Substantial evidence supports the jury’s verdict. 46 a. ABC and BVT wrongly ensured that Millionaire’s network-run broadcast would create no sharable profits. 46 b. Defendants’ maneuvers were not indisputably reasonable. 49 3. The special verdict form supports the network license judgment on the implied covenant claim. 53 II. THERE WAS NO NETWORK LICENSE FEE EVIDENTIARY OR INSTRUCTIONAL ERROR. 56 A. The District Court Properly Refused Defendants’ Argumentative And Misguided Jury Instructions. 56 1. Uncommunicated understanding: Defendants did not request the instruction they advocate; the instruction they did request was argumentative and admittedly unnecessary. 56 2. Renegotiation: The requested instruction misleadingly addressed a theory that Celador did not advance. 57 v Case: 11-55104 09/30/2011 ID: 7912936 DktEntry: 27 Page: 7 of 140 TABLE OF CONTENTS (continued) Page B. The District Court Acted Within Its Discretion In Excluding Defendants’ Spurious, Tangential And Irrelevant Evidence. 58 1. The district court properly excluded a spreadsheet of unknown provenance and purpose. 59 a. No WMA witness recognized the spreadsheet. 59 b. The spreadsheet is irrelevant because it cannot be imputed to Celador. 61 c. The spreadsheet is hearsay. 64 d. The district court properly concluded that defendants failed to authenticate the spreadsheet. 66 e. The district court acted within its discretion in excluding the spreadsheet under Rule 403. 68 2. The district court acted within its discretion in excluding irrelevant and prejudicial evidence of foreign licensing and syndication performance. 69 a. Foreign licensing. 69 b. Syndication. 70 III. CELADOR’S EVIDENCE OF NETWORK LICENSE DAMAGES WAS MORE THAN ADEQUATE. 71 A. Ample Evidence Supports The Fair Market License Fee Award. 71 B. Defendants’ Attacks On The Damages Evidence Are Meritless. 74 1. Defendants fault Celador for failing to prove damages under a theory that it did not pursue. 74 vi Case: 11-55104 09/30/2011 ID: 7912936 DktEntry: 27 Page: 8 of 140 TABLE OF CONTENTS (continued) Page 2. The evidence supported damages based on a fair market license fee starting at Episode 1, even though the jury likely did not calculate damages that way. 75 a. ABC’s own conduct supported applying a fair market license fee starting at Episode 1. 75 b. Any claimed error was harmless: The jury almost certainly did not award damages based on a license fee retroactive to Episode 1. 77 3. There is no basis for second guessing the jury’s view of the expert testimony, the sufficiency of which defendants never challenge. 78 IV. THE JURY PROPERLY DETERMINED THAT THE RIGHTS AGREEMENT DID NOT PERMIT DEFENDANTS’ DOUBLE-DIP MERCHANDISING FEE AND EXPENSE DEDUCTIONS. 80 A. The Provision Permitting Deductions Only For Expenses “Directly Related To The Pilot And/Or Series” Was Reasonably Susceptible To Celador’s Interpretation—That It Excluded Merchandising Expenses Beyond The 50% Merchandising Fee. 81 B. Defendants’ Unambiguity Claim Distorts The Record. 84 1. Defendants’ textual arguments highlight the Agreement’s ambiguity. 84 2. Defendants cannot discount the relevant extrinsic evidence supporting Celador’s interpretation. 85 vii Case: 11-55104 09/30/2011 ID: 7912936 DktEntry: 27 Page: 9 of 140 TABLE OF CONTENTS (continued) Page V. THE DISTRICT COURT ACTED WELL WITHIN ITS DISCRETION IN EXCLUDING EVIDENCE REGARDING A COMPLEX, IRRELEVANT CORPORATE TRANSACTION. 87 CROSS-APPEAL 91 THE DISTRICT COURT SHOULD HAVE ALLOWED THE JURY TO DECIDE CELADOR’S FRAUD CLAIM. 91 A. The Substantial Evidence: ABC Promised, But Never Intended To Honor, A Network Deal. 91 B. The Network Deal Pretense Was Fraud. 93 CONCLUSION 96 ADDENDUM A – Cast of Characters 97 ADDENDUM B – Rights Agreement 99 ADDENDUM C – Statutes & Rules 119 CERTIFICATE OF COMPLIANCE 122 STATEMENT OF RELATED CASES 123 viii Case: 11-55104 09/30/2011 ID: 7912936 DktEntry: 27 Page: 10 of 140 TABLE OF AUTHORITIES Page CASES Alliance Mortg. • British Schools Film Festival #5
BRITISH SCHOOLS FILM FESTIVAL #5 STUDY GUIDE FOR THE FILM SLUMDOG MILLIONAIRE UK 2008, directed by Danny Boyle Synopsis The film starts with a young man, Jamal Malik, being interrogated and tortured by the Mumbai police. He is accused of fraud after having reached the last round of the popular TV show “Who wants to be a millionaire?” How can an uneducated young man from the Dharavi slum in Mumbai succeed in a quiz show, when even university professors failed? “I knew the answers”, says Jamal, and no, he is not a genius. During his interrogation Jamal recounts, through flashbacks, the circumstances that led him to identifying the answers correctly. The story he tells is the story of his life. Jamal grew up as a street kid in the Dharavi slum of Mumbai. His earliest memories are of kids playing on Mumbai’s streets and being chased by the police. Later he remembers the day when his brother Salim locked him in the outhouse while Bollywood legend Amitabh Bachchan was visiting Dharavi. In order to get himself out and ask the famous actor for an autograph, Jamal jumps into the stinking sewer. When Hindi and Muslims clash violently in the Bombay riots, Jamals mother is killed and Jamal and his brother Salim have to flee the city. During their escape they meet the “third musketeer”, Latika, a young girl who is alone on the streets as well. The children stick together and later fall into the hands of Maman, a ruthless gangster who picks up orphans and sends them to beg in the street.

  • Thought for the Week – 26Th April 2020
Thought for the Week – 26th April 2020 I hope you are all surviving the social distancing and are looking forward to the time when we can get back to some normality and gathering together again for worship. Some of you may have been watching the new ITV drama “Quiz” which was aired during Easter week. It recounts how, in September 2001, former army Major Charles Ingram, his wife Diana Ingram and an accomplice, Tecwen Whittock, were accused of cheating their way to winning a million pounds on the ITV game show, “Who Wants to be a Millionaire.” The couple stood trial for conspiring by coughing during the recording to signify the correct answers to the multiple- choice questions posed by host Chris Tarrant. Although they have always protested their innocence, the Ingrams were found guilty of the charge of "procuring the execution of a valuable security by deception" and sentenced to 18 months in prison, suspended for two years. Just in case you haven’t seen “Who Wants to be a Millionaire,” it’s a quiz show based on answering 15 multiple choice questions with ascending difficulty to win various sums of money from £100 up to £1,000,000. After the contestant had chosen their answer from the four possibilities, the host asked them the question, “Final answer?” Along the way the contestant has three lifelines to help them choose the correct answer – “ask the audience,” “fifty-fifty” and “phone a friend.” While the end result could be a significant win, the questions posed had little life- significance. Today I would like to pose a question which requires a correct final answer and it is one which has life-changing significance.

Comunicação & Cultura, n.º 8, 2009, pp. 161-172 From Q&A to Slumdog Millionaire – it’s written1 LaurA FErnAnda BulgEr * Slumdog Millionaire (2008)2 is a multi-oscared movie adapted from a novel by Vikas Swarup, an Indian diplomat turned writer. The novel was published in 2005, titled Q&A.3 In the “Prologue,” eighteen year-old Ram Mohammad Thomas has just been arrested. A dweller in Mumbay’s Dharavi, “Asia’s biggest slum,” he is accused of cheating by the producers of the show Who Wants to be a Millionaire. Having never been to school, and appearing to be no genius, the young man could not have answered the quiz on his own, and so be the winner. With this argument, the people who ran the show bring charges against Ram. However, it is also made clear that they have no money to pay the prize, their dishonest scheme consisting of asking questions no one could ever answer, or buying the winner off with much less money. Ram refused to be part of the deal. The host of the show, Prem Kumar, their accomplice and a crook himself, is the one who turns the boy over to the police who, in connivance with the promoters, torture him to extract a guilty confession. Smita Shah, the young woman lawyer who suddenly shows up to rescue him from prison, asks Ram to recount his life story. Thesis. Jakarta: English Letters Department, Letters and Humanities Faculty, State Islamic University Syarif Hidayatullah Jakarta, November 2009. The research is aimed at finding out Boyle’s worldview in the main character of Slumdog Millionaire. The writer uses qualitative descriptive analysis as the method to analyze Slumdog Millionaire and its external elements, which reflected social life in India through main character from the world view of director. By using genetic structuralism theory of Lucien Goldmann, the writer can reveal Boyle’s worldview. The data obtained through watching the film, reading the script of the film and making some note from it. In this analysis, the writer find out the final result that shows how Boyle’s worldview appears in Jamal Malik as the main character in Slumdog Millionaire.
