ABOUT THE GOVERNA NCE A ND A PRM P ROGRA MME SAIIA’s Governance and African Peer Review Mechanism (APRM) programme aims to place governance and African development at the centre of local and global discussions about the continent’s future. Its overall goal is to improve the ability of the APRM to contribute to governance reforms, institutions and processes. The programme focuses on: Enhancing meaningful and authentic participation of non-state actors in Country Self-Assessment Review (CSAR) and National Programme of Action (NPoA) processes; increasing knowledge amongst key decision-makers of the need for Country Level Institutions to be functional, have political support and enjoy legitimacy; increasing the capacity and functionality of official APRM institutions; and contributing to the identification of critical issues for governance reform in Africa through the APRM. SAIIA has been working on the APRM since its inception in 2003. As part of its multi-pronged inquiry, it devotes a great deal of attention to investigating corporate governance on the continent. However, thus far corporate governance has attracted less attention than any other area of the APRM. Focussing on the six Southern African Development Community (SADC) states that have thus far completed their first Country Review Reports (CRRs) – Lesotho, Mauritius, Mozambique, South Africa, Tanzania and Zambia – this report shows that corporate governance can play an important role in driving Africa’s development. Central to the continent’s future prospects is expanding the scope for productive business activity. This has been taking place in tandem with policy and legal reforms, driving high growth rates in some countries. There remains an imperative to enhance the business environment; Africa needs more businesses, and businesses oriented towards growth as opposed to mere survival. Corporate governance provides a framework for business sustainability and value creation. For the most part, the APRM shows that these countries have satisfactory legal and institutional frameworks, or are striving to put them in place. However, awareness and application of corporate governance principles is uneven and sometimes poor – although this varies across countries, with South Africa being in many respects exemplary, as opposed to the very rudimentary situation in, for example, Mozambique and Lesotho. The ethical dimension constitutes a major element of the current corporate governance conversation in Africa. Likewise, company-level governance is highly variable. For the most part, management and ownership are combined. A key problem more sophisticated companies confront in all the countries is the narrow pool of talented, board-capable people. This has produced a raft of problems, such as ‘over-boarding’, the dominance of close-knit family interests and the exclusion of women. Recognising and protecting stakeholder relationships remains a work in progress. The ‘traditional’ shareholder interests are in theory generally reasonably protected, although a lack of shareholder activism and cumbersome avenues of recourse undermine this. The interests of other stakeholders, such as employees and adjacent communities, are gaining increasing recognition, but remain a source of contention. The specificities of corporate governance to particular niche areas in the African economy – the informal sector, state-owned enterprises (SOEs) and foreign (especially extractive) companies – require particular attention. Each of these is important for Africa’s development, but may not fit the corporate governance mould of the classic privately- owned formal sector companies. The report concludes with an appeal for a principles-based approach to corporate governance. This should be based on recognising the limitations of businesses in Africa, and corporate governance should play a facilitating rather than prescriptive role for them. It is also a country run by a government which has itself become increasingly lawless. This is so despite all the commitments to legality set out in the Constitution. Not only is the post–apartheid South Africa founded upon the principle of legality, but courts whose independence is guaranteed are vested with the power to ensure that these principles are upheld. Prosecuting authorities are enjoined to exercise their functions “without fear, favour, or prejudice”. The same duty is laid upon other institutions established by the Constitution, among them the public protector and the auditor general. Everyone is endowed with the right to “equal protection and benefit of the law”. We are all also entitled to “administrative action that is lawful, reasonable, and procedurally fair”. Unlike the old South Africa – no doubt because of it – the new Rechtsstaat was one where the rule of law would be supreme, power would be limited, and the courts would have the final say. This edifice, and these ideals, are under threat. Lawlessness on the part of the state and those who run it is on the increase. The culprits run from the president down to clerks of the court, from directors general to immigration officials, from municipal managers to prison warders, from police generals to police constables, from cabinet ministers to petty bureaucrats.

    Public Protector Fearless defender of ethical conduct – A seven-year campaign C Thornhill School of Public Management and Administration University of Pretoria South Africa ABSTRACT An article entitled ‘The role of the Public Protector: case studies in public accountability’ was published by the author in the African Journal of Public Affairs, 4(2), September 2011. That article focused on some cases that illustrate the nature and extent of the role the Public Protector in identifying and making findings on significant cases of corrupt practices and maladministration. The current Public Protector, Advocate Thuli Madonsela, is now at the end of her seven-year non-renewable appointment. It is apposite to review her contribution to promoting ethical conduct and enforcing public accountability. A single article cannot do justice to all 150 reports produced during her term of office to prove the value of the Public Protector in the South African public sector. Instead, the article presents a desktop analysis of selected reports by the Public Protector, on cases involving the national, provincial and local spheres of government. The legislation relevant to the cases is discussed, in addition to the handling of the reports by the government and Parliament and the Constitutional Court’s ruling on the incumbent’s powers. The Nkandla case, also called Secure in comfort, epitomises the careful research, deliberation, findings and constitutional status of the Public Protector in the South African system of democratic government.     STOP PRESS: When ‘orders from above’ could kill the news By Mwangi Githahu Recent events in Kenya, including the shutting down of TV stations to prevent them from broadcasting the swearing-in of Raila Odinga as “the people’s president”, remind me of the first time I came up against a bullying authoritarian state and how useless such threats proved in the end because buried truths have a way of emerging zombie-like from their freshly-dug graves. I began working as a reporter in September 1989. In April that year, The Financial Review, an upcoming news magazine that had been started by former Weekly Review journalist Peter Kareithi, had been banned by the government of President Daniel arap Moi for what Attorney General Matthew Guy Muli characterised as “mischievous stories.” The Financial Review later successfully fought the ban and continued publishing for a few more years before it folded. In 1989 there were three national daily newspapers in Kenya: the Daily Nation, the East African Standard and the ruling party Kanu’s newspaper, the Kenya Times. There was also the state-owned Kenya News Agency. Broadcast news was provided by the state broadcaster KBC and KTN. This state of affairs meant that the government controlled most of the news media either outright or through proxy. While the Aga Khan may have controlled the Nation group of newspapers, some of the firm’s other shareholders and directors owed their allegiance to the Kanu government. Meanwhile, the Standard was owed by Tiny Rowland’s LonRho, which maintained a cosy relationship with the powers that be in every country it operated.
