On the terms and conditions set forth in this prospectus, as it may be supplemented or amended from time to time, and the related letter of transmittal and consent: (1) We are offering to exchange for our outstanding 12 5/8% senior guaranteed notes due 2004, which we refer to as the existing notes, a combination of (i) our 7.0% senior secured notes due 2009, which have been registered under the Securities Act of 1933, as amended, pursuant to a registration statement of which this prospectus is a part, and which we refer to as the new notes, and (ii) cash. For each $1,000 principal amount of the existing notes (including all accrued and unpaid interest and premium thereon) validly tendered by 5:00 p.m., Eastern time, on the expiration date, holders participating in the exchange offer will receive (x) $784.026 principal amount of new notes, (y) $522.68 of cash and (z) an additional amount of cash equal to simple interest accruing on $1,306.71 from July 1, 2004 through the day immediately prior to the date of the closing of the exchange offer at a rate equal to the three-month London interbank offered rate, or LIBOR, plus 3.0% per annum; and (2) we are soliciting consents from holders of the existing notes to amendments to certain provisions of the indenture, dated as of June 18, 1996, pursuant to which the existing notes were issued. As more fully described in this prospectus, this exchange offer and consent solicitation is part of a restructuring of the indebtedness of Net Serviços. We will not receive any proceeds from the exchange offer and consent solicitation. The payment of the principal of, interest on and additional amounts, if any, on the new notes will be guaranteed jointly and severally by all but two of Net Serviços’ subsidiaries. As more fully described in this prospectus, our obligations and the obligations of the guarantors in respect of the new notes and the other senior secured debt that we will issue in connection with the restructuring will, subject to limitations described in this prospectus, be secured by the pledge of (a) our shares of certain of our subsidiaries, (b) all of our network assets and (c) our accounts receivable from subscribers in São Paulo, Santos and Rio de Janeiro (although the foreclosure rights of our creditors will be limited to 30% of those receivables). We do not intend to list the new notes on any securities exchange or automated quotation system.
