Initiation of proceedings (Case COMP/M.4919 — Statoil/Conocophillips)

On 13 May 2008, the Commission decided to initiate proceedings in the above-mentioned case after finding that the notified concentration raises serious doubts as to its compatibility with the common market. The initiation of proceedings opens a second phase investigation with regard to the notified concentration, and is without prejudice to the final decision on the case. The decision is based on Article 6(1)(c) of Council Regulation (EC) No 139/2004. The Commission invites interested third parties to submit their observations on the proposed concentration to the Commission. In order to be fully taken into account in the procedure, observations should reach the Commission not later than 15 days following the date of this publication. In accordance with Article 4(1)(a) of Council Regulation (EEC) No 2408/92 of 23 July 1992 on access for Community air carriers to intra-Community air routes, the Italian Government has decided to modify the public service obligation in respect of the following scheduled air services: Trapani-Rome, Trapani-Milan, Trapani-Bari and Trapani-Cagliari, published in Official Journal of the European Union C 150 of 28 June 2006, and amended in Official Journal of the European Union C 141 of 26 June 2007. In accordance with point 2.4(b) and (c) of the public service obligation, the fares are revised as follows:

1. On 6 May 2008, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1), by which the undertakings Iberia Lineas Aereas de España, SA (‘Iberia’, Spain) and Singapore Technologies Aerospace, Ltd (‘ST Aerospace’, Singapore), acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking Madrid Aerospace Services, SL (‘JV’, Spain) by way of purchase of shares in a newly created company constituting a joint venture. 2. The business activities of the undertakings concerned are: — for Iberia: air transport of passengers and cargoes, as well as aircraft maintenance and other complemen- tary activities, — for ST Aerospace: airframe maintenance, repair and overhaul (‘MRO’) with regard to regional and military aircraft, as well as B737NG and MD80/90 aircraft, — for JV: MRO services for landing gears on Airbus platform types. 3. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice. 4. The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission. The business activities of the undertakings concerned are: — for Nordic Capital: private equity, — for CPS: integrated tinting systems. 3. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. On 13/05/2008, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Enel SpA (‘Enel’, Italy) and Acciona SA (‘Acciona’, Spain) acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking Endesa SA (‘Endesa’, Spain) by way of a joint takeover bid and an agreement entered into by ENEL and Acciona. Enel and Acciona will subsequently sell certain ENEL and Endesa businesses and assets in Spain and Italy, as well as related businesses in France, Poland and Turkey, to the German corporation E.on AG (‘E.on’). 2. The business activities of the undertakings concerned are: — for ENEL: generation, distribution and supply of electricity, as well as purchase and sale of natural gas for domestic electricity generation, — for Acciona: development and management of infrastructures and real estate projects, provision of trans- port, urban and environmental services, as well as development and operation of renewable energies, — for Endesa: generation, distribution and supply of electricity. It is also active in the gas sector and to a limited extent, in real estate. 3.
