This agreement is made at Dehradun on the ______day of ______2016 between the Director, Directorate of Panchayati Raj, Dehradun, acting through Nodal Officer, RGPSA/RGSA / GPDP / PES Application , Directorate of Panchayati Raj, Danda Lakhaund, Near I.T. Park, Sahastradhara Road, Dehradun-248001 (hereinafter called ‘ Client ’ which expression shall, unless repugnant to the context or meaning thereof be deemed to mean and include its successors, legal representatives and assignee) of the First Party.

WHEREAS the ‘Client’ is desirous to engage the ‘Agency’ for providing Manpower for RGPSA /RGSA/ GPDP / PES Application , Directorate of Panchayati Raj, Dehradun at Dehradun on the terms and conditions stated below:

1. The Agency shall be solely responsible for compliance to provisions of various Labour, and any other laws applicable and all statutory obligations, such as, honorarium, allowances, Compensations, EPF, Bonus, Gratuity, ESI, etc relating to personnel deployed in Director of Panchayati Raj, Govt. of Uttarakhand , DEHRADUN. The Client shall have no liability in this regard. 2. The Agency shall be solely responsible for any accident / medical / health related liability / compensation for the personnel deployed by it at Director of Panchayati Raj, Govt. of Uttarakhand , Dehradun site. The Client shall have no liability in this regard. 3. Any violation of instruction / agreement or suppression of facts will attract cancellation of agreement without any reference or any prior notice period. 4. The contract can be terminated by giving one month notice on either side. 5. In case of non-compliance with the contract, the Client reserves its right to: a. Cancel / revoke the contract; and / or b. Impose penalty up to 10% of the Total Annual Value of contract 6. Security Deposit equal to 10% of the Annual Contract Value (refundable without interest after two months of termination of contract) in the form of Pay Order / Demand Draft or Bank Guarantee shall be furnished by the Agency at the time of signing of the Agreement. 7. The Agency shall be fully responsible for payment of salary to the employees by 7 th of every month and any other dues to the personnel deployed at Directorate of Panchayati Raj, Dehradun. 8. The personnel provided by the Agency will not claim to become the employees of Directorate of Panchayati Raj, Dehradun and there will be no Employee and Employer relationship between the personnel engaged by the Agency for deployment at Directorate of Panchayati Raj, Dehradun. 9. There would be no increase in rates payable to the Agency. 10. The Agency also agrees to comply with annexed Terms and Conditions and amendments thereto from time to time. 11. Decision of Client in regard to interpretation of the Terms and Conditions and the Agreement shall be final and binding on the Agency. 7

12. The Agency shall ensure full compliance with tax laws of with regard to this Contract and shall be solely responsible for the same. The Agency shall keep Client fully indemnified against liability of tax, interest, penalty etc. of the Agency in respect thereof, which may arise. 13. In case of any dispute between the Agency and Client, Client shall have the right to decide. However, all matters of jurisdiction shall be at the local courts located at Dehradun.

THIS AGREEMENT will take effect from ______day of ______2016 and shall be valid for one year, which can be extended for one year(if both the parties agrees to do so.)

Setting up of State Programme Management Unit and District Programme Management Units under RGPSA /RGSA/GPDP/PES/PSP Application Programme 1. Background

The Rajiv Gandhi Panchayat Sashaktikaran Abiyan (RGPSA)/Rashtriya Gram Swaraj Abhiyan (RGSA)/Gram Panchayat Development Plan (GPDP)/Panchayat Enterprise Suite (PES)/PSP (Panchayat Sashaktikaran Puraskar) Application is a initiative project of immense stature initiated by , Ministry of Panchayati Raj. The needs of PRIs and citizens vary from state to state, due to variations in level of governance in PRIs and ICT readiness of States and PRIs. The vision of the RGPSA/RGSA/GPDP/PES/PSP Application initiative is to Strengthen the Panchayati Raj System across the information on this Scheme it also moves with “To Make all Government services accessible to the common person in his/her locality, through common service delivery outlets and ensure efficiency, transparency & reliability of such services at affordable costs to realize the basic needs of the common man.”

2. Objective of RGPSA/RGSA/GPDP/PSP/PES Application

i. Enabling Panchayats to better deliver its mandated services to the Citizens through IT, ii. Enabling PRIs to use IT as a tool for transparency, disclosure of services to Citizens and social audit, iii. Improving internal management processes and decision making in Panchayats, iv. Enabling PRIs to use IT for electronic tagging and tracking of funds transferred to Panchayats, including rapid bank transfer of funds, tracking fund transfers to, expenditures of the Panchayats, v. The Director of Panchayati Raj (DPR), Government of Uttarakhand is implementing the RGPSA/RGSA/GPDP/PES/PSP Application under e-Panchayat Mission Mode Project (MMP).

3. Scope of Work for PMUs : a- Programme co-ordination under RGPSA/RGSA/GPDP/PSP activities throughout the state / Districts b- Rollout of PES softwares and state specific applications and facilitating their implementations in the state-specific applications and facilitating their adoption in the State. c- Technical and/or management support at state and district levels in the adoption and rollout of Core Applications for state-specific applications &

various activities under the RGPSA / GPDP /PSP/ PES Application. 9

d- Provide professional and qualified manpower at State level and district level as per standards/ norms set by the department. e- Update, Refine, validate and implement the State plan for e-governance and capacity building of PRIs, resource centres and officials of the department. f- Policy and strategic direction g- Overall monitoring of all resource persons deployed on the project and ensure

their continuity on the RGPSA / GPDP /PSP/ PES Application project. h- Capacity Building and Training to resource persons on Core Applications. i- Consolidating the Monthly Performance Reports of implementation of state specific application j- Assist in conducting knowledge sharing/best practices workshops.

k- To always keep available a reserve pool of resources that can be tapped for immediate deployment on project. l- To provide professional, objective and impartial advise and at all times hold the interests of the State/UT Government paramount, strictly avoid conflicts with any other assignments/ jobs or their own corporate interests and act without any consideration for future work. m- Coordinate with Government of India and other outside agencies for implementation and coordination of RGPSA/RGSA/GPDP/PES/PSP

5. Terms and Conditions

(i) General 1. The Agency will have to provide the manpower within 15 days of award of contract 2. The Placement Agency is required to provide replacement for the resource person, based on an assessment and acceptance of replacement profile by the Panchayat Department. 3. Monitoring overall performance of all resource persons deployed on the project and ensure their continuity/replacement within the project. 4. Agency shall be responsible to pay fixed remuneration as described in Annex 2 (financial bid) of the tender document to the manpower employed by the 7 th date of every month. 5. The Placement Agency is required to always maintain an available reserve pool of manpower and resources that can be tapped for immediate deployment on project. In case of any replacement, the outgoing resource must provide 01 week of handholding support to the fresh incumbent to ensure continuity and smooth knowledge and responsibility transfer. No post should remain vacant at any time. 6. Placement Agency shall provide all kinds of manpower required from time to time under the RGPSA /RGSA/ GPDP /PSP/ PES Application project. However, at present the Placement Agency is required to provide the following manpower – State Project Manager (1 Post), Technical Consultant (1 Post), State Coordinator(training & planning), Data entry Operator (1 Post) and Office attendant(1 post) for SPMU and, for DPMU (District Head Quarter Posting) 13 District Project Manager for 13 Districts and 13 data entry operator for 13 Districts. The total no of 31 resources for the program. 7. The Agency shall ensure payment of full fixed salary to the personnel and no undue deductions shall be allowed. 8. Deptt shall be liable to 12 days of casual leaves in a year and in no case employees shall be absent for more than 7 days continuously or/otherwise service provider shall have to provide a equivalent replacement for the employee absent beyond 7 days. 9. Man power supplied under this contract can be interviewed/tested by the bidder in regards of stipulated qualifications and experience before employment. 10. Bidder shall have the right to reject man power supplied after scrutiny as per above. 11. The man power/consultancy is required for e-panchayat implementation. Bidder can also seek expert consultation on e-panchayat from the tenderer on terms and conditions as agreed by both 13

(ii) Relating to Submission of Bids

Bidding through E-Tendering System:

1 The bidding under this contract is electronic bid submission through website https://uktenders.gov.in. The Invitation for Bid is published on this website. Any citizen or prospective bidder can logon to this website and view the Invitation for Bids and can view the details of works for which bids are invited. The perspective bidder can submit bids on line; however, the bidder is required to have enrolment/registration in the website and should have valid Digital Signature Certificate (DSC). The DSC can be obtained from any authorized certifying agencies. The bidder should register in the web site https://uktenders.gov.in using the relevant option available. Then the Digital Signature registration has to be done with the e-token, after logging into the site. After this, the bidder can login the site through the secured login by entering the password of the e-token & the user id/ password chosen during registration.

After getting the bid schedules, the Bidder should go through them carefully and then submit the documents as asked, otherwise, the bid will be rejected.

2 The completed bid comprising of documents indicated in para-4 of tender document, should be uploaded on the website given above through e-tendering along with scanned copies of requisite certificates as are mentioned in different sections in the bidding document and scanned copy of bid security in case it is provided in the form of DD/FDR.

3 The bidder shall furnish information as described in the Form of Bid on commissions or gratuities, if any, paid or to be paid to agents relating to the Bid, and to contract execution if the bidder is awarded the contract.

6. Electronic Submission of Bids:

6.1 The bidder shall submit online two separate files. Part I, marked as Part I: Technical Qualification Part and Part II; marked as Financial Part

6.2 All the documents are required to be signed digitally by the bidder. After electronic on line bid submission, the system generates a unique bid identification number which is time stamped. This shall be treated as acknowledgement of bid submission.

7. Deadline for Submission of Bids

Complete Bids in two parts as per above must be received by the Employer online not later than the date and time indicated in the section-1. In the event of the specified date for the submission of bids being declared a holiday for the Employer, the Bids will be received up to the specified time on the next working day.

8. The initial period of contract shall be for one year which may be extended by one year at a time depending on performance of the Agency and at discretion of the Directorate of Panchayati Raj, Dehradun or the authority competent for it.

9. The bidder shall pay Bid Security (EMD) of Rs 1.80 lakh along with the Technical Bid by Demand Draft in favour of “Director Panchayati Raj, Uttarakhand, Dehradun,” drawn on any Nationalized Bank / Scheduled Bank and payable at Dehradun. Bids received without Earnest Money deposit (EMD) shall stand rejected and thus shall not be considered for evaluation etc at any stage.

10. The bid security (EMD) without interest shall be returned to the unsuccessful bidders after finalization of contract. 11. As a guarantee towards due performance and compliance of the contract work, the successful bidder (Agency) will deposit an amount equal to 10% of Annual Contract value towards Security Deposit by way of demand draft in favour of “Director Panchayati Raj, Dehradun,” drawn on any Nationalized Bank / Scheduled Bank and payable at Dehradun. Bank Guarantee Bond of a scheduled bank in the prescribed format is also acceptable in this regard.

12. The EMD deposited by successful bidder/agency will be adjusted towards Security Deposit as demanded above. If the successful bidder fails to furnish the difference amount between Security Deposit and EMD within 15 (fifteen) days after the issue of Letter of Award of Work, his bid security (EMD) shall be forfeited unless time extension has been granted by the Director of Panchayati Raj, Uttarakhand, Dehradun.

13. The EMD shall be forfeited if successful bidder fails to undertake the work or fails to comply with any of the terms & conditions of the contract.

14. The bid shall be valid and open for acceptance of the competent authority for a period of 90 days from the date of opening of the tenders and no request for any variation in quoted rates and / withdrawal of tender on any ground by successful bidder shall be entertained.

b. For calculating the Technical Score (TS) the individual scores, as per respective weightage, for each of the parameters mentioned above will be summed up. In order to qualify technically, a proposal must secure a minimum of 60 after summing up. Only those proposals which have a minimum score of 60 will be considered for further evaluation. The technical scores from the Technical Evaluation will be used for the final evaluation.

2- Evaluation of Financial Proposal a. Financial Proposals of only those bidders would be opened who qualify the technical evaluation, as per technical evaluation process described above. b. The proposal with lowest Grand total (GT) cost proposed will be designated as L1 and will be awarded a Financial Score of 100. c. Financial Scores for other technically qualified bidders will be evaluated using the following formula - Financial Score of Bidder (CS) = (GT of L1/ GT of the Bidder) X 100 (rounded off to 2 decimal places.

3- Final Evaluation a. A composite score shall be calculated for technically qualified bids only. The weightage for the composite evaluation is as described below: i. Technical – 50% ii. Financial – 50% Bidder with the highest final composite score (Final Score = TS*0.5 + CS*0.5) will be called for negotiating the contract. In case of a tie in the final composite score the bidder with the higher financial Score will be invited for negotiations and selection first.

To assist in the analysis, evaluation and computation of the bids, the Competent Authority, may ask bidders individually for clarification of their bids. The request for clarification and the response shall be in writing but no change in the substance of the bid offered shall be permitted. Administrative Department has all the rights reserved to terminate the agreement if the performance of selected agency is not found satisfactory.

16. After evaluation, the work shall be awarded normally to the agency fulfilling all the conditions and who obtains highest score in the evaluation of the technical and financial bid. In case two or more agencies are found to have obtained the same score, the Committee constituted for this purpose under RGPSA / RGSA/GPDP/PSP / PES Application shall decide about the Agency to which the offer shall be granted based on the report on the past performance of the firm, and length of experience etc. Such decision by such authority shall be final. Uttarakhand, Dehradun, have discretionary right to award on the same rate parallel contract to any of the willing agency(ies) found to have quoted the same rates, in case, the agency with lowest rate at any stage after award of contract fails to perform successfully / satisfactorily .

17. Salary quoted by the department is inclusive of Income Tax, Employer EPF contribution, ESI contribution etc, bonus, insurance, leave salary etc.

18. Directorate of Panchayati Raj, Dehradun reserves the right to accept or reject any or all bids without assigning any reasons. Directorate of Panchayati Raj, Dehradun , also reserves the right to reject any bid which in his opinion is non-responsive or violating any of the conditions/specifications without any liability to any loss whatsoever it may cause to the bidder in the process.

19. Canvassing in any form is strictly prohibited and the renderers who are found canvassing are liable to have their tenders rejected outrightly.

20. The period of the contract may be extended for such duration as agreed between parties for only once. at a time after the successful / satisfactory completion of initial contract & based on the manpower requirement at that time or may be curtailed / terminated before the contract period owing to deficiency in service or substandard quality of the manpower deployed by the selected Company / Firm /Agency. This office, however, reserves right to terminate this initial contract without assigning any reason thereof at any time after giving one month notice to the selected service providing Company / Firm / Agency.
