SPT Networks”) Has the Unique Ability to Unlock Value Through an Acquisition of Chello Media Channel Portfolio Strategy July 2013 Introduction • We have reviewed Chello Media’s CIM and we believe Sony Pictures Television Networks (“SPT Networks”) has the unique ability to unlock value through an acquisition of Chello Media • Key value propositions include the following: – Expand SPT Networks portfolio of networks into different genres and regions – Enhance distribution and ad sales through bundling – Content acquisition leverage – Co-develop original programming – Cross promote channels to drive viewership and ad sales – Further utilize Sony Picture Entertainment’s extensive content library – Leverage existing overhead and infrastructure for cost synergies • The following pages provide a more detailed view of a combined SPT Networks/Chello Media portfolio strategy by region 1 Chello LatAm Portfolio Strategy • Chello LatAm provides an opportunity for SPT Networks to expand its presence in the high-growth Latin American Pay TV and ad sales market – Expand SPT Networks’ channel portfolio by offering content across 5 of the 6 major genres – Expand distribution and reach through ownership of Chello LatAm’s 10 portfolio channels in key countries in Latin America such as Brazil and Mexico – Opportunities to create greater value to broadcasters by offering bundled options in distribution discussions – Expanding ad sales offering by building scale in the region and bundling ad sales to create greater value for advertisers across channels – Utilizing Sony Pictures Entertainment content library across Chello LatAm channels – Utilize Chello LatAm’s production facility to develop local SPT Networks content – Potential cost and operational synergies 2 Chello Zone Portfolio Strategy • Chello Zone channels have strong brand fit with the SPT Networks portfolio with significant opportunities in potentially rebranding select Chello Zone channels into SPT Networks brands (e.g., AXN Black/ White/ Spin or Movie properties) to leverage SPT Networks’ existing brand equity and distribution – MGM, as well as channels jointly-owned by CBS EMEA and CBS UK are strong strategic fits for SPT Networks’ current portfolio – Improved market position with increased reach which can be leveraged for future ad sales representation negotiations – Potential opportunity to create local market feeds to access local advertising – Greater content buying power across the region – Access to CBS franchises that can be leveraged across the portfolio – Improve economics by launching OTT catch-up services (e.g., CBS Action, Reality, Drama), SVOD services complementary to Animax (e.g., Horror Channel SVOD) and premium VOD – Potential cost and operational synergies 3 Chello Central Europe Portfolio Strategy • Chello Central Europe acquisition could help SPT Networks build out a very deep and wide channel portfolio - particularly in SPT Networks’ main markets of Poland, Hungary and Romania - that would have enough reach to build significant scale in ad sales and leverage over content sellers • Kids and lifestyle brands have excellent distribution and would enhance SPT Network’s reach into adjacent children's and female market • Chello Central Europe’s sport channels represents a meaningful opportunity to build a pan-regional sports business that could acquire rights for the region at competitive valuations thanks to economies of scale • Movie-focused channels (i.e., MGM, Film Café, Film Mania) complement existing SPT Networks’ brands well and could potentially be rebranded as AXN Black/ White/ Spin to leverage existing branding, maximize distribution of all AXN brands and build a cleaner, clearer brand portfolio • In creating distribution width by providing a wide portfolio of channels that becomes a must-have for platforms, SPT Networks could secure higher long-term rates and carriage for SPT Networks channels • If sufficient market share is built, SPT Networks could consider an independent ad sales play in Poland, Hungary and Romania to further increase SPT Networks’ leverage with strategic ad sales partners in the region 4 Chello Multicanal Portfolio Strategy • A number of the Chello Multicanal channels are a strong complement to the SPT Networks portfolio – Strong position in Portugal with channels such as Canal Hollywood and Panda – Niche channels in Spain but with a highly specialized/ targeted viewer base which can potentially be effectively leveraged for ad sales purposes • Chello Multicanal’s strengths lie in low-cost original production, mainly in the lifestyle genre, which can be leveraged across the SPT Networks portfolio with some potential to leverage content across LatAm channels • Odisea, Canal Hollywood, and the movie and children’s channels jointly owned with Dreamia are solid assets, strong awareness and excellent distribution which can potentially be useful in reinforcing the AXN portfolio, particularly in Portugal and Angola • Strong JV channels – Historia and Bio – have heavy original content and are strong candidates for OTT and SVOD expansion • Opportunity to package channels with SPT Networks’ existing entertainment brands to reinforce content and distribution 5 .

As quotas para difusão de obras audiovisuais determinam que 50% do total de programas devem ser originariamente em língua portuguesa «com exceção daqueles cuja natureza e temática a tal se opuserem» e 20% obras criativas, de produção originária em língua portuguesa, que pode provir de outros países lusófonos até 25%. Em relação a 2019, a ERC verifica que nos 48 serviços de programas analisados, dos quais quatro são de âmbito internacional e dois regionais, as percentagens de 50 e 20 por cento são ultrapassadas pela RTP1, RTP África, RTP Internacional, RTP Memória e RTP Açores e pelos privados generalistas em sinal aberto. Os temáticos informativos por cabo (RTP3, SIC Notícias e a TVI24) preenchem apenas a quota de produção originariamente em língua portuguesa, não a de obras criativas em português. A RTP2 fica, pelo terceiro ano consecutivo, aquém das duas metas, desta vez por três pontos percentuais. Quase toda a programação da CMTV é originariamente em língua portuguesa, mas ainda não cumpre a percentagem de obras criativas de produção originariamente em língua portuguesa por três pontos percentuais, apesar de estar obrigada, por ser generalista.
