Pricing is good for product shipping through 12/31/2021.

Add 3% for shipment in 2022, 6% for shipment in 2023, etc.

All pricing is based on product configuration as per the description. Changes in configuration will effect pricing.

All pricing is based on using customer’s own material (COM) or Grade 1 fabric. See chart for adds for other fabric grades.

All pricing is based on indoor use. Check with your sales representative for pricing for product configured for outdoor use.

All pricing is based on standard finishes. Exposed hardwood components are Northern Grown Maple. Custom colors, finishes and wood species available

2 I. PURPOSE:

The purpose of this Request for Proposal (RFP) is to solicit proposals from experienced and responsible firms to establish a contract through competitive negotiations for providing seating analysis design services and turn-key replacement and installation of fixed seating at athletic venues on the Blacksburg, Virginia campus of Virginia Polytechnic Institute and State University (Virginia Tech), an agency of the Commonwealth of Virginia.

II. CONTRACT PERIOD:

The term of this contract is for One (1) year, or as negotiated. There will be an option for Four (4) one-year renewals, or as negotiated.

III. BACKGROUND:

The Virginia Tech Athletics Department wishes to establish a contract with experienced and responsible firm(s) for providing new and/or replacement fixed seating for various Athletic venues. At this time, only one initial seating project has been authorized. Future projects are subject to approval and funding.

The initial project is Phase I - Cassell Coliseum project. The first phase of the project is scheduled to be completed during the summer of 2016. The project will include removal of certain existing seats, performing seating analysis and full design services followed by furnishing and installing of new replacement seating for approximately 1650 prime location coliseum seats.

Cassell Coliseum is a 229,297-square-foot facility that houses a 9,786-seat arena, locker rooms, an auxiliary gymnasiums, offices, and other athletic facilities.

Should other future projects be approved and funded, the University may utilize this contract to service those future projects at other athletic venues consistent with the Phase I Cassell Coliseum project.

Future projects may also include outdoor athletic facilities such as and its outdoor clubs and suites. Successful contractor should be capable of providing both interior coliseum seating and outdoor venue fixed seating.

An award of the contract to complete Phase 1 for Cassell Coliseum does not guarantee future projects as they are contingent on funding, but the holder of such a contract will be considered for future projects as negotiated.

IV. EVA BUSINESS-TO-GOVERNMENT ELECTRONIC PROCUREMENT SYSTEM:

The eVA Internet electronic procurement solution streamlines and automates government purchasing activities within the Commonwealth of Virginia. Virginia Tech, and other state agencies and institutions, have been directed by the Governor to maximize the use of this system in the procurement of goods and services. We are, therefore, requesting that your firm register as a trading partner within the eVA system.

There are registration fees and transaction fees involved with using eVA. These fees must be considered in the provision of quotes, bids and price proposals offered to Virginia Tech. Failure to register within the eVA system may cause the quote, bid or proposal from your firm being rejected and the award made to another vendor registered in the eVA system.

Registration in the eVA system is accomplished on-line. Your firm must provide the information. 3 V. CONTRACT PARTICIPATION:

It is the intent of this solicitation and resulting contract to allow for cooperative procurement. Any public body, public or private health or educational institutions, or Virginia Tech’s affiliated corporations and/or partnerships may access any resulting contract if authorized by the contractor.

Participation in this cooperative procurement is strictly voluntary. If authorized by the Contractor, the resultant contract may be extended to the entities stated above to purchase at contract prices under contract terms. The Contractor shall notify Virginia Tech in writing of any such entities accessing the contract. No modification of this contract or execution of a separate contract must participate. The Contractor will provide semi-annual usage reports for all entities accessing the Contract. Participating entities shall place their own orders directly with the Contractor and shall fully and independently administer their use of the contract to include contractual disputes, invoicing and payments without direct administration from Virginia Tech. Virginia Tech shall not be held liable for any costs or damages incurred by any other participating entity because of any authorization by the Contractor to extend the contract. It is understood and agreed that Virginia Tech is not responsible for the acts or omissions of any entity, and will not be considered in default of the contract no matter the circumstances.

Use of this contract does not preclude any participating entity from using other contracts or competitive processes as the need may be.

VI. STATEMENT OF NEEDS:

The following outlines a statement of needs as it relates to only the Phase I Cassell Coliseum Fixed Seating Replacement Project. Future projects will be defined as approved and funded.

A. General Requirements for Phase 1 (Cassell Coliseum)

The Contractor(s) shall provide all seating analysis, seating design, removal of current seats, supply, delivery and installation of new product and all warranty services for Phase I of the Virginia Tech’s Cassell Coliseum Basketball Arena. Phase I shall be completed by August 10, 2016.

1. The first phase of this project will be for seating to accommodate valued donors and season ticket holders as highlighted on attached drawing (Attachment C). This phase includes approximately 825 seats, rows A-P on the “home” side of the stadium and approximately 824 seats, rows A-P on the “visitors” side. The seating options offered for this phase should include good, better and best options.

2. Contractor shall provide design services and seating analysis to optimize space and provide for the maximum number of seats while maintaining a high level of comfort for our customers.

3. Turnkey installation shall include removal of old seats, repair and prepare concrete floor to receive new seating. Complete installation of new seating shall be under manufacturer’s approved methods.

4. Contractor shall provide all warranty services following installation of seating.

B. Cassell Coliseum Phase I Milestone Dates (these dates are provided as a general timeline and are subject to change)

VII. PROPOSAL PREPARATION AND SUBMISSION:

A. General Requirements

1. RFP Response. To be considered for selection, Offerors must submit a complete response to this RFP.

No other distribution of any proposal shall be made by the Offeror.

2. Proposal Preparation:

a. Proposals shall be signed by an authorized representative of the Offeror. All information requested should be submitted. Failure to submit all information requested may result in Virginia Tech requiring prompt submission of missing information and/or giving a lowered evaluation of the proposal. Proposals substantially incomplete or lack key information may be rejected by Virginia Tech at its discretion. Mandatory requirements are those required by law or regulation or are such that they cannot be waived and are not subject to negotiation.

b. Proposals should be prepared simply and economically providing a straightforward, concise description of capabilities to satisfy the requirements of the RFP. Emphasis should be on completeness and clarity of content.

c. Proposals should be organized in the order in which the requirements are presented in the RFP. All pages of the proposal should be numbered. Each paragraph in the proposal should reference the paragraph number of the corresponding section of the RFP. It is also helpful to cite the paragraph number, subletter, and repeat the text of the requirement as it appears in the RFP. If a response covers more than one page, the paragraph number and subletter should be repeated at the top of the next page. The proposal should contain a table of contents which cross references the RFP requirements. Information which the offeror desires to present that does not fall within any of the requirements of the RFP should be inserted at an appropriate place or be attached at the end of the proposal and designated as additional material. Proposals not organized in this manner risk elimination from consideration if the evaluators cannot find where the RFP requirements are specifically addressed.

d. Each copy of the proposal should be bound in a single volume where practical. All documentation submitted with the proposal should be bound in that single volume.

5 e. Ownership of all data, material and documentation originated and prepared for Virginia Tech pursuant to the RFP shall belong exclusively to Virginia Tech and be subject to public inspection in accordance with the Virginia Freedom of Information Act. Trade secrets or proprietary information submitted by an Offeror shall not be subject to public disclosure under the Virginia Freedom of Information Act. However, to prevent disclosure the Offeror must invoke the protections of Section 2.2-4342F of the Code of Virginia, in writing, either before or at the time the data or other materials is submitted. The written request must specifically identify the data or other materials to be protected and state the reasons why protection is necessary. The proprietary or trade secret material submitted must be identified by some distinct method such as highlighting or underlining and must indicate only the specific words, figures, or paragraphs that constitute trade secret or proprietary information. The classification of an entire proposal document, line item prices and/or total proposal prices as proprietary or trade secrets is not acceptable and may result in rejection of the proposal.

3. Oral Presentation: Offerors who submit a proposal in response to this RFP may be required to give an oral presentation of their proposal to Virginia Tech. This will provide an opportunity for the Offeror to clarify or elaborate on the proposal but will in no way change the original proposal. Virginia Tech will schedule the time and location of these presentations. Oral presentations are an option of Virginia Tech and may not be conducted. Therefore, proposals should be complete.

B. Specific Requirements

Proposals should be thorough and detailed so Virginia Tech may properly evaluate your firm’s capabilities to provide the required. Offerors must submit the following information/items as a complete proposal:

1. Price (costs):

a. Provide your firm’s pricing structure for all design services including seating analysis.

b. Provide your firm’s pricing structure for removal of existing seats and preparation of site for turnkey installation of all new seating.

c. Provide your firm’s pricing structure for seating that will meet the needs of Phase I Cassell Coliseum as described including turnkey installation services being offered. Multiple seating options can be proposed along with multiple add-on options (example: cup holders).

d. Provide your firm’s detailed pricing structure for seating that could be used for future phases of Cassell Coliseum seating including several style options that can be used for lower and mid ticket priced seats. (Good, better, best options if applicable).

e. Provide detailed pricing structure for outdoor arena seating, and seating appropriate for indoor suites and clubs and any specialized design services and installation services which Virginia Tech may utilize in a potential future project at other venues. (Good, better, best options if applicable).

2. Quality of products and services offered and suitability for intended purposes:

a. Provide detailed product information for all seating being offered. A sample of the chair or chairs being proposed for Phase 1 of the Cassell Coliseum project should be readily available to be provided as part of your proposal if and when requested by the University.

b. Provide detailed information about the quality of design services offered.

c. Provide detailed information regarding installation services being offered.

3. Plan for providing goods and services:

a. Regarding Phase 1 of the Cassell Coliseum project, provide a detailed timeline from design to delivery and installation during the summer 2016.

6 b. Outline how the installation process will be handled. If installation services will be subcontracted, provide detailed information about the experience and qualify of the subcontracted firm including contractor’s license information.

4. Qualifications and Experience: A written narrative statement to include:

a. Relevant background information: Provide four (4) examples of recent projects similar in nature and scope highlighting institutions of higher education.

b. Name and contact information for person or persons who will oversee this project and information about projects they have recently overseen that are of similar complexity and size.

c. References: Provide four (4) references, either educational or governmental, for whom you have provided the products and services described . B. Award

Selection shall be made of two or more offerors deemed fully qualified and best suited among those submitting proposals on the basis of the evaluation factors in the Request for Proposals including price. Negotiations shall be conducted with the offerors so selected. After negotiations have been conducted with each offeror so selected, the agency shall select the offeror which, in its opinion, has made the best proposal, and shall award the contract to that offeror. The University reserves the right to make multiple awards as a result of this solicitation. The University may cancel this Request for Proposals or reject proposals at any time prior to an award, and is not required to furnish a statement of the reasons a particular proposal was not deemed to be the most advantageous. Should the University determine in writing and in its sole discretion that only one offeror is fully qualified, or that one offeror is clearly

7 more highly qualified than the others under consideration, a contract may be negotiated and awarded to that offeror. See Attachment B for sample contract form.

IX. OPTIONAL PRE-PROPOSAL CONFERENCE:

An optional pre-proposal conference will be held on December 8, 2015 at 11 AM in Cassell Coliseum West Side seating area. This conference allows potential Offerors an opportunity to present questions and obtain clarification relative to any facet of this solicitation. A site visit will follow to allow vendors to inspect the areas where seating will be installed.

While attendance at this conference will not be a prerequisite to submitting a proposal, offerors who intend to submit a proposal are encouraged to attend.

Bring a copy of this solicitation with you. Any changes resulting from this conference will be issued in a written addendum to this solicitation.

It is strongly recommended that you obtain a Virginia Tech parking permit for display on your vehicle prior to attending the conference. XIII. CONTRACT ADMINISTRATION:

A. Mr. Tom Gabbard, Senior Associate Athletic Director for Facilities and Operations, at Virginia Tech or his designee, shall be identified as the Contract Administrator and shall use all powers under the contract to enforce its faithful performance.

B. The Contract Administrator, or his designee, shall determine the amount, quantity, acceptability, fitness of all aspects of the services and shall decide all other questions in connection with the services. The Contract Administrator, or his designee, shall not have authority to approve changes in the services which alter the concept or which call for an extension of time for this contract. Any modifications made must be authorized by the Virginia Tech Procurement Department through a written amendment to the contract.

XIV. COMMUNICATIONS:

Communications regarding this Request for Proposals (RFP) shall be formal from the date of issue for this RFP, until either a Contractor has been selected or the Procurement Department rejects all proposals. Formal communications will

8 be directed to the Procurement Department. Informal communications, including but not limited to request for information, comments or speculations regarding this RFP to any University employee other than a Procurement Department representative may result in the offending Offeror’s proposal being rejected.

XV. INQUIRIES:

All inquiries concerning this solicitation should be submitted in writing via email, citing the particular RFP section and paragraph number. All inquiries will be answered in the form of an addendum. XVI. CONTROLLING VERSION OF SOLICITATION:

The PDF version of the solicitation and any addenda issued by Virginia Tech Procurement Services is the mandatory controlling version of the document. Any modification of/or additions to the solicitation by the Offeror shall not modify the official version of the solicitation issued by Virginia Tech Procurement Services. Such additional goods and services may include other products, components, accessories, subsystems, or related services newly introduced during the term of the Agreement.

1. ADVERTISING: In the event a contract is awarded for supplies, equipment, or services resulting from this solicitation, no indication of such sales or services to Virginia Tech will be used in product literature or advertising. The Contractor shall not state in any of the advertising or product literature that the Commonwealth of Virginia or any agency or institution of the Commonwealth has purchased or uses its products or services.

2. AS-BUILT DRAWINGS: The Contractor shall provide Virginia Tech a clean set of reproducible "as built" drawings and wiring diagrams, marked to record all changes made during installation or construction. The Contractor shall also provide Virginia Tech with maintenance manuals, parts lists and a copy of all warranties for all equipment. All "as built" drawings and wiring diagrams, maintenance manuals, parts lists and warranties shall be delivered to Virginia Tech upon completion of the work and prior to final payment.

3. ASBESTOS: Whenever and wherever during the course of performing any work under this contract, the Contractor discovers the presence of asbestos or suspects that asbestos is present, he shall stop the work immediately, secure the area, notify the Building Owner and await positive identification of the suspect material. During the downtime in such a case, the Contractor shall not disturb any surrounding surfaces but shall inform all employees that the suspect material is not to be disturbed, and shall vacate and secure the area until an identification has been made if suspect debris is present. In the event the Contractor is delayed due to the discovery of asbestos or suspected asbestos, then a mutually agreed extension of time to perform the work shall be allowed the Contractor but without additional compensation due to the time extension.

4. AUDIT: The Contractor hereby agrees to retain all books, records, and other documents relative to this contract for five (5) years after final payment, or until audited by the Commonwealth of Virginia, whichever is sooner. Virginia Tech, its authorized agents, and/or the State auditors shall have full access and the right to examine any of said materials during said period.

5. AVAILABILITY OF FUNDS: It is understood and agreed between the parties herein that Virginia Tech shall be bound hereunder only to the extent of the funds available or which may hereafter become available for the purpose of this agreement.

6. CANCELLATION OF CONTRACT: Virginia Tech reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the Contractor. In the event the initial contract period is for more than 12 months, the resulting contract may be terminated by either party, without penalty, after the initial 12 months of the contract period upon 60 days written notice to the other party. Any contract cancellation notice shall not relieve the Contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.

7. COMPLETE INFORMATION: All Offerors shall state manufacturer and product offered, and enclose complete and detailed specifications with proposal for all products offered. Failure to do so may cause proposal to be considered nonresponsive.

8. CONTRACT DOCUMENTS: The contract entered into by the parties shall consist of the Request for Proposal including all modifications thereof, the proposal submitted by the Contractor, the written results of negotiations, the Commonwealth Standard Contract Form, all of which shall be referred to collectively as the Contract Documents.

10. CONTRACTOR'S TITLE TO MATERIALS: No materials or supplies for the work shall be purchased by the Contractor or by any Subcontractor subject to any chattel mortgage or under a conditional sales or other agreement by which an interest is retained by the seller. The Contractor warrants that he has clear title to all materials and supplies for which he invoices for payment.

11. DELIVERY NOTIFICATION: Virginia Tech shall be notified no less than twenty-four (24) hours prior to delivery of any items so that personnel may be available to allow access to the building and verify items received. 12. DELIVERY AND STORAGE: It shall be the responsibility of the Contractor to make all arrangements for delivery, unloading, receiving and storing materials in the building during installation. Virginia Tech will not assume any responsibility for receiving these shipments. Contractor shall check with Virginia Tech and make necessary arrangements for security and storage space in the building during installation.

13. SPECIAL OR PROMOTIONAL DISCOUNTS: The Contractor shall extend any special promotional sale prices or discounts immediately to Virginia Tech during the term of the contract. Such notice shall also advise the duration of the specific sale or discount price.

14. FINAL INSPECTION: At the conclusion of the work, the Contractor shall demonstrate to the authorized owners representatives that the work is fully operational and in compliance with contract specifications and codes. Any deficiencies shall be promptly and permanently corrected by the Contractor at the Contractor's sole expense prior to final acceptance of the work.

15. INSPECTION OF JOB SITE: My signature on this solicitation constitutes certification that I have inspected the job site and am aware of the conditions under which the work must be accomplished. Claims, as a result of failure to inspect the job site, will not be considered by Virginia Tech.

16. INSTALLATION: All items must be assembled and set in place, ready for use. All crating and other debris must be removed from the premises.

17. INSURANCE: By signing and submitting a proposal under this solicitation, the Offeror certifies that if awarded the contract, it will have the following insurance coverages at the time the work commences. Additionally, it will maintain these during the entire term of the contract and that all insurance coverages will be provided by insurance companies authorized to sell insurance in Virginia by the Virginia State Corporation Commission. During the period of the contract, Virginia Tech reserves the right to require the Contractor to furnish certificates of insurance for the coverage required. INSURANCE COVERAGES AND LIMITS REQUIRED: A. Worker's Compensation - Statutory requirements and benefits. B. Employers Liability - $100,000.00 C. General Liability - $500,000.00 or as negotiated combined single limit. Virginia Tech and the Commonwealth of Virginia shall be named as an additional insured with respect to goods/services being procured. This coverage is to include Premises/Operations Liability, Products and Completed Operations Coverage, Independent Contractor's Liability, Owner's and Contractor's Protective Liability and Personal Injury Liability. D. Automobile Liability - $500,000.00 E. Builders Risk – For all renovation and new construction projects under $100,000 Virginia Tech will provide All Risk – Builders Risk Insurance. For all renovation contracts, and new construction from $100,000 up to $500,000 the contractor will be required to provide All Risk – Builders Risk Insurance in the amount of the contract and name Virginia Tech as additional insured. All insurance verifications of insurance will be through a valid insurance certificate. The contractor agrees to be responsible for, indemnify, defend and hold harmless Virginia Tech, its officers, agents and employees from the payment of all sums of money by reason of any claim against them arising out of any and all occurrences resulting in bodily or mental injury or property damage that may happen to occur in connection with and during the performance of the contract, including but not limited to claims under the Worker's Compensation Act. The contractor agrees that it will, at all times, after the completion of the work, be responsible for, indemnify, defend and hold harmless Virginia Tech, its officers, agents and employees from all liabilities resulting from bodily or mental injury or property damage directly or indirectly arising out of the performance or nonperformance of the contract.

11 18. LEAD: The Contractor is contracted by Virginia Tech to perform work in buildings where lead-containing materials such as lead-based paint may be located. Work performed under this contract may impact these lead materials (for example, during building renovations), but does not include lead abatement or de-leading operations. The Contractor will be informed by Virginia Tech project coordinator/manager of the location of suspect and known lead containing materials in the work area(s) to which the Contractor is assigned. The Contractor shall provide all training and equipment required by 29 CFR 1926.62 for the safe performance of the work. The Contractor may not perform de-leading or lead abatement unless they hold a valid Virginia Lead Contractor license and have been specifically retained to perform this work as a part of the contract. The Contractor shall submit to Virginia Tech Environmental Health and Safety Services (EHSS) Department for review and approval his written Lead Work Plan which outlines work practices, precautions, procedures, and engineering controls to be used during work that disturbs lead prior to commencement of this work. Work will not proceed until the Lead Work Plan has been approved by EHSS.

19. LICENSE TO USE VIRGINIA TECH LICENSED INDICIA: By signing and submitting this bid, the bidder agrees that if it is awarded a purchase order/contract as a result of this solicitation, it will follow the procedures outlined by Virginia Tech’s Licensing and Trademarks Administration to become a licensed vendor authorized to use Virginia Tech licensed indicia identified in the solicitation and to follow all procedures for submitting artwork for product for approval prior to producing any product with Virginia Tech indicia. As a licensed vendor, the bidder will be required to pay the university’s standard royalty rate for similarly licensed vendors.

20. MAINTENANCE MANUALS: The Contractor shall provide with each piece of equipment an operations and maintenance manual with wiring diagrams, parts list, and a copy of all warranties.

21. MATERIALS CONTAINING ASBESTOS: The offeror shall not incorporate any materials into the work containing asbestos. The offeror shall not incorporate any material known by the offeror to contain a substance known to be hazardous to health when the building is occupied unless specifically approved by Virginia Tech or required by the specifications. If the offeror becomes aware that a material required by the specifications contains asbestos, it shall notify Virginia Tech immediately and shall take no further steps to acquire or install any such material.

23. PREVENTIVE MAINTENANCE: The Contractor shall provide necessary preventive maintenance, required testing and inspection, calibration and/or other work necessary to maintain the equipment in complete operational condition during the warranty period.

24. PRIME CONTRACTOR RESPONSIBILITIES: The Contractor shall be responsible for completely supervising and directing the work under this contract and all subcontractors that he may utilize, using his best skill and attention. Subcontractors who perform work under this contract shall be responsible to the prime Contractor. The Contractor agrees

27. SAFETY: The Contractor bears sole responsibility for the safety of its employees. The Contractor shall take all steps necessary to establish, administer, and enforce safety rules that meet the regulatory requirements of the Virginia Department of Labor and Industry (VDLI) and the Occupational Safety and Health Administration (OSHA). The contractor shall take steps as necessary to protect the safety and health of university employees, students, and visitors during the performance of their work. In addition, the contractor must also provide the university with a written safety program that it intends to follow in pursuing work under this contract. By entering into a contract with Virginia Tech, the contractor and its subcontractors agree to abide by the requirements described in Safety Requirements for Contractors and Subcontractors located on Virginia Tech’s Environmental, Health and Safety Services (EHSS) web site at this URL http://www.ehss.vt.edu/programs/contractor_safety.php. 28. SEVERAL LIABILITY: Virginia Tech will be severally liable to the extent of its purchases made against any contract resulting from this solicitation. 29. SIDEWALK POLICY: Driving on sidewalks is allowed when there is no other way to get a needed vehicle to a designated place or building on campus. The vehicle operator shall be made aware that extreme caution shall be used to operate the vehicle in a way that will not be a hazard or hindrance to pedestrians using the walk. The contractor shall be responsible for any damage to turf and anything that is located adjacent to the walk. Parking an unattended vehicle on a sidewalk is strictly prohibited by State Law. The contractor is allowed to park a vehicle on a sidewalk if there is no other way to perform necessary work. The procedure to obtain a permit to operate a vehicle on sidewalks is the same as for the turf as outlined in Turf Policy. Any vehicle parked illegally on sidewalks shall be subject to ticketing, fines and towing if necessary.

30. SUBCONTRACTS: No portion of the work shall be subcontracted without prior written consent of Virginia Tech. In the event that the Contractor desires to subcontract some part of the work specified herein, the Contractor shall furnish Virginia Tech the names, qualifications and experience of their proposed subcontractors. The Contractor shall, however, remain fully

13 liable and responsible for the work to be done by his subcontractor(s) and shall assure compliance with all requirements of the contract.

31. TURF POLICY: Parking or driving on campus turf or sidewalk is strictly prohibited, except as specifically directed or otherwise allowed by the Physical Plant Grounds Department. In this case, a turf permit must be obtained from Virginia Tech Parking Services and displayed by the vehicle. Turf parking is not allowed under the canopy of any tree on campus. Any vehicle parked illegally on turf or sidewalks shall be subject to ticketing and fines.

32. WARRANTY (COMMERCIAL): The Contractor agrees that the supplies or services furnished under any award resulting from this solicitation shall be covered by the most favorable commercial warranties the contractor gives any customer for such supplies or services and that the rights and remedies provided therein are in addition to and do not limit those available to Virginia Tech by any other clause of this solicitation. A copy of this warranty must be furnished with the proposal.

33. WORK SITE DAMAGES: Any damage to existing utilities, equipment or finished surfaces resulting from the performance of this contract shall be repaired to the Owner's satisfaction at the Contractor's expense.

2. Regarding bonds: The Cassell Coliseum project will not require bonds. It is unknown whether bonds may be required for future seating projects although it is unlikely.

3. Regarding ADA seating: The current Cassell Coliseum project which encompasses the 6 sections shown in the drawings, does not require any ADA seating. However, subsequent jobs may require some ADA compliant seating.

4. Regarding seating rows: In the bid drawing, it states that “P” is the last row included in the initial phase of seating replacement in Cassell Coliseum. Row P is NOT included. There are 13 rows.

5. Work performed under this contract does not require any structural modification of concrete. Only drilling into concrete to install riser mounted seating and patching of holes left after removal of old seating.

6. Clarifications to Section VII, B “Specific Requirements”, item 1. a: Service should include providing a layout and manifest in accordance with seating option chosen by client.

7. Contractor is responsible for costs associated with obtaining permits and should include these costs in pricing

8. Dumpsters shall be provided by the contractor.

9. New number tags and row markers will be required for the Cassell job.

Irwin Seating Company is pleased to respond to RFP 0041791 with a responsible proposal that not only outlines the Phase 1 replacement of seating in Cassel Coliseum; but can be used for future Phases in the coliseum or any other venues on campus. Lane Stadium, for example, could utilize the proposed seating solutions captured in our response for both indoor and outdoor seating requirements.

Irwin Seating Company is successfully enrolled in EVA and has been assigned Vendor # VS0000168369. We acknowledge receipt of Addendum #1 dated 12/22/15.

Irwin Seating Company will be proud to offer these proposed economics of products to other VASCUPP members of cooperative procurement. National IPA and E&I cooperative contracts are also held by Irwin Seating Company and Virginia Tech, as a member, could purchase off these contracts as well.

In the following pages you will find details of different product offerings, some that will be more comfortable than others when you understand the dimensional analysis of the tight row spacing in Cassell Coliseum. There is much information to absorb and I have attempted to systematically provide the details as requested. Please do not hesitate to contact me with any questions. New Backs and Seats can be easily reconfigured on the existing standards. This is an economical way to update the faded fabric without having to replace the structure of the chair.

The Cassell Coliseum existing chairs were manufactured by Ideal Seating Company and have lasted the university well. In 2001 the chairs were restored by Irwin Seating Company/Country Roads Inc. whereby the slatted wood seats and backs were refinished and the castings were powdercoated, and then installed over the existing anchors.

The wood products of yesteryear have been replaced by engineered plastics and Irwin Seating is proposing several options to evaluate as replacement seating. Each model presented has its own dimensional and design aesthetics to review. Chair size increase from existing will go far for comfort in the decision for the next seating solution in the coliseum.

Please review the dimensional analysis that shows how the new seating options will impact patron comfort for knee space. Looking at the comparison it is clear that the Solara – short back is a winner that not only meets but exceeds dimensional comparison to the existing seating in Cassell Coliseum. (page 9)

a. Provide detailed product information for all seating being offered. A sample of the chair or chairs being proposed for Phase 1 of the Cassell Coliseum project should be readily available to be provided as part of your proposal if and when requested by the University.

See pages (10-16) that detail the specification of component parts of each proposed model option. Samples are readily available upon request. Note: We offer a scheduled visit to local installations to look at each of the proposed seating models. We will schedule and provide transportation to local installations at your request.

b. Provide detailed information about the quality of design services offered. Chair size options and capacity impacts for Phase 1 reseat of Cassell Coliseum: Existing seating arrangement has 20 – 18”wide chairs in each of the 6 sections in the coliseum. Irwin’s Patriot chair is the only product that we make an 18” wide chair (18” chair not recommended for comfort!). Comfort is improved by increasing chair width. The following are 3 options for increased width: • 19 – 19” chairs per row fit in between steps… reduces existing capacity by 13 chairs per section. • 18 – 20” chairs per row fit in between steps … reduces existing capacity by 26 chairs per section. • 17 – 21” chairs per row fit in between steps … reduces existing capacity by 39 chairs per section. This is a simple design option that is easily calculated and repeated throughout the Phase 1 sections being replaced. For more complicated field measuring and study we have available to our design folks, laser measuring capabilities to scan entire spaces that creates a dimension cloud we can use to generate new layouts of any existing space.

c. Provide detailed information regarding installation services being offered. Irwin Seating Company is the Largest Seating Company in the world and has many installation resources to utilize. All our installation resources are Certified Irwin Seating Installers. We will provide a turn-key solution from field check – removal & disposal of existing seating – installation of new seating – punch list and sign off.

3. Plan for providing goods and services: a. Regarding Phase 1 of the Cassell Coliseum project, provide a detailed timeline from design to delivery and installation during the summer 2016.

Lead-times and milestones for Cassell Coliseum Phase 1: • Based on the Award Date 4/1/16 • Drawings complete 1 week 4/8/16 • Approved Drawings 2 weeks 4/22/16 • MFG Complete 8 weeks 6/17/16 • Ship 6/17/16 • Deliver 3 days 6/20/16 • Removal of existing seating begins 3 days before delivery. • Installation 3 weeks 7/15/16 w/ holiday Depending on event schedule we can work around most busy schedules. This is just an example of possible completion and leaves more than enough time to meet the completion date of August 10, 2016.

b. Outline how the installation process will be handled. If installation services will be subcontracted, provide detailed information about the experience and qualify of the subcontracted firm including contractor’s license information. Irwin Seating Company will hire Delta Graphic Inc. to provide the Installation portion of the contract. DGI is a certified SWAM VA Contractor. SWAM #008613 VA Contractor Lic. 2701 009911A. DGI is a second generation company that has 70+ years in providing fixed furniture and equipment to schools and Universities. As a sub- contractor to Irwin Seating they will be responsible for the following: • Removal of existing chairs. • Recycling of removed seating in dumpsters provided by installer. • Break existing anchors. • Patch concrete to industry standard. • Measure and Layout new chair sizes based on approved seating plan. • Install New Seating – punch list and sign off of each section of seating.

4. Qualifications and Experience: A written narrative statement to include:

Irwin Seating Company World Headquarters is in Grand Rapids, Michigan. We manufacture and assemble all products for North America in our 400,000 sq. ft. facility. Irwin Seating Company is the world’s largest manufacturer of fixed seating. During our busy months we ship over 15,000 chairs a week from our Grand Rapids facility. Irwin Seating Company provides seating to additional markets other than major arena and stadium. We install seating in the K12 and Higher Ed markets and also movie theatres and places of worship.

Irwin Seating Company has the largest installed base of spectator seating solutions for collegiate arenas and multi- purpose facilities in the US. Irwin Seating Company products are in 21 of 30 NBA buildings including seven of eight most recently built which utilize our fixed and telescopic seating solutions exclusively. Irwin Seating products are in 16 of 30 NHL buildings including 10 of the last 11 built. The two most recent facilities (New Jersey & Pittsburgh) utilize Irwin’s fixed and telescopic seating solutions exclusively.

- Code allows for minimum clear passage of 12" plus .3" for every chair over 17 so any of the options meet code but may not be comfortable?

- The Short Back - Solara chair is the best option for matching existing 'spacing' requirements for leg room. The Seat Down Profile is less and the Envelope is less which increases clear passage and seat down clearance.

- The back off the floor dimension is important to review as this defines the 'hard edge' of the back to ones knee/shin when seated. - Irwin Seating Company encourages a 'sit test' of any of the seating options in the configuration of the tread and riser geometry of Cassell Coliseum.

Seating Specifications.

Solara – 115.115.25.25

Materials and Finishes:

A. Steel shall meet requirements for ASTM A 36/A 36M plates, shapes, and bars; ASTM A 513 mechanical tubing; ASTM A 1008/A 1008M cold-rolled sheet; and ASTM A 1011 hot-rolled sheet and strip.

B. Extruded and cast aluminum alloys shall meet specifications outlined by the Aluminum Association.

C. << For INDOOR installation >> Prior to powder coating, metal and cast iron parts shall be treated with a three-stage non-acidic, cleaning process for superior finish adhesion. The hybrid thermosetting powder coat finish shall be applied by electrostatic means to a thickness of 2 - 5 mils. After coating, parts shall be oven baked to create a durable finish that meets the following criteria: 1. Cross Hatch Adhesion of 5B (No Loss) per ASTM D3359B 2. Pencil Hardness with a minimum rating of 2H per ASTM D3363 3. Front impact of at least 80in-lbs when tested per ASTM D2794

C. << For OUTDOOR installation >> Prior to powder coating, metal and cast iron parts shall be treated with a zinc phosphate cleaning process for superior finish adhesion. Solara - Fixed Audience Seating:

A. Chair units and specified accessories shall be mounted to a 2-3/8” x 1-3/4” extruded, anodized aluminum horizontal I-shaped beam. Horizontal beam is supported by 7 gauge steel stanchions spaced at 2 to 2-1/2 chair widths. Stanchions shall be riser attached as detailed on seating layout drawings. Horizontal beams are attached to stanchions by means of cast iron clamps and zinc, nickel plated hardware. All weldments shall be robotic welded.

B. Chair Assembly: The back and seat shall be delivered assembled and ready for attachment to the horizontal beam.

1. Back components shall be one-piece, injection-molded polymer with an ergonomic compound curve. Plastic must be high impact-resistant linear polypropylene with a textured finish. The back assembly shall be certified through routine testing to withstand a 250 lb. static load test applied approximately 16” above the seat assembly and a 50,000 cycle 40 lb. swing impact test.

2. Seat components shall be one-piece, injection-molded, high impact-resistant linear polypropylene, with a textured surface. The tops of the seats shall be formed to provide even, comfortable support for the seated individual by properly contouring to the shape of the human form.

3. Chair Frame: a. A black, glass-filled, nylon structure shall be used to connect the seat and back components into a single assembly. The frame shall be formed to create integral armrests. The frame shall extend below the seat component to form a two-piece clamp used to secure the assembly to the horizontal beam. The clamp assembly is held together using stainless steel hardware.

b. The chair frame acts as a housing for the seat-lift mechanism, which is completely shrouded within the frame and seat component. Seats shall lift automatically to a uniform three- quarter safety-fold position when unoccupied. Seat-lift shall be accomplished with one (1) lubricated torsion spring. The seat-lift mechanism shall be certified through routine testing to exceed 100,000 cycles during ASTM Designation F851-87 Test Method for Self-Rising Seat Mechanism. In addition, the seat shall withstand a 600 lb. static load test applied approximately 3” from the front edge of the seat assembly and a 50,000 cycle, 125 lb. vertical drop impact test.

Column shall be two pieces with the bottom pillar extending back toward the riser face fabricated at an appropriate angle to provide riser clearance for the chair as well as proper seat and back height. Brackets for seat attachment shall be 7-gauge (.1875") steel for superior strength, formed with an integral support buttress. Pillar shall be MIG welded to a 1/4” thick steel attachment plate used to secure the chair to the riser face.

The face of the back shall feature a decorative recess molded around the perimeter of the back and a recess for a seat number plate. The blow-molded plastic shall be designed to be a sturdy structural component with threaded inserts molded into the rear of the back for attachment of 14-gauge steel wings. The back assembly shall be certified through routine ISO testing to withstand a 250 lb. static load test applied approximately 16” above the seat assembly and a 100,000 cycle 40 lb. swing impact test.

D. Molded Plastic Seat: 1. The seat components shall be one-piece, double-wall construction formed with impact-resistant, blow-molded, (HDPE) high-density polyethylene plastic, with a smooth surface. The tops of the seats shall be formed to provide even, comfortable support for the seated individual by properly contouring to the shape of the human form. Seat components shall be molded to avoid sharp, pressure-generating ridges by gently falling away at the front of the seat. The underside of the seat shall be recessed to provide support of the seat surface. Structural seat-lift arms shall transfer the occupant load to the cast iron pivot and the chair’s support structure (standards). Seat-lift arms shall be formed from engineered injection-molded, glass-filled nylon plastic, and colored to blend aesthetically with the blow-molded plastic.

2. Seats shall lift automatically to a uniform three-quarter fold position when unoccupied, and shall rotate on two molded, structural, glass-filled nylon hinge rods in internally molded channels with integral down-stops for exceptional strength. Seat-lift shall be accomplished by compression springs and lubricated, high-tech plastic cams, providing quiet, gentle seat uplift. Seats shall self- rise to a uniform position when unoccupied. The mechanism shall be certified through routine ISO testing to exceed 300,000 cycles during ASTM Designation F851-87 Test Method for Self-Rising Seat Mechanism. E. Chair width shall vary to accommodate sightlines and row lengths.

F. Nominal back height shall be 32” above a level floor.

H. Armrests shall be 10 gauge (.125") formed steel, securely welded to the top of each aisle and center standard armrest. Armrests shall be flat on the top surface with the edges rounded and broken approx. 15 degrees, shall be 2" x 9" size, and shall be provided with a closed return at the front to prevent interference with occupant's clothing. All weldments shall be gas shielded, arc weld.

Number plates shall be 1-3/4" x 2-3/4" aluminum with a clear finish and black Bauhaus Bold numerals. Number plates shall be placed in back recess, and attached by two (2) pop rivets. B. Aisle standards shall be cast to provide the same functions as the center standards, and shall be designed to provide a simple decorative closed end at the aisles. The center of the aisle standard face shall have a raised, inclined landing to provide a convenient location for a row-identification letter.

Special Terms and Conditions

1. ADVERTISING: In the event a contract is awarded for supplies, equipment, or services resulting from this solicitation, no indication of such sales or services to Virginia Tech will be used in product literature or advertising. The Contractor shall not state in any of the advertising or product literature that the Commonwealth of Virginia or any agency or institution of the Commonwealth has purchased or uses its products or services.

2. AS-BUILT DRAWINGS: The Contractor shall provide Virginia Tech a clean set of reproducible "as built" drawings and wiring diagrams, marked to record all changes made during installation or construction. The Contractor shall also provide Virginia Tech with maintenance manuals, parts lists and a copy of all warranties for all equipment. All "as built" drawings and wiring diagrams, maintenance manuals, parts lists and warranties shall be delivered to Virginia Tech upon completion of the work and prior to final payment.

3. ASBESTOS: Whenever and wherever during the course of performing any work under this contract, the Contractor discovers the presence of asbestos or suspects that asbestos is present, he shall stop the work immediately, secure the area, notify the Building Owner and await positive identification of the suspect material. During the downtime in such a case, the Contractor shall not disturb any surrounding surfaces but shall inform all employees that the suspect material is not to be disturbed, and shall vacate and secure the area until an identification has been made if suspect debris is present. In the event the Contractor is delayed due to the discovery of asbestos or suspected asbestos, then a mutually agreed extension of time to perform the work shall be allowed the Contractor but without additional compensation due to the time extension.

4. AUDIT: The Contractor hereby agrees to retain all books, records, and other documents relative to this contract for five (5) years after final payment, or until audited by the Commonwealth of Virginia, whichever is sooner. Virginia Tech, its authorized agents, and/or the State auditors shall have full access and the right to examine any of said materials during said period.

5. AVAILABILITY OF FUNDS: It is understood and agreed between the parties herein that Virginia Tech shall be bound hereunder only to the extent of the funds available or which may hereafter become available for the purpose of this agreement.

6. CANCELLATION OF CONTRACT: Virginia Tech reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the Contractor. In the event the initial contract period is for more than 12 months, the resulting contract may be terminated by either party, without penalty, after the initial 12 months of the contract period upon 60 days written notice to the other party. Any contract cancellation notice shall not relieve the Contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.

10. CONTRACTOR'S TITLE TO MATERIALS: No materials or supplies for the work shall be purchased by the Contractor or by any Subcontractor subject to any chattel mortgage or under a conditional sales or other agreement by which an interest is retained by the seller. The Contractor warrants that he has clear title to all materials and supplies for which he invoices for payment.

11. DELIVERY NOTIFICATION: Virginia Tech shall be notified no less than twenty-four (24) hours prior to delivery of any items so that personnel may be available to allow access to the building and verify items received. 12. DELIVERY AND STORAGE: It shall be the responsibility of the Contractor to make all arrangements for delivery, unloading, receiving and storing materials in the building during installation. Contractor shall check with Virginia Tech and make necessary arrangements for security and storage space in the building during installation.

13. SPECIAL OR PROMOTIONAL DISCOUNTS: The Contractor shall extend any special promotional sale prices or discounts immediately to Virginia Tech during the term of the contract. Such notice shall also advise the duration of the specific sale or discount price.

14. FINAL INSPECTION: At the conclusion of the work, the Contractor shall demonstrate to the authorized owners representatives that the work is fully operational and in compliance with contract specifications and codes. Any deficiencies shall be promptly and permanently corrected by the Contractor at the Contractor's sole expense prior to final acceptance of the work.

15. INSPECTION OF JOB SITE: My signature on this solicitation constitutes certification that I have inspected the job site and am aware of the conditions under which the work must be accomplished. Claims, as a result of failure to inspect the job site, will not be considered by Virginia Tech.

16. INSTALLATION: All items must be assembled and set in place, ready for use. All crating and other debris must be removed from the premises.

17. INSURANCE: By signing and submitting a proposal under this solicitation, the Offeror certifies that if awarded the contract, it will have the following insurance coverages at the time the work commences. Additionally, it will maintain these during the entire term of the contract and that all insurance coverages will be provided by insurance companies authorized to sell insurance in Virginia by the Virginia State Corporation Commission. 18. LEAD: The Contractor is contracted by Virginia Tech to perform work in buildings where lead-containing materials such as lead-based paint may be located. Work performed under this contract may impact these lead materials (for example, during building renovations), but does not include lead abatement or de-leading operations. The Contractor will be informed by Virginia Tech project coordinator/manager of the location of suspect and known lead containing materials in the work area(s) to which the Contractor is assigned. The Contractor shall provide all training and equipment required by 29 CFR 1926.62 for the safe performance of the work. The Contractor may not perform de-leading or lead abatement unless they hold a valid Virginia Lead Contractor license and have been specifically retained to perform this work as a part of the contract. The Contractor shall submit to Virginia Tech Environmental Health and Safety Services (EHSS) Department for review and approval his written Lead Work Plan which outlines work practices, precautions, procedures, and engineering controls to be used during work that disturbs lead prior to commencement of this work. Work will not proceed until the Lead Work Plan has been approved by EHSS.

19. LICENSE TO USE VIRGINIA TECH LICENSED INDICIA: By signing and submitting this bid, the bidder agrees that if it is awarded a purchase order/contract as a result of this solicitation, it will follow the procedures outlined by Virginia Tech’s Licensing and Trademarks Administration to become a licensed vendor authorized to use Virginia Tech licensed indicia identified in the solicitation and to follow all procedures for submitting artwork for product for approval prior to producing any product with Virginia Tech indicia. As a licensed vendor, the bidder will be required to pay the university’s standard royalty rate for similarly licensed vendors.

20. MAINTENANCE MANUALS: The Contractor shall provide with each piece of equipment an operations and maintenance manual with wiring diagrams, parts list, and a copy of all warranties.

21. MATERIALS CONTAINING ASBESTOS: The offeror shall not incorporate any materials into the work containing asbestos. The offeror shall not incorporate any material known by the offeror to contain a substance known to be hazardous to health when the building is occupied unless specifically approved by Virginia Tech or required by the specifications. If the offeror becomes aware that a material required by the specifications contains asbestos, it shall notify Virginia Tech immediately and shall take no further steps to acquire or install any such material.

23. PREVENTIVE MAINTENANCE: The Contractor shall provide necessary preventive maintenance, required testing and inspection, calibration and/or other work necessary to maintain the equipment in complete operational condition during the warranty period.

PRIME CONTRACTOR RESPONSIBILITIES: The Contractor shall be responsible for completely supervising and directing the work under this contract and all subcontractors that he may utilize, using his best skill and attention. 27. SAFETY: The Contractor bears sole responsibility for the safety of its employees. The Contractor shall take all steps necessary to establish, administer, and enforce safety rules that meet the regulatory requirements of the Virginia Department of Labor and Industry (VDLI) and the Occupational Safety and Health Administration (OSHA). The contractor shall take steps as necessary to protect the safety and health of university employees, students, and visitors during the performance of their work. In addition, the contractor must also provide the university with a written safety program that it intends to follow in pursuing work under this contract. By entering into a contract with Virginia Tech, the contractor and its subcontractors agree to abide by the requirements described in Safety Requirements for Contractors and Subcontractors located on Virginia Tech’s Environmental, Health and Safety Services (EHSS) web site at this URL http://www.ehss.vt.edu/programs/contractor_safety.php. A copy of the publication may also be obtained by contacting EHSS at 540/231- 5985. No work under this contract will be permitted until the university is assured that the contractor has an adequate safety program in effect.

28. SEVERAL LIABILITY: Virginia Tech will be severally liable to the extent of its purchases made against any contract resulting from this solicitation. 29. SIDEWALK POLICY: Driving on sidewalks is allowed when there is no other way to get a needed vehicle to a designated place or building on campus. The vehicle operator shall be made aware that extreme caution shall be used to operate the vehicle in a way that will not be a hazard or hindrance to pedestrians using the walk. The contractor shall be responsible for any damage to turf and anything that is located adjacent to the walk. Parking an unattended vehicle on a sidewalk is strictly prohibited by State Law. The contractor is allowed to park a vehicle on a sidewalk if there is no other way to perform necessary work. The procedure to obtain a permit to operate a vehicle on sidewalks is the same as for the turf as outlined in Turf Policy. Any vehicle parked illegally on sidewalks shall be subject to ticketing, fines and towing if necessary.

30. SUBCONTRACTS: No portion of the work shall be subcontracted without prior written consent of Virginia Tech. In the event that the Contractor desires to subcontract some part of the work specified herein, the Contractor shall furnish Virginia Tech the names, qualifications and experience of their proposed subcontractors. The Contractor shall, however, remain fully

liable and responsible for the work to be done by his subcontractor(s) and shall assure compliance with all requirements of the contract.

31. TURF POLICY: Parking or driving on campus turf or sidewalk is strictly prohibited, except as specifically directed or otherwise allowed by the Physical Plant Grounds Department. In this case, a turf permit must be obtained from Virginia Tech Parking Services and displayed by the vehicle. Turf parking is not allowed under the canopy of any tree on campus. Any vehicle parked illegally on turf or sidewalks shall be subject to ticketing and fines.

32. WARRANTY (COMMERCIAL): The Contractor agrees that the supplies or services furnished under any award resulting from this solicitation shall be covered by the most favorable commercial warranties the contractor gives any customer for such supplies or services and that the rights and remedies provided therein are in addition to and do not limit those available to Virginia Tech by any other clause of this solicitation. A copy of this warranty must be furnished with the proposal.

33. WORK SITE DAMAGES: Any damage to existing utilities, equipment or finished surfaces resulting from the performance of this contract shall be repaired to the Owner's satisfaction at the Contractor's expense.

Alternatively, Seller may refund the purchase price paid for the returned defective product. Damage or repairs arising from abuse, accident, vandalism, improper installation, or alteration of the product subsequent to sale, shall not be considered to be a defect in material or workmanship. Notwithstanding anything to the contrary herein, this warranty shall include materials and freight for the applicable time period set forth above except Seller shall also pay for labor during the first two years of the warranty period.

THIS WARRANTY SHALL BE IN LIEU OF ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE OBLIGATION OF ANY SURETY SUPPORTING THIS WARRANTY CEASES ONE YEAR FROM THE DATE OF SHIPMENT.

Buyer’s sole and exclusive remedy against Seller shall be for the repair or replacement of defective parts as provided herein and no other remedy (including, but not limited to, incidental or consequential damages for lost profits, lost sales, injury to person or property, or any other incidental or consequential loss) shall be available to Buyer. This work shall be performed at reasonable intervals based on frequency of use, but at least every six (6) months. Strenuous use requires weekly inspection. All hazards are to be corrected prior to further use.

1. Virginia Tech Question:

As referenced in the RFP, besides considering an award specifically for the Cassell Coliseum seating project, Virginia Tech wishes to establish a separate term contract for services and products your firm can provide. This term contract will service potential future projects university-wide and separate from the Cassell Coliseum project. The resulting term contract will be a cooperative contract which other government entities including Commonwealth of Virginia Higher Education agencies (VASCUPP members, http://www.vascupp.org) may wish to access. Regarding establishing a pricing schedule for use within the term contract, and understanding that the term of the resulting contract will be one year with four (4) one year renewals, please indicate if the products provided in your proposal and the pricing listed would be honored in the first year of the contract as well as the first renewal term (two complete years from award).
