BOARD OF TRUSTEES OF COMMUNITY COLLEGE DISTRICT NO. 508 COUNTY OF COOK AND STATE OF

AUTHORIZATION TO APPROVE A CHANNEL SHARING AGREEMENT AND ASSET TRANSFER AGREEMENT BETWEEN THE WINDOW TO THE WORLD COMMUNICATIONS, INC. (WTTW) AND THE BOARD OF TRUSTEES OF COMMUNITY COLLEGE DISTRICT NO. 508 D/B/A/ WYCC WYCC-TV KENNEDY-KING COLLEGE

WHEREAS, the Board of Trustees of Community College District No. 508 County of Cook and State of Illinois (“Board”) has held an Federal Communication Commission (“FCC”) broadcast license in the 600 MHz spectrum (“Spectrum”) that is used to broadcast the signal for the WYCC ; and

WHEREAS, the Illinois Public Community College Act, as amended, lists the powers and duties of community college districts in the State of Illinois, and states in 110 ILCS 805/3-30, that “The board of any community college district has the powers … that may be requisite or proper for the maintenance, operation and development of any college or colleges under the jurisdiction of the board;” and

WHEREAS, the FCC conducted an incentive auction for the purpose of obtaining and then redistributing the Spectrum; and

WHEREAS, the Board authorized participation in the auction and was a winning bidder whereby the Spectrum was sold for $15,959,957 (“Proceeds”); and

WHEREAS, the Board received payment of the auction Proceeds on July 21, 2017 and now has authority under FCC regulations to discontinue broadcasting while pursuing a Channel Sharing Agreement with WTTW and eventually assign its FCC license to WTTW pursuant to an Asset Transfer Agreement; and

WHEREAS, both WYCC and WTTW are noncommercial educational television station licensees, and WYCC with its winning channel relinquishment bid was obligated to cease operating on Channel 21 or enter into a Channel Sharing Agreement with another television station in accordance with Post- Incentive Auction regulations issued by the FCC; and

WHEREAS, under the Channel Sharing Agreement, WTTW will assume responsibility for costs associated with the transmission and payment for all of the WYCC programming on the shared channel until FCC approval of the license transfer; and WHEREAS, WTTW shall pay all costs of operating the transmission facilities and transmitting the parties’ signals including, but not limited to, all attendant costs on the shared channel; NOW THEREFORE BE IT RESOLVED, the Board of Trustees hereby authorizes the Chair to execute a Channel Sharing and Asset Transfer Agreement with WTTW and to take any and all actions necessary to effectuate the transfer of the license to WTTW.
