PURPOSE & KEY POINTS

The purpose of this item is to recognize Kathy Brown, Vice President for Human Resources.

Brown has served the University for nearly 28 years, first joining the University in 1992 as an Associate General Counsel in the Office of the General Counsel. During her tenure at the University, Brown served in a number of leadership roles, including Interim Director of the Office of Disability Services, Associate Vice President in the Office for Multicultural and Academic Affairs, Vice President and Chief of Staff in the Office of the President, and most recently as Vice President for Human Resources. As Vice President for Human Resources, Brown spearheaded a number of strategic initiatives, including but not limited to development of a vision and strategic plan for the Office of Human Resources, a reimagined employee engagement survey and action planning process that led to high response rates, and a new human resources analytics function designed to inform decision-making.

A motion was made and seconded, and the committee voted unanimously to recommend approval of the purchase of 2025 East River Parkway, Minneapolis.

A motion was made and seconded to recommend approval of the sale of 701 24th Avenue Southeast, Minneapolis. Regent Rosha requested a roll call vote on the motion.

Regent Anderson moved to postpone the item until the committee’s December 2019 meeting. There was a second and the committee voted 8-2 in favor of postponing the item. Regents McMillan and Beeson voted no.

TWIN CITIES UNDERGRADUATE NONRESIDENT/NON-RECIPROCITY TUITION UPDATE FY 2021 BUDGET VARIABLES AND LEVERS

Regent McMillan invited Associate Vice President Tonneson and Robert McMaster, Vice Provost and Dean of Undergraduate Education, to provide both an update on the Twin Cities undergraduate nonresident/non-reciprocity tuition and to lead a discussion on the FY 2021 budget variables and levers, as detailed in the docket.

Purchase of Goods and Services $1,000,000 and Over:

• To Cardinal Health for an estimated $13,200,000 for the purchase of pharmaceuticals and related supplies for Boynton Health Pharmacy for the period of November 1, 2019 through October 31, 2021. This purchase will be paid for from the sale of prescriptions and other items to patients and from payments by U of M departments for pharmaceuticals. Cardinal Health, the current supplier, was selected as a result of a competitive request for proposal process led by the State of Minnesota, Department of Administration, Materials Management Division, on behalf of the Minnesota Multi-State Contracting Alliance for Pharmacy (MMCAP).

• To Minnesota Airlines, dba Sun Country, for an additional $4,500,000 for air charter services for additional large plane needs (over 70 seats) for men’s and women’s hockey and men’s and women’s basketball team travel needs for Twin Cities Intercollegiate Athletics (ICA) for the period of July 1, 2019 through June 30, 2022 with the option to renew for two additional one-year terms through June 30, 2024 for an additional $3,000,000. Total contract value if all options for hockey and basketball are exercised would be $7,500,000. Source of funds is ICA operating and gift funds as necessary. These services have historically been included in the operating budget and will be during the life of the agreement. On occasion, gift funds may be used. Minnesota Airlines, was selected as a result of a competitive request for proposal process conducted by Purchasing Services. These additional charter services, for hockey and basketball, are being added to the contract approved by the Board in June 2019 for football. Total contract value, for all sports if all options are exercised will be $9,250,000.

• To Premier Sports Psychology, PLLC for $1,250,000 ($250,000/Annually) for July 2019 to June 2024 for Twin Cities Intercollegiate Athletics (ICA). The sport psychology services will be paid for using department funds currently available for these services. The sport psychology services were identified as a line item in ICA’s FY20 budget process and are planned for in FY21 and FY22 as part of a 3-year agreement. FY23 and FY24 are both individual option years per the agreement. Premier Sports, the current supplier, was selected as a result of a competitive bid led by Purchasing Services. One supplier responded to the RFP.

• To Thermo Fisher Scientific for $1,444,958 for a Model Talos F200X G2 Analytical Scanning and Transmission Electron Microscope with 3-year service contract for Department of Chemical Engineering and Materials Science and Characterization Facility in the College of Science and Engineering, Twin Cities campus. The analytical high-resolution scanning and transmission electron microscope will be purchased with funds from the College of Science and Engineering, Characterization Facility and instrumentation grant awarded through the Research Infrastructure Investment Program competition. See enclosed documentation for basis of supplier selection.

WHEREAS, preserving the University of Minnesota (University) campuses through stewardship of public investments that have been made over 165 years is a commitment the Board of Regents (Board) has made to the State of Minnesota (state); and

WHEREAS, advancing key academic priorities is critical for the University to achieve and maintain excellence; and

WHEREAS, continuing investment in research infrastructure is essential for the future competitiveness of the University and the state; and

WHEREAS, enhancing the student experience for both undergraduate education and graduate and professional education is required as the core of its mission in order to generate and disseminate knowledge; and

WHEREAS, improving outreach and engagement is necessary in order to transform state communities, fuel the state economy, address state social issues, and improve the state’s health; and

WHEREAS, the administration has developed a capital-planning framework designed to focus its capital planning efforts toward projects that support the University’s institutional priorities within a financial strategy that is responsible.

NOW, THEREFORE, BE IT RESOLVED that the Board of Regents approves the 2019 Six-Year Capital Plan in order to create and maintain facilities that serve as tools in accomplishing the University’s education, research, and outreach objectives.

WHEREAS, the Board of Regents (Board) has directed the administration to annually submit a capital improvement budget and a six-year capital plan in support of the University of Minnesota’s (University) strategic priorities; and

WHEREAS, the Board recognizes the importance of sustaining and improving the University’s facilities in support of teaching, research, and outreach; and

WHEREAS, the administration has developed a capital planning framework designed to focus its capital planning efforts toward projects that support the University’s institutional priorities within a financial strategy that is realistic.

NOW, THEREFORE, BE IT RESOLVED that the Board of Regents approves the University’s 2020 State Capital Request in the amount of $375,800,000 consisting of $317,200,000 from the State of Minnesota and $58,600,000 from the University.

3) Approval of the resolution related to the dining services contract extension (Twin Cities campus). The committee docket materials for this item can be found on page 40. A motion was made, and the Board voted unanimously to approve the resolution, as follows.

WHEREAS, the Board of Regents (Board) reserves authority to approve purchase of goods and services over $1 million; and

WHEREAS, the existing Board-approved contract for dining services on the Twin Cities campus provides an option for a four-year extension beginning July 1, 2020; and

WHEREAS, the provision of reliable and high-quality dining services is a critical component in the campus experience.

NOW, THEREFORE, BE IT RESOLVED that the Board of Regents, exercising its reserved authority, authorizes the President to negotiate and execute an extension of the existing dining services agreement with Aramark Educational Services LLC for up to two years.

Executive Summary The University received $329M in research funding in FY2020 thus far, which is an increase of $13M (4.1%) over first quarter of last fiscal year. Funding from most federal agencies was up, funding from Private sponsors declined, and funding from the State of MN increased, as it often has in the past at this point in the state's biennial funding cycle.

The College of Biological Sciences had the highest funding increase this year ($8.9M). The College of Pharmacy also had a large increase ($6.6M). The Duluth campus had a $3.3M increase, most of which came from the State of MN. Funding for the Medical School, however, dropped by $19M.

Fiscal Year Highlights

• The U received 49 high-dollar awards thus far this fiscal year, the most ever received in the first quarter (by one).

• This was the highest funded Q1 ever as well.

• Carolyn Ann Fairbanks in the College of Pharmacy received a $4.6M award from the U.S. Department of Defense for "Therapeutic Development of Non-Opioid Strategically Substituted Agmatines for Chronic Pain Management."

• The Duluth campus had an increase of $3.3M comprised of 55 grants.

• The $19M drop in funding for the Medical School is primarily due to 11 fewer high-dollar awards than first quarter of last year.

• Carl Rosen in CFANS received a $6.1M award from the USDA for "Enhancing Soil Health in US Potato Production Systems."

In the early 1920s, Mr. Edward Brooks, a local lumber baron, and his wife Markell Conley Brooks, commissioned C.H. Johnston Jr., an architect of record for the University of Minnesota, to create a home for his family. Completed in 1922, the resulting two-story, 20-room house reflects the family’s understated taste as well as the Brooks’ lumber heritage. Walnut, ash, cherry, cypress, knotty pine, and bleached oak were used in the construction and detailing; the unusually thick and wide, white clapboard siding was custom cut, and nine fireplaces allowed the Brooks family to burn wood from their lumberyards. Because of its perch atop the eastern cliffs of the Mississippi River, the Brooks family began calling the home Eastcliff – a name still used to this day.

In 1958, the Brooks family graciously donated their majestic home to the University of Minnesota. Today, surrounded by a white wooden fence, Eastcliff occupies approximately two acres and serves as a living laboratory. Faculty in design and architecture assist with renovations and improvements to the home and grounds. Artwork within the residence is on loan from University of Minnesota museum collections and in the gardens, sculpture further accentuates the property.

Since 1961, eight University of Minnesota presidents and their families have resided in Eastcliff. Eastcliff serves as a special gathering place for official University functions. Its historic architecture, welcoming public spaces, and manicured grounds provide a comfortable setting for friends of the University – students, faculty, staff, alumni, donors, community leaders, and public officials, as well as dignitaries from around the world. A carriage house, summerhouse, pool, and terraces enrich the property and extend the visitor’s experience beyond the main residence.

The Board of Regents created Friends of Eastcliff (FOE) and Eastcliff Technical Advisory Committee (ETAC) in the late 1980s to provide assistance and advice on matters related to the oversight of Eastcliff. In 2014, FOE was repositioned as an advisory board and renamed the Eastcliff Advisory Board (EAB). Both committees report directly to the Board of Regents. The EAB plays a key role in advising the Board of Regents on plans and major expenditures related to Eastcliff, assisting in the solicitation of private resources to support Eastcliff, and bringing internal and external perspectives to conversations about Eastcliff. ETAC brings subject matter expertise to the management of Eastcliff by making recommendations for the improvement, maintenance, operations, and use of the home in accordance with its designation on the National Register of Historic Places and its unique public and private uses. These two committees ensure Eastcliff presents an image worthy of the University’s rich history and tradition.

On February 14, 2014, the Board of Regents voted to reposition the Friends of Eastcliff committee as an advisory board rather than a fundraising committee. Renamed the Eastcliff Advisory Board, it now plays a key role in bringing internal and external perspectives to conversations about Eastcliff, nurturing public support for the home, and ensuring that the Board of Regents has appropriate governance-level oversight of this important University asset.

The Eastcliff Advisory Board (EAB) was created by and is accountable to the Board of Regents.

The Eastcliff Technical Advisory Committee continues to bring subject matter expertise to the management of Eastcliff by making recommendations for the improvement, maintenance, operations, and use of the home in accordance with its designation on the National Register of Historic Places and its unique public and private uses. Changes in the committee’s bylaws approved by the Board of Regents on February 14, 2014 delegated responsibility to ETAC for approval of smaller capital improvements and enhancements.

The Eastcliff Technical Advisory Committee works closely with the Eastcliff Advisory Board to provide advice and recommendations on use of University funds and/or private donations to complete major projects, needed maintenance, or to provide enhancements for the house.

OFFICIAL UNIVERSITY ENTERTAINING

One of Eastcliff’s primary functions is to serve as a venue for special University events and activities. More than 2,500 guests attended over 60 events held at Eastcliff in fiscal year 2018-19, including University of Minnesota students, faculty, staff, alumni, and friends as well as community, national, and world leaders.

EASTCLIFF ADVISORY BOARD BYLAWS

Mission

Eastcliff has a unique role among University of Minnesota buildings in that it serves both as a public facility for events and meetings and as the private residence of the University president and family. The Eastcliff Advisory Board (EAB) is created by and accountable to the Board of Regents. Its mission is to advise the Board of Regents on plans and major expenditures related to Eastcliff, assist in the solicitation of private resources to support Eastcliff, and nurture continued public support for the home to ensure that it projects an image worthy of the University’s rich history and tradition. It plays an important role in considering both internal and external perspectives regarding spending decisions at Eastcliff and ensuring that the Board of Regents has appropriate governance-level oversight of this important University asset.

Responsibilities

1. Master Plans, Capital Improvements, and Significant Expenditures. Review recommendations of the Eastcliff Technical Advisory Committee (ETAC) and advise the Board of Regents on master plans, capital improvements, and significant expenditures that enhance the original integrity and design of Eastcliff and its grounds and promote it as an important institutional and residential University resource. Capital improvements and significant expenditures are defined as physical improvements, equipment, furniture, fixtures, decorations, and/or enhancements exceeding $25,000 in cost. Emergency approvals of capital improvements and/or significant expenditures may be granted through the process outlined in Board of Regents Policy: Board Operations and Agenda Guidelines. Any such emergency approvals will be brought to the next meeting of EAB for information.

2. Use of Funding. Advise the Board of Regents on the appropriate use of funding for projects being recommended for approval. Use of private funds must be consistent with donor intent.

3. Fundraising. Review the University of Minnesota Foundation’s (UMF) development plan for Eastcliff and assist in the solicitation of private resources consistent with that plan.

4. Public Support. Nurture continued public support of Eastcliff. Advise on issues of public education, awareness and relations, as well as on matters pertaining to donor appreciation and communications. The term ‘Friends of Eastcliff’ may be used at the discretion of EAB to recognize individuals and families who have provided financial support for Eastcliff.

5. Annual Report. Review and submit to the Board of Regents an annual report on Eastcliff that includes a summary of the previous fiscal year’s financial, maintenance, and operational activity.

Its mission is to bring subject matter expertise to the management of Eastcliff by making recommendations for the improvement, maintenance, operations, and use of the home to ensure that it projects an image worthy of the University’s rich history and tradition. In doing so, the committee must balance wise use of University and donor resources with the home’s designation on the National Register of Historic Places and appropriately separate, protect, and foster Eastcliff’s unique public and private uses.

Responsibilities

1. Master Plans, Capital Improvements, and Significant Expenditures. Develop and recommend master plans, capital improvements, and/or significant expenditures that enhance the original integrity and design of Eastcliff and its grounds and promote it as an important institutional and residential University resource.

Recommendations should be consistent with Eastcliff master plans and follow the University’s established capital planning process. Capital improvements and significant expenditures should be maintained on and evaluated against a prioritized list of needs. As annual recommendations are developed and advanced, ETAC should provide estimated project budgets, suggested funding sources, and recommended project delivery methods and timing.

2. Approvals and Recommendations. Except for routine maintenance, repairs, and replacement, ETAC must approve all capital improvements, equipment, furniture, fixtures, decorations, and/or enhancements exceeding $5,000 but below $25,000 in cost, consistent with University policies and procurement practices. Expenditures below $5,000 that could be viewed as personally benefiting the president or family should also be approved in advance by ETAC. Capital improvements and/or significant expenditures exceeding $25,000 must receive approval of the Board of Regents, which will consider ETAC’s recommendations along with advice from the Eastcliff Advisory Board (EAB).

Upon recommendation of the Vice President for University Services, the ETAC chair, in consultation with the chair of the EAB, may act on behalf of the committee when delaying approval poses a significant health, safety, or financial risk to the University. Any such emergency approvals will be brought to the next meeting of ETAC for information.

3. Operations and Maintenance Plan. Review Facilities Management’s annual facility operations and maintenance plan and budget for Eastcliff.

4. Quarterly Operating Reports. Review quarterly operating reports supplied by Facilities Management.

5. Operating Policies and Procedures. As requested, advise the Office of the President and Facilities Management on operating policies and procedures including staffing, general maintenance, purchasing, security, and the appropriate level of scheduling and use of Eastcliff.

6. Meeting Procedures. The chair of ETAC will call committee meetings, develop agendas for distribution to committee members in advance of each meeting, and ensure that minutes are kept to preserve a record of committee actions. A quorum consisting of at least four (4) voting members must participate in a vote for action to be taken. Votes may be cast in person or electronically, with a simple majority required for approval.

Chair Powell, Vice Chair Sviggum, Members of the Board and President Gabel:

On behalf of Vice Chair Phil Buhlmann and my colleagues on the Faculty Consultative Committee, I am pleased to present to the Board or Regents our committee’s fall semester report. My objective is to provide updates on selected ongoing efforts of the Faculty Consultative Committee (FCC) and Senate Consultative Committee (SCC). This report does not describe all of the efforts of the FCC and SCC.

The FCC leadership appreciates the Board's availability and openness to discussion. This semester, Professor Buhlmann and I met with Regents Davenport, Her, Kenyanya, and Mayeron. As has been the regular practice, the Board of Regents and FCC spent an evening at Eastcliff discussing University issues and further developing our partnership. Professor Buhlmann and I look forward to the fall leadership meeting with Chair Powell and Vice Chair Sviggum later this month and future discussions with all of you.

FCC 2019-2020 Priorities. The FCC selected three priorities for this academic year: 1) contract/term faculty and teaching specialist governance representation and academic freedom protections, 2) exploration of systemwide sanction guidelines for faculty misconduct, and 3) conceptualization of a combined mental health advocacy/disabilities services training program. The FCC formed a task force at the end of October to explore the conditions of term/contract faculty and staff with faculty-like roles, specifically whether and how to provide representation and academic freedom protections.

The FCC is in the early stages of examining approaches for disciplining faculty misconduct. We are consulting with the Office of Equal Opportunity and Affirmative Action and the Office of the Executive Vice President and Provost, collecting examples of existing University of Minnesota colleges and programs codes of conduct and sanctioning guidelines, and learning from our Big Ten colleagues as we consider systemwide approaches.

We spent a third of our annual retreat in August focused on the Resolution on Education Around Best Practices for Disability Accommodations and Supporting Students with Disabilities that was passed at the final senate meeting this past spring. The resolution recommended that the University implement required education on accommodated instruction, testing, and best practices for supporting students with disabilities for University faculty, instructors, and student services staff systemwide. During the retreat, to better understand processes involved with student accommodation and to inform the development of future training materials, we consulted with Donna Johnson, director, Disability Resource Center; Kate Elwell, senior health promotion specialist, Boynton Health; Rebecca Ropers, vice provost for faculty and academic affairs; Katie Eichele, student services manager, Aurora Center for Advocacy; Ryan Machtmes, president, Organization for Graduate and Professional Students with Disabilities & doctoral student,

Page 67 of 147 College of Education & Human Development; and Matt Hanson, assistant director of mental health, Boynton Health.

Building Names and Institutional History. On November 14, the FCC and the Office of the Executive Vice President and Provost co- sponsored, along with several other University groups, a community-wide discussion titled Our University History: Understand, Acknowledge, Engage. In attendance were undergraduate, graduate, and professional students; faculty, staff, and community members; members of the Board of Regents; and administrators from across the Twin Cities campus. We are looking forward to seeing the report generated from the small group discussions and contributing to the construction of strategies to make our University an inclusive and welcoming community.

Liberal Education Redesign. The FCC has had several opportunities to provide input to the Liberal Education Redesign Committee, chaired by Professor Sally Kohlstedt, through our regular FCC meetings and through participation in the fall public forums and November senate meeting. The FCC plans to continue to be engaged in this effort as final decisions are made regarding the model selected and certification processing are determined.

Executive Vice President and Provost Search. The FCC was an active participant in the selection of the next Executive Vice President and Provost at the University of Minnesota, meeting with each finalist and providing input to the president. We are excited to welcome Dr. Rachel Croson and look forward to beginning our partnership with her this spring.

As I close this report, I want to acknowledge all of the excellent support from the University Senate staff, especially Deputy Director Renee Dempsey. I also want to recognize all of the students, staff and faculty involved in the governance who volunteer their time and efforts to make the University of Minnesota shared governance model the robust model it is. PURPOSE & KEY POINTS

The purpose of this item is review of the 2019 University Performance and Accountability Report and related institutional data. This report provides the Board of Regents with the information needed to fulfill its accountability role. Throughout the year, this annual report is used by the Board of Regents and others as a reference guide to the University’s progress toward strategic goals.

This year’s report has been condensed to improve readability while retaining the key information and data contained in past editions. With the Systemwide Strategic Plan under development, this transitional-year report has been organized to reflect the proposed commitments, while anticipating that next year’s report will more fully align with the approved Systemwide Strategic Plan.

The report included in the docket is a near-final draft provided to the Board for review. A final printed report will be brought back to the Board for action in February. That final report will incorporate any revisions based on feedback from the Board, and will correct any errors found during a final proofreading review by section authors and administrative staff.

An external-facing companion piece has been developed for use by the Board and University Relations to communicate key messages about the University’s progress toward achieving its mission. A draft of this document is included in the docket, and it will be finalized and printed along with the full report in February.

BACKGROUND INFORMATION

In 2000, the Board approved the creation of the University Plan, Performance, and Accountability Report. In its resolution, the Board noted that it “…holds itself accountable to the public for accomplishing the mission of the University” and that the report was to become the principal annual documentation of that accountability. The first report was published in 2001. In 2014, the Board revised the timetable for the production of the report to each December. In 2018, the Board changed the name to the University Performance and Accountability Report. The 2019 report is the 18th edition produced.

MnDRIVE projects secured an additional $360 million from federal agencies like the National Institutes of Health, NASA, and the Department of Energy; industry leaders like 3M, Boston Scientific, the Midwest Dairy Association, and Pepsico; and organizations like the Bill & Melinda Gates Foundation.

Nearly $100 million in state funding has been allocated to MnDRIVE in its first five years, supporting over 400 interconnected research projects, involving more than 1,200 researchers, and leading to more than 300 new technologies.

Guardians of the Lake Life in Minnesota depends on water. But zebra mussels and other aquatic invasive species are having a devastating effect on the state’s lakes and the businesses and recreation that depend on them. A project on Lake Minnetonka is looking for solutions to control zebra mussel populations and improve the health of the lake. It’s a collaboration between the University’s one- of-a kind Minnesota Aquatic Invasive Species Research Center (MAISRC) and the U.S. Geological Survey. If successful, the treatment could provide a blueprint for preserving this treasured resource.

Transplant Breakthrough without Long-Term Drugs

For decades, immunologists have been trying to train the transplant recipient’s immune system to accept transplanted cells and organs—that is, to exhibit “immune tolerance” to them— without the long-term use of anti-rejection drugs. Now, University of Minnesota preclinical research shows this is possible.

Working with animals, researchers at the U of M Medical School’s Department of Surgery and Schulze Diabetes Institute at Northwestern University have maintained long-term survival and function of pancreatic islet transplants after discontinuing anti-rejection drugs on day 21 post- transplant.

For many patients with end-stage organ failure, transplantation is the only effective treatment option. To prevent transplant rejection, recipients must take, over the long term, medications that suppress the body’s immune system. The immunosuppressive drugs prevent rejection over the short term, but because they suppress the immune system generally, recipients face the risk of serious infections and cancer. There are also many side effects.

In the new study, modified donor white blood cells, when infused into transplant recipients one week before and one day after islet transplant, safely induced long-term (at least a year) tolerance to the transplants.

Eliminating the need for chronic immunosuppression would substantially lower the risks associated with islet cell transplants in individuals with type 1 diabetes, and islet replacement therapy could become the treatment of choice for many more people burdened by this disease.

PURPOSE & KEY POINTS

The purpose of this item is to review the University of Minnesota Foundation led East Gateway Project (project).

As a land-grant institution with more than 160 years of history, the University of Minnesota has shaped and defined its campus community and the neighborhoods surrounding it for decades. The growth of the University and its rising global profile as an academic and cultural destination have prompted greater private investment in the surrounding neighborhoods. This growing interest presents an opportunity for the University to execute a vision for the future of its campus and the surrounding community.

The University of Minnesota Foundation (UMF) has worked alongside University leadership and staff to support the state’s land-grant institution in achieving its goals around education, research, and outreach. One of the most important current collaboration opportunities is fulfilling the vision of the East Gateway District, which sits at the eastern edge of the Twin Cities campus between the University’s medical teaching facilities and the Biomedical Discovery District. This District has the potential to fulfill the University’s vision for an integrated community that brings learning, culture, employment, vitality, economic activity, and residential spaces together to create a stronger, safer, more vibrant and inviting campus.

To remain competitive in the top ranks of public teaching and research institutions, the University needs world-class facilities and supporting infrastructure, as well as the ability attract top-tier students, faculty, researchers, partners, and others who will help shape its future. Placemaking can help support and increase the University’s competitiveness by creating a neighborhood that attracts and retains talented people who could choose to go anywhere – students, researchers, business owners, patients, and community.

The East Gateway Project envisions a vibrant mixed-use destination where a variety of housing, office space, entertainment, hotel, and commercial enterprises will complement the University’s investments in its medical enterprise and its athletics complex.

University of Minnesota Foundation’s Role

The University of Minnesota Foundation (UMF) has been helping fulfill the University of Minnesota’s mission by connecting donors with projects and programs that reflect their values for more than 50 years. In FY2019, the University, through the foundation, raised a record $361 million in private gifts and managed a $2.3 billion endowment.

In 2007, James Cargill gifted $38 million in real estate in the Stadium Village area of campus to UMF. This gift, along with the University’s investments in TCF Bank Stadium and the Biomedical Discovery District on the east side of campus, prompted aspirational, visionary thinking around this area and how it could better serve as a new, intentional gateway to the University community. This led to the University and UMF discussing how real estate gifts and investments could be best used to advance the University’s mission.

The result was the creation of University of Minnesota Foundation Real Estate Advisors (UMFREA) – a subsidiary of UMF that manages Cargill’s gift (a requirement outlined in the gift agreement) and provides real estate expertise and advice to the University and UMF leaders.

As a private subsidiary, UMFREA was positioned to accelerate and elevate the University’s vision by leveraging the private sector’s connection to the University and the surrounding community. To realize this vision, UMFREA began acquiring property adjacent to the University’s East Bank and studying peer and aspirational districts around the country.

To realize the larger district-wide vision, UMFREA sought a private sector partner with experience of this scale and aspiration. UMFREA and its advisory council engaged in a rigorous national search process, targeting and vetting several dozen large-scale developers. The group ultimately chose the Pohlads (legally known as Marquette, LLC) as the planning partner for the East Gateway Project for their expertise, resources, and demonstrated long-term commitment to community benefit. As equal partners with UMF, the Pohlads saw an opportunity to be part of something bigger, a chance to leave a legacy to the community, and strong confidence that they could deliver on this mission focused vision with their development expertise. The result is the formation of a limited liability company, known as Visus, which is established to advance the East Gateway Project vision and plan.

UMF is now ready to review the project with the Board of Regents and then, with Visus, to present the project’s plan to the city and the market.

The Board of Regents will be asked to approve land transactions between the University and the foundation to align land ownership to development responsibility, a concept plan with related development principles, and a Memorandum of Agreement between the University and UMF around the roles and responsibilities in this project area. The Board’s input on these topics in December will be important in shaping that framework for future development.

PURPOSE & KEY POINTS

Pursuant to Board of Regents Policy: Board Operations and Agenda Guidelines, “The Board conducts business through meetings of the Board and its committees…. [and] Committees provide recommendations for action by the Board. Typically, standing committees have the following responsibilities:

 Recommend action on matters where the Board has reserved authority to itself as outlined in Board of Regents Policy: Reservation and Delegation of Authority and other Board policies;  Provide governance oversight on topics within the committee’s purview;  Review and make recommendations on relevant new and existing Board policies;  Receive reports on policy-related issues affecting University departments and units;  Receive information items (e.g., status reports on current issues of concern and administrative searches); and  Review other items placed on the agenda by the Board chair in consultation with the president and Board vice chair.”
