STATEMENT OF PURPOSE

The Chicago Women’s District Golf Association (CWDGA) was organized in 1930 under the sponsorship and guidance of the Women’s Western Golf Association. Its purpose is the advancement of the best interests of women’s golf at its member clubs, located in and around the Chicago area. The CWDGA currently serves seventy-two member clubs in five sections – Central, Northeast, Northwest, South and West.

2020 PRESIDENT’S REPORT

The Chicago Women’s District Golf Association (CWDGA) completed its 90th year in 2020. The 2020 season was one of cancellations due to the COVID-19 pandemic. The following report summarizes the events of the year.

MEETINGS: The CWDGA held nine regular board meetings during the period between September 1, 2019 – August 31, 2020. The February and March meetings were held at Itasca Country Club. Board meetings held in April – August were remote only using freeconferencecall.com. The September and October board meetings were held via Zoom.

In addition to our regular monthly board meetings, there were five additional meetings:

1. March 18 – an Officers meeting was held remotely to discuss the Spring Meeting and Rules Seminar along with Four-Ball Match Play dates and Team Captains’ meetings.

2. April 6 – a Special Board meeting was held remotely to discuss the status of Four-Ball Match Play.

3. May 7 – an Officers meeting was held remotely to discuss the Better-Ball of Pairs tournament and the 89th Annual CWDGA Championship.

4. May 11 – a Special Board meeting was held remotely to discuss the cancellation of the Better-Ball of Pairs tournament and the 89th Annual CWDGA Championship.

5. July 13 – an Officers call was held remotely to discuss the One-Day Stroke and Senior Better-Ball tournaments.

Our combined Spring Meeting and Rules Seminar was canceled due to the pandemic. All documents that were typically distributed at the Spring Meeting were emailed to each club. Our Annual Fall Meeting was held on Wednesday, October 14 as a webinar via Zoom.

TEAM MATCH: All Four-Ball Matches were canceled on April 7. Pat Murlas, Team Match Chair, informed the Host Clubs and Team Captains. Sectional Team & Handicap Chairs rescheduled all the canceled matches for 2021 at the same venues.

CHAMPIONSHIP TOURNAMENT: Our 89th Annual Championship at Medinah Country Club was canceled on May 14, 2020. Mary Adolf, CWDGA Vice President and Championship Tournament Chair, notified all registered players of the cancellation. Geri McLauchlan, CWDGA Treasurer, refunded the full entry fee to all registered players.

TOURNAMENTS: The Better-Ball of Pairs tournament was canceled on May 14, 2020 and the One-Day Stroke tournament was canceled on August 7, 2020. Diane Mazurczak notified all registered players of these cancellations. Full refunds were issued by Geri McLauchlan.

Fortunately, the Senior Better-Ball of Pairs tournament continued as planned at Exmoor Country Club on Thursday, September 24. We appreciate the hard work of Exmoor’s staff, the Ladies’ Golf Chair and committees, and the members of Exmoor for the privilege of playing their course. Diane Mazurczak, Tournament Chair, managed the event with additional work preparing COVID-19 documents. I’d like to extend a special thank you to the Chicago District Golf Association (CDGA) for their assistance with these documents. Congratulations to the winners.

HANDICAP: The CWDGA continues to work with the CDGA to ensure fair and accurate handicaps for all members. Alison Salzman, Handicap Chair, is the liaison between the CWDGA and the CDGA. The CWDGA posted scores for the Senior Better-Ball tournament at Exmoor using the “live scoring” technology.

RULES: Due to the pandemic, our Rules Seminar was canceled in 2020. Cherie Kessler, Rules Chair, and Nancy Nemec, Assistant Rules Chair, provided documents to each club’s rules chair and were available to answer any rules questions.

COMMUNICATIONS: The ongoing update of the website, www.cwdga.org, which contains the Handbook for Members, the Annual Report, and the yearly brochure were managed and coordinated by Communications Chair, Linda Searl; Website Chair, Johanna Cheung; and Member Services Chair, Val Metcalf. We thank these ladies for their hard work and attention to detail. Our Handbook for Members took on a new look this year. The new Handbook is a permanent binder with inserts to be refreshed each season with updated information. Since the Spring Meeting was canceled, CWDGA board members distributed all Handbooks to the member clubs.

COURSE RATING: The CWDGA again worked with the CDGA to measure, rate, and slope our member courses upon request. This ensures that a player’s Handicap Index can transfer fairly from one course to another. Our Course-rating Chair is Sally Clissold who coordinates the course ratings.

HOLES-IN-ONE: Congratulations to all our members who made a hole-in-one in 2020. Each of these women will receive a pin from the CWDGA as a memento of their achievement. These pins will be delivered to them by a CWDGA Board member in the spring of 2021.

BOARD MEMBERS: In 2020, the CWDGA Board consisted of 23 very hard-working women. I thank them for giving so much time, energy, and enthusiasm to this organization. One CWDGA Board member is retiring this year: Northwest Sectional Handicap Chair, Cheryl Dortch (2019-2020). We thank Cheryl for her service to the CWDGA. Her enthusiasm and expertise will be missed! The Slate of Officers for 2020 consists of 24 positions.

2020 VICE-PRESIDENT’S REPORT

The CWDGA would like to express our sincere thanks to Medinah Country Club who generously offered to host the 89th Annual CWDGA Championship and to all the CWDGA members who signed up to play. Unfortunately, due to COVID-19 and the Coronavirus pandemic a decision was made by the CWDGA to cancel the 89th Annual CWDGA Championship for 2020. The CWDGA is currently working with Medinah to schedule our 2021 89th Annual CWDGA Championship at Medinah Country Club. When we get dates secured, we will post them immediately on our web site and provide the details for registration.

2020 HANDICAP CHAIR’S REPORT

In January 2020, The USGA and The R&A introduced the World Handicap System (WHS). A copy of Rules of Handicapping, effective January 2020 (which replaced the USGA Handicap System manual ), was distributed to all CWDGA member clubs in May.

CWDGA member clubs must use the World Handicap System (WHS). To ensure the consistency of the WHS, the Handicap Index of every player in the United States will be calculated and issued by the USGA. All of the CWDGA member clubs have been certified and are currently members of the Handicap Posting System through the Chicago District Golf Association. CDGA is the authorized Golf Association in our area providing this information. The active season for score posting in Illinois remains May 1 – October 31.

The CWDGA and the CWDGA Handicap Chair planned on providing an educational workshop on the WHS at the Spring meeting, but unfortunately the meeting had to be canceled due to the risk of COVID-19 and the State of Illinois stay at home order.

The CWDGA Handicap Chair’s responsibility is to work with the handicap chairs of member clubs, to ensure that their member’s handicaps are accurate and to help with decisions regarding handicap issues. In addition, the Chair is responsible for handicapping, preparing the appropriate reports for tournaments scheduled during the summer season, and posting of tournament scores from all CWDGA tournaments.

Please refer to the Golf Club/Handicap Committee responsibilities on page 80 Appendix A Section 2 in the Rules of Handicapping, effective January 2020 to determine if your club is following the WHS. See Rule 7, page 68, Handicap Committee Responsibilities

CWDGA Member club handicap chairs have specific duties and responsibilities. Please refer to the 2020 CWDGA Handbook for Members page 135 DUTIES OF CLUB HANDICAP COMMITTEE. Be knowledgeable about posting of home, away, competition and winter scores. This is important for equality in playing golf and tournaments.

2020 RULES CHAIR’S REPORT

As a result of circumstances beyond our control CWDGA was unable to present its 19th Annual Rules Seminar during 2020. Links to videos and Rules situations were sent to all players in May.

Rules of Golf, Official Guide to the Rules of Golf, and Player’s Edition of the Rules of Golf, all effective January, 2019 continue to be the current USGA Rules publications. These publications are available online, from the USGA, and from CWDGA.

Since 2007 the CWDGA website has included a Rules of Golf Section. Again during 2020 a question and answer were presented on a monthly basis. Many of the questions are taken from situations that have occurred in CWDGA team match play and tournaments. This will be continued during 2021.

The Chicago Women’s District Golf Association is available to provide assistance in the interpretation of the Rules of Golf.

The Chicago Women’s District Golf Association ran one tournament in 2020. Three other tournaments were scheduled in 2020 but were canceled due to the coronavirus epidemic. Several of the host clubs scheduled for this year have agreed to host a tournament next year. The CWDGA thanks Exmoor Country Club for the use of its facilities and their support of our Senior Better-Ball of Pairs tournament.

2020 TEAM MATCH CHAIR’S REPORT

The CWDGA scheduled 25 matches between May 7th and June 25th. A total of 68 clubs registered 120 teams with 480 team players in 5 sections.

Unfortunately due to COVID-19 we decided to cancel the entire season on April 7th as it would not have been possible to play under the expected state restrictions for May and June.

All team fees were reimbursed to the players. All 2020 Host Clubs have been gracious enough to reschedule the play dates in 2021. We thank them for their cooperation.

I also want to thank the Sectional Team Captains and the 67 Team Captains for their time and assistance in cancelling and rescheduling the season.

We are looking forward to a successful 2021 Team Match Play season.

The Communication and Technology departments of the CWDGA work behind the scenes to create, transcribe, and process all that is viewed throughout the CWDGA.org website, emails, Annual Report, Brochures, and PowerPoint presentations. In addition, we manage the registration for all of our events, and create the documentation to support tournaments including pairings, scorecards and the Championship scoreboard.

The Chicago District Golf Association (CDGA) is a valuable partner in many of our activities. We appreciate their continued support and guidance.

Management is responsible for the accompanying financial statements of Chicago Women’s District Golf Association, (a nonprofit organization), which comprise the Statement of Assets, Liabilities, and Net Assets – Cash Basis, as of August 31, 2020, and the related Statement of Revenues, Expenses, and Net Assets – Cash Basis and Notes to the financial statements, for the year then ended, in accordance with the cash basis of accounting, and for determining that the cash basis of accounting is an acceptable financial reporting framework. We have performed a compilation engagement in accordance with Statements on Standards for Accounting and Review Services promulgated by the Accounting and Review Services Committee of the AICPA. We did not audit or review the financial statements nor were we required to perform any procedures to verify the accuracy or completeness of the information provided by management. We do not express an opinion, a conclusion, nor provide any assurance on these financial statements.

Management has elected to omit substantially all the disclosures and the statement of cash flows required by accounting principles generally accepted in the United States of America. NOTE 1 – SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES The Chicago Women’s District Golf Association (CWDGA) is incorporated in Illinois as a not-for-profit, tax-exempt 501(c)(7) association. The mission of CWDGA is to advance the interests of women’s golf at its member clubs located in and around the Chicago area. CWDGA receives its support in the form of dues and fees for events.

Method of Reporting The financial statements are prepared on the cash basis of accounting. The cash basis of accounting is a comprehensive basis of accounting other than generally accepted accounting principles. Under this method, revenues are recognized when received, rather than when earned, and expenses when paid, rather than when incurred.

Basis of Presentation Net assets of the Association are unrestricted. Therefore, no separate classifications of assets restricted by donors, temporarily or permanently, are reflected in these financial statements. The only asset of the district is cash, which is available currently.

Revenues Membership dues are recorded when received. As membership in the Association is voluntary, it is impractical to record membership dues as revenue when billed, since membership can be terminated at any time. All other support revenue is also recorded when received, and not when billed.

Income Taxes The Chicago Women’s District Golf Association is exempt from income taxes under section 501(c)(7) of the Internal Revenue Code. The Association was granted tax-exempt status January 5,1994. Accordingly, no provision for income taxes is reflected in these financial statements.

NOTE 2 – CONTINGENCIES AND COMMITMENTS The Association is not aware of any pending litigation or potential undisclosed liabilities that management believes would have a material effect upon the financial position of the Association.

NOTE 3 – SUBSEQUENT EVENTS Management Evaluation Management evaluated events and transactions that occurred after the balance sheet date for potential recognition and disclosure through October 23, 2020, the date on which the financial statements were available to be issued.

COVID-19 In December 2019, a novel strain of coronavirus was reported to have surfaced in China. The spread of this virus began to cause general business disruption in the United States in March of 2020. While the disruption is currently expected to be temporary, there is considerable uncertainty around the duration. Therefore, while the Company has been negatively impacted by the cancellation of events due to the virus, the related future financial impact and duration cannot be reasonably estimated at this time.

CONSTITUTION

ARTICLE I This Association shall be known as the Chicago Women’s District Golf Association.

ARTICLE II Purpose The purpose of the Association shall be the advancement of the best interest of women’s golf within private golf clubs in the Chicago District.

ARTICLE III Membership Private golf clubs are eligible for membership by invitation of the Board of Directors of the Association. To be recognized and approved a club shall: 1. Be located within a radius of seventy-five miles of the Chicago coordinates of State and Madison. 2. Be acceptable as a member club to the existing member clubs of the Association.

ARTICLE IV Obligation and Discipline Section 1. Acceptance of membership in the Association shall bind each member club to abide by all the conditions of the Constitution, Bylaws and Rules of this Association and to accept and enforce all decisions of the Board of Directors. Section 2. Refusal or neglect of any member club to comply with the Constitution, Bylaws or Rules of the Association or with the decisions of the Board of Directors shall render such member club liable to suspension or expulsion by a two-thirds (2/3) vote of the Board of Directors. However, such a member club shall have been given due notice of the charge or charges proffered against it and an opportunity to be heard in its own defense.

ARTICLE V Dues The annual dues to be paid by member clubs shall be fixed by the Board of Directors.

ARTICLE VI Officers Section 1. The officers of this Association shall be a President, Vice President, Secretary, Treasurer, Handicap Chair, Rules Chair, Team Match Chair and Tournament Chair. Section 2. Powers and Duties: a. President – The President shall preside at all meetings of the Association and of the Board of Directors and in general shall perform the duties incident to her office.

Adopted 10-19-2016 www.cwdga.org b. Vice President – During the absence or inability of the President, the Vice President shall perform the duties of that office. In addition, she shall be responsible for the conduct of the CWDGA Championship Tournament. In general, she shall perform the duties incident to her office. c. Secretary – The Secretary shall send out notices and keep the records of all meetings of the Association and of the Board of Directors. In general, she shall perform the duties incident to her office. d. Treasurer – The Treasurer shall keep full and accurate accounts of all moneys received and shall deposit the same in the name and to the credit of the Association in such a depository as may be designated by the Board of Directors. She shall disburse the same under the direction of the Board of Directors. She shall present at each Annual Meeting of the Association a written report of the finances of the Association and she shall make a like report whenever requested by the Board of Directors. In general, she shall perform the duties incident to her office. e. Handicap Chair – The Handicap Chair shall be responsible for the handicap records of all players eligible to participate in the Association tournaments. In general, she shall perform the duties incident to her office. f. Rules Chair – The Rules Chair shall be responsible for keeping the member clubs and tournament participants informed on the Rules of Golf. In general, she shall perform the duties incident to her office. g. Team Match Chair – The Team Match Chair shall be responsible for the conduct of the CWDGA Team Matches. In general, she shall perform the duties incident to her office. h. Tournament Chair – The Tournament Chair shall be responsible for conducting all competitions other than Team Matches and the Championship Tournament. She shall also be responsible for sending out notices of such tournaments and for all records pertaining to them. In general, she shall perform the duties incident to her office.

ARTICLE VII Government Section 1. The control and management of the Association and its affairs and property shall be entrusted to a Board of Directors composed of the Officers of the Association, the Directors and the Advisory Committee. The Directors shall include a Course Rating, Prize Chair, Sectional Team Chairs, Sectional Handicap Chairs, other Chairs, other Assistant Chairs and Members at Large positions as deemed necessary by the Board from time to time. An Advisory Committee of not more than three (3) members, the personnel to consist of past Officers of this Association, shall be appointed by the President and shall have the full power to vote. Members At Large (not more than 3 per year) may exceed the maximum Board membership of thirty. Members at Large will hold positions for one year. Not more than two (2) members of any one club shall be eligible for membership on the board of Directors at any one time. Section 2. Forty-five percent (45%) of the members of the Board of Directors shall constitute a quorum at any meeting thereof. Section 3. Notices of all meetings of the Board of Directors shall be sent to its members at least five (5) days prior to the date of said meeting. Section 4. The Officers and Directors of the Association shall be elected at the regular Annual Meeting of the Association and hold office for one (1) year or until their respective successors are elected or appointed. Section 5. The Board of Directors shall have full power and authority to fill vacancies in its membership. Section 6. All committees shall be appointed by the President with the advice and consent of the other Officers. Section 7. The Board of Directors shall immediately after the close of each yearly season, procure a certified audit of the books and accounts of the Treasurer and present a written report thereof at the Annual Meeting. Section 8. The following persons are automatically appointed as honorary members of the Board of Directors, without the rights to vote or to attend meetings of the Board of Directors: a. The current Presidents of the Women’s Western Golf Association and the Illinois Women’s Golf Association. b. All past members of the Board of Directors, constituting an Alumni Council, who may be invited to perform such duties as the Board of Directors shall designate. 41 ARTICLE VIII Nominations Section 1. There shall be a Nominating Committee consisting of five (5) persons, within the membership of the Association, appointed by the Board of Directors. This committee shall nominate CWDGA member candidates for Officers and Directors of the Association. The nominations shall be reported to the Secretary of the Association at least thirty (30) days before the Annual Meeting of the Association. Section 2. Any ten (10) member clubs of the Association may nominate for Officers and Directors of the Association provided such nominations are made and placed in the hands of the Secretary at least thirty (30) days before the Annual Meeting. Section 3. Notice of all nominations shall be sent to all member clubs in the Association at least ten (10) days before the Annual Meeting.

ARTICLE IX Meetings Section 1. The Board of Directors shall meet on a regular basis throughout the year as determined by the President. Each member of the Board of Directors is expected to attend each meeting either in person or remotely. If a member cannot attend a meeting, she will notify the President or Secretary and provide a report for her position, in advance of the meeting. Section 2. The Annual Meeting of the Association shall be held each year in the fall at such time and place as the Board of Directors shall designate. Section 3. An additional meeting of the Association shall be held each year in the spring at such time and place as the Board of Directors shall designate. Section 4. Special meetings of the Association may be called by the President at the request of the Board of Directors or of any five (5) member clubs. Section 5. No meeting of the Association shall be held without ten (10) days’ notice in writing to all member clubs of the time and place of such meeting. Section 6. Each member club shall be entitled to be represented by an unlimited number of its members, but each club shall be entitled to only one (1) vote. Section 7. Representation by one-third (1/3) of member clubs shall constitute a quorum at any meeting of its Association.

ARTICLE X Tournaments Section 1. The Board of Directors shall schedule and conduct all tournaments of the Association. Section 2. To be eligible for participation in CWDGA tournaments, players must be registered from member clubs of the Association. Section 3. All participants must comply with such requirements as may be established by the Board of Directors, including handicap limitations and payment of entry fees.

ARTICLE XI Amendments This constitution may be amended by a two-thirds vote of the member clubs present and voting at a meeting of this Association, provided that written notice of each proposed amendment shall have been sent to the member clubs at least ten (10) days prior to the meeting.

BYLAWS

Section 1. When a private club has made application for membership in the CWDGA and has met the requirements of the organization, the member clubs shall be notified of such application. At the expiration of a period of sixty (60) days from the date of such notification, said applicant shall be deemed acceptable for membership by the Association and the Board of Directors shall thereby issue an invitation to membership unless a negative response has been received from three (3) or more clubs.

Section 2. The Board of directors shall meet at the call of the President or at such other times as it may determine.

Section 3. The following order of business shall be observed at the Annual Meeting of the Association:

1. Roll Call. 2. Reading of minutes of previous meeting. 3. Reports of Officers and Committees. 4. General Business 5. Election of Officers and other members of the Board of Directors. 6. Adjournment.

Section 4. The Board of Directors shall hold an annual Chicago Women’s District Golf Association Invitational Championship Tournament, Inter-Club Team Matches and other tournaments, at such times and places as it may designate, and shall take exclusive charge of all such events.

Section 5. All competitions shall be played in accordance with the Rules of Golf with such special rules as are in force and published on the course over which the competition takes place and such other modifications as the Board of Directors may from time to time adopt. All disputed points shall be decided by the Rules Committee.

Section 6. In all competitions a player who may be a member of more than one (1) club shall elect the club which she shall represent and shall not be permitted to make any change during the year unless permission is granted by the Board of Directors.

Section 7. In every contest held under the auspices of this Association, the regular caddies of the club where the competition takes place shall be assigned to the contestants in accordance with the rules and customs of such club. In case the club has not provided a sufficient number of caddies, automotive equipment may be assigned in accordance with the regulations specified by the Board of Directors.

Section 8. In team competition, players must conform to the General Instructions Governing Team Matches.

Section 9. A report of the result of each team match shall be sent to the CWDGA Team Match Chair immediately after play. No protest may be made unless it accompanies this report.

Section 10. In all competitions conducted by this Association only verified handicap records will be utilized. Each contestant shall be responsible for checking her handicap for accuracy.

Section 11. The Treasurer of the Association shall be bonded by an approved surety company at the expense of the Association, the amount of the bond to be decided by the Board of Directors.

Section 12. All past presidents of the Association shall be Honorary Members of the Board of Directors with the right to attend all meetings of such Board and to speak on all matters being considered but without the right to make motions or to vote. Honorary membership shall not conflict with holding regular membership on the Board.

Section 13. The Board of Directors shall have powers to alter or amend these Bylaws as it deems advisable or necessary. 43
