RES.#B182/11 - EVERGREEN AT THE BRICK WORKS LEASE AGREEMENT Extension of Loan Guarantee. Recommends extension of the loan guarantee provisions of the lease agreement with Evergreen and the City of Toronto for development and operation of the Don Valley Brick Works.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT the Lease Agreement with Evergreen and the City of Toronto for the development and operation of the Don Valley Brick Works and the Capital Loan Guarantee with Evergreen, the City of Toronto and the Royal Bank of Canada (RBC) be amended to extend the term of the current joint and several loan guarantee of $7.5 million (inclusive of all interest, costs and charges) in respect of the Brick Works project by 18 months, from its current expiration date of December 31, 2014, to expiration on the earlier of June 30, 2016, or the date of termination or payout of Evergreen's project construction financing with RBC ("the financing");

THAT Evergreen be required to reduce the outstanding financing with RBC to $4.81 million by December 31, 2013, and to $1.0 million by December 31, 2014;

THAT the loan guarantee extension be subject to confirmation of approval by the City of Toronto;

THAT all amending and extension agreements, and all other agreements and undertakings, be on terms and conditions satisfactory to Toronto and Region Conservation Authority (TRCA) staff and solicitor;

AND FURTHER THAT authorized TRCA officials be directed to take any and all actions necessary to implement the amending agreement and Capital Loan Guarantee extension, including obtaining needed approvals and signing and execution of documents. CARRIED BACKGROUND In September of 2003, following discussion with TRCA and other stakeholders, the City of Toronto issued a Request for Proposal (RFP) seeking proponents to raise the capital necessary for the restoration and adaptive re-use of the heritage structures at the Don Valley Brick Works to create a centre for environmental learning and urban ecology. Evergreen, a national registered charity, responded to the RFP. TRCA staff cooperated with the City in reviewing proposals and worked with the City staff steering committee to prepare the Memorandum of Understanding (MOU).

At Authority Meeting #9/04, held on October 29, 2004, Resolution #A293/04 was approved as follows:

619 THAT the Toronto and Region Conservation Authority (TRCA) enter into a Memorandum of Understanding (MOU) with the Evergreen Environmental Foundation (Evergreen) and the City of Toronto (the City) to enable the adaptive re-use of the heritage and cultural resources of the Toronto Don Valley Brick Works (Brick Works);

THAT staff be authorized to enter into negotiations with the City of Toronto and the Evergreen Environmental Foundation to formulate a lease of 21 years less a day on terms and conditions as set out in the Memorandum of Understanding and satisfactory to TRCA staff and solicitor;

THAT staff work collaboratively with Evergreen and the City by recognizing the Brick Works project as an important priority for third party funding to be raised by Evergreen to complete the project;

THAT staff work with the City and Evergreen to devise the appropriate trail connection from the Brick Works to the Don Valley trail system and links to Todmorden Mills;

AND FURTHER THAT staff be directed and authorized to take the necessary action to give effect to the foregoing including the signing of documents on behalf of TRCA.

At Authority Meeting #6/06, held on July 28, 2006, Resolution #A171/06 was approved as follows:

THAT the Toronto and Region Conservation Authority (TRCA) enter into a lease with Evergreen for the "leased premises", being the portion of the Don Valley Brick Works which includes the industrial buildings and parking areas at the southern end of the site at 550 Bayview Avenue, subject to the following:

1) the lease be on terms and conditions satisfactory to TRCA staff and solicitors;

2) the lease be subject to approval by the City of Toronto;

THAT, if formally requested by Evergreen, and subject to negotiation of a satisfactory agreement with the City of Toronto, TRCA consider a joint and several loan guarantee for Evergreen not to exceed $3 million to a financial institution acceptable to TRCA and the City of Toronto and subject to terms and conditions satisfactory to TRCA and solicitors;

THAT the Evergreen Master Plan for the restoration and adaptive re-use of the heritage and cultural resources of the Toronto Don Valley Brick Works dated June, 2006, be approved;

THAT said lease be subject to obtaining approval of the Minister of Natural Resources in accordance with Section 21(2) of the Conservation Authorities Act, R.S.O. 1990, C.27, as amended, and Section 42 of the Expropriations Act, R.S.O.1990, E.26;

AND FURTHER THAT appropriate TRCA officials be authorized and directed to take all necessary action to implement the lease including the signing and execution of documents.

620 In 2007, the construction cost estimate was revised to $42 million, and the total Project cost to $55 million. The City and TRCA were requested to increase their loan guarantee to $7.5 million, with the four year term after substantial completion on the guarantee remaining in place. The federal government increased their contribution to $20 million and Evergreen anticipated raising $12 million in private donations towards capital and a further $13 million in private donations towards programming.

On July 27, 2007, at Authority Meeting #6/07, held on July 27, 2001, Resolution #A160/07 was approved as follows:

THAT Resolution #A171/06 approved at Authority Meeting #6/06 held on July 28, 2006, be amended by:

1) deleting reference to "$3 million" in paragraph 2 and substituting "$7.5 million" such that paragraph 2 reads as follows:

THAT, if formally requested by Evergreen, and subject to negotiation of a satisfactory agreement with the City of Toronto, TRCA consider a joint and several loan guarantee for Evergreen not to exceed $7.5 million to a financial institution acceptable to TRCA and the City of Toronto and subject to terms and conditions satisfactory to TRCA and solicitors;

2) deleting reference to "dated June, 2006" in paragraph 3 such that paragraph 3 reads as follows:

THAT the Evergreen Master Plan for the restoration and adaptive re-use of the heritage and cultural resources of the Toronto Don Valley Brick Works be approved;

AND FURTHER THAT authorized Toronto and Region Conservation Authority (TRCA) officials be directed to take such action as is necessary to give effect to the foregoing including the execution and signing of documents, and report back if there are any outstanding issues or concerns.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT a lease amending agreement, and other agreements, with Evergreen, the City of Toronto, the Weston Foundation and the Ontario Heritage Trust as may be reasonably required, be approved subject to the following: 1. extend the dates in the Brick Works lease with Evergreen and the City by which the conditions and work at the Leased Premises is to be completed and satisfied, but in no event are such dates to go beyond December 31, 2010; 2. amend the aforesaid lease to include in the Leased Premises certain subsurface areas, or to grant subsurface easements and rights, from time to time as required for the construction of the improvements as contemplated by the aforesaid lease on the Leased Premises;

621 3. amend the aforesaid lease to reduce the maximum price of construction contracts between Evergreen and its contractors from $42,000,000 to $30,750,000, plus applicable taxes; 4. amend the requirement for Evergreen to produce evidence of its receipt of $42,000,000 or that $42,000,000.00, inclusive of contingencies, has been allocated by Evergreen to the completion of the improvements on the Leased Premises by changing $42,000,000.00 to $30,750,000 plus contingencies of $6,200,000; 5. amend other agreements involving the Leased Premises as may be required, including those with the Ontario Heritage Trust, to be consistent with and in compliance with the amendments in items noted above; 6. amend any prior authorizations of Toronto and Region Conservation Authority (TRCA) to permit staff to negotiate or settle terms of financing arrangements, including leasehold mortgages and guarantees as provided in the aforesaid lease to reflect the provisions of this resolution; 7. make such other amendments to the lease agreement as may be reasonably necessary in connection to the lease, satisfactory to staff and its solicitor;

THAT the lease amendment with regard to the Leased Premises be subject to approval of the City of Toronto;

THAT the lease amendment be subject to obtaining approval of the Minister of Natural Resources in accordance with Section 21(2) of the Conservation Authorities Act and section 42 of the Expropriations Act;

AND FURTHER THAT authorized TRCA officials be directed to take such action as is necessary to implement the lease amendment agreement and other agreements including the signing and execution of documents.

Also, at Executive Committee Meeting 9/08, held on November 7, 2008, approved the Evergreen application for permits.

Status of the "Evergreen at the Brick Works" project "Evergreen at the Brick Works" (the "Project") was substantially completed at the end of December 2010 within the approved and authorized budget of $55 million. Evergreen, a national registered charity incorporated in 1991 ("Evergreen"), has raised almost $50.3 million of the Project's cost, of which $44.1 million has already been received, and has commitments for $6.1 million in future pledges to be received by December 2014, leaving a fundraising target shortfall of $4.7 million. Evergreen has financed Project construction in part through a $11.52 million loan from Royal Bank of Canada , to which the City of Toronto and Toronto and Region Conservation Authority provided a joint and several loan guarantee of up to $7.5 million (the "Capital Loan Guarantee"). Covenants of the RBC loan required Evergreen to show that they had sufficient committed pledges by September 30, 2011 to meet the shortfall, and other milestones to ensure the RBC loan would be extinguished by December 2014.

622 TRCA and City staff have reviewed Evergreen's current financing, operations and business plan, and have determined that Evergreen is in a reasonably sound financial position, albeit the fundraising campaign is behind schedule. The principal recommendations of this report are that the Authority, subject to a similar approval by the City of Toronto, approve a 18 month extension to the Capital Loan Guarantee term, from December 31, 2014 to June 30, 2016, which is reasonable to allow Evergreen to raise this final $4.7 million through its ongoing capital campaign and recently commenced operations at the Project.

RATIONALE The Brick Works Project was substantially completed at the end of December 2010 within the approved and authorized budget of $55 million. Brick Works site operations and programming commenced in late 2010 / early 2011. Most of the available space has been leased out to tenants at market rates. The programming and site operations at the Brick Works clearly meets TRCA and Council's objectives of adaptive re-use of the property, and is reflected by the high level of attendance at the site.

Evergreen has raised almost $50.3 million of the project cost, of which $44.1 million has already been received, and has commitments for $6.1 million in future pledges to be received by December 2014, leaving a current fundraising shortfall of $4.7 million. These sources of funds include a $10.3 million capital contribution from the Province of Ontario, a $20 million capital contribution from the Government of Canada, and almost $14 million raised to date by Evergreen through their private donation campaigns and an additional $6 million in committed pledges. Evergreen's historic payment completion rate on committed pledges is virtually 100%.

Evergreen has experienced considerable delay in obtaining additional pledge commitments, principally due to the slow-down in the economy. Covenants of the RBC loan currently require Evergreen to show that they had sufficient committed pledges by September 30, 2011 to meet the shortfall, and other milestones to ensure the RBC loans would be extinguished by December 2014. These targets were not met by Evergreen. The chart below summarizes the planned and current financing position.

Evergreen's primary source of operating and capital revenue is fundraising. Evergreen's financial statements show a track record of balanced budgets. Revenues (and expenses) have increased from $3.5 million in 2005, to $7.3 million in 2010. The 2010 budget is approximately $10 million. Full time employees have increased from 35 in 2005 to approximately 100 currently.

With the addition of the Brick Works, Evergreen has additional sources of earned revenues of approximately $2 million annually from leased space, event management, the farmers and Evergreen markets, tickets and registration, and parking. Attendance at the Brick Works was 200,000 in 2010, and projected at 300,000 for 2011 and 400,000 for 2012. There is potential for the business at the Brick Works to develop further, as well as leveraging growth for their national programming through the high profile of the Brick Works.

Evergreen has provided a revised Business Plan and updated their fundraising and revenue strategy. This strategy encompasses three prongs to generate additional cash flow totalling $7 million. This approach will allow Evergreen to fully repay the RBC loan by December 31, 2015, and repay a City of Toronto 10-year Energy Efficiency Loan by its scheduled due date of October 31, 2021. This strategy involves:

624 Major Donor Campaign

As previously noted, Evergreen has already secured approximately $20 million through its major donor campaign (about $14 million in hand and $6 million pledged). Their target is to raise an additional $5.5 million in new pledges by the end of 2014. They have a proven strategy in this regard, which includes (i) working with "key influencers" to introduce new potential donors to remaining opportunities at the site; (ii) expanding their reach to potential corporate sponsors; and (iii) leveraging the international attention gained from the Brick Works site and programming to reach out to potential donors outside of Canada.

General Public Campaign

Building on the tremendous attendance and momentum gained since the site opening, Evergreen will leverage this increased public awareness through the introduction of a public fundraising campaign with the objective of raising $650,000. This will involve various marketing components, peer-to-peer fundraising, special events, use of social media, and celebrity, media and public relations. This campaign will be launched in the fall of 2012 and be active through to the end of 2014, with payments by the end of 2015.

Brick Works Site Generated Earnings

Evergreen has identified opportunities for additional earned revenues from developing business at the Brick Works site, and have earmarked an additional contribution of $825,000 to the loan repayment coming from: (i) parking, (ii) event rental, and (iii) tenant leases. The Brick Works three parking lots are managed by the Toronto Parking Authority on behalf of Evergreen. Additional revenues in the amount of $218,000 are projected through to 2015. Third-party event rental account for a significant part the Brick Works earned revenues. They have already achieved 25% of the 2012 target through pre-bookings. An additional $387,000 is projected in event rentals through to 2015.

City of Toronto staff, in consultation with TRCA staff, undertook a review of Evergreen's revised financing, operations and business plan, and have determined that Evergreen is in a financial position sufficient to retire its debt obligation by June 2016 or earlier.

Accordingly, TRCA staff recommend an extension to the term of the loan guarantee to June 2016. City of Toronto staff is recommending to City Executive Committee and Council that the term of the RBC loan be extended on terms and conditions substantially the same as those set out in the recommendations of this report. RBC and Evergreen concur with this approach.

FINANCIAL DETAILS There is no direct financial impact to the Authority arising from adoption of the recommendations, the effect of which is to extend this Capital Loan Guarantee term by 18 months to give additional time for Evergreen's fundraising efforts. TRCA's maximum financial exposure, jointly and severally with the City of Toronto, is $7.5 million through the Capital Loan Guarantee. Also, the City of Toronto, on behalf of TRCA and the City, holds a security deposit of $500,000. 625 In the event of a default of any covenant or term of Evergreen under its loan agreements with RBC that cannot be remedied by Evergreen, the Capital Loan Guarantee could be called upon by RBC. This would be considered a "default" under the terms of the lease and TRCA and the City could terminate the lease. If Evergreen's existing ground lease of the Project was terminated, TRCA would be in a position, in cooperation with the City, to assume the Project along with the improvements, collectively valued at $55 million. Under the terms of the existing management agreement with the City, TRCA and the City would jointly determine future management of the site.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT the Schedule of Meetings 2012-2013, dated October 27, 2011, be approved;

THAT the Executive Committee be designated the powers of the Authority during the month of August, 2012, as defined in Section 2.10 of the Rules of Conduct;

AND FURTHER THAT the CAO's Office distribute this schedule at the earliest opportunity to Toronto and Region Conservation Authority's (TRCA) watershed municipalities and the Ministry of Natural Resources. CARRIED RATIONALE Since almost all members of TRCA sit on councils, boards or committees which usually meet on days other than Friday, the schedule has been arranged to accommodate all TRCA board meetings on Fridays. Staff has made every effort to avoid conflicts with municipal council meetings, Federation of Canadian Municipalities annual conference, statutory holidays and March Break, as much as possible in selecting the proposed meeting days.

An Authority meeting is not scheduled in the month of August due to the summer vacation season. To accommodate the large number of permit requests at this time, an Executive Committee meeting is scheduled. This meeting will be to primarily handle permits. Should an item requiring Authority approval need to be dealt with at this time, this is allowed for under Section 2.10 of the Authority's Rules of Conduct, should the Authority designate these powers: 626 2.10 to exercise such additional powers, excluding those powers set out in Clause (d) of Subsection (1) of Section 30 of the Act, as may be assigned to it by the Authority during the months of July and August provided that a report be given to the Authority at the first meeting of the Authority thereafter;

Staff is recommending powers be so designated to the Executive Committee for August, 2012, with the required report being brought to the Authority at its meeting proposed to be held on September 28, 2012. Staff is also recommending that the August Executive Committee meeting be conducted with the option of teleconferencing due to the lighter agenda, unless otherwise advised as a result of items scheduled.

At Authority Annual Meeting #1/02, held on January 25, 2002, Resolution #A6/02 was approved in part as follows:

THAT the dates of future Annual Meetings be changed to accommodate the budget meeting schedule for our member municipalities, such that the Annual Meeting held following a municipal election be in January while the Annual Meetings in the interim two years between elections be moved to February;

In accordance with Resolution #A6/02, the 2013 annual Authority meeting is proposed to be held on Friday, February 29, 2013. The 2012 annual Authority meeting was previously approved in the Meeting Schedule 2011-2012 to be held on Friday, February 24, 2012.

All meetings will be held at Black Creek Pioneer Village (BCPV). The Authority and Executive Committee meetings will be held at 9:30 a.m.. The Budget/Audit Advisory Board (BAAB) meetings are proposed to be held immediately following Executive Committee meetings on April 13, June 1, and October 12, 2012. The initial intention was to schedule BAAB meetings as required, but due to difficulties with scheduling members, staff believe it prudent to schedule meeting dates for BAAB during the months that TRCA regularly deals with budget and audit reports.

All members are requested to put all Authority meetings in their calendars upon receipt of the annual schedule, along with Executive Committee and Budget/Audit Advisory Board for those elected to each committee at the annual Authority meeting. Members are further requested to schedule to be in attendance at Authority meetings until at least 1:30 p.m. to ensure quorum is maintained.

Following a close review of the provided financial information and completion of the Business Plan, staff concluded that it would be beneficial to enter into a License Agreement with the City of Toronto for the operations of Glen Rouge Campground.

FINANCIAL DETAILS Although Glen Rouge Campground was budgeted to have a net revenue of $1,000 in 2011, it is forecasted to generate a net revenue of $41,703 by the end of this operating season. This revenue increase can be attributed to a robust customer service program initiated by TRCA as well as a streamlined and sales oriented operating business model.

Prior to commencing the 2011 operating season, TRCA staff assessed the camping fees implemented by the City of Toronto. This pricing structure was determined to be lower than other TRCA and surrounding area campgrounds. Therefore, fees were increased to reflect other TRCA campgrounds and ensure that Glen Rouge Campground remained competitive while maximizing revenues.

631 In addition, within the first month of operations, staff implemented an on-line camping reservation system as well as a call-centre to process all camping reservations and booking requests. This process streamlined the previous "pen and paper" reservation system, while providing exceptional customer service 24 hours a day.

The following financial information outlines the operating budget and respective revenue. Net gains are primarily attributed to strategic staff scheduling and lower hourly rates.
