APPLICATION OF DEBTOR INTELSAT S.A. FOR ENTRY OF AN ORDER AUTHORIZING THE EMPLOYMENT AND RETENTION OF PORTAGE POINT PARTNERS, LLC AS FINANCIAL ADVISOR PURSUANT TO SECTIONS 327(a) AND 328(a) OF THE BANKRUPTCY CODE EFFECTIVE AS OF JUNE 23, 2021

Intelsat S.A, one of the above-captioned debtors and debtors in possession (the “Debtors”),

respectfully states as follows in support of this application (this “Application”):2

Relief Requested

1. By this Application, Intelsat S.A. requests the authority, pursuant to sections 327(a)

and 328 of the Bankruptcy Code, to retain and employ Portage Point Partners, LLC (“Portage

Point”) effective as of June 23, 2021 (the “Engagement Date”), to render independent financial

advisory services at the sole direction of the Special Committee (as defined herein).

2. Intelsat S.A. seeks entry of an order (the “Proposed Order”), substantially in the

form attached hereto as Exhibit A: (a) approving the retention and employment of Portage Point

in accordance with the terms and conditions set forth in the engagement letter between Intelsat

S.A. and Portage Point, dated June 23, 2021 (the “Engagement Letter”), a copy of which is annexed

hereto as Exhibit 1 to the Proposed Order; and (b) granting related relief.

3. In support of this Application, Intelsat S.A. relies upon and incorporates by

reference the declaration of Matthew D. Ray, which is annexed hereto as Exhibit B (the

“Ray Declaration”), and the declaration of Edward Kangas, an Intelsat S.A. disinterested director

and member of the Special Committee (the “Kangas Declaration”), which is annexed hereto as

Exhibit C.

Jurisdiction and Venue

4. The United States Bankruptcy Court for the Eastern District of Virginia

(the “Court”) has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334 and the

Standing Order of Reference from the United States District Court for the Eastern District of

Virginia, dated August 15, 1984. Intelsat S.A. confirms its consent, pursuant to rule 7008 of the

Federal Rules of Bankruptcy Procedure (the “Bankruptcy Rules”), to the entry of a final order by

on May 13, 2020 (the “Petition Date”). Capitalized terms used but not immediately defined in this Application shall have the meanings ascribed to them in the First Day Declaration or as later defined herein, as applicable.

the Court in connection with this Application to the extent that it is later determined that the Court,

absent consent of the parties, cannot enter final orders or judgments in connection herewith

consistent with Article III of the United States Constitution.

5. Venue is proper in this district pursuant to 28 U.S.C. §§ 1408 and 1409.

6. The bases for the relief requested herein are sections 327(a) and 328(a) of the

Bankruptcy Code, Bankruptcy Rules 2014(a) and 2016(a), and rules 2014-1 and 2016-1 of the

Local Rules of the United States Bankruptcy Court for the Eastern District of Virginia (the

“Local Bankruptcy Rules”).

Background

7. The Debtors (together with their non-Debtor affiliates, the “Company”) operate one

of the world’s largest services businesses, providing a critical layer in the global

communications infrastructure. As the foundational architects of satellite technology, the

Company operates the largest satellite fleet and connectivity infrastructure in the world.

8. Through its global and extra-terrestrial network of and teleports, the

Company provides diversified communications services to the world’s leading media companies,

fixed and wireless telecommunications operators, data networking service providers for enterprise

and mobile applications in the air and on the seas, multinational corporations and internet service

providers in the most challenging and remote locations across the globe. The Company is also the

leading provider of commercial satellite communication services to the U.S. government and other

select military organizations and their contractors. The Company’s administrative headquarters

are in McLean, Virginia, and the Company has extensive operations spanning across the United

States, Europe, South America, Africa, the Middle East, and Asia.

9. On the Petition Date, the Debtors filed voluntary petitions for relief under

chapter 11 of the Bankruptcy Code. The Debtors are operating their business and managing their

properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code.

On May 15, 2020, the Court entered an order granting procedural consolidation and joint

administration of these chapter 11 cases pursuant to Bankruptcy Rule 1015(b).

Services to be Provided

10. Currently, the Board of Directors of Intelsat S.A. includes four disinterested

directors (the “Disinterested Directors”). Pursuant to the Board Resolutions on Establishing a

Special Committee, dated June 18, 2020, as amended by a resolution dated November 6, 2020

(the “Resolution”), three of the Disinterested Directors have been appointed to the Special

Committee of the Board of Directors of Intelsat S.A. (the “Special Committee”).3

11. The Special Committee has been delegated certain authority, which includes:

(a) the tasks of reviewing, negotiating, evaluating, and approving strategic transactions

(a “Transaction”); and (b) certain rights, authority, and powers in connection with matters

pertaining to a Transaction which the Special Committee determines in whole or in part may result

in Conflict Matters, as defined in the Resolution (the “Conflict Matters”). Given the status of these

chapter 11 cases, the Special Committee deems it advisable to retain an independent financial

advisor at this time to advise on matters relating to Intelsat S.A.’s exit from chapter 11, including,

but not limited to, ongoing negotiations relating to a chapter 11 plan of reorganization and related

matters. The Special Committee’s work in connection with any and all Conflict Matters and in

connection with reviewing Transactions (collectively, the “Independent Analysis”) remains open

and will continue during the pendency of these chapter 11 cases. To assist the Special Committee

in fulfilling its duties under the Resolution and conducting the Independent Analysis, Intelsat S.A.

seeks to retain Portage Point pursuant to the Engagement Letter to render independent financial

advisory services at the sole direction of the Special Committee.

12. Intelsat S.A. and the Special Committee have determined that the services of

experienced financial advisors will further the Special Committee’s efforts to exit from chapter 11

and maximize the value of the Intelsat S.A. estate. The professionals at Portage Point are well

qualified to act on the Special Committee’s behalf, given their extensive knowledge and expertise

with respect to chapter 11 proceedings.

13. Portage Point is a business advisory and expert services firm whose professionals

have significant experience in providing bankruptcy crisis management and consulting, and special

financial advisory services. Portage Point’s professionals have provided strategic advice to

debtors, creditors, bondholders, investors, and other entities in chapter 11 cases of similar size and

complexity as these chapter 11 cases. Portage Point employees have provided restructuring or

crisis management services in numerous bankruptcy cases, including: In re Alamo Drafthouse

Cinemas Holdings LLC, Case No. 21-10474 (Bankr. D. Del. Mar. 3, 2021); In re Bouchard

Transportation Co., Inc., Case No. 21-10474 (Bankr. S.D. Tex. Sept. 28, 2020); In re APC

Automotive Technologies Intermediate Holdings, LLC, Case No. 20-11466 (Bankr. D. Del. June

3, 2020); In re Hornbeck Offshore Services, Inc., Case No. 20-32679 (Bankr. S.D. Tex. May 19,

2020); In re Melinta Therapeutics, Inc., Case No. 19-12748 (Bankr. D. Del. Dec. 27, 2019); In re

Case No. 13-10125 (KJC) (Bankr. D. Del. Jan. 28, 2013).

14. The professionals at Portage Point specialize in interim management, restructuring

advisory, turnaround consulting, liquidity management, capital structure optimization, and

refinancing support, among many other services. Portage Point’s debtor advisory services have

included a wide range of activities targeted at stabilizing and improving a company’s financial

position, including developing or validating forecasts, business plans, and related assessments of

a business’s strategic position, forensic analysis, and plan development and implementation,

including negotiating financial restructuring packages.

15. Mr. Ray, the principal professional for Portage Point, is the Managing Partner of

Portage Point and has more than 15 years of experience investing in, lending to and serving on the

boards of directors of underperforming companies, advising the boards of directors and senior

management of troubled companies and creditor constituencies in both operational and financial

restructurings; and leading engagements developing and implementing performance improvement

plans, strategic alternatives, organizational realignments, operational turnarounds and financial

restructurings resulting in significant value preservation and creation for a broad spectrum of

stakeholders. Mr. Ray has served as Chief Restructuring Officer, Chief Executive Officer,

Chairman, Lead Independent Director, Special Restructuring Committee Chairman, and Strategic

Advisor for a number of institutions, leading wide-ranging transformations and restructurings for

a variety of industries.

16. Intelsat S.A. believes that Portage Point has developed significant relevant

expertise and knowledge regarding the unique circumstances of these chapter 11 cases and the

needs of the Special Committee. For these reasons, Portage Point is both well qualified and

uniquely suited to deal effectively and efficiently with matters that may arise in the context of

these cases. Accordingly, Intelsat S.A. submits that the retention of Portage Point, is in the best

interests of its estate, creditors, and all other parties in interest, and should be granted in all

respects.

Scope of Services

17. Subject to the Court’s approval, Intelsat S.A. proposes to retain Portage Point to

provide independent financial advisory services to, and at the sole direction of, the Special

Committee on the terms and conditions set forth in the Engagement Letter. The specific tasks that

Portage Point will perform for the Special Committee include, among other things, the following:

a. Assist in analyzing and evaluating value drivers under the Debtors’ go- forward business plan and the plan of reorganization currently filed with the Court (“Plan”) or other plan of reorganization, including, without limitation, projected cash flows, pro forma total enterprise value, debt capitalization, tax attributes, including NOLs (defined below), distributions under the Plan (including equity in the reorganized Debtors, warrants, contingent value rights, cash, and the Intercompany Transactions (as defined below));

b. Assist in reviewing and evaluating certain historical inter-Debtor and affiliated entity transactions, including historical financial condition, and evaluating such transactions in the context of restructuring plan and claims liquidation process (“Intercompany Transactions”);

c. Assist in reviewing tax, financial, and other analyses supporting the value and allocation of Debtor net operating losses (“NOLs”);

d. Assist in evaluating, formulating, and negotiating potential alternatives to the Plan;

e. Assist in the communication and negotiation with outside parties, including Intelsat S.A.’s stakeholders and other parties in the Bankruptcy Cases;

f. Provide expert and other testimony, as requested by the Special Committee; and

g. Assist with such other matters as may be requested by the Special Committee that fall within Portage Point expertise and that are mutually agreeable (collectively, the “Services”).

18. Intelsat S.A. believes that the Services will further the Special Committee’s efforts

as part of the Independent Analysis and otherwise maximize the value of the Intelsat S.A. estate.

Portage Point will coordinate to the extent reasonably possible to avoid the unnecessary

duplication of services provided by the other professionals retained by Intelsat S.A. and the

Debtors.

19. Pursuant to separate orders, the Court approved the retention of financial advisors

to the Debtors and also to the other special committees of certain Debtors in these cases. As

Portage Point will be acting solely at the direction of the Intelsat S.A. Special Committee, the

functions performed by Portage Point will not duplicate the work performed by any other financial

advisory firm retained by the Debtors, but rather will provide independent guidance and assistance

to the Special Committee and its counsel in the performance of their duties to Intelsat S.A.’s estate.

Terms of Retention

20. In consideration of the Services, subject to Court approval, the applicable

provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Bankruptcy Rules, and any

applicable orders of the Court, Intelsat S.A. has agreed to pay Portage Point the compensation set

forth in the Engagement Letter (the “Fee Structure”). Further, Portage Point intends to apply for

compensation for professional services rendered in connection with these chapter 11 cases (subject

to this Court’s approval and in compliance with the applicable provisions of the Bankruptcy Code,

Bankruptcy Rules, the Local Rules and any other applicable orders issued by this Court) on an

hourly basis, plus reimbursement of actual, necessary expenses and other charges incurred by

Portage Point in connection with these chapter 11 cases. The principal terms of the Fee Structure

are as follows:

a. Fees. Intelsat S.A. agrees to pay to Portage Point based on the actual hours expended at its standard hourly rates that are in effect when the Services are rendered. Portage Point’s current hourly rates are as follows:

b. Expense Reimbursement. Portage Point shall be entitled to reimbursement of actual, reasonable out-of-pocket and direct expenses incurred in connection with the Services to be provided under the Engagement Letter.

21. Intelsat S.A. believes these rates are consistent with market rates for comparable

services. Portage Point’s rates generally are revised quarterly. Portage Point will provide ten (10)

business days’ notice of any rate increases to the Disinterested Directors, the Debtors, the U.S.

Trustee, and any official committees in the Debtors’ chapter 11 cases.

22. Portage Point will maintain detailed records of actual and necessary costs and

expenses incurred in connection with the financial advisory services it provides to the Special

Committee. Intelsat S.A. understands that Portage Point is cumstomarily reimbursed for all

expenses incurred in connection with the representation of a client in a given matter, including,

but not limited to, photocopying services, printing, delivery charges, postage, and “working”

meals.

Indemnification

23. The Engagement Letter contains standard indemnification and limitation of liability

language with respect to Portage Point’s services (the “Indemnification Provisions”). Intelsat S.A.

and Portage Point believe that the Indemnification Provisions are customary and reasonable for

engagements of this type and should be approved. As more fully set forth in the Engagement

Letter, the Indemnification Provisions provide that Intelsat S.A. will indemnify, defend, and hold

harmless Portage Point and its affiliates from and against all claims, liabilities, losses, expenses

and damages arising out of or in connection with the engagement of Portage Point that is the

subject of the Engagement Letter. The terms of the Engagement Letter, including the

Indemnification Provisions, were fully negotiated at arm’s length, and Intelsat S.A. respectfully

submits that the Indemnification Provisions are customary, reasonable, and in the best interests of

Intelsat S.A., its estate, and its creditors. Accordingly, Intelsat S.A. respectfully requests that the

Court approve the Indemnification Provisions.

Portage Point’s Disinterestedness

24. To the best of Intelsat S.A.’s knowledge, information, and belief, other than as set

forth in the Ray Declaration, Portage Point: (i) has no connection with Intelsat S.A., the Debtors,

the Special Committee, their creditors, other parties in interest, the attorneys or accountants of any

of the foregoing, or the U.S. Trustee or any person employed in the Office of the U.S. Trustee; and

(ii) does not hold any interest adverse to the Debtors’ estates.

25. The Ray Declaration discloses, among other things, any relationship that Portage

Point, Mr. Ray, or any individual professional at Portage Point has with Intelsat S.A., the Debtors,

the Special Committee, their significant creditors, or other significant parties in interest known to

Portage Point, which parties are set forth in the Ray Declaration. Other than as set forth in the Ray

Declaration, Intelsat S.A. submits that Portage Point is a “disinterested person” as that term is

defined by section 101(14) of the Bankruptcy Code.

26. In addition, as set forth in the Ray Declaration, if Portage Point is provided with

additional lists of parties in interest, Portage Point will determine if any new material facts or

relationships are discovered or arise, and Portage Point will provide the Court with a supplemental

declaration if appropriate.

Relief Requested Should Be Granted

33. Section 327(a) of the Bankruptcy Code provides that a debtor, subject to Court

approval, “may employ one or more attorneys, accountants, appraisers, auctioneers, or other

professional persons, that do not hold or represent an interest adverse to the estate, and that are

disinterested persons, to represent or assist the [debtor] in carrying out the [debtor]’s duties under

this title.” 11 U.S.C. § 327(a).

34. In addition, Intelsat S.A. seeks approval of the Fee Structure and the Engagement

Letter pursuant to section 328(a) of the Bankruptcy Code, which provides, in relevant part, that a

debtor “with the court’s approval, may employ or authorize the employment of a professional

person under section 327 . . . on any reasonable terms and conditions of employment, including

on a retainer, on an hourly basis, on a fixed or percentage fee basis, or on a contingent fee basis.”

11 U.S.C. § 328(a). Accordingly, section 328 of the Bankruptcy Code permits the compensation

of professionals, including financial advisors, on flexible terms that reflect the nature of their

services and market conditions. Intelsat S.A. respectfully submits that sections 327 and 328 of the

Bankruptcy Code permits it to hire a professional firm like Portage Point to undertake a financial

advisory role in these chapter 11 cases.

27. As discussed in the Ray Declaration, Portage Point is a disinterested person as

defined by section 101(14) of the Bankruptcy Code. Portage Point and the professionals at Portage

Point: (a) are not creditors, equity security holders, or insiders of Intelsat S.A. or the Debtors; (b)

are not and were not within, two (2) years before the Petition Date, a director, officer, or employee

of Intelsat S.A. or the Debtors; and (c) do not represent or hold an interest adverse to the interests

of the estates with respect to the matters for which Portage Point is proposed to be employed.

28. Bankruptcy Rule 2014 sets forth the elements that must be provided in a retention

application in support of a professional person. A retention application must include “specific

facts showing the necessity for the employment, the name of the person to be employed, the

reasons for the selection, the professional services to be rendered, any proposed arrangement for

compensation, and to the best of the applicant’s knowledge, all of the person’s connections with

the debtor, creditors, any other party in interest, their respective attorneys and accountants, the

United States Trustee, or any person employed in the office of the United States Trustee.” Fed. R.

Bankr. P. 2014(a). Intelsat S.A. submits that for the reasons stated above and in the Ray

Declaration, Portage Point has satisfied all the necessary requirements to be approved as the

financial advisors to the Special Committee.

29. The U.S. Trustee, the fee examiner appointed in these chapter 11 cases, and Intelsat

S.A. shall retain all rights to object to Portage Point’s interim and final fee applications (including

claims for expense reimbursement) on all grounds, including but not limited to, the reasonableness

standard provided for in section 330 of the Bankruptcy Code.

30. The retention of Portage Point is a sound exercise of Intelsat S.A.’s business

judgment. The Special Committee has sought the financial advisory services provided by Portage

Point to further the Independent Analysis and maximize value for the estate of Intelsat S.A. Based

upon the foregoing, Intelsat S.A. submits that the retention of Portage Point, on the terms set forth

herein and in the Engagement Letter, is appropriate, and in the best interest of Intelsat S.A., its

estate, its creditors, and other parties in interest and should be granted.

Waiver of Bankruptcy Rule 6004(a) and 6004(h)

31. To implement the foregoing successfully, Intelsat S.A. requests that the Court enter

an order providing that notice of the relief requested herein satisfies Bankruptcy Rule 6004(a) and

that Intelsat S.A. has established cause to exclude such relief from the 14-day stay period under

Bankruptcy Rule 6004(h).

Notice

32. Intelsat S.A. will provide notice of this Motion via first class mail, facsimile or

email (where available) to the Service List in accordance with the Notice Procedures as set forth

in the Order (A) Establishing Certain Notice, Case Management, and Administrative Procedures

and (B) Granting Related Relief [Docket No. 141]. Intelsat S.A. submits that, in light of the nature

of the relief requested, no other or further notice need be given.

CONCLUSION

WHEREFORE, for the reasons set forth herein, Intelsat S.A. respectfully requests entry of

the Proposed Order granting the relief requested herein and such other and further relief as is just.

Upon the application, dated July 2, 2021 (the “Application”)2 of Intelsat S.A., one of the

debtors and debtors in possession in the above-captioned chapter 11 cases (collectively, the

“Debtors”), pursuant to sections 327(a) and 328(a) of title 11 of the United States Code (the

“Bankruptcy Code”) for entry of an order authorizing Intelsat S.A. to retain and employ Portage

Point Partners, LLC (“Portage Point”) to serve as financial advisors at the sole direction of the

special committee of the board of directors of Intelsat S.A. (the “Special Committee”) effective as

of June 23, 2021 (the “Engagement Date”) in accordance with the terms and conditions set forth

in the engagement letter dated June 24, 2021 (the “Engagement Letter”), annexed as Exhibit 1 to

this Order; and upon the Ray Declaration attached as Exhibit B to the Application; and this Court

having jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334 and the Standing Order of Reference from the United States District Court for the Eastern District of Virginia, dated August

15, 1984, and this Court having found that it may enter a final order consistent with Article III of

the United States Constitution; and this Court having found that venue of this proceeding and the

Application in this district is proper pursuant to 28 U.S.C. §§ 1408 and 1409; and this Court having

found that the relief requested in the Application is in the best interests of the Debtors’ estates,

their creditors, and other parties in interest; and this Court having found that the Debtors’ notice

of the Application and opportunity for a hearing on the Application were appropriate under the

circumstances and that no other notice need be provided; and this Court having reviewed the

Application and having heard the statements in support of the relief requested therein at a hearing

before this Court (the “Hearing”); and this Court having determined that the legal and factual bases

set forth in the Application and at the Hearing establish just cause for the relief granted herein; and

upon all of the proceedings had before this Court; and after due deliberation and sufficient cause

appearing therefor, it is HEREBY ORDERED THAT

1. The Application is granted as set forth herein.

2. Intelsat S.A. is authorized, pursuant to sections 327(a) and 328(a) of the Bankruptcy

Code, to retain Portage Point as financial advisor to the Special Committee at the sole direction of

the Special Committee, effective as of June 23, 2021 on the terms set forth in the Engagement

Letter.

3. Portage Point’s Fee Structure, as set forth in the Application and Engagement

Letter, are reasonable terms and conditions of employment and are approved in all respects.

4. Portage Point shall file interim and final fee applications for allowance of

compensation and reimbursement of expenses pursuant to the procedures set forth in Bankruptcy

Code sections 330 and 331, the Bankruptcy Rules, the Local Bankruptcy Rules, the U.S. Trustee

Guidelines, or any other applicable procedures and orders of the Court. For billing purposes,

Portage Point will keep its time in one-tenth (1/10) hour increments in accordance with the U.S.

Trustee Guidelines.

5. Portage Point shall file with the Court, and provide notice to the U.S. Trustee and

all official committees, reports of compensation earned and expenses incurred on a monthly basis

(the “Monthly Statements”). All compensation shall be subject to review by the Court in the event

an objection is filed.

6. Intelsat S.A. and the U.S. Trustee retain the right to challenge the reasonableness

of Portage Point’s fees and request for compensation and reimbursement based on the

reasonableness standard provided in section 330 of the Bankruptcy Code. This Order or the record

relating to this Court’s consideration of the Application shall not prejudice the rights of the U.S.

Trustee to challenge the reasonableness of Portage Point’s fees under section 330 of the

Bankruptcy Code. Accordingly, nothing in this Order or the record relating to this Court’s

consideration of the Application shall constitute a finding of fact or conclusion of law binding on the U.S. Trustee with respect to the reasonableness of Portage Point’s fees. Further, nothing in the

engagement letter shall affect or modify the standard of review applicable to an objection by the

U.S. Trustee under this paragraph.

7. Prior to any increases in Portage Point’s rates, Portage Point shall file a

supplemental affidavit with the Court and provide ten business days’ notice to the Debtors, the

United States Trustee and any official committees, which supplemental affidavit shall explain the

basis for the requested rate increase in accordance with section 330(a)(3)(F) of the Bankruptcy

Code and state whether Intelsat S.A. has consented to the rate increase. The United States Trustee

retains all rights to object to any rate increase on all ground including, but not limited to, the

reasonableness standard provided for in section 330 of the Bankruptcy Code, and the Court retains

the right to review any rate increase pursuant to section 330 of the Bankruptcy Code.

8. Notwithstanding anything in the Application or Engagement Letter to the contrary,

to the extent that Portage Point uses the services of independent contractors, subcontractors, or

employees of foreign affiliates or subsidiaries (collectively, the “Contractors”) in these cases and

Portage Point seeks to pass through the fees and/or costs of the Contractors to Intelsat S.A., Portage

Point shall (i) pass through the fees of such Contractors to Intelsat S.A. at the same rate that Portage

Point pays the Contractors; (ii) seek reimbursement for actual costs of the Contractors only; and

(iii) ensure that the Contractors perform the conflicts check required by Bankruptcy Rule 2014 and

file with the Court such disclosures as required by Bankruptcy Rule 2014.

9. The Indemnification Provisions set forth in the Engagement Letter are approved,

subject to the following:

a. Portage Point shall not be entitled to indemnification, contribution or reimbursement pursuant to the Engagement Letter for Services, unless such services and the indemnification, contribution or reimbursement therefore are approved by the Court.

b. Intelsat S.A. shall have no obligation to indemnify any Portage Point Party (as that term is defined in the Engagement Letter), or provide contribution

or reimbursement to any Portage Point Party, for any claim or expense to the extent it is either: (i) judicially determined (the determination having become final and no longer subject to appeal) to have arisen from the Portage Point Party’s gross negligence, willful misconduct, fraud, breach of fiduciary duty, if any, or bad faith or self-dealing; (ii) for a contractual dispute in which Intelsat S.A. alleges breach of a Portage Point Party’s contractual obligations unless this Court determines that indemnification, contribution or reimbursement would be permissible pursuant to In re United Artists Theatre Company, 315 F.3d 217 (3d Cir. 2003); or (iii) settled prior to a judicial determination as to the exclusions set forth in clauses (i) and (ii) above, but determined by this Court, after notice and a hearing pursuant to subparagraph (c) hereof to be a claim or expense for which the Portage Point Party should not receive indemnity, contribution or reimbursement under the terms of the Engagement Letter, as modified by this Order.

c. If, before the earlier of (i) the entry of an order confirming a chapter 11 plan in the chapter 11 cases (that order having become a final order no longer subject to appeal) and (ii) the entry of an order closing the chapter 11 cases, Portage Point Party believes that it is entitled to the payment of any amounts by Intelsat S.A. on account of the Intelsat S.A.’s indemnification, contribution and/or reimbursement obligations under the Engagement Letter (as modified by this Order), including without limitation, the advancement of defense costs, the Portage Point Party must file an application therefor in this Court, and Intelsat S.A. may not pay any such amounts to the Portage Point Party before the entry of an order by this Court approving the payment. This subparagraph (c) is intended only to specify the period of time under which this Court shall have jurisdiction over any request for fees and expenses by any Portage Point Party for indemnification, contribution and/or reimbursement, and not a provision limiting the duration of the Intelsat S.A. obligation to indemnify, or make contributions or reimbursements to, the Portage Point Party. All parties in interest shall retain the right to object to any demand by any Portage Point Party for indemnification, contribution and/or reimbursement.

10. If additional parties-in-interest are provided to Portage Point, Portage Point shall disclose any and all facts that would reasonably be expected to have a bearing on whether Portage

Point, its controlled affiliates, and/or any individuals working on the engagement have any interest materially adverse to the interest of Intelsat S.A. or the Debtors’ estates or of any class of creditors or equity security holders, by reason of any direct or indirect relationship to, connection with, or interest in, Intelsat S.A. or the Debtors, or for any other reason.

11. Portage Point shall use commercially reasonable efforts to avoid any duplication of

services provided by any of the Debtors’ other retained professionals in these chapter 11 cases.

12. To the extent there is inconsistency between the terms of the Engagement Letter,

the Application, and this Order, the terms of this Order shall govern.

13. Intelsat S.A is authorized to take all action necessary to the relief granted in this

Order.

14. This Court shall retain exclusive jurisdiction to hear and determine all matters arising from or related to the implementation, interpretation and/or enforcement of this Order.

Dear Michelle:

This letter, together with the attached Schedule(s) and General Terms and Conditions, sets forth the agreement (this “Agreement”) between Portage Point Partners, LLC (“Portage Point”) and Intelsat S.A. to retain Portage Point to provide certain independent financial advisory services at the sole direction of the Special Committee of the Board of Directors of Intelsat S.A. (the “Special Committee”) formed pursuant to that certain Board Resolutions on Establishing a Special Committee, dated June 18, 2020, as amended by a resolution dated November 6, 2020 (the “Resolution”), consisting of Robert Callahan, John Diercksen, and Edward Kangas, with regard to “Conflicts Matters” (as that term is defined in the Resolution). We understand our retention is subject to the filing of our retention application with the United States Bankruptcy Court for the Eastern District of Virginia (the “Bankruptcy Court”) and entry of an order authorizing our retention in Intelsat S.A.’s bankruptcy case in the Bankruptcy Court, which is currently pending along with other affiliated debtors and debtors in possession (collectively, the “Debtors”), captioned In re Intelsat S.A., et al., Case No. 20-32299 (collectively, the “Bankruptcy Cases”). We understand that you will request our retention be effective as of June 23, 2021.

All defined terms shall have the meanings ascribed to them in this Agreement. Intelsat S.A. and Portage Point are each a “party,” and together the “parties.”

OBJECTIVE AND TASKS Working collaboratively with the Special Committee and other professionals involved in the Bankruptcy Cases, including advisors representing the Debtors, the other Special Committees, and creditor groups, Portage Point workstreams will be as follows:

 Assist in analyzing and evaluating value drivers under the Debtors’ go-forward business plan and the plan of reorganization currently filed with the Bankruptcy Court (“Plan”), including, without limitation, projected cash flows, pro forma total enterprise value, debt capitalization, tax attributes, including NOLs (defined below), distributions under the Plan (including equity in the reorganized Debtors, warrants, contingent value rights, cash, and the Intercompany Transactions (as defined below)).

 Assist in reviewing and evaluating certain historical inter-Debtor and affiliated entity transactions, including historical financial condition, and evaluating such transactions in the context of restructuring plan and claims liquidation process (“Intercompany Transactions”).

 Assist in reviewing tax, financial, and other analyses supporting the value and allocation of Debtor net operating losses (“NOLs”).

 Assist in evaluating, formulating, and negotiating potential alternatives to the Plan.

 Assist in the communication and negotiation with outside parties, including Intelsat S.A.’s stakeholders and other parties in the Bankruptcy Cases.

 Provide expert and other testimony, as requested by the Special Committee.

 Assist with such other matters as may be requested by the Special Committee that fall within Portage Point expertise and that are mutually agreeable.

STAFFING Portage Point will provide its partners, directors, officers, employees, independent contractors, agents or other personnel (“Portage Point Staff”) subject to the terms and conditions of this Agreement, with the titles, pay rates and other descriptions set forth Schedule 1. The Portage Point Staff may be assisted by or replaced by other professionals at various levels, as required.

TIMING AND FEES Portage Point will commence this engagement on or about June 23, 2021 after receipt of a copy of the executed Agreement

Intelsat S.A. shall compensate Portage Point for its services and reimburse Portage Point for expenses, as set forth on Schedule 1. For the avoidance of doubt, Intelsat S.A. shall be required to pay in full in cash all amounts owed to Portage Point pursuant to this Agreement. These General Terms and Conditions (“Terms”) are incorporated into this Agreement to which these Terms are attached. In case of conflict between the wording in this Agreement and/or schedule(s) and these Terms, the wording of this Agreement and/or schedule(s) shall prevail.

Section 1. Intelsat S.A.’s Responsibilities. Third-Party Beneficiaries. The indemnitees shall be third-party beneficiaries with respect to Section 7 hereof.

Data Protection. Portage Point acknowledges and the Special Committee and Intelsat S.A. agrees that in performing the services Portage Point may from time to time be required to process certain personal data on behalf of the Special Committee. In such cases, (i) the Special Committee and Intelsat S.A. agree that they are acting as a data controller with respect to any such personal data and that it shall comply with all applicable international, federal, stale, provincial and local data protection, privacy or information security laws, rules, regulations, directives, and governmental requirements, (ii) Portage Point will not be required to provide any notices to the data subjects of any such personal data before processing the data, if any such notices or consents are required and (iii) Portage Point shall endeavor to (a) act only on reasonable instructions from the Special Committee and Intelsat S.A. within the scope of the services of this Agreement, (b) have in place appropriate technical and organizational security measures against unauthorized or unlawful processing of personal data and against accidental loss or destruction of, or damage to personal data and (c) comply (to the extent applicable to it and/or the process) with relevant data protection, privacy or other similar laws or regulations regarding the collection, storage, processing and use of personal data in connection with this Agreement. Portage Point is authorized by Special Committee and Intelsat S.A. to include the Special Committee and Intelsat S.A.’s name / corporate logos as a “client” and general description of services in its promotional, marketing, award nominations and/or advertising materials including, without limitation the Portage Point website.

Assignment of Agreement. Portage Point shall have the unfettered right to transfer this Agreement, including the letter, the Terms and the schedule(s) to any entity under substantially similar control as Portage Point. To the extent such a transfer occurs this Agreement, including the letter, the Terms and the schedule(s) shall remain in full force and effect.

Limitations. Portage Point makes no representation or guarantee that, inter alia, (i) an appropriate restructuring proposal or strategic alternative can be formulated for the Special Committee, (ii) any restructuring proposal or strategic alternative presented to the Special Committee will be more successful than all other possible restructuring

Portage Point in support of the Application of Intelsat S.A. For Entry of an Order Authorizing The

Employment and Retention of Portage Point Partners, LLC as Financial Advisor Pursuant To

Sections 327(a) and 328(a) of the Bankruptcy Code Effective as of June 23, 2021 (the

“Application”)3 on the terms and conditions set forth in the Application and the engagement letter

dated June 24, 2021, entered into between Intelsat S.A. and Portage Point and attached to the

Proposed Order as Exhibit 1 (the “Engagement Letter”), effective as of June 23, 2021. Except as

otherwise noted, I have personal knowledge of the matters set forth herein.

Disinterestedness and Eligibility

2. In connection with the preparation of this Declaration, Portage Point conducted a

review of its contacts with Intelsat S.A., the Debtors, the Special Committee, their affiliates and

certain entities holding large claims against or interests in the parties that were made known to

Portage Point. A listing of the parties reviewed is reflected on Schedule 1 to this Declaration

(the “Retention Checklist”). Portage Point’s review, completed under my supervision, consisted

of a query of the Retention Checklist within an internal computer database containing names of

individuals and entities that are present or recent former clients of Portage Point. The disclosure

list attached as Schedule 2 to this Declaration (the “Disclosure List”) is the result of Portage

Point’s review.

3. As part of its diverse practice, Portage Point appears in numerous cases,

proceedings, and transactions that involve many different professionals, including attorneys,

accountants, and financial consultants, who may represent claimants and parties in interest in these

chapter 11 cases. Also, Portage Point has performed in the past, and may perform in the future,

advisory consulting services for various attorneys and law firms, and has been represented by

several attorneys and law firms, some of whom may be involved in these proceedings. As further

detailed in Schedule 2, Portage Point has been retained as a financial advisor to Michael Foreman,

a member of the special committee for the Board of Directors of Intelsat Connect Finance S.A., in

Mr. Foreman’s capacity as plan administrator for the chapter 11 plan of China Fishery Group.

China Fishery Group’s bankruptcy case is currently pending in the Southern District of New York.

Portage Point has agreed to create a wall separating the teams working on the Intelsat S.A. and the

China Fishery Group matters, and Mr. Foreman, the Special Committee, and Intelsat S.A. have

agreed to waive any conflicts.

4. In addition, Portage Point has in the past, may currently, and will likely in the future

be working with or against other professionals involved in these chapter 11 cases in matters

unrelated to Intelsat S.A. and the Debtors, and these chapter 11 cases. From time to time, Portage

Point has referred work to other professionals retained or that may be retained in these chapter 11

cases. Likewise, certain such professionals have referred work to Portage Point. Except as detailed

above and in Schedule 2, based on our current knowledge of the professionals involved, and to

the best of my knowledge, none of these relationships create interests materially adverse to the

Debtors in matters upon which Portage Point is to be employed, and none are in connection with

these chapter 11 cases.

5. Portage Point does not believe it is a “creditor” with respect to fees and expenses

of any of the Debtors within the meaning of section 101(10) of the Bankruptcy Code. Further,

neither I nor any other member of the Portage Point engagement team serving the Debtors, to the

best of my knowledge, is a holder of any outstanding debt instruments or shares of the Debtors’

stock.

6. As such, to the best of my knowledge and based upon the results of the relationship

search described above and disclosed herein, other than as specified herein, Portage Point (i) is not

a creditor, or equity security holder, (ii) has not been, within three (3) years before the Petition

Date, (a) an investment banker for a security of the Debtors or (b) an attorney for such an

investment banker in connection with the offer, sale, or issuance of a security of the Debtors, (iii)

was not, within two (2) years before the Petition Date, a director, officer, or employee or of any

investment banker as specified in part (ii) of this paragraph, and (iv) does not have an interest

materially adverse to the interest of the Debtors’ estates or of any class of creditors or equity

security holders.

7. It is Portage Point’s policy and intent to update and expand its ongoing relationship

search for additional parties in interest in an expedient manner. If any new parties-in-interest are

provided to Portage Point and in connection therewith, Portage Point discovers new material

relevant facts or relationships, Portage Point will promptly file a supplemental declaration.

Professional Compensation

8. Subject to Court approval of the Application and in accordance with the applicable

provisions of the Bankruptcy Code, the Bankruptcy Rules, and the Local Bankruptcy Rules,

Portage Point will seek from Intelsat S.A. payment for compensation on an hourly basis for all

Portage Point Professionals, as well as reimbursement of actual and necessary expenses incurred

by Portage Point. Portage Point’s customary hourly rates as charged in bankruptcy and non-

bankruptcy matters of this type by the professionals assigned to this engagement are outlined in the

Application.

9. To the best of my knowledge, (i) no commitments have been made or received by

Portage Point with respect to compensation or payment in connection with these cases other than

DECLARATION OF EDWARD KANGAS IN SUPPORT OF APPLICATION OF DEBTOR INTELSAT S.A. FOR ENTRY OF AN ORDER AUTHORIZING THE EMPLOYMENT AND RETENTION OF PORTAGE POINT PARTNERS, LLC AS FINANCIAL ADVISOR PURSUANT TO SECTIONS 327(A) AND 328(A) OF THE BANKRUPTCY CODE EFFECTIVE AS OF JUNE 23, 2021

I, Edward Kangas, hereby declare under penalty of perjury that the following is true and

correct to the best of my knowledge and belief:

1. I am a disinterested director of Intelsat S.A. (“Intelsat S.A.” or the “Debtor”), one

of the above-captioned debtors and debtors in possession (the “Debtors”). I am also a member of

the special committee of Intelsat S.A. (the “Special Committee”). In such capacity, I am generally

familiar with the day-to-day operations, business and financial affairs, and books and records of

Intelsat S.A. and am authorized to submit this declaration (the “Declaration”).

2. I submit this declaration (this “Declaration”) on behalf of Portage Point in support

of the Application of Intelsat S.A. For Entry of an Order Authorizing The Employment and

Retention of Portage Point Partners, LLC as Financial Advisor Pursuant To Sections 327(a) and

328(a) of the Bankruptcy Code Effective as of June 23, 2021 (the “Application”)2 on the terms and

conditions set forth in the Application and the engagement letter dated June 24, 2021, entered into between Intelsat S.A. and Portage Point and attached to the Proposed Order as Exhibit 1 (the

“Engagement Letter”), effective as of June 23, 2021. Except as otherwise noted, I have personal

knowledge of the matters set forth herein.

Special Committee’s Selection of Financial Advisor

3. On June 24, 2021, Portage Point Parters, LLC (“Portage Point”) and Intelsat S.A.

executed the Engagement Letter regarding the retention of Portage Point as financial advisor acting

at the sole direction of the Special Committee. I agree and accept the retention of Portage Point

as financial advisor on the terms of the Engagement Letter.

4. The Special Committee recognizes when selecting financial adviors in complex

chapter 11 cases, a comprehensive review process is necessary to ensure that bankruptcy

professionals are subject to the same client-driven market forces, scrutiny, and accountability as

professionals in non-bankruptcy engagements.

5. Ultimately, Intelsat S.A. retained Portage Point to render financial advisor services

at the sole direction of the Special Committee because, among other reasons, Portage Point

possesses complex chapter 11 and plan negotiation experience that will further the Special

Committee’s efforts as part of the Indpendent Analysis and otherwise maximize the value of the

Intelsat S.A. estate, making Portage Point ideal to efficiently serve the needs of the Special

Committee. The Special Committee has determined that the retention of Portage Point is in the

best interest of the Intelsat S.A. estate. Accordingly, I believe that Portage Point is both well

qualified and uniquely able to provide the specialized financial advisory services sought by the

Special Committee going forward in an efficient and effective manner.

Rate Structure

6. As an individual that frequently serves in a fiduciary capacity, I have supervised

outside counsel in other matters in the ordinary course of business. Portage Point has informed

Intelsat S.A. that its Fee Structure does not vary as a function of whether the services performed relate to a bankruptcy engagement or a non-bankruptcy engagement.

Cost Supervision

7. The Special Committee further recognizes that it is responsible to monitor closely

the billing practices of Portage Point to ensure the fees and expenses paid by the estate remain

consistent with Intelsat S.A.’s expectations and the exigencies of the chapter 11 cases. The Special

Committee will review the invoices that Portage Point regularly submits. The Special Committee

will bring discipline, predictability, client involvement, and accountability to the fee and expense

reimbursement process for Portage Point.
