BACKGROUND:

The West Bengal State Electricity Distribution Company Limited (hereinafter called as WBSEDCL) is a Government of West Bengal Enterprise engaged in catering power to 96% (ninety six percent) of the geographical area of West Bengal and has vast electrical network and large numbers of 33/11 KV Sub-Stations at different locations throughout the state of West Bengal. WBSEDCL is interested in letting out vacant spaces of these Sub-Stations situated at strategic locations, for the installation of the Telecom Tower (s) and the rooftop of the Sub- Station building for the fixing of the advertisement hoardings/Telecom Towers, the boundary walls for the advertisement, for the purpose of additional income generation. The Sub-Stations located along the National Highway shall not be considered for display of advertisement but can be considered for the installations of telecom towers.

SCOPE OF WORK:

At present WBSEDCL have approximately 543 numbers of 33/11 KV Sub-Station functioning across the state of West Bengal, out of which 534 numbers of sub-stations can be utilized for the above purpose. District wise list of these sub-stations are being annexed as Annexure-IV. Out of 534 nos of Sub-Stations tentatively 91 numbers of sub-stations fall along the NH, hence display of the advertisement would not be permissible at those sub-stations, however fixing of telecom towers at the vacant space of the sub-station and using the rooftop of the sub-station building is viable for these Sub-stations along the National Highway. There are sufficient areas of vacant spaces within these Sub-Stations, which can be used for the installation of the towers without hampering the electrical installations. The rooftop of the sub- station building and boundary walls can be used up for displaying the hoardings/advertisement board. Hence, Out-door advertising agencies having experience in various AD-Medias, individual firm, institutions and Tower Company may feel it attractive since huge window of opportunity is on offer on behalf of WBSEDCL.

PERIOD OF CONTRACTS:

1. For Right to Display the banner/hoardings at the rooftop of the Sub-Stations and display of advertisement on the boundary walls of the Sub-Stations: The WBSEDCL desires to have initially a three years contract with the suitable party (highest bidder), however that may be flexible if situation demands on the sole discretion of WBSEDCL. Further extension of the contract period may be considered up to two years, based on the satisfactory performance of the agency, prevailing market rate, which is under the sole discretion of the competent authority of WBSEDCL.

2. For letting out vacant spaces on rental basis for the installations of towers either on the rooftop of the Sub-Stations or at the vacant spaces of the Sub-Station

The WBSEDCL desires to have agreement for the period of nine years at the initial stage with the suitable party (highest bidder) subject to enhancement of the contract value @15% at the end of each three years. Further extension of the contract period may be considered up to three years, based on the satisfactory performance of the agency, prevailing market rate, which is under the sole discretion of the competent authority of WBSEDCL.

PAYMENT TERMS:

1. For Right to Display the banner/hoardings at the rooftop of the Sub-Stations and display of advertisement on the boundary walls of the Sub-Stations: 25% (Twenty Five) up-front payment of the value of LUC (Land Utilization Charge) meant for 1st year for such letting out, is to be made by the party to WBSEDCL within 7 (seven) days of the awarding of the contract to the successful bidder after observing necessary formalities and afterwards residual amount of the contract for the 1st year is to be paid to the WBSEDCL within 30 (thirty days) from the date awarding of the contract or/and execution of agreement, whichever is earlier. The payment due for the pending periods (next two years) shall have to be paid within 7 (seven) days from the commencement of 2nd & 3rd year of the contracts respectively.

Applicable advertisement tax is to be borne by the concerned agency and required to deposit before the appropriate authority. 25% (Twenty Five) up-front payment of the value of LUC (Land Utilization Charge) meant for 1st year for such letting out, is to be made by the party to WBSEDCL within 7 (seven) days of the awarding of the contract to the successful bidder after observing necessary formalities and afterwards residual amount of the contract for the 1st year is to be paid to the WBSEDCL within 30 (thirty days) from the date awarding of the contract & execution of agreement, whichever is earlier.

The payment due for the pending periods (next two years) shall have to be paid within 7 (seven) days from the commencement of 2nd & 3rd year of the contracts respectively.

At the end of 3rd year fresh agreement shall be signed with the party at enhanced rate (@15%) and the party shall have to make the advance payment as per schedule as noted above. The procedure shall once again be repeated in subsequent phases with the enhancement of the contractual value.

Applicable advertisement tax is to be borne by the concerned agency and required to deposit before the appropriate authority. The deduction of TDS is applicable as per Government rules and necessary TDS certificate is to be furnished to the WBSEDCL within stipulated time.

PRE- BID DISCUSSIONS:

GENERAL TERMS:

1. WBSEDCL reserves the right to accept & reject any Bid or part thereof or all Bids received at its discretion without assigning any reason(s) whatsoever. 2. WBSEDCL is not necessarily bound to accept the highest Bidder and reserve the right to cancel/withdraw any package / invitation of bids partly or fully without assigning any reason and shall bear no liability whatsoever consequent upon such a decision 3. Tender received after expiry of scheduled date and time shall not be considered. 4. The Bidding documents are not transferable and cost of tender fee is not refundable under any circumstances. 5. No interest shall be payable for the Bid Guarantee. 6. Any extraneous conditions in bidder’s offer will be treated as non-responsive. 7. The Bids must be submitted in prescribed proforma only (Annexure-III, Part A, B & C).

8. Formation of any Cartel, may lead to the cancellation of tenders with penal measures as necessary and WBSEDCL reserves the right to take such unilateral decisions without further notice to anyone. 9. The bidders shall have to quote the unit price of space to be obtained per sq ft basis for the display of advertisement of the product at rooftop of the sub-stations or at the boundary wall or vacant space is to be utilized either at the rooftop or at the vacant space of the sub-station. Separate rate may be quoted for URBAN & RURAL category (as per Annexure-III---Part-A, B & C). 10. Bidders shall ensure that all pre-requisites are duly fulfilled by them and if there be any dispute regarding non submission of any documents, WBSEDCL reserves the right to cancel the tender unilaterally without assigning any reasons. The agency particulars needs to be submitted as per sample (Annexure-I) along with necessary documents proving the credentials as qualification requirement. 11. Bid shall remain valid for a period not less than 120 (one hundred twenty) days from the last date of opening of Financial Bid. If the bidder withdraws the bid during the validity period of bid, the Bid Security as deposited by them will be forfeited forthwith without assigning any reason thereof. 12. Section-II : Instruction to Bidders (ITB)

1. The intending bidders may download the tender documents from the website www.wbsedcl.in directly. Necessary earnest money and Price of the Bid Documents shall have to be remitted through Demand Draft/ Pay Order / Banker’s Cheque issued from any Nationalized Bank in favour of “West Bengal State Electricity Distribution Company Limited”, payable at Kolkata. The original Demand Draft against Earnest Money Deposit (EMD) and the Price of the Bid Documents needs to be submitted to: Office of the Chief Engineer (Dist), WBSEDCL, 1st Floor, “D” Block, Vidyut Bhavan,Salt-lake, Kolkata-91. 2. Issuance of Bid Documents: One set of bid documents will be issued within due dates as specified for the invitation of bid from the office as noted above against the payment of requisite fees. The Price of the Bid Documents can be obtained against the payment of Rs 500.00 in Demand Draft/ Pay Order / Banker’s Cheque issued from any Nationalized Bank in favour of “West Bengal State Electricity Distribution Company Limited”, payable at Kolkata, which will have to be deposited at Office of the Chief Engineer (Dist), WBSEDCL, 1st Floor, “D” Block, Vidyut Bhavan, Salt-lake, Kolkata-91, with in the stipulated time frame. 3. Tender documents also may be downloaded from website and submission of the Bid should be done as per the stated time schedule along with Price of the Bid Documents, as indicated above. 4. The Financial Bid of the prospective bidder will be considered only if the Technical Bid is found qualified. The decision of the WBSEDCL will be final and absolute in this respect. 5. The H1 bidder shall be considered on rate quoted for RURAL or URBAN category fall under particular District and District wise Rural & Urban category shall be evaluated separately against each job (Annexure-III, Part A, B & C). 6. Tenderer (s) should be present in pre-bid meeting to obtain the information of the sites before filing tender which may enable them to quote rates for quote rates for i) Municipal/Areas under Development Authority/Corporation (URBAN) AND ii) Non- Municipal areas (RURAL) separately with preferred District. If required the necessary site visits may be permitted with the approval and prior intimation to the competent authority of WBSEDCL.

ELIGIBILITY CRITERIA

1. 1. The required minimum average annual turnover is fixed as Rs 10.00 lakhs (Ten Lakhs) during last three financial years, i.e 2013-14, 2014-15, 2015-16 2. The bidder shall submit documentary evidence of annual Audited Financial Report for last three financial years as indicated above. Audit Report is applicable for companied registered under Company’s Act & Financial statement certified by the Chartered Firm is applicable for other than companies. 3. The bidder shall submit the documents defining the constitutional or legal status, place of registration and principle place of business, written power of attorney of the signatory of the bidder to commit the bid. 4. The bidder should not have any dispute with any other Govt entity/Organization. 5. The bidder must be a registered institution in and shall have to submit the certificate to prove his bonafide. 6. The bidder should furnish an affidavit stating inter alia that they have not been debarred / black listed by any of the Govt. & Parallel Bodies. 7. The bidder should furnish the photocopy of Service Tax Registration Certificate, PAN, TAN, etc (as mentioned in Annexure-I). 8. Any statement given by the agency, if subsequently found false, his/her candidature will automatically be treated as rejected.

SECTION-III: BIDDING PROCESS

Bids shall be submitted Offline

For Offline documents Submission: Offline documents to be submitted in 3 (three) sealed envelopes for “Demand Draft of Earnest Money Deposit”, “Technical Bid” and “Financial Bid”.

1st Envelope should contain the Demand Draft of EMD as mentioned above----should be marked as Envelope-A

2nd Envelope should contain all the documents related to qualification requirement (QR) along with filled up Annexure-I & II---should be marked as Envelope-B

3rd Envelope should contain the “Price Bid” as per Bid Sheet furnished in NIT documents

(Annexure-III---Part A, B & C, whichever applicable) ----should be marked as Envelope-C

Agency may bid for any one, two or all the three jobs (Annexure-III---out of Part A, B & C) by filling up the bid sheet (Annexure-III) with the compliance of the above.

Section-IV : General Conditions of Contract (GCC)

GENERAL TERMS AND CONDITIONS OF BID

Title of the Land The right of Tower/Hoardings/Advertising Display Board along with land underneath will remain in the hands of the WBSEDCL and is not transferable under any circumstances. Description of the works 1. The agency will obtain the right to display of advertisement and installations of towers at 33/11 KV Sub-stations under WBSEDCL after the fulfillment of all clauses laid down in the said tender. 2. The agency will pay all charges to get electricity connection from the WBSEDCL authority. 3. The agency will abide by the standard Advertisement Policy as set out by the Govt body as may be amended from time to time. 4. The agency will pay all charges/taxes of the advertisement to the appropriate authority. 5. Deviation of advertisement area without prior permission of the WBSEDCL will lead to cancellation of the contract with forfeiture of EMD. 6. In the event that Content/product objectionable to the Company the advertisement shall be removed forthwith without any alternative space. 7. In the event of the area falling within the ‘No Advertisement Zone’ (in future) or “restriction due to extension of building/extension of electrical installation” the TOWER/ADVERTISEMENT HOARDING has to be removed forthwith without any alternative site. 8. This contract is for three years only from the date of issuance of formal/work order. Which may be extended / curtailed based on the performance of the agency and discretion of the competent authority of WBSEDCL. The further 2 (two) years of extension may be considered upon the approval of the competent authority of WBSEDCL (in case of display of the advertisement). 9. For the purpose of installation of towers, the WBSEDCL desires to have agreement for the period of nine years at the initial stage with the suitable party (highest bidder) subject to enhancement of the contract value @15% at the end of each three years.

Further extension of the contract period may be considered up to three years, based on the satisfactory performance of the agency, prevailing market rate, which is under the sole discretion of the competent authority of WBSEDCL. 10. Periodical maintenance of the installations/ Hoarding is mandatory with prior permissions of the site-in-charge (to be communicated while execution of agreement). 11. Applicable Advertisement Tax, Service Tax shall have to be borne by the agency. 12. The deduction of TDS is applicable as per Government rules and necessary TSD certificate to be produced to the WBSEDCL within stipulated time.

Display of Advertisement

1. The agency shall have the right to display advertisement at the specified area/space as per the awarding of the work order for a period of 3 years, which may be further extended and curtailed with the discretion of management of WBSEDCL based on performance, prevailing marker rate and parameters fixed by WBSEDCL.

2. For the purpose of installation of towers, the WBSEDCL desires to have agreement for the period of nine years at the initial stage with the suitable party (highest bidder) subject to enhancement of the contract value @15% at the end of each three years. Further extension of the contract period may be considered up to three years, based on the satisfactory performance of the agency, prevailing market rate, which is under the sole discretion of the competent authority of WBSEDCL.

3. Advertisement area/space for installation of tower will be strictly as per specification of WBSEDCL set out in pre-bid meeting or subsequently decided on site verification.

4. If so demanded the fees for displaying the permission from the competent authority under relevant section, shall have to borne by the firm. Advertisement Tax shall have to be borne by the firm as per prevailing rate (revised time to time by the competent body).

5. The EMD of the successful bidder will be adjusted with the payable amount of the bidder after signing agreement with WBSEDCL.

6. EMD will be released to the unsuccessful bidder upon receiving application from the agency after compliance of necessary formalities.

7. After completing all formalities formal order will be issued and agreement to be executed, at the sole discretion of WBSEDCL.

Surrender

If any agency/company etc. desires to surrender any area (s) of sub-station, the same can be done by but no alternative site and refund / adjustment of the taxes and fees will be allowed. Moreover EMD will also be forfeited by the WBSEDCL.

Termination

WBSEDCL will issue a preliminary notice in the event of non performance in respect of their duties, to the satisfaction of the WBSEDCL. The selected agencies need to respond to this notice within 15 (fifteen) days with sufficient details to the satisfaction of the Company (WBSEDCL), otherwise the WBSEDCL Authority will be issue a termination notice and taxes/ fees which has been deposited will forfeited. Termination of contract will debar any concerned agency to participate in any future tender invitation.

Right to accept and to reject any or all bids

1. The WBSEDCL reserves the right to validate all statements, information and documents submitted by the Agency /bidder in response to this Tender or the bidding documents and the Agency /bidder shall, when so required by the WBSEDCL, make available all such information, proof and documents as may be necessary for such authentication. Any such authentication or lack of such verification, by the WBSEDCL shall not mitigate the bidder of its compulsions or liabilities hereunder nor will it affect any rights of the WBSEDCL there under. 2. The WBSEDCL reserves the right to reject any bid and appropriate the bid security if:- (a) at any time, a material misrepresentation is made or uncovered, or (b) the agency/bidder does not provide, within the time specified by the WBSEDCL, supplemental information sought by the Department for evaluation of the bid.

Precaution

1. The agency shall take all precaution to avoid any accident during display of Advertisement/Hoarding/fixing of the Tower. In the event occurrence of any accident, the agency shall solely be responsible to pay for the damages or any other consequences, whatsoever and WBSEDCL shall be kept unharmed. 2. The agency shall have to apply before nearby CCC for the separate electric connection and bills of which are to be borne by the agency. In case of any unauthorized use of electricity, the agency is liable to be prosecuted under relevant section of the Electricity Act’2003 (amendment up to date). 3. The agency should not be allowed to use content of the advertisement which is objectionable to the WBSEDCL for the greater interest of the public as a whole. 4. The agency should not be allowed to use substandard materials to ensure the safety of the workers/employees of WBSEDCL AND GENERAL PUBLIC AS WHOLE with utmost care. 5. In case of failure on the part of highest (H1) bidder within the stipulated time to comply criteria of WBSEDCL/expresses unwillingness / incapability within the stipulated time,

Authority’s (WBSEDCL) decision towards forfeiture of EMD, Advance Bid Application Money will be final. In the event of such a situation H2 bidder if agrees to take up the job/contract may be permitted with the approval of the competent authority of WBSEDCL.

Taxes & Duties:

The deduction of TDS is applicable as per Government rules and necessary TDS certificate is to be furnished to the WBSEDCL within 3 (three) months from the date of payment to the WBSEDCL.

Service Tax Service TAX, if applicable including any other related statutory tax, may be imposed shall be payable by the agency. WBSEDCL shall not be liable to pay such taxes, whatsoever. Service Tax would be applicable as per rules prevailing in Finance Act.

In case of Tie

If two or more agencies make the same amount of offer for a single job then there will be a provision to split up the job equally among the bidders. In this regard the decision of WBSEDCL is final and binding.

Penal Measure

In case of non –payment of dues or in case of violation of any terms and conditions mentioned here in or for violation of any provisions of the WBSEDCL, laid down in the work order the agency will be black listed in participating in any advertisement related issues in future under jurisdiction of WBSEDCL.

SELECTION PROCESS

1. Only one representative from Bidders side is advised to remain present at the time of opening of bids. 2. Bids will be opened on the date and time mentioned in the schedule of events or such other later date as may be fixed by WBSEDCL by issuing a notice through the company’s website. 3. The bidder will be selected on the basis of evaluation of the bid, fulfilling all the criteria fixed in NIT. 4. The agreement on the aforesaid Job will be on the basis of the model agreement deed, shall be communicated subsequently.

DISPUTE RESOLUTION AND ARBITRATION

Any dispute between the parties arising out of this Bid Document or relating thereto or arising there from shall be settled by a method under the Arbitration and Conciliation Act, 1996. The proceedings shall be conducted in English. The language of the proceedings and the Award shall be in English. The legal jurisdiction is under Calcutta High Court.

The West Bengal State Electricity Distribution Company Limited (hereinafter called as WBSEDCL) is a Government of West Bengal Enterprise engaged in catering power to 96% (ninety six percent) of the geographical area of West Bengal and has vast electrical network and large numbers of 33/11 KV Sub-Stations at different locations throughout the state of West Bengal. WBSEDCL is interested in letting out vacant spaces of these Sub-Stations situated at strategic locations, for the installation of the Telecom Tower (s) and the rooftop of the Sub- Station building for the fixing of the advertisement hoardings/Telecom Towers, the boundary walls for the advertisement. The Sub-Stations located along the National Highway shall not be considered for display of advertisement but can be considered for the installations of telecom towers. The authority of WBSEDCL has been contemplating for quite some time to utilize the different infrastructure of WBSEDCL for letting out for the above purpose. It is seen that the 33/11 KV Sub-stations spread across the strategic locations across the state of West Bengal, may be lucrative venture for the said purpose for the bidders. At present WBSEDCL have approximately 543 numbers of 33/11 KV Sub-Station functioning across the state of West Bengal, out of which 534 numbers of sub-stations can be utilized for the above purpose. District wise list of these sub-stations are being annexed as Annexure-IV. Out of 534 nos of Sub-Stations tentatively 91 numbers of sub-stations fall along the NH, hence display of the advertisement would not be permissible at those sub-stations, however fixing of telecom towers at the vacant space of the sub-station and using the rooftop of the sub-station building is viable for these Sub-stations along the National Highway.

There are huge areas of vacant spaces within these Sub-Stations, which can be used for the installation of the towers without hampering the electrical installations. The rooftop of the sub- station building and boundary walls can be used up for displaying the hoardings/advertisement board and also for the installations of towers. Hence, Out-door advertising agencies having experience in various AD-Medias, individual firm/company, institutions and Tower Company may feel it attractive since huge window of opportunity is on offer on behalf of WBSEDCL.

The bidders shall have to quote the unit price of LUC (Land Utilization Charge) per sq ft basis for the installation of towers at the vacant space & roof top of the sub-station, Per sq ft rate for the display of hoardings at the rooftop of the Sub-Station building & Per sq ft rate for the display of advertisement at the boundary wall of the Sub-Station building. Separate rate may be quoted for separate jobs under URBAN & RURAL category with preferred district (Annexure-III).
