PRELIMINARY PROSPECTUS SUBJECT TO COMPLETION DATED NOVEMBER ___, 2020 Conversion Labs, Inc. 3,368,421 Shares of Common Stock 101,053 Shares of Common Stock underlying Common Stock Purchase Warrants Conversion Labs, Inc., a Delaware corporation (the “Company”), consummated a private placement offering (the “Offering”), whereby pursuant to that certain securities purchase agreement (the “Purchase Agreement”) entered into by the Company and certain accredited investors (collectively, the “Investors”) the Company sold to such Investors an aggregate of 3,368,421 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”). BTIG, LLC (the “Placement Agent”) acted as exclusive placement agent for the Offering and received cash compensation equal to 6% of the Purchase Price and warrants to purchase 101,053 shares of the Company’s common stock, at an initial exercise price of $4.75 per share, subject to adjustment for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction (the “PA Warrants”). This prospectus relates to the offering and resale by the Investors, the Placement Agent or their registered assigns (each a “Selling Stockholder” and collectively the “Selling Stockholders”) identified herein of up to an aggregate of 3,469,474 shares of Common Stock of the Company. These shares include 3,368,421 shares of Common Stock, and 101,053 shares of Common Stock issuable upon exercise of the PA Warrants, issued pursuant to that certain Securities Purchase Agreement, dated October 30, 2020, by and among the Company and the Selling Stockholders. The Selling Stockholders may from time to time sell, transfer or otherwise dispose of any or all of the securities in a number of different ways and at varying prices. Especially Goldie’s tracks which were often shown in the TV, but also they where available at soundtracks for few movies (The Jackal, Spawn). We borrowed these soundtracks on the cassettes from our high school friends and played for most of the time. I also decided to play few PC demo scene tunes made by artists connected which one of the biggest drum & bass and trip hop netlabels at that time – Tokyo Dawn Records. It is active still but it changed a lot providing mostly jazz, funk, soul, R&B style tunes.

("RIAA"), on its own behalf. and on behalf of SoundExchange, presently an unincorporated division of the RIAA, submits the following comments in response to the Copyright Office Notice published at 67 Fed. Reg. 70093 (November 20, 2002). The members of RIAA and SoundExchange, which are not entirely co-extensive, own the copyrights in more than 85 lo of all the sound recordings legitimately sold in the United States. The Librarian of Congress has designated SoundExchange as the agent to receive royalty fees and statements of account submitted by eligible nonsubscription transmission services under provisions:of the Section 112 and 114 licenses that are directly at issue in the above-referenced proceeding. 37 C.F.R. $ 261.4(b). Accordingly, RIAA and SoundExchange each have a significant interest in the royalty rates that are the subject of the proceeding referenced above. See 17 U.S.C. $ 803(a)(1). Attached as Exhibits A and B are lists of RIAA and SoundExchange members. These lists, particularly the SoundExchange list, may be amended as additional record companies join one or both organizations. On behalf of its members, RIAA is engaged in ongoing negotiations with the affected services and remains hopeful that voluntary agreements will be reached and that CARP proceedings will be avoided.
