Summary The General Counsel and Corporate Secretary will serve as the Company’s chief legal officer, providing sound counsel to the , Chairman, and other members of the Company’s leadership teams. The Teammate in this position will demonstrate integrity above reproach, with the ability to think creatively, strategically and critically to present optimal solutions. General Counsel will partner with other departments across all areas of the Company’s business and must possess outstanding leadership and communication skills. In addition to the practice areas of litigation, labor and employment, employee benefits, corporate securities, real estate and , additional industry specific knowledge in the areas of data security, product sourcing and labeling, trademarks, licensing, intellectual property, pricing and advertising, contracts, compliance, privacy, and digital media compliance is preferred.

 Direct Company legal strategy while anticipating, managing and reducing areas of legal and business risk.  Provide expert and strategic legal advice to members of the Company’s leadership team on all legal matters impacting the Company.  Coach, mentor and develop a team of legal professionals, leading them to meet Buckle’s expectations for productivity, quality and achievement.  Foster a spirit of teamwork and unity among the Legal and Corporate Administration team.  Provide leadership to the Human Resources and Loss Prevention teams.  Provide support for the Board of Directors on shareholder and corporate governance issues.  Identify and evaluate outside counsel to complement internal resources.  Manage dispute resolution proceedings between the Company and third parties with the assistance of outside counsel as needed.  Maintain ongoing communication with outside counsel to ensure adherence of legal matters.  Research and review new laws, regulations and policies that affect the Company and ensure compliance.  Collaborate with managers in other departments to complete special projects, or to develop processes for ensuring compliance with various legal requirements.  Maintain confidential communication. Appropriately communicate organization information through department meetings, one-on-one meetings, appropriate email, instant messaging and regular interpersonal communication.  Consciously create a workplace culture that emphasizes the mission, vision, guiding principles and values of the Company.  Fulfill mission statement by performing job duties with a high level of customer service while contributing to a positive team spirit.  Special projects and other duties as assigned.

Supervisory Responsibilities Directly manages Legal and Corporate Administration team and provides leadership to Loss Prevention and Human Resources teams. Responsible for the overall direction, coordination and evaluation of these teams. Carries out supervisory responsibilities in accordance with the organization's policies and applicable laws. Responsibilities include interviewing, hiring and training employees; planning, assigning and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.

Education and/or Experience  Juris Doctor degree required.  Minimum of ten years legal and experience required.  Must be licensed to practice law in the state of Nebraska, qualified to waive in or willing to sit for the Nebraska bar.  Relevant experience with a national retailer(s) is preferred.  Relevant experience with publicly traded companies is preferred.

Additional Qualifications  Extensive experience in analyzing, interpreting and applying state and federal regulations.  Proven demonstration of leadership capabilities.  Able to excel in a fast paced work environment.  Excellent organizational skills with the ability to prioritize and complete work in a timely manner.  Exhibit professional behavior and ability to promote positive working relationships.  Outstanding research skills.  Able to take a business-minded approach with legal knowledge to identify opportunities and consider all possible solutions.  High level of attention to detail, and exceptional written and oral communication skills.
