2017 Community Reinvestment Act (CRA) Update July 24, 2017 2017 CRA Update

A cornerstone to the Bank’s CRA and Fair Lending efforts is the further expansion of Community Development Lending Mortgage Loan Officers (CDL MLOs):

–CDL MLOs are mortgage specialists focused on the borrowing needs of homebuyers in low-to-moderate income and minority communities.

–As of June 30, 2017, there were a total of 27 CDL MLOs spread across 18 of the Bank’s markets.

–The Bank has further strengthened this initiative with the hiring of its first CDL Area Manager covering several key markets.

Further development of the Community Lending Department include the following key personnel additions:

–Experienced specialist in the establishment and coordination of relationships with key community groups focused on the needs of homebuyers in low-to-moderate income and minority communities.

–Experienced specialist in the development and execution of home-buyer education programs.

2017 Community Reinvestment Act (CRA) Update April 26, 2017 2017 CRA Update

As a result of the joint settlement agreement dated July 25, 2016, between BancorpSouth, the Consumer Financial Protection Bureau (CFPB), and the Department of Justice (DOJ), the Federal Deposit Insurance Corporation (FDIC) retroactively lowered the BancorpSouth CRA rating from Satisfactory to Needs To Improve. BancorpSouth has been and continues to be committed to a strong Compliance System (CMS) and meeting the needs of all the communities served within its Assessment Areas.

Since late 2012, the Bank has implemented various measures to enhance its compliance management systems, reduce its fair lending risk, and increase its lending in minority areas. These steps, some of which formalized practices that have been in place for many years, include, but are not limited to:

• Appointing a Chief Fair Lending Officer in 2014 with responsibility over the Bank’s fair lending compliance program;

• Appointing a Community Development Lending Manager in 2015 with responsibility over meeting the needs of homebuyers in low-to- moderate income and minority communities, and hiring 16 additional community development mortgage specialists beginning in 2015;

• Appointing a Chief Fair Lending Officer in 2014 with responsibility over the Bank’s fair lending compliance program;

• Introducing a low down-payment credit product in 2015;

• Monitoring pricing and underwriting outcomes on a quarterly basis, which the Bank has done since 2011; and

• Hiring a new , President, General Counsel, Mortgage Department President, and Chief Banking Officer and Director of Community Lending during the years 2012 to 2016.
