ORGANIZATION AND DESCRIPTION OF THE BUSINESS: (1) Parent company Doosan Corporation (the “Parent”) was incorporated on December 18, 1933, under the name of Sohwa-Kirin Beer, Ltd., to manufacture and sell beer. The Parent has changed its name to Dongyang Beer, Ltd., in February 1948, to OB Beer, Ltd., in February 1996 and to Doosan Corporation on September 1, 1998. The Parent is a business-type holding company and operates in the Republic of Korea. Since June 1973, the Parent’s shares have been listed in the Korea Exchange (formerly Korea Stock Exchange). After several capital issues, the Parent’s share capital as of December 31, 2012 is 132,778 million, including 26,984 million of preferred share.
