GENERAL TERMS AND CONDITIONS OF BUSINESS AND USE FOR CONNECTED RMI SERVICES FOR COMMERCIAL USERS

General information

Connected RMI Services allows independent providers (hereinafter referred to as ‘users’) to provide repair and maintenance services (hereinafter referred to as ‘services’) for BMW, and Rolls Royce vehicles, if the relevant vehicle owner (hereinafter referred to as ‘the customer’) so wishes. The following services can be provided for customers:

Service partner services: As service partners for a vehicle, users receive the following information from the vehicle:

• Teleservice Call Special sensors in the customer’s vehicle constantly check the wear behaviour and fluid levels. If maintenance work is required on the vehicle (and only in this case), all the relevant data for the automatic Teleservice Call is sent to you. • Teleservice Battery Guard The ‘Teleservice Battery Guard’ continuously monitors the customer vehicle’s battery level. Breakdown assistance: If the user is appointed as the breakdown assistance partner for a vehicle, the customer can contact the user directly from the vehicle if and when a breakdown occurs. All the relevant data about the vehicle status and the current position of the customer’s vehicle is immediately transferred to you, and a voice connection is established. Depending on the vehicle generation and the country the vehicle is in, users can request the required data with customer approval and retrieve it remotely. The user can also carry out approved control functions remotely, provided that this service is enabled for their country and the vehicle meets the necessary technical specifications. The BASE (BMW Assistant for Service Events) application is provided for performing the accident assistance and breakdown assistance services. Please refer to the application’s user manual for further information. This manual can be downloaded from and viewed in the BMW AOS portal on the BASE preview page.

Electronic service history: The user can view a customer’s electronic service history. This can be viewed using the KaSIO application. Customer approval through BMW CarData is not required for this. To view the electronic service history through the API, customer approval must be obtained by means of BMW CarData. Please refer to the application’s user manual for further information. The manual can be downloaded from and viewed in the BMW AOS portal on the KaSIO preview page.

Repair history: The user can view a customer’s repair history. This can be viewed using the KaSIO application. Customer approval through BMW CarData is not required for this. To view the repair history through the API, customer approval must be obtained by means of BMW CarData. Please refer to the application’s user manual for further information. The manual can be downloaded from and viewed in the BMW AOS portal on the KaSIO preview page.

The range of services offered may vary depending on what country the customer’s vehicle is being used in. In the first step, the user carries out the general setup and service setup (see Section 2). The user then carries out the vehicle allocation (see Section 3). 1. Conclusion and subject matter of the contract

1.1 Bayerische Motoren Werke Aktiengesellschaft, Petuelring 130, 80788 Munich, registered office and registry court: Munich HRB 42243 (hereinafter referred to as ‘BMW’) provides Connected RMI Services in accordance with these General Terms and Conditions of Business and Use (‘Conditions of Use’). A contractual relationship regulating the use of Connected RMI Services between BMW and the user shall exist as soon as the user has accepted these Conditions of Use.

1.2 According to the definition of an ‘independent economic operator’ by EU Regulation 2018/858, the offer for using Connected RMI Services is aimed exclusively at entrepreneurs who are directly or indirectly involved in vehicle maintenance and repair.

1.3 The subject matter of the contract is the provision of vehicle-specific data using the aforementioned AOS applications or the API, which enable the user to provide the service in question. The data is transferred from BMW, MINI and Rolls Royce vehicles to BMW in the context of using BMW ConnectedDrive, MINI Connected or Rolls Royce Connect services.

2. Connected RMI Services – general setup and service setup

The general setup and service setup can be performed using the ‘Connected RMI Services Administration’ AOS application and using ‘BMW CarData’. The first step is to perform the general setup. This is absolutely essential for subsequently carrying out the setup for the desired service. In the Connected RMI Service Administration, the general setup can be found under the ‘General Setup’ menu item, and under ‘Account Settings’ in BMW CarData. The service setup can then be completed in Connected RMI Services Administration or BMW CarData.

2.5 The user is responsible for the accuracy of the contact details and other information provided.

2.6 A regular landline or mobile phone connection or a connection that can be reached free of charge must be stored for the services with a voice connection. All special phone numbers, and phone numbers with call rates that exceed a regular landline or mobile phone connection, may not be stored for the purpose of forwarding the voice call from the vehicle. In addition, non-speech-based interactive dialogue systems cannot be used, because there is no keypad in the vehicle for entering numbers.

2.7 The data provided by the user is used for forwarding to the customer, or for providing the customer with services. The data provided can also be viewed by BMW if and when support is provided.

3. Connected RMI Services: allocating vehicles

3.1 The user can allocate vehicles after BMW has released the service setup. Allocation is performed individually for each service. The customer’s vehicle’s 17-digit vehicle identification number is required for this purpose. The user can perform vehicle allocation within the Connected RMI Services Administration or using the API. The API provides an interface that the user can use for this purpose. The user must perform the technical configuration (generate an API key) in BMW CarData first of all for this purpose. Vehicles can only be allocated using the API for the ‘electronic service history’ and ‘repair history’ services.

3.2 The user is only permitted to allocate a vehicle and thereby send a request for service permissions to the customer if the customer in question has been consulted in advance and has expressly agreed to the same. 4.2 The Connected RMI Services Administration, the API or the web service for push notifications may be disrupted or rendered temporarily unavailable due to force majeure (including strikes, lockouts and governmental orders, or due to short-term capacity shortages caused by peak loads or disruptions in third-party telecommunications equipment). The web service is used to receive event notifications that Connected RMI Services send to the user in certain cases. Technical information about this can be found in the Connected RMI Services Integration Guide. Furthermore, faults may also occur due to technical or other measures on BMW’s or network operators’ systems that are necessary for properly operating or improving the Connected RMI Services Administration. BMW shall take all reasonable steps to repair such faults or to contribute to their removal.

5. Payment conditions and prices

5.1 The applications and the API are provided free of charge.

5.2 The user is charged for performing the service setup. An initial setup fee is charged per service setup. For further information, please refer to the price list available for download on the Connected RMI Services Administration preview page. The price list is also stored within Connected RMI Services Administration and BMW CarData under ‘Prices’.

5.3 Fixed prices are charged per provision or connection for providing vehicle data and voice connections. Further information can be found in the price list.

5.4 The BMW Group reserves the right to adjust its prices at its fair discretion (Section 315 of the German Civil Code) and within reasonable limits as and when required, especially as a result of increasing operating costs for the provision of Connected RMI Services and the various Connected RMI Services functions. BMW shall inform the user of any price changes at least six weeks before they become Company Bayerische effective. 6. Using the information provided and security

6.1 The user is solely responsible for the lawfulness of further processing, as well as for the security of the vehicle data and voice connections transferred to the user based on a customer’s approval.

6.2 BMW reserves the right to block the user’s access in the event that any illegal or improper use of Connected RMI Services should come to its attention, as well as to terminate the contract with immediate effect. This revokes all associated active service permissions for all of the user’s customers. Improper use shall particularly be deemed to exist in the event of technical misuse of the Connected RMI Services Administration or the API, and in the event that vehicle data and voice connections provided by the user are used in a way that does not correspond to the purpose for which the customer granted the service permissions.

7. Using BMW trademarks, logos and word marks

The user is prohibited from using BMW trademarks, logos and word marks, except when this is permitted by law or when it was explicitly approved in writing by BMW. Following successful registration for Connected RMI Services, the user is permitted to refer to the use of Connected RMI Services in text form on their website or in user documents. However, under no circumstances may they describe the use of Connected RMI Services as ‘cooperation with BMW’, ‘a partnership with BMW’, ‘powered by BMW’ or in any other way that indicates a joint activity.

8. Term of the contractual relationship

compliance with which the customer regularly relies or may relay. Such liability is limited to the typical damage that is foreseeable at the time the contract is concluded.

9.3 The personal liability of BMW’s legal representatives, vicarious agents and employees for any damage resulting from their slight negligence is also limited to the extent described in the previous paragraph.

9.4 BMW’s liability in the event of fraudulent concealment of a defect, resulting from the assumption of a guarantee or a procurement risk and in terms of the German Product Liability Act, remains unaffected. Liability restrictions do not apply in the event of intent, gross negligence, death, physical injury or harm to health.

10. Data security

Data transfer in the context of Connected RMI Services always takes place in encrypted form and by TLS protocol (Transport Layer Security protocol).

11. Right to make modifications

11.1 BMW reserves the right to modify the scope of services of Connected RMI Services, insofar as the user can be expected to accept such a modification in relation to the overall scope. The user shall be informed in advance of any further modification to the scope of services by Connected RMI Services.

11.2 BMW reserves the right to implement modifications or amendments to these Conditions of Use at any time where this appears to be necessary and where this does not put the user at a disadvantage in bad
