On December 14, 2016, pursuant to the terms of the Merger Agreement, Merger Sub merged with and into Virgin America (the “Merger”), with Virgin America surviving the Merger as a direct wholly owned subsidiary of Air Group. At the effective time of the Merger (the “Effective Time”), each share of voting common stock of Virgin America (the “Voting Common Stock”) and each share of non-voting common stock of Virgin America (the “Non-Voting Common Stock” and, together with the Voting Common Stock, the “Virgin America Common Stock”, and shares of Virgin America Common Stock are hereinafter referred to as the “Shares”) issued and outstanding immediately prior to the Effective Time (other than Shares held by Virgin America, or Air Group or its subsidiaries, including Merger Sub) were converted into a right to receive $57.00 per share in cash, without interest (the “Merger Consideration”). The Shares will no longer be listed on the NASDAQ Global Select Market. Immediately prior to the Effective Time: (i) each unexpired and unexercised option to purchase Shares (“Option”), whether or not then exercisable or vested, vested and was canceled and, in exchange therefor, each holder of any such Option became entitled to receive an amount in cash equal to the product of (A) the total number of Shares subject to such Option and (B) the excess, if any, of the Merger Consideration over the exercise price per Share of such Option; (ii) each outstanding award of Virgin America restricted stock units vested, became free of any restrictions and was canceled in exchange for the right to receive a cash payment equal to the Merger Consideration for each unit subject to the award; and (iii) each outstanding award of Virgin America Common Stock that was subject to restrictions based on performance or continuing service (the “RSAs”) vested (treating for this purpose any performance-based vesting condition to which such RSA is subject as having been attained at “maximum” level), became free of any restrictions and was converted into the right to receive payment of the Merger Consideration. In each case, such payments were made without interest and subject to deduction for any required tax withholdings. The aggregate consideration paid to stockholders and other equity holders of Virgin America by Air Group to acquire Virgin America was approximately $2.6 billion, without giving effect to related transaction fees and expenses. Air Group funded the Merger with cash on hand and approximately $2 billion of secured debt financing provided by multiple lenders. Approximately $1.6 billion of the loans are secured by a total of 56 of Air Group's aircraft, including 37 B737-900ER aircraft and 19 737-800 aircraft. The remainder is secured by Air Group's interest in certain aircraft purchase agreements. Upon the closing of the Merger, the former senior vice president and chief financial officer of Virgin America, Peter Hunt, assumed the role of president and chief operating officer of the surviving wholly owned subsidiary of Air Group. The description of the Merger contained in this Item 2.01 does not purport to be complete and is qualified in its entirety by reference to the Merger Agreement, which was attached as Exhibit 2.1 to Air Group's Current Report on Form 8-K filed on April 4, 2016 and is incorporated herein by reference. (NYSE: ALK) today announced it has closed its acquisition of Virgin America (NASDAQ: VA). The definitive merger agreement, which was signed in April and approved by Virgin America shareholders in July, brings together two of the country’s favorite airlines into a unified force that will provide an attractive alternative to the “Big 4” airlines that currently control 84 percent of the domestic market. Alaska Airlines and Virgin America will spend the next year working to secure Federal Aviation Administration (FAA) certification to allow the two airlines to operate as a single carrier (with regional sister carrier Horizon Air remaining on its own separate operating certificate). “Alaska Airlines and Virgin America are different airlines, but we believe different works – and we’re confident fliers will agree,” said Brad Tilden, CEO of Alaska Air Group. “Together, we’ll offer more flights, with low fares, more rewards and more for customers to love, as we continue to offer a distinctive travel experience. The two airlines may look different, but our core customer and employee focus is very much the same.” Today, Alaska Air Group boasts nearly 1,200 daily flights to 118 destinations, the most seats on flights from the West Coast and more than $7 billion annual revenues. Can it be possible that it was 50 years ago this September that this aircraft made its first public appearance? This plane had its origins in 1964, when Boeing began work on a proposal for the C-5A large military airlifter contract, and after Lockheed won that contest, Boeing considered a commercial passenger version as a means of salvaging the program. Urged on by Pan Am president Juan Trippe, Boeing in 1965 assigned a team headed by Chief Engineer Joe Sutter to design a large new airliner, although Boeing at the time was really more focused on its supersonic transport (SST) program. A launch customer order from Pan Am on April 13, 1966 for twenty five aircraft pushed Sutter's program into high gear, and in a truly herculian effort, Joe Sutter and his Boeing team, dubbed “The Incredibles,” brought the program from inception on paper to the public unveiling of a finished aircraft in the then unheard of time of 29 months. Pacific Air Lines was a regional airline serving the Southwest Airways (1941–1958) West Coast of the United States that began operations in the 1940s under the name Southwest Pacific Air Lines (1958–1968) Airways. The company operated as a feeder airline, linking smaller communities primarily in California and Oregon with major cities such as Los Angeles and San Francisco. Founded largely with money from wealthy investors from the Hollywood motion picture industry, the airline was noted for employing cost-saving operational procedures and safety practices that were innovative [2] for the time.
