It hosts a variety of trade exhibitions and conventions for its diverse end-clientele comprising varied industrial and commercial entities. Given its strategic location and lack of any major competition for indoor exhibition halls in Chennai, it remains a key business exhibition venue in Tamil Nadu. Further, the rating takes comfort from TNTPO’s financial profile characterised by healthy capital structure, profitability and liquidity profile. Its profitability is healthy and is driven by gradually increasing scale and capacity utilisation amidst subdued cost levels. ICRA notes the company’s strategic importance to the Government of India/ Tamil Nadu as an organisation for promoting trade and its promoters comprising India Trade Promotion Organisation (ITPO) (51% shareholding), a Government of India enterprise and Tamil Nadu Industrial Development Corporation (TIDCO) (49% shareholding), a Government of Tamil Nadu enterprise. TNTPO’s rating, however, is constrained by its small scale of operations with revenue of Rs. 44.1 crore in FY2019 and its high geographical concentration with operations limited to Chennai. Given, its geographical limitation, scaling up of its revenue is highly dependent on economic activity in Tamil Nadu and is vulnerable to cyclicality in business environment. ICRA notes that the company is planning for brownfield expansion with project cost likely to be around Rs. 300-320 crore and the same is in the nascent stages. Its financial profile, especially liquidity, is exposed to project-related risks and any significant cost escalation, delay in funding tie-up or time overrun may affect its liquidity profile. Nonetheless, given the expected improvement in scale, the company’s debt protection metrics is likely to be comfortable going forward. ICRA notes that there could be fund-outflow on account of the ongoing income tax dispute. Nonetheless the same may not have any major impact on its liquidity profile. The Stable outlook on the [ICRA]A rating reflects ICRA’s opinion that TNTPO will continue to leverage its strong operational profile resulting in healthy profitability and debt protection metrics, going forward. Key rating drivers and their description Credit strengths Strong operational profile characterised by established position of exhibition and convention centre in Chennai – TNTPO’s facility under the name of Chennai Trade Centre is located in Nandambakkam, Chennai, spanning over an area of 25.48 acres (now expanded to 34.61 acres) of land located in a well-connected area with proximity to the Chennai airport and railway station. It is a well-established player in the exhibition hall market in India and enjoys a dominant market position in Chennai in the closed exhibition space segment. TNTPO’s operational income (OI) is generated mainly through its exhibition halls and convention centre with the exhibition halls accounting for 83% and convention centre contributing to 16% of total operational income in FY2019. 1 Diversified and established client base – Generally TNTPO’s clients its facilities through event management firms. The revenue contribution by the top 10 customers have consistently been less than 55% of the total operating revenue from FY2016 till date and in FY2019, the top 10 customers contributed only to 39% of the total operating revenue. It hosts a variety of prominent trade exhibitions such as India International Leather Fair, Medicall, ACMEE, N-Printech and Packtech Expo and Tyrexpo. Promoter profile comprises public sector entities – TNTPO’s promoters are public sector entities - ITPO, a Government of India enterprise with 51% shareholding as a major stakeholder and TIDCO, a Government of Tamil Nadu Enterprise with 49% shareholding as the minority stakeholder. Both the parent entities provide support to TNTPO in various financial and operational aspects. The promoters have helped it to reach its current state, through assignment of government grants for development of its facilities, land allocation for its facilities in a prime location in Chennai (25.48 acres of land is leased till FY2033 at a nominal cost of Rs. 1 crore p.a and incremental land cost for the additional 9.13 acres is likely to be at similar level). Furthermore, ITPO manages Pragati Maidan, one of India’s largest exhibition centres, which allows TNTPO to leverage ITPO’s expertise in the industry. Steady revenue growth and healthy operating margin – TNTPO’s financial profile is strong with the entity having steady revenue growth and maintaining strong OPBDITA margins. It achieved an OI of Rs. 44.1 crore in FY2019 (up by 20% YoY) and the revenue had grown at a CAGR of 8.8% during the last four years. The steady growth in revenue is expected to continue, aided by the current capacity expansion plans of TNTPO. Its operating margins remained healthy at 58.1% in FY2019 and 65.3% in FY2018 and the same is expected to remain stable going forward. Adequate debt protection metrics and liquidity position – TNTPO is expected to achieve moderate revenue growth and is likely to sustain its level of profitability in the future. Considering the same and its expected annual debt repayment of Rs. 14.9 crore for the proposed term loan of Rs. 149 crore, ICRA expects the company’s debt protection metrics to remain adequate over the repayment period of the proposed term loan. Further, at present, TNTPO has healthy liquidity position with cash balances standing at Rs. 171.5 crore as on March 31, 2019, of which Rs. 131.0 crore will be utilised for funding the expansion. Credit challenges Modest scale of operations and high geographical concentration – TNTPO’s scale of operations is modest and it reported revenues of Rs. 44.1 crore in FY2019 against Rs. 36.9 crore in FY2018. Moreover, its facilities being in Chennai, the long-term revenue growth of the facility is tied up with the economic activities in Chennai and Tamil Nadu. Its revenue also remains vulnerable to cyclicality in business and economic environment. Nonetheless, ICRA expects the company to continue to scale up its operations in the long-term, post completion of the new facility, on account of expected inflow of new customers, who prefer larger venues. Project risk for proposed brownfield expansion – TNTPO’s expansion project is in the initial stage with tenders for construction and term loan funding tie-up yet to be completed. Any change in scope of the project or delay in receiving approval/ awarding contracts/funding tie-up may result in cost escalation and may pose risk to the company’s liquidity profile. Nonetheless, its current healthy, available cash balances is expected to mitigate this risk to a large extent. Capacity utilisation of facilities post expansion – TNTPO’s expansion plan proposes to increase the exhibition area to 18,957 sq. metres from 10,560 sq. metres and the convention centre seating capacity to 3,250 seats from 2,000 seats. The expansion results in almost doubling of the exhibition area and more than doubling of the seating capacity. The extant of scaling up of operations post the completion of project are yet to be seen. Nonetheless, considering that the new installed capacity can attract bigger international/ national level exhibition, higher revenue growth is expected at least during the initial period (post commencement of the proposed project). Income tax dispute – Income tax exemption enjoyed by TNTPO was withdrawn from FY2009 and Income tax demands were raised for FY2009 to FY2014 and its financial are under audit assessment for subsequent years. With a major portion of the demands paid by TNTPO under protest, the issue is currently under legal dispute. In case of an 2 unfavourable outcome to TNTPO, there is bound to be cash outflow, which the management expects to be in the tune of Rs. 20-30 crore. Given the cash balances held by TNTPO and the fact that ITPO had a favourable ruling in 2015 on a similar lawsuit, the risk on the company’s financial profile/liquidity position on account of the dispute is moderate. Liquidity position: Adequate The company’s liquidity position is adequate on back of its healthy cash balances available and nil external borrowing as on March 31, 2019. Going forward, despite the proposed brownfield expansion, its liquidity profile will likely remain adequate as the proposed projects will be funded by external borrowing. Owing to this, it would have considerable unutilised cash and bank balances. However, any major cost overrun in the proposed project (current cost estimate of around Rs. 300-320 crore) may affect its liquidity profile in the medium-term. Rating sensitivities Positive triggers – ICRA could upgrade TNTPO’s rating if it demonstrates healthy progress in project completion, while keeping cost under control and maintaining its strong liquidity position. Negative triggers – Negative pressure on TNTPO’s ratings could arise if its liquidity profile weakens on account of significantly higher-than-expected project cost (at present estimated at around Rs. 300-320 crore) or any prolonged delay in funding
