Th e R. A. Young Recreation Center is over 20 years old. The Kitchen area is in need of some minor remodeling. Cabinet doors along with hardware need to be rep laced. In ad dition, the kitchen counter tops also need to be replaced. I am requesting that the Parks & Recreation Department be authorized to prepare specifications and to direct the Comptroller to go out for bids per the City's established bid procedures. Funds are available for this project in a facil ity improvement account for the R.A. Young Recreation Ce nter. Your concurrence would be appreciated.

Dear Council Members:

For the last eighteen months, I have been working with Enterprise Fleet Management on a proposal which should result in significant savings to the City as well as provide us with a reliable, current model fleet. To see if this proposal will work, I am proposing a test using the Ordinance Department and the Director's in the Recreation Department.

Traditionally, cities purchase vehicles and keep them in the fleet until they need $5,000 or more in repairs and then sell them for $200. This results in huge maintenance costs and vehicles which are very fuel inefficient and unreliable. In addition, vehicles are not being matched with their intended use. The Enterprise Fleet Management system purchases vehicles using governmental discount pricing from the manufacturer and leases the vehicle to the government entity. In essence, the City only pays for the value of the vehicle it uses. Since the vehicles get changed out often, the fleet is always current and reliable. This will result in us eliminating the vehicle repair and maintenance portion of the budget. Also, it will result in a significant gas savings since the fleet would use small engine Escapes versus old inefficient Crown Victoria Police Interceptors with V -8 motors.

I am proposing we enter into an Equity Lease Agreement with Enterprise Fleet Management for nine (9) vehicles and sell vehicles currently in the City's fleet and use the proceeds to pay for the first few months of the lease. This would result in no budget adjustment for fiscal year 2016-17.

If the City Council would like to meet with Mr. Jason Weiss to discuss the proposal, he would be available on Tuesday, January 17, 2017 to meet at a Committee of the Whole Meeting.

Neighborhood Description

All different types of style of houses are located in this neighborhood. Much of the neighborhood is within a FEMA flood zone as the Ecorse Creek (sometimes called a drain or river) overflows. The neighborhood also has been affected by the "Great Recession· and is still struggling with many foreclosed properties and many rentals that were formally occupied by owners.

Comments on Sales Comparison From the exterior viewing of the comparables I can usually determine the condition of the roofs, windows and concrete. The MLS/RCO data usually has some rear photos as well as multiple interior photos to help in determining condition ranking. Ranking for condition does not have not much latitude such as + or -. so a C3 ranking usually means that the kitchen has been substantially remodeled as well as the above ground bathrooms. Many below grade finishes do not contribute as much as they cost, whereas many times baths and kitchens contribute much more. Therefore, the int.or ext.update/remod fields help refine the condition ranking. A minimum of three databases were referenced for data criteria and verification as well as sometimes a call to the Realtor or to the homeowner if they might be outside as I am taking the photo .. Corrections were made to the MLS Realtor's data.

Comparable 1 has a remodeled kitchen with granite tops and ceramic tile floor. 1/2 bath has ceramic tile floor, full bathroom is original. hardwood fl oors, patiO off the back and the basement Is finished with a bathroom, carpel, drywall and drop ceiling Is in flood zone code X500 thai Indicates undetermined .

Comparable 2 is completely remodeled and updated with a remodeled kitchen. remodeled bathrooms, a deck and patio. The basement is fin ished with a bathroom. This comparable Is in flood zone code X.

Comparable 3 Was built in 2000 with market accepted finishes in the kitchen and bathrooms which are from the time that the house was built. These finishes are comparable with a remodeled and updated major rooms. Kitchen has hardwood floor and laminate tops. Bathrooms have ceramic tile floor, basement is finished with carpet, drywall, a kitchen and a bathroom. Is in flood zone code AE that indicates 100 year floodplain.

Comments and Adjustments: The comparable are much more remodeled and updated than the subject and condition ranking higher than the subject's C4 w hich indicates minimum remodeling and updating. The adjustment in made In the condition field.

Although market conditions have gotten better there Is no adjustment for the subject's location.

The larg e adjustment for flood zone difference from the subject and the condition ranking. But there were no other good sales. Com parables 2 & 3 are given the most weight as they are more recent sales.

I would ask that your honorable body award the quote to McMillan Group, Inc. in the amount of $15,800 and approve the contract between the City and McMillan Group, Inc. reviewed by Assistant Corporation Counsel Harry Kalogerakos with McMillan Group, Inc. to have the structures demolished and brought back to grade by January 31, 2017.

Quoter Representations

1.1 By making this Quote, the Quoter represents that he has read and acknowledges contents of Quote Package and understands the Quoting Documents and this Quote is made in accordance therewith.

Quoting Documents

1.2 Quoters shall use complete sets of Quoting Documents in preparing Quotes; neither the City of Dearborn Heights assume any responsibility for errors, omissions or misinterpretations resulting from the use of partial sets of Quoting Documents.

1.3 The City of Dearborn Heights making copies ofthe Quoting Documents available on the above terms do so only for the purpose of obtaining Quotes on demolition, and does not confer a license or grant for any other use.

1.4 Quoter shall notify the City of Dearborn Heights of all ambiguities, inconsistencies, or errors, which they may discover upon examination of the Quoting Documents or of the site and local conditions.

1.5 Any interpretations, corrections, or changes of the Quoting Documents shall be made by Addendum and Quote Memorandum. Interpretations, corrections, or changes of the Quoting Documents made by any other manner will not be binding and Quoters shall not rely upon such interpretations, corrections and changes.

1.6 Addenda and a Quote Memorandum will be sent to all who are known by the City of Dearborn Heights to have a complete set of Quoting Documents.

1. 7 All Quotes shall be submitted in duplicate on the forms included with the Quoting Documents.

1.8 All Blanks on the Quote form shall be filled in by typewriter or manually in ink.

1.9 Where so indicated by the makeup of the Quote form, sums shall be expressed in both words and figures, and in case of discrepancy between the two, the amount written in words shall govern.

1.1 0 All interlineations, alterations or erasures shall be initialed by the signer of the Quote.

1. 11 Each Copy ofthe Quote shall include the legal name of the Quoter and a statement that the Quoter is a sole proprietor, a partnership, a corporation or some other legal entity. Each copy shall be signed by person legally authorized to bind the Quoter to a contract.

A Quote submitted by an agent shall have a current power of attorney attached certifying the agent's authority to bind the Quoter to a contract. 1.12 Quotes received shall abide by all documents that have been prepared for the purpose of Quoting.

1.13 Quotes will only be accepted on the full scope of work outlined by this Quote package.

1.14 A Quote may not be modified, withdrawn or cancelled by the Quoter after the stipulated time period and date designated for receipt of Quotes, and each Quoter, and each Quater so agrees in submitting his Quote.

1.15 Quotes are due on Wednesday, December 28,2016 at 2:00pm at the City Comptroller's Office, Dearborn Heights, M148127. Quotes must be marked "HMGP Demolition" on outside of Quote package.

General Conditions

1.16 Questions are to be directed to Krystina Laslo at 313-791-3490 or [email protected]. For the purposes of this "DEMOLITION QUOTE PACKAGE", a person or entity submitting a "Quote" or bid is a "Quoter". Also, a "Quater" selected to perform the work by the City of Dearborn Heights is the "Contractor". Questions must be submitted no later than December 21, 2016.

1.17 No quote shall be accepted from, or contract awarded to any person, firm or corporation that is in arrears or is in default to the City of Dearborn Heights upon any debt or contract, or that is in default as surety or otherwise, or failed to perform faithfully any previous contract with the City of Dearborn Heights.

1.18 No quote will be allowed to be withdrawn after it has been deposited with the City of Dearborn Heights, except as provided by law.

1.19 All costs incurred in the preparation and presentation of this quote in any way whatsoever shall be wholly absorbed by the Quoter. All supporting documentation shall become the property of the City ofDearborn Heights, unless requested otherwise at the time of submission. Michigan FOIA requires the disclosure, upon request, of all public records that are not exempt from disclosure under Section 13 of the Act, which are subject to disclosure under the Act; therefore, confidentiality of information submitted in response to this Request For Quotes is not assured.

PAGE40F33 1.20 The City of Dearborn Heights reserves the right to reject any and all quotes, to waive any informality in the quote received and to accept any quote or part thereof, which it shall deem to be most favorable to the interests of the City of Dearborn Heights.

1.2 1 Any deviation from the scope of work must be noted in the quote.

1.22 Contractor shall take all necessary measures to prevent damage to the serviced property and other areas adjacent to work completed. Should damage occur as a result of the Contractor's work, the Contractor is responsible for the repair and/or replacement of the daiUaged area; otherwise, the City ofDearborn Heights shall repair and/or replace the damage area and charge the Contractor, or deduct the amount from the Contractor's invoice.

1.23 Any and all Contractors and subcontractors will be held responsible for the safety of their employees and any unsafe acts or conditions that may cause injury or damage to any persons or property within and around the work site area under any contract resulting from acceptance of any quote.

1.24 Any and all Contractors and subcontractors performing services for the City are required and will comply with all Occupational, Safety, and Health Administration (OSHA), State and City Safety and Occupational Health Standards and any other applicable rules and regulations.

1.25 Either party may, at any time during the life of any contract resulting from the acceptance of any Quote, terminate the contract by giving thirty (30) days written notice to the other party of its intention to terminate the contract and an opportunity for consultation prior to termination. In the event of a termination, the City of Dearborn Heights obligation shall only be to reimburse the Contractor for services actually rendered up to the point of notification of termination.

1.26 Prices shall be stated in units of quantity specified in the Quote Form in Appendix A. In case of a discrepancy in computing the amounts of the quote, the unit price proposed will govern.

1.27 Quoters are cautioned that any alternate quote, unless requested by the City of Dearborn Heights or any changes, insertions or omissions to the terms and conditions, or any other requirements for this Request for Quotes, may be considered non-responsive, and at the opinion of the City of Dearborn Heights, may result in rejection of the quote.

1.28 In case of error by the Quoter relating to a contract, the City of Dearborn Heights may, by discretion, upon presentation of a written explanation by the Quoter, substantiating the error, reject the contract and award to the next qualified Quoter, such error may be subject to default conditions.

PAGE 50F33 1.29 The City of Dearborn Heights reserves the right to split or abstract any or all quotes and award multiple contracts from the same quotation, based on price, availability and service when in its judgment it best serves the City of Dearborn Heights.

1.30 Quotes to receive consideration shall be received prior to the specified time of opening as designated within this quote package. No late quotes will be accepted. The City of Dearborn Heights reserves the right to postpone the due date for its own convenience. Contractors are requested to complete the furnished Quote Form as no other may be accepted. Quotes are considered received when in the possession of the City of Dearborn Heights. Quotes shall be sealed when submitted.

1.31 The City of Dearborn Heights is exempt from all sales, excise and transportation taxes.

1.32 The selected Contractor shall comply with all Federal, State and local laws, ordinances, policies and regulations required for this project.

1.33 No faxed quotes will be accepted. All information requested herein shall be submitted with the quote; failure to do so may result in rejection of the quote as non-responsive and/or incomplete.

1.34 All quotes shall be in accordance with the Purchasing Ordinances of the City of Dearborn Heights and the requirements of this notice to be deemed "responsive." Quoters assume the risk for the method of delivery chosen. The City assumes no responsibility for delays caused by delivery.

1.35 Acceptance of a quote and approval of the award of a contract shall not constitute a formed contract and the acceptance of a quote and award of a contract shall be contingent and conditioned upon the parties' entry into and execution of a written agreement acceptable to the City of Dearborn Heights.

1.36 The City of Dearborn Heights reserves the right to negotiate separately with any Quater when such action is considered in its best interest. Subsequent negotiations may be conducted, but such negotiations will not constitute acceptance, rejection or a counter­ offer on the part of the City ofDearborn Heights.

1.37 It shall be the Quater's responsibility to make inquiry as to the changes or addenda issued. All such changes or addenda shall become a part of the contract and all Quoters shall be bound by such changes or addenda.

1.38 The City ofDearbom Heights reserves the right to waive any informalities, or immaterial omissions or defects not involving price, time or changes in the work and to reject any or all quotes, if to do so is deemed in the best interest of the City ofDearborn Heights . In no event will an award be made until all necessary investigations are made as to the responsibility and qualifications of the Quater to whom it is proposed to make such award. Any contract awarded to a person or company who is discovered to have been in

All quantities stated, unless indicated otherwise are estimates and the City of Dearborn Heights reserves the right to increase or decrease the quantity at the unit price proposed as best fits its needs.

1.39 The Contractor shall be required to perform and complete the proposed work in a thorough and workmanlike manner and to furnish all necessary labor, tools, equipment, material and supplies, except as may otherwise be specified as "furnished by the City of Dearborn Heights."

1.40 The Contractor shall not subcontract any or all portions of the work unless the City of Dearborn Heights grants prior written approval. Any Contractor, as approved, shall be bound by the terms and conditions of any contract resulting from acceptance of any Quote. All work shall meet with the approval of the City ofDearbom Heights as confirming to the provisions and requirements of any contract resulting from acceptance of any Quote.

1.41 All items in this quote package must be completed with a response. Quoters not responding to any of the specifications or questions may be classified as unresponsive. The response must follow the format outlined in this quote package. Supplemental information may be attached.

1.42 The Contractor shall coordinate his/her work with others performing work within the common or adjoining areas so as to avoid conflicts in maintaining traffic operations or hindering the orderly progress of the other contract work.

1.43 If the awarded Contractor should neglect to perform the work properly or fail to perform any provision of any contract resulting from acceptance of any Quote, the City of Dearborn Heights, ten (10) days after providing written notice to the Contractor may without prejudice to any other remedy, make good such deficiencies and may deduct the cost thereof from the payment due to the Contractor plus twenty (20%) percent for failure to perform.

1.44 Should the awarded Contractor abandon this project or if they should be adjudged bankrupt or if their performance of any contract resulting from acceptance of any Quote is unnecessarily or unreasonably delayed; or if they should make a general assignment for the benefit of their creditors or if a receiver should be appointed on account of their insolvency or if they should persistently or repeatedly fail to fulfill portions of the contract requirements, the City of Dearborn Heights shall have the right to cancel the contract with ten (10) days written notice.

PAGE 8 Of"3"3 1.52 After the Quotes are received, tabulated and evaluated by City of Dearborn Heights, the apparent low Quoter may meet with City of Dearborn Heights for the purposes of determining any contract overlaps or omissions.

Discrimination Prohibited Any and all Contractors agree to be bound by the following requirements. The Contractor shall not discriminate against any employee or applicant for employment with respect to hire, tenure, terms, condition or privileges of employment on a matter directly or indirectly related to employment, because of race, color, religion, national origin, age, sex, height, weight, or marital status pursuant to the Elliot Larsen Civil Rights Act, 1976, P.A. 453. The Contractor shall also comply with the provisions of the Michigan Handicappers Civil Rights Act, 1976, P.A. 220 and the Federal Rehabilitation Act of 1973, P.A. 93-112, 87 Stat. 394, which require that no employee or client or otherwise qualified handicapped individual shall, solely by reason of his/her handicap, be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal Assistance. No person shall, on the grounds of race, creed, color, sex, age, national origin, height, weight, handicap, or marital status be excluded from participation in, be denied the proceeds of, or be subject to discrimination in the performance of any contract resulting from acceptance of any Quote. None of the funds, materials, property or services under any contract resulting from acceptance from any Quote shall be used in the performance of this agreement for any partisan political activity, including lobbying, as specified in Federal Circular A-122 Cost Principles for Nonprofit Organizations -lobbying revisions, or to further the election, defeat, recall, impeachment, appointment or dismissal of any candidate for or from any public office.

The above general requirements shall be incorporated into any contract resulting from acceptance of any Quote. The contract shall be binding on the parties thereto and their respective successors or assigns.

The following terms and conditions shall be incorporated into any contract resulting from the acceptance of any Quote:

THE RIGHTS AND RESPONSIBILITIES OF THE CITY OF DEARBORN HEIGHTS

2.1 ACCESS TO THE WORK City of Dearborn Heights representatives shall have access at all times to the work for purposes of inspection, whenever said work is in preparation or progress; and the Contractor shall provide proper facilities for such access.

2.2 CHANGE City of Dearborn Heights without invalidating the Contract may order the Contractor do additional work or make changes by altering, adding to, or deducting from the work via written Change order signed by an authorized representative only.

2.3 DO WORK OR TERMINATE City of Dearborn Heights may, after ten 10 days written send a notice to the Contractor, take over completion of the job or terminate the Contractor's employment if the Contractor fails or refuses to furnish sufficient materials and/or workman to execute the work properly; if the Contractor shall be adjudged bankrupt; if the Contractor should make a general assignment for the benefit ofhis creditor; if the Contractor should be appointed on account of the Contractor's insolvency; if the Contractor should fail to make prompt payments to subcontractors; if the Contractors should persistently disregard laws, ordinances or instructions of the City of Dearborn Heights or if the Contractor substantially violates any provision of the Contract.

2.4 WITHHOLDING PAYMENT Payments due may be withheld because of defective work not remedied, liens filed, damage by the Contractor to others which have not been adjusted, or the Contractor's failure to make payment properly to subcontractor.

THE RIGHTS AND RESPONSIBILITIES OF THE CONTRACTORS:

2.5 ACCESS TO WORK The Contractor shall permit and facilitate observation of the work by his/her agents and public authorities at all times.

2.7 CLEAN-UP

PAGE 11 OF33 The Contractor and each subcontractor shall at all times keep the premises free from the accumulation of waste material or rubbish caused by his employees or work; and at the completion of work, he shall remove all debris from the work site, as well as all equipment.

2.8 EXAMINATION OF PREMISES The Contractor shall examine site before submitting Quote, compare the specifications with any work in place, and inform himself of all conditions, including other work, if any being performed. Failure to visit site will in no way relieve the successful Contractor from the necessity of furnishing materials or performing work that may be required to complete work in accordance with the specifications required within this document.

2.9 GUARANTEE Neither the final certificate nor payment nor any provision in the Contract Document shall relieve the Contractor's responsibility for faulty materials or workmanship. Guarantee: The Contractor shall be responsible for all work under this contract and shall leave all systems in perfect operating condition. The Contractor shall regulate, replace, and/or repair at his own expense any defective workmanship, material, and/or equipment which may become apparent within one year after date of final acceptance of the work.

2.10 INSURANCE The Contractor shall not commence work under this contract until he has obtained all insurance required under this paragraph, with such insurance having been approved by the City of Dearborn Heights; nor shall the Contractor allow any subcontractor to begin work on his subcontractor until appropriate insurance of the subcontractor has been obtained and approved by the City ofDearbom Heights.

2.11 WORKMAN'S COMPENSATION INSURANCE The Contractor shall procure and shall maintain during the life of this contract insurance for all of his employees who will be engaged in work on the project under this contract, and in case of any such work sublet, the Contractor shall require each subcontractor similarly to provide insurance for all of that subcontractor's employees who will be engaged in such work.

2.12 CONTRACTOR'S PUBLIC LIABILITY AND PROPERTY DAMAGE INSURANCE The Contractor shall produce and shall maintain during the life of this contract Liability Insurance in an amount not less than $1,000,000 per person and $2,000,000 per occurrence. Contractor shall also provide a 100% performance bond at time of contract award. The City of Dearborn Heights shall be named as an additional insured. The Certificate of Insurance shall provide a 30-day notice of cancellation.

2.13 CONTRACTOR'S INSURANCE Contractor's insurance shall include indemnification of City of Dearborn Heights as required in Paragraph 2.15 below.

PAGE 120F 33 2.14 SUBCONTRACTOR'S PUBLIC LIABILITY AND PROPERTY DAMAGE INSURANCE The Contractor shall require each of his subcontractors to procure and to maintain, during the life of his contract, subcontractor's Insurance of the type specified in Paragraph 2.1 2 above, in the amount approved by the City of Dearborn Heights.

2. 15 GENERAL LIABILITIES The Contractor and each subcontractor shall indemnify and same harmless the City of Dearborn Heights and its accounts from and against all losses and all claims, demands, payments, suits, actions, recoveries, and judgments of every nature and description brought or recovered against him, by reason of any act or omission of said Contractor, his agent or employees, in the execution of the work or in the guarding of it.

2. 16 PROOF OF INSURANCE The Contractor shall furnish the City of Dearborn Heights with satisfactory proof of carriage of the insurance required.

2.17 PROTECTION The Contractor shall protect the work in progress, adjacent property, and materials delivered to the job.

2.18 SUBLETTING The Contractor shall not execute an agreement with any subcontractor, or permit any subcontractor to perform any work included in this contract until he has received the written approval of such subcontract from the City of Dearborn Heights. The Contractor shall be responsible for allocating portions of the work to his subcontractors, if any. The Contractors is in no way relieved from the complete performance of the work and/or any part of the work. The sections of the specifications are not intended to control or limit the Contractor in dividing the work, or to limit the work performed by any trade. The Contractor shall pay subcontractors on account of work performed to the extent of the subcontractor's interest therein, as well as a just share of any insurance money received.

2. 19 SUPERVISION The Contractor shall maintain at all times a competent foreman to provide supervision and to fully complete the job with undue delay.

THE RIGHTS AND RESPONSffiiLITIES OF THE SUBCONTRACTOR

2.20 DEFINED The term "subcontractor" as used in these documents is a person, firm, partnership, or corporation which has a direct contract with the Contractor for labor only or material and labor. Each subcontractor shall be considered to be an employee of the Contractor and the Contractor shall be responsible for the work of the subcontractor. Each subcontractor shall comply with all applicable conditions, provisions and requirements of these contract

PAGE 13 OF 33 documents. No contractual relationship is created by these documents between any subcontractor and the City of Dearborn Heights. No obligation is implied or may be inferred that the work be sublet as divided in the Specifications.

2.21 CLEAN UP The Contractor and Subcontractor shall remove all rubbish, debris and excess materials resulting from the demolition found on the work site whether created by the demolition activities or otherwise, throughout the duration of the contract. Such debris shall be removed immediately and legally disposed of by the Contractor, at no additional cost to the City of Dearborn Heights. All debris must be removed within 5 days of the razing of the building. Each day after the day 5th day the Contractor shall pay $100.00 per day as liquidated damages until the debris has been removed.

2.22 GUARANTEE The subcontractor shall submit the City of Dearborn Heights a one ( 1) year guarantee in writing if requested by the City of Dearborn Heights. Guarantee applies whether the City of Dearborn Heights requests it or not.

2.23 INSURANCE Maintain insurance and protect the City of Dearborn Heights.

PERMITS, LICENSES AND REGULATIONS

2.24 INSPECTION AND PERMIT The Contractor shall obtain and pay for all permits, licenses, and inspections as required; give all notices, pay all fees, and comply in every respect with Laws, Ordinances, Rules and Regulations which apply to the job. The City of Dearborn Heights will obtain necessary utility clearances from the appropriate entities.

2.25 LAWS AND ORDINANCES The Contractor shall comply with all Rulings and Requirements of all authorities, which have jurisdiction over this property and protect the City of Dearborn Heights from damages, which arise from violations thereof. If requirement of the Contract Documents are at variance with Laws, Ordinances Regulations or Codes, the Contractor should not proceed with work, until the City of Dearborn Heights clarifies discrepancy.

MATERIAL AND WORKMANSHIP

2.26 CASH ALLOWANCE The Contractor shall include in the Contract Sum all costs required to fully perform the work. No demands for expenses or profits other than those included in the Contract Sum shall be allowed.

2.27 QUALITY, MATERIAL AND WORKMANSHIP It is intended that a high standard of workmanship shall apply.

PAGE 140F33 2.28 REMOVAL OF IMPROPER WORK Remove all improper work after it has been classified as such by the inspecting governing authority. Any cost caused by defective or ill-timed work shall be borne by the Contractor.

LEGAL REQUIREMENTS

2.29 DISPUTES All disputes arising under this contract, except those covered by the Federal Labor Standards, whether involving law or fact or both, shall within ten (1 0) days of commencement of the dispute, be presented by the Contractor to the City of Dearborn Heights for decision. All papers pertaining to claims shall be filed in quadruplicate. Such notice shall state the facts insufficient detail to identify the claim together with its character and scope. In the meantime, the Contractor shall proceed with the work as directed. Any claim not presented within the time limit specified shall be deemed to have been waived, except that if the claim is of a continuing nature, the claim will be considered only for a period commencing ten (1 0) days prior to the receipt by the City of Dearborn Heights of notice thereof.

2.30 After due investigation and consideration of each claim, the City of Dearborn Heights will reach a conclusion, and will state a decision there within. Such a decision will be in writing and will be sent to the Contractor by registered mail, return receipt requested.

2.31 If the Contractor does not agree with any decision made by the City of Dearborn Heights, he shall in no case allow the dispute to delay the work, but shall promptly notify the City of Dearborn Heights of said disagreement in writing, and he may then accept the matter in question from the final release.

2.32 ASSIGNMENT The Contractor shall not assign or transfer, whether by assignment or novation, any of its rights, duties, benefits, obligations, liabilities or responsibilities under this contract without the prior written consent of the City of Dearborn Heights. No assignment or novation of this contract, whatsoever, shall be valid unless the assignment or novation expressly provides that the assignment of any of the Contractor's rights or benefits under the contract is subject to a prior lien for labor performed, services rendered and materials, tools and equipment supplied for the persons, firms, or corporations rendering such labor or services or supplying such materials, tools or equipment.

2.33 DAMAGES Contractor agrees that he/she will sustain all losses or damages arising from the action of the elements, the nature of the work to be done under this contract, or from any unforeseen obstructions or encumbrances on the line of the work which may be encountered in the prosecution of the work, until the work is finally accepted.

PAGE 150F 33 2.34 The Contractor shall indemnify and save hannless the City of Dearborn Heights from any claims for property damage or loss, personal injury or death as a result of any work conducted under this contract.

3.8 Proper disposal of all asbestos and hazardous materials located on the subject properties. Disposal of all materials is to meet all local, state and federal regulations pertaining to disposal of asbestos and other hazardous materials. 3.9 All buildings are scheduled for demolition. Debris must be adequately disposed of in a Type II (general refuse) landfill that is licensed to accept asbestos containing material and hazardous materials, pursuant to applicable state and federal regulations. The debris can be handled in bulk. Contractor must provide the City of Dearborn Heights with copies of landfill manifests indicating debris was properly disposed in a Type II landfill.

3.10 All additional rubbish, debris and other waste materials whatsoever, found on the work site, whether created by the abatement activities or otherwise, throughout the duration of the contract shall be removed and legally disposed of by the Contractor, at no additional cost to the City of Dearborn Heights.

3.1 1 Do not bury, embed, abandon, or otherwise conceal on the work site in any manner, any materials, unless specifically authorized by the City of Dearborn Heights, in writing, to do so.

3.12 Clearance inspections to ensure that asbestos and hazardous materials have been properly removed is required.

3.13 If Contractor does not properly remove all asbestos and hazardous materials as identified in the ACM and Hazmat reports attached, he/she shall, at the discretion of the building official of jurisdiction or the assigned manager, do all work required to uncover, expose or otherwise prove compliance with the requirements of the contract, and at no additional cost to the City of Dearborn Heights.

3.14 All work is to be done in accordance with the National Emission Standards for Hazardous Air Pollutants (NESHAP) requirements.

SCHEDULE OF DEMOLITION WORK

3.15 The City of Dearborn Heights reserves the right to order the Contractor to perform the demolition work in such an order, which would be in its discretion the most advantageous to the City of Dearborn Heights. Under no circumstance will the Contractor be permitted to begin work on a property for which he/she has not received a Notice to Proceed.

3.16 Contractor shall commence work within 15 days of execution of contract and complete work by January 28, 2016. Failure to commence or complete work within the specified time will result in the termination of the contract or assessment of liquidated damages in the amount of $75 per day for each day of contract violation.

3.27 The Contractor shall provide any necessary interior and/or exterior shoring, bracing or support to prevent movement, settlement or collapse of structures to be demolished or adjacent facilities to remain.

3.28 No demolition materials shall be dropped to any point lying outside the exterior walls of the structure unless the area is effectively protected.

3.29 The Contractor shall supply, install, and maintain barricades or fences as necessary to keep people, animals, or vehicles from excavations or equipment.

DAMAGES

3.30 Promptly repair damages caused to adjacent facilities by demolition operations at no cost to the City of Dearborn Heights.

3.31 Should adjacent property, streets, sidewalks, catch basins, manholes, utility poles or other facilities be damaged in any manner, Contractor shall promptly repair damage.

UTILITY CHARGES

3.32 The City of Dearborn Heights shall arrange for the termination of utility service and removal of facilities for each building to be demolished. The Contractor shall not proceed until written confirmation has been submitted to the City ofDearbom Heights that all utilities have been disconnected from each property.

3.33 The water service to each building scheduled for demolition will be disconnected at the stop box.

3.34 The Contractor shall preserve, in an operating condition, all active utilities traversing the project area. Repairs to utilities damaged as a result of the work performed under this contract shall be in accordance with the requirements of the City of Dearborn Heights, and the utility company involved, and shall be done at no expense to the City of Dearborn Heights.

POLLUTION CONTROLS

3.35 All buildings to be raised have been inspected for Hazardous Materials. It is the Contractors responsibility to coordinate the abatement, removal and clearance of hazardous materials. Inspection report(s) can be viewed in the Appendix of this document or by request to the City of Dearborn Heights Mayor's Office.

3.36 All demolition debris shall be properly disposed of in accordance with local, state, and

PAGE200F33 federal law. The debris can be handled in bulk. Contractor must provide the City of Dearborn Heights with landfill manifests indicating debris was properly disposed.

3.37 Do not allow water to cause hazardous conditions such as ice, flooding or Pollution. All water must be contained within the property boundaries.

3.38 Clean adjacent structures and improvements of dust, dirt, and debris caused by demolition operations, or as directed by the governing building official. Return adjacent areas to conditions existing prior to start of work. Debris shall be hosed down during demolition to limit air pollution.

3.39 Burning on site will not be permitted.

BUILDING DEMOLITION

3.40 Demolish all buildings and completely remove from site. Locate demolition equipment throughout structure and remove materials so as not to impose excessive loads on supporting walls, floors or framing. Use such methods as required to complete specified work within the limitations of all governing regulations. Proceed with demolition in a systematic and safe manner. Be responsible for method of demolition used and consequences resulting therefrom.

3.41 Completely demolish and remove from site all foundations, foundation walls, basements, partial basements, cellars and other belowground structures as they are encountered, and at no additional cost to the City of Dearborn Heights.

3.42 Sewer Line Cap: Not Applicable

DISPOSAL OF DEMOLITION MATERIALS

3.43 All rubbish, debris and other waste materials whatsoever, found on the work site, whether created by the demolition activities or otherwise, throughout the duration of the contract shall be removed and legally disposed of by the Contractor, at no additional cost to the City of Dearborn Heights.

3.44 Do not bury, embed, abandon, or otherwise conceal on the work site in any manner, any materials, unless specifically authorized by the City of Dearborn Heights, in writing, to do so.

FILL MATERIAL, FILLING BASEMENTS AND VOIDS

***Note***Prior to backfilling and grading, the Contractor shall call for an open hole inspection by the Building and Engineering Department.

It shall be the responsibility of the Contractor to completely fill all below grade areas and voids

3.45 The Contractor shall provide a clean, dry, granular fill material free from blue clay, sod, wood, brickbat, debris, and other extraneous material. Use satisfactory soil materials consisting of sand, yellow sand, clay, clean dirt free from debris, trash, frozen materials, contamination, roots and other organic matter.

3.46 Backfill shall be placed in uniform layers not exceeding 12 inches in depth, when measured loose and compacted to 95% compaction. (Prior to placement of fill materials, ensure that areas to be filled are free of standing water, trash, debris and frozen materials)

3.47 Backfill shall be placed and graded to meet existing grades and rainwater will not dump on adjacent residential properties.

3.48 The Contractor shall place a minimum of two inches of topsoil over the complete project and shall spread Class A grass seed at a rate of I 00 pounds over the new top-soiled area.

SITE GRADING

3.49 The Contractor shall be responsible for grading each site so as to match the existing grades of adjacent properties with relatively even contours and gentle slopes, and in any event, so as to prevent excessive ponding or soil erosion.

3.50 The Contractor shall ensure that final grades provide ample depth of topsoil, in accordance with Section 4.6, so as to facilitate the growth of a healthy lawn.

INSPECTION REQUIREMENTS

3.51 The Contractor will be required to obtain inspection and approval of work in progress for each itemized property at each of the following points of progress: a. Structure down, debris removed, ready for fill; b. Site graded- acceptability of soils, compaction and grades verified prior to finishing site work; c. Final inspection- required to verify completion and acceptability of all work as specified herein, and to certify Contractor's fulfillment of responsibility with respect to performance of work at such site.

3.52 It is the responsibility of the Contractor to coordinate and arrange for the above referenced inspections in accordance with normal procedures for obtaining inspections.

3.53 If Contractor does not property obtain any of the required inspections, he shall, at the discretion of the building official ofjurisdiction, do all work required to uncover, expose or otherwise prove compliance with the requirements of the this contract, and at no addition cost to the City of Dearborn Heights.

4.8 ln the event that the Contractor should encounter any under-ground tanks, Contractor shall remove and dispose of them in an appropriate manner. The resulting voids shall be filled as per the requirements of Section 3.45-48.

4.9 The Contractor will not be required to remove abandoned pipes or utilities, except as required to fully perform the demolition work.

4.10 Grass seed shall be used and should be appropriate for Michigan climate and weather. Vacant lot is to be hydro-seeded.

PAGE 320F33 Appendix D: ADDITIONAL NON-DISCRIMINATION PROVISIONS During the perfonnance of this contract, the contractor, for itself, its assignees and successors in interest (hereafter referred to as the "contractor") agrees as follows:

I. Compliance with Regulations: The contractor shall comply with the Regulations relative to non- discrimination in Federally-assisted programs of the Department of Transportation, Title 49, code of Federal Regulations, Part 21 as they may be amended from time to time (hereafter referred to as the "Regulations") which are incorporated herein by reference and made a part of this contract.

2. Non-discrimination: The contractor, with regard to the work performed by it during the contract, shall not discriminate on the grounds of race, color, or national origin in the selection and retention of subcontractors including procurements of materials and leases of equipment. The contractor shall not participate either directly or indirectly in the discrimination prohibited by section 21.5 of the Regulation, including employment practices when the contractor covers a program set forth in Appendix B of the Regulations.

3. Solicitations for Subcontracts, Including Procurements ofMaterials and Equipment: In all solicitations either by competitive bidding or negotiation made by the contactor for work to be perfonned under a subcontract, including procurements of materials or leases of equipment, each potential subcontractor or supplier shall be notified by the contractor of the contractor's obligations under this contract and the Regulations relative to non­ discrimination on the grounds of race, color, or national origin.

4. Information and Reports: The contractor shall provide all information and reports required by the Regulations, or directives issued pursuant thereto, and shall permit access to its books, records, accounts, other sources of information, and its faci lities as may be determined by the City ofDearbom Heights to be pertinent to ascertain compliance with such Regulations or directives. Where any information required of a contractor is in the exclusive possession of another who fails or refuses to furnish this information, the contractor shall so certify to the State highway department, or the Federal Highway Administration as appropriate, and shall set forth what efforts it has made to obtain the information.

5. Sanctions for Non-compliance: In the event of the contractor's non-compliance with the non-discrimination provisions of this contract the City of Dearborn Heights shall impose such contract sanctions as it or the Federal Highway Administration may determine to be appropriate, including, but not limited to: (a) Withholding of payments to the contractor under the contract until the contractor complies, and/or (b) Cancellation, termination, or suspension ofthe contract, in whole or in part.

6. Incorporation of Provisions: The contractor shall include the provisions of paragraphs (1) through (6) in every subcontract, including procurement of materials and leases of equipment, unless exempt by the Regulations, or directives issued pursuant thereto. The contractor shall take such action with respect to any subcontract or procurement as the City of Dearborn Heights may direct as a means of enforcing such provision including sanctions for non-compliance: Provided, however, that, in the event a contractor becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such direction, the contractor may request the City of Dearborn Heights to enter into such litigation to protect the interests of the City and, in addition, the contractor may request the State highway department to enter into such litigation to protect the interests of the State and/or the United States to enter into such litigation to protect the interest of the United States.
