Digital Fastlane DF Gmbh Public Offer of up to EUR 43.75 Million Tokenized CAM Bearer Revenue Participation Rights (ISIN: AT0000 Bereitstellungszeitpunkt: 18.03.2021 13:50:27 | Anschriftcode: P131903 | ÜSt: MANZ Digital Fastlane DF GmbH Public Offer of up to EUR 43.75 Million Tokenized CAM Bearer Revenue Participation Rights (ISIN: AT0000A2KQT1) This prospectus (the "Prospectus") relates to the offering of up to EUR 43.75 million tokenized 'CAM' bearer revenue participation rights (the "Participation Rights") of Digital Fastlane DF GmbH (LEI 529900XK7RD0YC271J19), a limited liability company (Gesellschaft mit beschränkter Haftung) established in the Republic of Austria (the "Issuer"). Participation Rights are tokenized and divided into 35,000,000 pieces with a nominal value of EUR 1.25 each (the "Nominal Value"). For each Participation Right subscribed, investors are entitled to one 'CAM' ERC20 token on the Ethereum Blockchain (the "CAM Token"). Investors are therefore also referred to as "Tokenholders". Beginning on 1 January 2022, Tokenholders participate in the revenues of the Issuer as provided in the terms and conditions attached hereto as USchedule 1U (the "Terms and Conditions"). The Participation Rights constitute qualified subordinated obligations of the Issuer ranking subordinated to all other existing and future unsubordinated obligations. In the event of insolvency proceedings on the assets of the Issuer, claims arising pursuant to the Participation Rights will only be taken into account after all non-subordinated creditors have been fully satisfied. Tokenholders are not entitled to any payments if such payment would result in the insolvency of the Issuer. The public offering (the "Public Offering") is made from 19 March 2021 until 31 December 2021 (the "Offer Period") in Austria, France, Germany, Italy and Spain (the "Target Markets"). The Participation Rights can be subscribed in the period from 2 June 2021 to 31 December 2021 (the "Subscription Period"). The issue price (the "Issue Price") changes over time and is based on the following schedule (percentages relate to the Nominal Value): 2 June 2021 to 30 June 2021: 90.0 %; 1 July 2021 to 31 July 2021: 95.0 %; 1 Aug 2021 to 31 Aug 2021: 97.0 %; 1 Sep 2021 to 30 Sep 2021: 98.5 %; 1 Oct 2021 to 31 Oct 2021: 99.0 %; 1 Nov 2021 to 30 Nov 2021: 99.5 %; 1 Dec 2021 to 31 Dec 2021: 100 %. The amount of Participation Rights subscribed multiplied by the applicable Issue Price is referred to as the "Subscription Price". The Participation Rights are subscribed by paying the Subscription Price to the Issuer in Euro, Bitcoin or Ether. The Issuer will announce all amounts issued on its website under https://www.cam.tv/cam-token. Prospective investors should consider that investing in Participation Rights involves risks. For a discussion of certain significant risks, see chapter B. "RISK FACTORS". The occurrence of one or more of such risks could result in the loss of some or all of any investment made. An investment in Participation Rights is suitable only for financially sophisticated investors who are capable of evaluating the merits and risks of such investment and who have sufficient resources to be able to bear any losses which may result from such investment. PARTICIPATION RIGHTS ARE SUITABLE ONLY FOR INVESTORS WHO HAVE QUALIFIED KNOWLEDGE OF SUCH FORM OF INVESTMENT AND CAN ASSESS THE RISKS ASSOCIATED. This Prospectus constitutes a prospectus within the meaning of Article 6 item (3) of Regulation 2017/1129/EU (the "Prospectus Regulation"). This review revealed that the awardee had spent the last $32,000 of NSF funds on post-award expenditures. Further iilvestigation revealed that the PI had requested an extension of tiine to complete work beyond the award's expiration, but NSF denied this request. In addition, investigation revealed that despite NSF's denial of the second-no-cost extension, the PI engineered the draw down of the $32,000 by falsely characteriziilg the draw down as a reimbursement. However, the ~najorityof the funds, approxi~nately$27,000, were used to fund newly incurred, ongoing, post-award expenses. Thereafter, the awardee filed a false final Federal Cash Transaction Report certifying that all award funds had been spent. Then, the PI filed a Final Report that falsely represented that all work on the award was complete. When asked about this by OIG investigators, the PI said she didn't know the second no-cost extension had been denied by NSF. The weight of the evidence refuted this assertion. Without adinitting liability, the awardee settled a civil false claims case with the Department of Justice for $52,150 and agreed to enter into a self-governance programdesigned to ensure that it will operate with honestly and integrity and in compliance with applicable law. In a separate and unrelated ad~ni~listrativeaction, the PI was debarred by NSF for 5 years.

Please refer to specific quarterly window dates listed at the top of this document. The proposal submission system (FastLane) will shut down at 5:00 p.m. "proposer's time" on each submission window closing date but, with the exception of the final submission window which closes in December, the system will reopen for new submissions the next day. Effective October 5, 2020, NSF requires all NSF proposals (including SBIR/STTR proposals) to include Biographical Sketches and Current and Pending Support documents using NSF-approved formats. A proposal without the Biographical Sketches and Current and Pending Support documents in the NSF-approved format will be returned without review. For SBIR or STTR proposals submitted to NSF, please follow the guidance provided in Section V.A of this solicitation (Proposal Preparation and Submission Instructions) for both Biographical Sketches and Current and Pending Support documentation.
