Vitali S. Rosenfeld Vitali Rosenfeld joined the firm of counsel in 2010 and became a partner in 2016. Mr. Rosenfeld’s practice focuses on complex commercial litigation, arbitration and appeals, including domestic and international contractual disputes, business torts, corporate governance matters and dissolution of business entities (“business divorce”). He has extensive experience in multi-jurisdictional and cross-border litigation, including issues of extra-territorial jurisdiction, sovereign immunity, and enforcement of foreign judgments and arbitral awards. He also has significant background and experience in immigration law and related litigation.

HIS REPRESENTATIONS HAVE INCLUDED:

Representing a 50% interest holder in dissolution and partition actions involving several corporations, LLCs, a partnership, and a significant real estate portfolio; Representing a 25% shareholder in corporate dissolution and breach of contract claims; Representing consumers in a “clean diesel” class action against Volkswagen; Successfully represented a minority shareholder and former officer of a food manufacturing company in a dissolution action involving allegations of mismanagement and diversion of corporate funds; Successfully defended one of India’s largest pharmaceutical companies in Vermont state court against claims of misappropriation of trade secrets, tortious interference and unfair competition; Successfully defended several Canadian parties in New York state court against breach of contract, defamation and other claims; Successfully defended an American software company in a in New York against claims brought by foreign licensees; Represented a major New York real estate development company in a AAA arbitration brought by an Asian company; Represented several corporate entities in an antitrust dispute litigated in New York federal and state courts; Successfully represented a doctor in an action for partnership share in a PLLC; Successfully represented individual clients in defamation cases in New York federal and state courts; Successfully pursued an action for fraud and conversion against a European resident in a federal court in New York; Won two appeals before a New York State administrative board; Successfully represented the Russian Federation in a Second Circuit appeal concerning enforcement of foreign arbitral awards, see Compagnie Noga D’Imp. Et D’Exp. S.A. v. Russian Fed’n, 350 F. App’x 476 (2d Cir. 2009); Successfully represented a Russian steelmaking corporation in a dispute over ownership of a metallurgical plant litigated in Delaware federal and state courts; Successfully represented a Russian bank against a securities broker-dealer in a federal court action for recognition and enforcement of an English judgment; Represented the Republic of Congo in protracted litigation with its worldwide creditors in state and federal courts in New York, Texas and California raising novel legal issues under the Foreign Sovereign Immunities Act; and Successfully represented individual clients before U.S. Citizenship and Immigration Services, Immigration Court, Board of Immigration Appeals, and in mandamus petitions before federal courts in connection with unreasonably delayed naturalization applications.

Mr. Rosenfeld received his B.A. and M.A. degrees in English and Education from Omsk Pedagogical University in Russia in 1991, summa cum laude. In 2002, he graduated from McGill University Faculty of Law in Montreal, , with both common law and civil law degrees, LL.B. and B.C.L. (Dean’s Honor List). From 2002 to 2003, he was a law clerk to the Honorable Allan Lutfy, Associate Chief Justice of the . From 2003 to 2010, Mr. Rosenfeld was associated with the New York office of Cleary Gottlieb Steen & Hamilton LLP, where he represented foreign governments and corporations in U.S. federal and state courts at the trial and appellate levels, and was involved in several precedential cases under the Foreign Sovereign Immunities Act.
