BOARD OF EDUCATION MEETING INFORMATION

Role of the Board

The Governing Board is elected by the community to provide leadership and citizen oversight of the District’s schools. The Board works with the Superintendent to fulfill its major role, including: 1. Setting a direction for the District. 2. Providing a basic organizational structure for the SAUSD by establishing policies. 3. Ensuring accountability. 4. Providing community leadership on behalf of the District and public education.

Agenda Items provided to the Board of Education that include the description of items of business to be considered by the Board for approval at Board Meetings. These items contain recommendations; the Board may exercise action they believe is best for the SAUSD.

Board Meeting Documentation

Any and all supporting materials are made available to the public by the Public Communication Office. They may be reached from 8:00 a.m. – 4:30 p.m. at (714) 558-5555.

Public Comments at Board Meetings

The agenda shall provide members of the public the opportunity to address the Board regarding agenda items before or during the Board’s consideration of the item. The agenda also provides members of the public an opportunity to testify at regular meetings on matters which are not on the agenda but which are within the subject matter jurisdiction of the Board.

Individual speakers are allowed three minutes to address the Board on agenda or nonagenda items. The Board may limit the total time for public input on each item to 20 minutes. With the Board’s consent, the Board President may increase or decrease the time allowed for public presentation, depending on the topic and the number of persons wishing to be heard. The Board President may take a poll of speakers for or against a particular issue and may ask that additional persons speak only if they have something new to add.

The Board urges that complaints and derogatory remarks against a District employee be made in writing on forms available in the Office of the Superintendent. This allows the District and the Board to examine more carefully the complaint and to initiate the appropriate investigation.

Persons wishing to address the Board on an item on the agenda or an item of business in the Board’s jurisdiction are requested to complete a card. This card is to be submitted to the Recording Secretary. The Request to Address the Board of Education cards are located on the table in the foyer.

Televised Meeting Schedule

The Regular Board of Education meetings are broadcast live on the second and fourth Tuesdays of each month on Channel 31. The meeting is replayed on Tuesdays at 6:00 p.m. and Saturdays at 3:00 p.m., following the Board of Education meeting.

The purpose of this agenda item is to recognize Rafael Perez, an outstanding volunteer who makes a difference in the lives of students at Davis Elementary School.

RATIONALE:

The Santa Ana Unified School District appreciates and values the contributions and partnerships with community members who invest their time in serving our students.

Rafael Perez has been volunteering at Davis Elementary School for 12 years. He is the father of Laura Perez, a third grade teacher at Davis. Each school day, he greets students, staff, and parents with a smile. He dedicates his time to supporting students towards achievement goals and motivates them to study and learn more by acknowledging their success. Mr. Perez is 91 years of age.

RECOMMENDATION:

Recognize Rafael Perez, an outstanding volunteer who makes a difference in the lives of students at Davis Elementary School.

Board President Amezcua called the meeting to order at 4:34 p.m. Other members in attendance were Ms. Iglesias and Mr. Palacio.

CLOSED SESSION PRESENTATIONS

Ms. Amezcua asked those wishing to address the Board in matters pertaining to Closed Session to step to the lectern.

SUPERINTENDENT'S REPORT

Superintendent Phillips announced that SAUSD is named in the College Board’s Eighth Annual AP District Honor Roll, which recognizes school districts from the United States and Canada committed to increasing access to AP for underrepresented students while simultaneously maintaining or increasing the percentage of students earning AP Exam scores of three or higher. She added that because of the District’s success in the area of Project Lead the Way, SAUSD would be recognized at the PLTW Annual State Conference on January 23 – 24 in Riverside. Dr. Phillips mentioned the official kickoff to the enrollment season for the 2018-19 school year; the Neighborhood Canvassing - where groups of parents, staff, and students go door to door meeting their neighbors and educating them about the great things happening at their schools; and the tremendous turnout for the School Choice Fair at MainPlace Mall. Superintendent continued and mentioned the series of LCAP Stakeholder Input Sessions so that we can hear directly from them to learn how we are doing with achieving our LCAP goals and areas that we need to improve. She stated that she has met with student representatives from all of our intermediate schools, all of our K-8 schools, and Advanced Learning Academy to hear their thoughts and views on what they like about school, what they would like to change, where would they like to attend high school and college, and their perspectives on bullying and social media. She shared that SAUSD recorded a video called “We Care” to show support for students who may be experiencing stress and going through a difficult time. The video is a proactive measure to let students know that they can always reach out to SAUSD staff members and ask for help. Minutes Book Page 420 Board of Education Minutes January 23, 2018

The Superintendent congratulated the winners of the Speech and Debate Tournament: 1st Place Winner Esqueda Elementary, 2nd Place Winner Santiago K-8, and 3rd Place Winner Carr Intermediate - in the Small School Division, and in the Large School Division, 1st place winner Advanced Learning Academy, 2nd Place Winner MacArthur Fundamental, and 3rd Place Winner Sierra Preparatory. She acknowledged the Classified Employees of the Year: Elizabeth Carrillo, Nutrition Services Lead at Jackson Elementary School; Gilbert Ceniceros, District Safety Officer at REACH Academy, Pilar Sanchez, Library Media Tech at Willard Intermediate School; David Gonzalez, Roving Lead Custodian at Davis Elementary School, and Cuca Fernandez Site Clerk at Madison Elementary School. She acknowledged Erik Peterson, a Social Studies Teacher at Santiago K-8 School, who honored with an elite opportunity to travel to Normandy, France as part of a National History Day; and OC Register’s 100 Top Influencers List - Board President, Valerie Amezcua, and Valley High School Teacher, Mr. Benjamin Vasquez. Dr. Phillips concluded her report by mentioning that this year 2018; the District celebrates 130 years of educational legacy and introducing School Police Chief Anastasia Smith.

The MLC program was established 70 years ago and continues to be the state’s premier youth leadership and civic engagement program.

RATIONALE:

Fourteen (14) SAUSD high school students will be representing Santa Ana delegation at this annual event. In support of the program, on February 16 (this day only) community and school leaders have the opportunity participate in the program’s showcase to first-hand see resources to make local youth leadership/government programs stronger. This one-day observation will also include a joint-session with Chet Pipkin, Youth and Government Alumni and CEO for Belkin International, and a tour of program areas.

This AGREEMENT is hereby entered into between the Santa Ana Unified School District, hereinafter referred to as “DISTRICT,” and Innovations for Learning, 518 Davis Street. Suite 205, Evanston, IL 60201 hereinafter referred to as “CONTRACTOR.”

WHEREAS, DISTRICT is authorized by Section 53060 of the California Government Code to contract with and employ any persons for the furnishing of special services and advice in financial, economic, accounting, engineering, legal or administrative matters, if such persons are specially trained and experienced and competent to perform the special services required; WHEREAS, DISTRICT is in need of such special services and advice; and WHEREAS, CONTRACTOR is specially trained and experienced and competent to perform the special services required by the DISTRICT, and such services are needed on a limited basis;

NOW, THEREFORE, the parties agree as follows: 1. Services to be provided by CONTRACTOR: TutorMate® K-1 On-line Literacy Program including the tutor and family portals to provide research-based, individualized reading practice for students in grade 1, as detailed in Exhibit A.

Services shall be provided by (Name of specific individual, if required).

2. Term: CONTRACTOR shall commence providing services under this AGREEMENT on 7/1/2017 and will diligently perform as required and complete performance by 6/30/2018.

3. Compensation: DISTRICT agrees to pay the CONTRACTOR for annual partnership fee pursuant to this AGREEMENT a total fee not to exceed Thirty-Five Thousand Dollars ($35,000), due net 30 from the date of execution.

4. Expenses: DISTRICT shall not be liable to CONTRACTOR for any costs or expenses paid or incurred by CONTRACTOR in performing services for DISTRICT, except as follows: N/A.

1 | P a g e 5. Independent Contractor: CONTRACTOR, in the performance of this AGREEMENT, shall be and act as an independent contractor. CONTRACTOR understands and agrees that he/she and all of his/her employees shall not be considered officers, employees or agents of the DISTRICT, and are not entitled to benefits of any kind or nature normally provided employees of the DISTRICT and/or to which DISTRICT’s employees are normally entitled, including, but not limited to, State Unemployment Compensation or Workers’ Compensation. CONTRACTOR assumes the full responsibility for the acts and/or omissions of his/her employees or agents as they relate to the services to be provided under this AGREEMENT. CONTRACTOR shall assume full responsibility for payment of all federal, state and local taxes or contributions, including unemployment insurance, social security and income taxes with respect to CONTRACTOR’s employees.

6. Materials: CONTRACTOR shall furnish, at its own expense, all labor, materials, equipment, supplies and other items necessary to complete the services to be provided pursuant to this AGREEMENT, except as follows: N/A. CONTRACTOR’s services will be performed, findings obtained, reports and recommendations prepared in accordance with generally and currently accepted principles and practices of his/her profession.

7. Invoices: CONTRACTOR will submit monthly invoices to the DISTRICT within 30 days of the services being rendered. The DISTRICT will only reimburse CONTRACTOR for approved services as outlined in section 1, Services to be provided by CONTRACTOR at the cost outlined in section 3, Compensation.

8. Originality of Services: CONTRACTOR agrees that all technologies, formulae, procedures, processes, methods, writings, ideas, dialogue, compositions, recordings, teleplays, and/or video productions prepared for, written for, submitted to the DISTRICT and/or used in connection with this AGREEMENT, shall be wholly original to CONTRACTOR and shall not be copied in whole or in part from any other source, except that submitted to CONTRACTOR by DISTRICT as a basis for such services.

Copyright/Trademark/Patent: CONTRACTOR understands and agrees that all matters produced under this AGREEMENT shall become the property of DISTRICT and cannot be used without DISTRICT’s express written permission. DISTRICT shall have all right, title and interest in said matters, including the right to secure and maintain the copyright, trademark and/or patent of said matter in the name of the DISTRICT. CONTRACTOR consents to use of CONTRACTOR’s name in conjunction with the sale, use, performance and distribution of the matters, for any purpose and in any medium.

10. Conflict of Interest: CONTRACTOR represents and warrants the following:

(a) No Current or Prior Conflict of Interest. That CONTRACTOR has no business, professional, personal, or other interest, including, but not limited to, the representation of other clients, that would conflict in any manner or degree with the performance of its obligations under this AGREEMENT.

(b) Notice of Potential Conflict. If any such actual or potential conflict of interest arises under this AGREEMENT, CONTRACTOR shall immediately inform the DISTRICT in writing of such conflict.

(c) Termination for Material Conflict. If, in the reasonable judgment of the DISTRICT, such conflict poses a material conflict to and with the performance of CONTRACTOR's obligations under this AGREEMENT, then the DISTRICT may terminate the AGREEMENT immediately upon written notice to CONTRACTOR; such termination of the AGREEMENT shall be effective upon the receipt of such notice by CONTRACTOR.

11. Termination: DISTRICT may, at any time, with or without reason, terminate this AGREEMENT and compensate CONTRACTOR only for services satisfactorily rendered to the date of termination. Written notice by DISTRICT shall be sufficient to stop further performance of services by CONTRACTOR. Notice shall be deemed given when received by the CONTRACTOR or no later than three days after the day of mailing, whichever is sooner. DISTRICT may terminate this AGREEMENT upon giving of written notice of intention to terminate for cause. Cause shall include: (a) material violation of this AGREEMENT by the CONTRACTOR; or (b) any act by CONTRACTOR exposing the DISTRICT to liability to

3 | P a g e others for personal injury or property damage; or (c) CONTRACTOR is adjudged a bankrupt, CONTRACTOR makes a general assignment for the benefit of creditors or a receiver is appointed on account of CONTRACTOR’s insolvency. Written notice by DISTRICT shall contain the reasons for such intention to terminate and unless within TEN (10) days after service of such notice the condition or violation shall cease, or satisfactory arrangements for the correction thereof be made, this AGREEMENT shall upon the expiration of the TEN (10) days cease and terminate. In the event of such termination, the DISTRICT may secure the required services from another contractor. If the cost to the DISTRICT exceeds the cost of providing the service pursuant to this AGREEMENT, the excess cost shall be charges to and collected from the CONTRACTOR. The foregoing provisions are in addition to and not a limitation of any other rights or remedies available to DISTRICT. Written notice by DISTRICT shall be deemed given when received by the other party, or no later than three days after the day of mailing, whichever is sooner.

12. Hold Harmless: CONTRACTOR agrees to and does hereby indemnify, hold harmless and defend the DISTRICT and its governing board, officers, employees and agents from every claim or demand made and every liability, loss, damage or expense, of any nature whatsoever, which may be incurred by reason of:

(a) Liability for damages for: (1) death or bodily injury to person; (2) injury to, loss or theft of property; or (3) any other loss, damage or expense arising out of (1) or (2) above, sustained by the CONTRACTOR or any person, firm or corporation employed by the CONTRACTOR, either directly or by independent contract, upon or in connection with the services called for in this AGREEMENT, however caused, except for liability for damages referred to above which result from the negligence or willful misconduct of the DISTRICT or its officers, employees or agents. (b) Any injury to or death of any person(s), including the DISTRICT’s officers, employees and agents, or damage to or loss of any property caused by any act, neglect, default, or omission of the CONTRACTOR, or any person, firm or corporation employed by the CONTRACTOR, either directly or by independent contract, arising out of, or in any way connected with, the services covered by this AGREEMENT, whether said injury

4 | P a g e or damage occurs either on or off DISTRICT’s property, except for liability for damages which result from the sole negligence or willful misconduct of the DISTRICT or its officers, employees or agents. (c) Any liability for damages which may arise from the furnishing or use of any copyrighted or uncopyrighted matter or patented or unpatented invention under this AGREEMENT.

13. Insurance: Pursuant to Section 10, CONTRACTOR agrees to carry a comprehensive general and automobile liability insurance with limits of ONE MILLION Dollars ($1,000,000) per occurrence combined single limit for bodily injury and property damage in a form mutually acceptable to both parties to protect CONTRACTOR and DISTRICT against liability or claims of liability which may arise out of this AGREEMENT. CONTRACTOR shall provide DISTRICT with certificates of insurance evidencing all coverages and endorsements required hereunder including a thirty (30) day written notice of cancellation or reduction in coverage. CONTRACTOR agrees to name DISTRICT and its governing board, officers, agents and employees as additional insureds under said policy.

14. Assignment: The obligations of the CONTRACTOR pursuant to this AGREEMENT shall not be assigned by the CONTRACTOR.

15. Compliance With Applicable Laws: The services completed herein must meet the approval of the DISTRICT and shall be subject to the DISTRICT’s general right of inspection to secure the satisfactory completion thereof. CONTRACTOR agrees to comply with all federal, state and local laws, rules, regulations and ordinances that are now or may in the future become applicable to CONTRACTOR, CONTRACTOR’s business, equipment and personnel engaged in services covered by this AGREEMENT or accruing out of the performance of such services.

16. Permits/Licenses: CONTRACTOR and all CONTRACTOR’s employees or agents shall secure and maintain in force such permits and licenses as are required by law in connection with the furnishing of services pursuant to this AGREEMENT.

5 | P a g e 17. Employment With Public Agency:. CONTRACTOR, if an employee of another public agency, agrees that CONTRACTOR will not receive salary or remuneration, other than vacation pay, as an employee of another public agency for the actual time in which services are actually being performed pursuant to this AGREEMENT.

18. Entire Agreement/Amendment: This AGREEMENT and any exhibits attached hereto constitute the entire agreement among the parties to it and supersedes any prior or contemporaneous understanding or agreement with respect to the services contemplated, and may be amended only by a written amendment executed by both parties to the AGREEMENT.

19. Nondiscrimination: CONTRACTOR agrees that it will not engage in unlawful discrimination in employment of persons because of race, ethnicity, religion, nationality, disability, gender, marital status or age of such persons.

20. Non Waiver: The failure of DISTRICT or CONTRACTOR to seek redress for violation of, or to insist upon, the strict performance of any term or condition of this AGREEMENT, shall not be deemed a waiver by that party of such term or condition, or prevent a subsequent similar act from again constituting a violation of such term or condition.

21. Notice: All notices or demands to be given under this AGREEMENT by either party to the other, shall be in writing and given either by: (a) personal service or (b) by U.S. Mail, mailed either by registered or certified mail, return receipt requested, with postage prepaid. Innovations for Learning (IFL) will provide unlimited access to the TutorMate platform during the term of this contract to the participating schools.

Tutor Portal

First grade students will participate in the TutorMate program (an online, screen sharing program that pairs first grade students with corporate-based volunteers for additional 1:1 reading and phonics support). IFL will provide the complete TutorMate System which includes: access to TutorMate software; all administrative tasks including corporate tutor recruitment, background checks, teacher/student training, tutor station set up, and technical support.

Family Portal

IFL will provide access for participating schools to enroll in our family portal. As an extension of our TutorMate program, family portal connects the classroom to the home, providing families with meaningful practice to reinforce reading and word attack skills. Each time the teacher changes a participating student’s reading level, registered family members receive a text message and access to stories written at the child’s instructional reading level so parents can provide supported reading right from their smart phone. Students of participating families receive consistent reinforcement and practice at the same reading level experienced in school.

Technical Support

IFL will provide unlimited email and chat support to all district staff. Unlimited IFL phone tech support will be available to designated district tech staff.

INNOVATIONS FOR LEARNING WILL PROVIDE THE FOLLOWING REQUIRED PROFESSIONAL DEVELOPMENT SERVICES DELIVERED BY OUR LOCAL PROGRAM AMBASSADOR:

A part-time on-site Program Ambassador to deliver implementation and support services for the district throughout the school year. Professional development commences in the fall with an initial on-site, two-hour mandatory training for grade 1 participating teachers. Further, on-going on-site support will be provided to each site throughout the year including coordination of site visits and on-site technical support as needed. The IFL Program Ambassador

The ultimate purpose of the project is to provide analytical findings about the relative effectiveness of different interventions, products, and implementation patterns in raising student achievement. These findings will allow leaders to make future decisions that are likely to improve student achievement and access to postsecondary learning pathways. Below are the activities Nutrition Services has planned in recognition of National School Breakfast Week 2018.

1. Throughout School Breakfast Week, Nutrition Services management and supervisory staff will be visiting all of the schools to promote the importance of breakfast with our students and faculty.

2. All K-12 schools will be competing against each other to increase student breakfast participation. Schools will be divided into equitable categories based on enrollment. The six schools that achieve the highest percentage increase in participation will receive a school wide BBQ. The BBQ's will be scheduled after the winners are identified and those principals provide dates of availability.

3. Principals, Assistant Principals, Office Managers, and Cafeteria staff will receive daily email updates regarding the status of their school in the competition.

4. Nutrition Services will provide social media updates and photos daily of students and staff engaged in the celebration of National School Breakfast Week 2018.

Tuesday, March 6: Elementary Cafeterias will give away pencils to all students that eat breakfast at school.

Wednesday, March 7: Nutrition Services management and supervisory staff will be visiting all of the schools.

RATIONALE:

The purpose of this agenda item is to seek Board authorization to extend the awarded contract for Managed Internet Services with the Foothills Education and Technology Partnership under E-Rate Districtwide. The award extension is recommended for $130,476 per year for a period not to exceed 1 year. There will be no increase in cost to the District from the original awarded contract. Vendor selection was in compliance with Board Policy.

It is anticipated that the District will receive funding for Managed Internet Services under the current E-Rate funding year beginning on July 1, 2018. Additional funds will be budgeted to cover costs not eligible under E-Rate during the term of this agreement. The contract amount awarded to Foothills Education and Technology Partnership will be fixed for the entire term of the agreement. Under the new E-Rate funding rules, Education Code and Public Contract Code the District can extend contract for up to a maximum of five years for services under this RFP.

Total District Contribution Budgeted General Fund: $ 13,047.60 Total Estimated E-Rate Contribution: $117,428.40 Total Cost: $130,476.00

BACKGROUND INFORMATION: ITEM SUMMARY: The purpose of this agenda item is to seek Board ratification  Snapshot of purchase orders of the Purchase Order Summary Report and Detailed issued between January 10, Purchase Order Listing for all purchase orders created during 2018 through January 23, the period of January 10, 2018 through January 23, 2018. 2018 The Board through individual agenda items has previously  Board Policy 3300 approved purchase orders for contracts over $25,000.  Education Code 17604

RATIONALE:

The Purchase Order Summary Report provides a summary of all purchase orders created during the period of January 10, 2018 through January 23, 2018 by funding source. The Detailed Purchase Order Listing Report lists each individual purchase order created by vendor for the period of January 10, 2018 through January 23, 2018. Board Policy 3300 and Education Code 17604 specifically authorizes the Board to delegate signature authority on behalf of the District to the District Superintendent or designee. Such delegation of signature authority serves to expedite the financial transactions or any other contract.

RATIONALE:

Currently, the position of Assistant Director of Research and Evaluation requires individuals to possess a Valid California Teaching Credential and Administrative Credential. The District requests that the job description be revised to allow classified staff to apply and hold this position as well. Because the former Executive Director of Research and Evaluation was a classified employee, the position of Assistant Director of Research and Evaluation needed to be held by a certificated individual who had an instructional background and who would be able to assist with the evaluation of certificated personnel within the department. With the recent appointment of a new Executive Director, the job of Assistant Director no longer requires a candidate to possess a teaching or administrative credential, as Dr. Emily Wolk holds both a Valid California Teaching Credential and Administrative Credential. By expanding the position of Assistant Director of Research and Evaluation to be held by either a certificated or classified employee, the District would have greater flexibility and be able to increase its pool to draw the most qualified individuals to the position.

ASSISTANT DIRECTOR OF RESEARCH AND EVALUATION

JOB SUMMARY:

Under the direction of the Executive Director of Research and Evaluation and/or designee, the Assistant Director will support and assist in the development and implementation of critical student and program assessment and evaluation processes across the District. The Assistant Director will assist and promote program priorities as defined by the Executive Director of Research and Evaluation.

REPRESENTATIVE DUTIES:

 Lead and direct the evaluation of services designed to increase academic achievement of students including English Learners and students at risk of failure or achieving below expectancy. E

 Respond to District, department, and site data and evaluation needs. E

 Assist with development of effective educational plans and programs in order to improve outcomes. E

 Serve as a liaison between Research and Evaluation, and other departments and school sites; provide technical assistance. E

 Continuously research best practices in research and evaluation in order to assist the implementation of ongoing measures of student performance. E

 Collaborate with general and categorically funded programs (e.g., Special Education, Title I, Title III, Pupil Support Services) to support a coordinated approach. E

 Provide evaluation assistance to correlate parent engagement initiatives with academic achievement and other program improvement efforts. E

 Assist with preparation and development of reports, PowerPoints on District and school level indicators of student performance for disaggregated groups and other areas of research as requested. E

RATIONALE:

In accordance with the Charter Schools Act of 1992 (Ed. Code § 47600 et seq.) a charter school that has been approved by the District may submit a request for renewal of its charter for a subsequent five-year term. The District Governing Board is required to hold a public hearing and either grant or deny the charter renewal petition within specified timelines following receipt by the Governing Board of the charter petition.

The District is required to comply with California Education Code Section 47605(b), within 30 days of receipt of the charter petition; the governing board of the school district must hold a public hearing on the provision of the charter petition in order to provide an opportunity for public comment and demonstration of support for the charter petition.

It is anticipated that the Board will take action on the charter renewal request at its March 13, 2018 meeting, which is within the 60-day timeline for the Board to act on the renewal request.

TITLE: Request for Approval of Renewal of Charter for NOVA Academy Early College High School Charter School and Adopt Resolution No. 17/18-3219 Effectuating that Action

ITEM: Action SUBMITTED BY: Sonia Llamas, Ed.D., L.C.S.W., Assistant Superintendent, K-12 School Performance and Culture BACKGROUND INFORMATION: ITEM SUMMARY: Pursuant to the Charter Schools Act of 1992 (Ed. Code §  Approve or deny NOVA 47600 et seq.) the entity that granted a charter school petition Academy Early College may grant one or more five-year renewals to that charter Charter Renewal Petition school. The Board is required to hold a public hearing and pursuant to Education Code either grant or deny a charter petition renewal request within Sections 47605 and 47607. specified timelines from receipt by the governing board of the charter petition renewal. The Board previously approved and renewed the charter for the NOVA Academy Early College High School charter school (“NOVA”), with the current charter term running through and including June 30, 2018. NOVA has requested that the Board approve renewal of the NOVA charter for a term July 1, 2018 – June 30, 2023. The purpose of this agenda item is for the Board to take action on NOVA’s charter petition renewal and to adopt Resolution No. 17/18-3219 implementing that action. The charter petition renewal was received by the Board at its meeting of January 23, 2018, thereby commencing the District’s timelines for Board action on the renewal request.

RATIONALE:

Pursuant to Education Code Section 47605(b), the governing board may not deny a charter school renewal unless it is not satisfied that granting the charter renewal is consistent with sound educational practice. Further, the governing board shall not deny a charter renewal unless it makes written factual findings specific to the particular charter to support one or more of the following findings:

1. The charter school presents an unsound educational program for the pupils to be enrolled.

2. The petitioners are demonstrably unlikely to successfully implement the program set forth in the charter.

3. The petition does not include affirmations of specified conditions.

005382.00508 18669138.1 4. The petition does not contain reasonably comprehensive descriptions of all of the 15 required elements of a charter.

5. The petition does not include a statement regarding whether the charter school will be the exclusive public employer of all charter school employees for purposes of the Educational Employment Relations Act.

Pursuant to Education Code Section 47607(a)(3)(A), in considering NOVA’s request for a charter renewal, the Board must consider increases in pupil academic achievement for all groups of pupils served by NOVA (including all numerically significant pupil subgroups as defined by Education Code Section 52052(a)(3)) as “the most important factor” in deciding whether to grant the renewal request. Additionally, the Board must consider the past performance of NOVA’s academics, finances, and operations, as well, as any future plans for improvement, in evaluating the likelihood of future success for NOVA. (Cal. Code Regs., Tit. 5 § 11966.4(b)(1).)

Finally, because NOVA has been in operation for at least four years, in order to have its charter renewed NOVA is required to meet at least one of several specified academic performance criteria, including alternative performance criteria set forth in Education Code Section 52052(e)(4), and submit documentation establishing that it met such criteria. (Ed. Code § 47607(b) and Cal. Code Regs., Tit. 5 § 11966.4.)

As required by Education Code Section 47605(b), a public hearing on the provisions of the renewal charter was conducted on January 23, 2018, at which time the Board considered the level of support for this charter by teachers employed by the District, other employees of the District, and parents.

The District administration and legal counsel conducted a comprehensive analysis of the NOVA Academy Early College High School charter petition renewal and assessed it against the standards and requirements set forth in the Charter Schools Act of 1992 in order to develop final recommendations. District administrative staff has noted a large number of issues and concerns with the proposal set forth in the Charter, including issues/deficiencies supporting the legal findings for denial of a charter petition. Several of the most significant of the concerns noted by the District administrative team are included as proposed factual findings in the recommended Resolution of Approval No. 17/18-3219. During the review process the District administration noted some issues and concerns and determined that certain changes and revisions to the renewal charter were necessary in order to support the requested charter renewal. The District administration and representatives worked with NOVA and its representatives on resolution of these issues and implementation of the necessary changes, additions, and revisions, and NOVA has incorporated these changes, additions, and revisions into the charter. It is this revised version of the renewal charter that is now before the Board for action. The District administration has determined that renewal of the NOVA charter, as revised, is consistent with sound educational practice and recommends that the NOVA charter be renewed.

Having considered and reviewed the charter petition for the proposed renewal of the NOVA charter, the District administrative staff hereby recommends that the Board take action to approve the charter renewal and adopt the attached Resolution No.17/18-3219 approving the renewal of NOVA’s charter. Should the Board deny the charter, it will be necessary for the Board to adopt a revised version of Resolution No.17/18-3219 making written factual findings in support of the denial on or before March 24, 2018.

BACKGROUND INFORMATION: ITEM SUMMARY: Advanced Placement test fees The purpose of this agenda item is to seek Board approval estimate ($85 per exam x 7,138 for payment of the Advanced Placement (AP) test fees to exams): the CollegeBoard for the 2017-18 school year. Each year, $606,730 CollegeBoard provides a fee reduction per exam for CollegeBoard Discount students with financial need. $174,144 Total Cost to District $432,586 RATIONALE:

High schools will be administering approximately 7,138 AP tests in May 2018. The standard fee for each exam is $94, with the school retaining a $9 rebate per exam. For income eligible students (185% of poverty level, foster, homeless, or receiving Food Stamps), CollegeBoard provides a $32 fee reduction and the school foregoes its $9 rebate, resulting in a cost of $53 per exam. It is anticipated that there will be 5,442 exams taken by income eligible students and 1,696 exams for non-income eligible students. For non-income eligible students, the cost per exam will be $85.

In order to provide equity of access to the students of the Santa Ana Unified School District, the District will establish an AP fee payment account in the amount of $432,586. The District will then pay for all AP fees as invoiced from CollegeBoard, which will include the discount of $174,144 for income eligible students. In the event that additional students complete assessments, or additional students are identified as income eligible, the cost may increase or decline commeasurable to student numbers.

At its Board of Education meeting on January 23, 2018, the Board took action to approve Daniel Allen, Ed.D. to the position of Assistant Superintendent, Teaching and Learning.

The purpose of this agenda item is to seek Board approval to ratify of the Assistant Superintendent, Teaching and Learning employment agreement effective January 24, 2018.

RECOMMENDATION:

Approve the ratification of the Assistant Superintendent, Teaching and Learning employment agreement with SAUSD.

MAM:nr CONTRACT OF EMPLOYMENT

WHEREAS, on the 23rd day of January, 2018, the BOARD OF EDUCATION of the Santa Ana Unified School District appointed DANIEL ALLEN, ED.D. as ASSISTANT SUPERINTENDENT, TEACHING AND LEARNING (“ASSISTANT SUPERINTENDENT” or “DR. ALLEN”); and WHEREAS, the BOARD OF EDUCATION and the ASSISTANT SUPERINTENDENT mutually desire to enter into this initial contract of employment. NOW THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS:

1. The term of employment shall be from the date of approval by the BOARD OF EDUCATION to and including June 30, 2020. Subject to continuous satisfactory performance, the BOARD OF EDUCATION may extend the term of this Contract of Employment an additional year. 2. During the term of employment, DR. ALLEN shall satisfactorily perform duties pertaining to the position of ASSISTANT SUPERINTENDENT, as provided by the job description and as prescribed by the Superintendent. 3. The SANTA ANA UNIFIED SCHOOL DISTRICT shall pay ASSISTANT SUPERINTENDENT an annual salary in the amount of $185,502 per school year. Monthly installments shall be payable according to the certificated payroll calendar. 4. The salary specified in paragraph 3 above may be adjusted in the manner provided in the Education Code section 35032. The stated salary may be increased at any time subject to the agreement of the ASSISTANT SUPERINTENDENT and the BOARD OF EDUCATION, with such increase becoming effective from the date of authorization by the BOARD OF EDUCATION. 5. The SANTA ANA UNIFIED SCHOOL DISTRICT shall pay the ASSISTANT SUPERINTENDENT’s membership dues in the Association of California School Administrators (ACSA), or a similar professional organization. 6. The SANTA ANA UNIFIED SCHOOL DISTRICT shall pay the ASSISTANT SUPERINTENDENT’s membership dues in one Santa Ana-based service organization. 7. The ASSISTANT SUPERINTENDENT may earn and accrue up to 21 days of paid vacation per school year based on his days of service, as calculated by

If vacation is not used during the school year in which it was earned and accrued, such unused, earned and accrued vacation shall be carried over to the following school year. However, ASSISTANT SUPERINTENDENT may not earn or accrue more than 42 unused vacation days. Once this maximum is reached, ASSISTANT SUPERINTENDENT will cease to earn and accrue any additional vacation until earned and accrued vacation has been used and the number of unused earned and accrued paid vacation days is below the maximum amount. In the event of termination of employment of the ASSISTANT SUPERINTENDENT, either during the term of this Contract of Employment or at the expiration of the term of this Contract of Employment, he shall be entitled to compensation for any unused, earned and accrued vacation, at the salary rate in effect at the termination or expiration of this Contract of Employment. 8. ASSISTANT SUPERINTENDENT shall earn one day of sick leave per month. 9. Consistent with Board Policies 4133, 4233, and 4333, ASSISTANT SUPERINTENDENT shall be reimbursed for actual and necessary expenses incurred performing authorized services for the District. 10. The services rendered by the ASSISTANT SUPERINTENDENT shall be evaluated annually by the SUPERINTENDENT or designee during the term of this Contract of Employment, at which time the BOARD OF EDUCATION and the ASSISTANT SUPERINTENDENT may mutually agree to extend the duration of this Contract of Employment. If the duration of this Contract of Employment is extended, the services rendered by the ASSISTANT SUPERINTENDENT shall be annually evaluated during the term of this Contract of Employment. The evaluation shall be completed on or about July 30. 11. The ASSISTANT SUPERINTENDENT shall be eligible for paid District medical, dental, vision and life insurance as provided other Cabinet members. In the event the ASSISTANT SUPERINTENDENT elects not to participate in the District medical, dental and vision benefit plans, he may elect to receive the annual cash value equal to the District contribution for medical (two-party tier rate), dental and vision plans offered for which he is eligible. Upon termination or expiration of this Contract of Employment concurrently with retirement under the California Teachers’ Retirement System (STRS), the ASSISTANT SUPERINTENDENT shall have the option to continue receiving medical, dental, and vision benefits pursuant to AR 4117.15. 12. The BOARD OF EDUCATION may, at any time, terminate this Contract of Employment at its sole discretion upon 90 days’ written notice to the ASSISTANT SUPERINTENDENT. If the ASSISTANT SUPERINTENDENT’s employment is terminated pursuant to this subsection, and the ASSISTANT SUPERINTENDENT is not in breach of this Contract of Employment, the ASSISTANT SUPERINTENDENT may receive an amount not to exceed the monthly salary of the ASSISTANT SUPERINTENDENT, multiplied by the number of months left on the unexpired term of this Contract of Employment or 12 months, whichever is less, as provided in Government Code section 53260. Except as provided in paragraph 11 hereof, any continuation of ASSISTANT SUPERINTENDENT’s health and welfare benefits following such termination may not exceed the number of months remaining on the unexpired term of this Contract of Employment, up to a maximum of 12 months, or until ASSISTANT SUPERINTENDENT finds other employment, whichever occurs first. 13. Acceptance of the payment described in paragraph 12 of this Contract of Employment fully and forever releases the Santa Ana Unified School District, its employees, officers, insurers, and agents, the BOARD OF EDUCATION, and each member of the BOARD OF EDUCATION from all claims, demands, causes of action, charges and grievances, of whatever kind or nature, whether known or unknown, suspected or unsuspected, which ASSISTANT SUPERINTENDENT now owns or CONTRACT OF EMPLOYMENT – Page 4 Assistant Superintendent, Teaching and Learning holds or has at any time before this date owned or held against any of them, including, but not limited to, all claims, charges, demands and causes of action (a) which arise out of or are in any way connected with ASSISTANT SUPERINTENDENT’s employment or the termination of employment; (b) which are related to or concern discrimination under local, state or federal law (including but not limited to, the Age Discrimination in Employment Act), wrongful termination in violation of public policy, retaliation, intentional and negligent infliction of emotional distress, defamation and other torts; or (c) which arise out of or are in any way connected with any loss, damage or injury whatsoever resulting from any act committed or omission made prior to the date of this Contract of Employment. 14. This Contract of Employment may be terminated for cause at any time during the school year in accordance with Board Policy and/or statutory provisions that apply to any certificated employee. For purposes of this Contract of Employment, “cause” includes any material breach of this Contract of Employment, any failure of the ASSISTANT SUPERINTENDENT to perform the duties prescribed for the ASSISTANT SUPERINTENDENT by the Superintendent or the BOARD OF EDUCATION, or any of the grounds enumerated in Education Code section 44932. The BOARD OF EDUCATION shall not terminate this Contract of Employment under this subsection until a written statement of the grounds for termination has first been given to the ASSISTANT SUPERINTENDENT by the Superintendent. The ASSISTANT SUPERINTENDENT shall then be entitled to an informal conference with the BOARD OF EDUCATION, in closed session, at which time the ASSISTANT SUPERINTENDENT shall be given a reasonable opportunity to address the specific concerns and issues of the BOARD OF EDUCATION and the Superintendent. The ASSISTANT SUPERINTENDENT shall have the right, at his own expense, to have a representative of his choice at the conference with the BOARD OF EDUCATION. If no resolution of these concerns and issues can be found, the ASSISTANT SUPERINTENDENT shall be provided with a written statement of the BOARD OF EDUCATION’s decision with respect to the ASSISTANT SUPERINTENDENT’s termination. If this Contract of Employment is terminated pursuant to this subsection, the ASSISTANT SUPERINTENDENT’s employment with the District, and any compensation, benefits or allowances provided pursuant to this Contract of CONTRACT OF EMPLOYMENT – Page 5 Assistant Superintendent, Teaching and Learning

Employment, shall terminate with the effective date of the decision of the BOARD OF EDUCATION, and the ASSISTANT SUPERINTENDENT shall not be entitled to any further compensation thereafter, regardless of the term then remaining under this Contract of Employment. 15. The ASSISTANT SUPERINTENDENT shall return all SANTA ANA UNIFIED SCHOOL DISTRICT property and equipment to the SANTA ANA UNIFIED SCHOOL DISTRICT upon termination of this Contract of Employment. 16. The terms of this Contract of Employment are made for the benefit of each person or entity named in paragraph 13 above. It is the intention of the ASSISTANT SUPERINTENDENT that this Contract of Employment shall be effective as a bar against each and every claim, demand, cause of action, charge or grievance described in paragraph 13 above. In furtherance of this intention, the ASSISTANT SUPERINTENDENT expressly waives any and all rights and benefits conferred upon him by the provisions of section 1542 of the California Civil Code, which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of the executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

This clause would prevent any other action in law or in equity against the District as a result of the Board’s determination to terminate the contract without cause and pay the liquidated damages.

Pursuant to Government Code section 53243.2, any funds received by the ASSISTANT SUPERINTENDENT from the District as a cash settlement resulting from the termination of this Agreement or successor agreements shall be fully reimbursed to the District if the ASSISTANT SUPERINTENDENT is convicted of a crime involving the abuse of his office or position.

17. If any term or provision of this Contract of Employment is held to be invalid or unenforceable, the remaining portions of this Contract of Employment shall continue to be valid and shall be performed, construed and enforced to the fullest extent permitted by law, and the invalid or unenforceable term shall be deemed CONTRACT OF EMPLOYMENT – Page 6 Assistant Superintendent, Teaching and Learning amended and limited in accordance with the intent of the parties, as determined from the face of this Contract of Employment, to the extent necessary to permit the maximum enforceability or validation of the term or provision. 18. This Contract of Employment may be amended or modified only pursuant to a writing signed by both parties, unless otherwise stated in this Contract of Employment. 19. This Contract of Employment constitutes and contains the entire agreement and understanding between the parties and supersedes and replaces all prior negotiations and agreements, proposed or otherwise, whether written or oral, concerning the subject matter of this Contract of Employment. This is an integrated document. 20. This Contract of Employment is subject to, is governed by, and shall be construed under all applicable laws of the State of California, rules and regulations of the State Board of Education, and rules, regulations and policies of the Board, all of which are made a part of the terms and conditions of this Contract of Employment as though set forth herein.

BACKGROUND INFORMATION:

The purpose of this agenda item is to seek Board adoption of the revised Board Bylaw (BB) 9324 – Board Minutes and Recordings.

RATIONALE:

BB 9324 was updated to reflect New Law (SB 751, 2013) which required that minutes of board meetings report the vote or abstention of each member present for the action. Bylaw also adds optional space for the district to specify the position responsible for signing the minutes after approval by the board.

RECOMMENDATION:

SCOPE: The Governing Board recognizes that maintaining accurate minutes of Board meetings provides a record of Board actions for use by district staff and the public and helps foster public trust in Board governance. The secretary of the Board shall keep minutes and record all official Board actions. The Board’s minutes shall be public records and shall be made available to the public upon request (Education Code 35145, 35163) (cf. 1340 - Access to District Records) (cf. 9122 - Secretary) (cf. 9323.2 - Actions by the Board)

The minutes shall reflect which members are present and whether a member is not present for part of the meeting due to late arrival and/or early departure. (cf. 9250 - Remuneration, Reimbursement and Other Benefits)

In order to ensure that the minutes are focused on Board action, the minutes shall include only a brief summary of the Board's discussion, but shall not include a verbatim record of the Board's discussion on each agenda topic or the names of Board members who made specific points during the discussion.

The minutes shall include the specific language of each motion and the names of the Board members who made and seconded the motion.

The minutes shall also report any action taken and the vote or abstention on that action of each member present. (Government Code 54953)

The minutes shall reflect the names of those individuals who comment during the meeting's public comment period as well as the topics they address.

The Superintendent or designee shall distribute a copy of the “unapproved” minutes of the previous meeting(s) with the agenda for the next regular meeting. The Board shall approve the minutes as circulated or with necessary amendments.

Any minutes or recordings kept for Board meetings held in closed session shall be kept separately from the minutes or recordings of regular and special meetings. Official Board minutes and recordings shall be stored in a secure location and shall be retained in accordance with law.

Approval of Minutes

Upon approval by the Board, the minutes shall be signed by the Board Secretary.

DESIRED OUTCOME: Video or Audio Recording

The district may tape, film, or broadcast any open Board meeting. The Board president shall announce that a recording or broadcasting is being made at the direction of the Board at the beginning of the meeting and, as practicable, the recorder or camera shall be placed in plain view of meeting participants.

The tapes are to used by the Board Secretary to assist in the preparation of the minutes. The tapes are to be available to individual Board members, Superintendent and staff for review.

Any district recording made during regular or special Board meetings are public records. They shall be kept for at least 30 days. Recordings made at the direction of the Board during a meeting are public records and, upon request, shall be made available for inspection by members of the public on district equipment without charge. All tapes are to be retained for at least a five-year period.

POLICY: Approval of Minutes

Upon approval by the Board, the minutes shall be signed by the Board Secretary. Unless the reading of the minutes of a Board meeting is requested by a Board member, such minutes may be approved without reading if the Secretary previously has furnished each Board member with a copy thereof. Nothing may be added to the minutes except that they may be amended by a majority vote of the Board to reflect correctly the business of the Board at such meeting.
