Inc. | 860 Broadway, 6th Floor | New York, NY 10003 | www.law360.com Phone: +1 646 783 7100 | Fax: +1 646 783 7161 | [email protected] Global Aviation Holdings: The KERP Is Back Law360, New York (August 06, 2012, 1:11 PM ET) -- In a recent decision[1] involving Global Aviation Holdings Inc. and its affiliated debtors (collectively, the “debtors”), the United States Bankruptcy Court for the Eastern District of New York granted the debtors' motion for approval of a key employee retention plan (the “KERP motion”) pursuant to Sections 363(b) and 503(c)(3) of Title 11 of the United States Code over the objections of both the United States Trustee for Region 2 (the “UST”) and the official committee of unsecured creditors (the “committee”). In the objections, the committee and the UST argued the debtors were seeking to pay bonuses to insiders without satisfying the requirements set forth in Section 503(c)(1) of the Bankruptcy Code. The committee and the UST also argued, that to the extent the key employee retention plan recipients turned out to be non-insiders, the debtors did not establish whether the proposed key employee retention plan payments were “justified by the facts and circumstances of the case” as required by Section 503(c)(3) of the Bankruptcy Code. The debtors operate two airlines: North American Airlines Inc. and World Airways Inc. From the outset of their bankruptcy cases, the debtors planned to move North American’s headquarters from JFK International Airport in Jamaica, N.Y., to World’s headquarters in Peachtree City, Ga., in order to consolidate operations. -

The Development of the Major Commercial Airlines in Dade County, Florida: 1945-1970 By AURORA E. DAVIS* The prosperity of Dade County is built in a large measure around tourism. In fact, tourism is Greater Miami's largest single source of in- come, as it contributed, by 1970, over 2.1 billion dollars a year to the area's economy. As one of the delivery and departure vehicles for tourists, air transportation, and particularly the commercial aviation industry, as- sumes a position of paramount importance carrying an estimated 60 to 65 per cent of tourists to South Florida. In addition, air transportation has become since World War II a dominant stimulant to the area's eco- nomic expansion. The industry's development and growth have helped provide the stable base for sharp rises in tourism, aviation-oriented enter- prises, and other institutional growth. This study of the development and consequent effect of air transpor- tation on the economy of Dade County and the South Florida area, because of the enormous extent of the subject, is limited to the commercial aviation industry. In particular, it will focus upon the four major airlines serving Miami: Pan American World Airways; Eastern Airlines; National Airlines; and Delta Air Lines. There are other large domestic and international carriers serving Miami, but none have had the local impact of what this author calls "Miami's big four." 1 The aviation history of Dade County can be said to have begun in 1911 when Howard Gill brought a Wright brothers aircraft to Miami. With 40 airlines and 112 direct destinations, SFO continues to be one of the world’s major airports, ranking 7th in North America and 22nd in the world in 2012. In Fiscal Year (FY) 2012/13 (July through June), total passenger volume reached 44.7 million, a 3.9% increase from the prior year. Both measures established a new peak for SFO. United Airlines (UA) and Virgin America (VX) accounted for a majority of the domestic growth with over 600,000 additional domestic enplanements1, or 86% of the total domestic growth in the FY. UA introduced year-round non-stop service to Raleigh-Durham, NC and Ft. Lauderdale, FL. VX introduced year-round non-stop service to Washington D.C. Reagan National Airport; Newark, NJ and Austin, TX; and seasonal service to Palm Springs, CA and Anchorage, AK. -
