Minutes of Upon a motion by Eustis, seconded by Heart, it was prior meeting: VOTED to accept the minutes of the July 13, 2016 Board meeting as submitted; Unanimous. Development: Mitchell shared information about the BSA Foundation Breakfast held December 6, 2016, at MIT Media Lab. With nearly 300 attendees, the event was successful in showcasing the Foundation’s mission and bringing $106K in new pledges. Mitchell asked board members to make follow-up/thank you calls to new legacy circle members. Budget Report Treasurer Madsen outlined the BSA Foundation’s reforecast for 2016 and proposed budget for 2017. The 2016 budget had planned for a deficit, which has been reforecast. A number of grant applications were made to offset this, however the success rate was smaller than the goal. Next steps: work to elevate grant/fundraising expertise to achieve financial goals. Two projects will shape the Foundation’s future: The Strategic Planning Initiative (to better define the Foundation’s mission, visions and goals) and the BSA Task Force (members of both boards will develop a collaborative business development plan). Upon a motion by Heart, seconded by Sherman, it was VOTED to accept the 2016 Reforecast and 2017 Budget Review as submitted; Unanimous. 2017 White reported that the Nominating Committee convened and has made Nominations: recommendations for 2017 new board members and officers. Upon a motion by Davis, seconded by Touloukian, it was VOTED to accept the slate of new officers; Unanimous. 2 Upon a motion by Krauss, seconded by Heart, it was VOTED to accept the nominations of new 2017 board members; Unanimous. Upon a motion by Wernick, seconded by Heart, it was VOTED to accept the nomination of Rick Dimino as BSA Foundation Representative; Unanimous. Strategic White stressed the need to create a joint business plan between the BSA and the BSA Planning Foundation. Wernick said her sense is that both boards are eager to work together and Update: it is important to keep the conversation open. Wernick said the BSA Foundation’s biggest challenge is finding better ways to pursue civic initiatives and suggested that board members sharpen their focus on that goal within the first six months of 2017. Kuttner said he would like to see all of the Board’s initiatives brought along together. Lubenau agreed. Review of 2016 Wernick reviewed the four main responsibilities of the BSA Foundation Board; and Board Self- Strategic; Position & Policy, Fiduciary; and Governance. Board members were asked to Assessment: review their 2016 Board experience and assess their performance using the 10 questions they had received prior to the meeting. Other Business: Davis thanked all out-going board members for their time and commitment. Executive Board members were asked to review the performance of current BSA Executive Session: Director, Eric White. BSA staff was asked to leave the room. Adjourn: Upon a motion by Wernick, seconded by Heart, it was VOTED to adjourn the meeting at 2pm; unanimous. This year we will have a full audit which should be completed by late Spring. The 2017 budget is included in the full Board packet. Development See Q3 Development report, which also includes grant details, for more information. Communications The BSA Foundation and the BSA's work on housing has been actively communicated to our multiple audiences, as well as the audiences of our partners, including Boston City Hall. The Urban Housing Unit, which toured seven neighborhoods throughout the City of Boston, including Fort Point Channel was branded to BSA Space. Other housing initiatives that were promoted this fall and winter have included the BSA Space exhibition, One Room Mansion and the Housing Competition focused on the Garrison Trotter neighborhood of Boston. The BSA Foundation fundraising breakfast called for the creation of a video expressing three Foundation impact stories, and can be viewed online. The breakfast, an invitation only event, was recapped online. 2016 Grantees were announced by press release in mid-December. Other exhibitions that were communicated through our traditional and social media channels, as well as partner networks and the media, included Canstruction and Gingerbread. ArchitectureBoston's latest issue "Domicile," dropped November 1. It was the fourth in a year-long series focused on Boston's "Year of the Plan." Funded by the Boston Foundation, this involved 30 designers in five teams creating visuals to illustrate the potential
