Inc. | 860 Broadway, 6th Floor | New York, NY 10003 | www.law360.com Phone: +1 646 783 7100 | Fax: +1 646 783 7161 | customerservice@law360.com Global Aviation Holdings: The KERP Is Back Law360, New York (August 06, 2012, 1:11 PM ET) -- In a recent decision[1] involving Global Aviation Holdings Inc. and its affiliated debtors (collectively, the “debtors”), the United States Bankruptcy Court for the Eastern District of New York granted the debtors' motion for approval of a key employee retention plan (the “KERP motion”) pursuant to Sections 363(b) and 503(c)(3) of Title 11 of the United States Code over the objections of both the United States Trustee for Region 2 (the “UST”) and the official committee of unsecured creditors (the “committee”). In the objections, the committee and the UST argued the debtors were seeking to pay bonuses to insiders without satisfying the requirements set forth in Section 503(c)(1) of the Bankruptcy Code. The committee and the UST also argued, that to the extent the key employee retention plan recipients turned out to be non-insiders, the debtors did not establish whether the proposed key employee retention plan payments were “justified by the facts and circumstances of the case” as required by Section 503(c)(3) of the Bankruptcy Code. The debtors operate two airlines: North American Airlines Inc. and World Airways Inc. From the outset of their bankruptcy cases, the debtors planned to move North American’s headquarters from JFK International Airport in Jamaica, N.Y., to World’s headquarters in Peachtree City, Ga., in order to consolidate operations.

    Competition The market for ACMI services is competitive. We believe that the most important basis for competition in the ACMI market is the efficiency and cost effectiveness of the aircraft assets and the scale, scope and quality of the outsourced operating services provided. Atlas is currently the only provider of ACMI services with the new 747-8F aircraft. The primary providers presently in the 747-400F and 747-400 BCF/SF ACMI markets include the following: Atlas; Air Atlanta Icelandic; Evergreen International Aviation; Kalitta Air, LLC; Southern Air, Inc.; and Global Aviation Holdings, Inc. (World Airways, Inc. and North American Airlines, Inc.). In addition, Southern Air, Inc. provides 777 aircraft in the ACMI market. While our AMC Charter business has been profitable each year since 2004, the formation of additional competing teaming arrangements, increased participation of other independent carriers, an increase by other air carriers in their commitment of aircraft to the CRAF program, the withdrawal of any of the current team members, or a reduction of the number of aircraft pledged to the CRAF program by our team, and the uncertainty of future demand for commercial airlift by the U.S. Military, could adversely affect the amount of AMC business awarded to us in the future. To the extent that we receive a reduction in our awards or expansion business, we intend to redeploy the available aircraft to our other business segments. The Commercial Charter market is highly competitive, with a number of operators that include Evergreen International Aviation; Kalitta Air, LLC; Southern Air, Inc.; and passenger airlines providing similar services utilizing both 747-400s and 747-200s.

    FEBRUARY 2012 AVIATION REGULATORY UPDATE 1. DOT BEGINS 2012 WITH A BANG It appears DOT will continue to impose massive fines during the 2012 calendar year. In 2011, DOT issued a record $5,694,000 in civil penalties, which was an increase of approximately $2,000,000 from 2010 levels. Of the 59 consent orders published last year, approximately one third involved fines levied against foreign carriers. Judging by the Department’s activity in January 2012, especially against foreign carriers, we can likely expect to see even higher numbers in 2012. Advertising: Total of $180,000 Icelandair Group: On January 18, 2012, DOT fined Icelandair $50,000 for violating the Department’s advertising requirements, as set forth in 14 C.F.R. 399.84. DOT’s investigation revealed that Icelandair had advertised fares that were followed only by an asterisk. DOT determined that this was a deceptive practice because there was no further elaboration on the asterisk, and customers had to click through several web pages in order to locate the disclosure of fees and taxes that were applicable to their flight. Asiana Airlines: The Department levied a penalty of $70,000 against Asiana Airlines on January 23, 2012, also for advertising violations. In this case, DOT found that certain “Special Fares” advertised in the Fall of 2011 violated 14 C.F.R. 399.84. The fares advertised items such as “Beijing from $498” and included links below the fare that stated “Additional taxes, fees, and other restrictions may apply”. When a customer clicked on the link the information regarding the additional taxes and fees was at the bottom of the page in fine print.
