Annual Report 2008 BABCOCK & BROWN AIR LIMITED Babcock & Brown Air Limited (B&B Air) acquires and leases modern, high- demand and fuel-efficient commercial jet aircraft under multi-year operating lease contracts to a diverse group of airlines throughout the world. B&B Air is managed and serviced by Babcock & Brown Aircraft Management (BBAM), the world’s fourth largest aircraft leasing company. As our servicer, BBAM arranges and manages the leases of our fleet and acquires and divests our aircraft. BBAM has more than 20 years of experience in aircraft and lease origination, re-marketing, administration, technical management and disposition. BBAM manages a fleet of approximately 300 commercial aircraft valued at more than $7.8 billion, leased to 80 airlines in 35 countries. BBAM’s established leadership position in the aircraft leasing industry, its experienced senior management team and its extensive relationships throughout the world allow us to maximize the value of our portfolio throughout its life cycle by acquiring aircraft economically, accessing the most attractive markets, re-marketing our aircraft efficiently when leases expire and disposing of our aircraft for the best value when market conditions warrant. 1 LETTER From THE CHAIRMAN AND THE CEO Dear Fellow Shareholders, We are pleased to report on B&B Air’s first year as a public company. In 2008, B&B Air produced strong financial results. Our net income was $48.1 million, or $1.44 per share, on revenues of $236.1 million. During the year our unrestricted cash balance increased by $41.2 million to $56.8 million, after returning nearly $74 million to shareholders through a combination of dividends and share repurchases. -

Inc. | 860 Broadway, 6th Floor | New York, NY 10003 | www.law360.com Phone: +1 646 783 7100 | Fax: +1 646 783 7161 | [email protected] Global Aviation Holdings: The KERP Is Back Law360, New York (August 06, 2012, 1:11 PM ET) -- In a recent decision[1] involving Global Aviation Holdings Inc. and its affiliated debtors (collectively, the “debtors”), the United States Bankruptcy Court for the Eastern District of New York granted the debtors' motion for approval of a key employee retention plan (the “KERP motion”) pursuant to Sections 363(b) and 503(c)(3) of Title 11 of the United States Code over the objections of both the United States Trustee for Region 2 (the “UST”) and the official committee of unsecured creditors (the “committee”). In the objections, the committee and the UST argued the debtors were seeking to pay bonuses to insiders without satisfying the requirements set forth in Section 503(c)(1) of the Bankruptcy Code. The committee and the UST also argued, that to the extent the key employee retention plan recipients turned out to be non-insiders, the debtors did not establish whether the proposed key employee retention plan payments were “justified by the facts and circumstances of the case” as required by Section 503(c)(3) of the Bankruptcy Code. The debtors operate two airlines: North American Airlines Inc. and World Airways Inc. From the outset of their bankruptcy cases, the debtors planned to move North American’s headquarters from JFK International Airport in Jamaica, N.Y., to World’s headquarters in Peachtree City, Ga., in order to consolidate operations. -

13.3.2018 EN Official Journal of the European Union L 70/1 II (Non-legislative acts) REGULATIONS COMMISSION REGULATION (EU) 2018/336 of 8 March 2018 amending Regulation (EC) No 748/2009 on the list of aircraft operators which performed an aviation activity listed in Annex I to Directive 2003/87/EC on or after 1 January 2006 specifying the administering Member State for each aircraft operator (Text with EEA relevance) THE EUROPEAN COMMISSION, Having regard to the Treaty on the Functioning of the European Union, Having regard to Directive 2003/87/EC of the European Parliament and of the Council of 13 October 2003 establishing a scheme for greenhouse gas emission allowance trading within the Community and amending Council Directive 96/61/ EC (1), and in particular Article 18a(3)(b) thereof, Whereas: (1) Directive 2008/101/EC of the European Parliament and of the Council (2) amended Directive 2003/87/EC to include aviation activities in the scheme for greenhouse gas emission allowance trading within the Union. (2) Commission Regulation (EC) No 748/2009 (3) establishes a list of aircraft operators which performed an aviation activity listed in Annex I to Directive 2003/87/EC on or after 1 January 2006. (3) That list aims to reduce the administrative burden on aircraft operators by providing information on which Member State will be regulating a particular aircraft operator. (4) The inclusion of an aircraft operator in the Union’s emissions trading scheme is dependent upon the performance of an aviation activity listed in Annex I to Directive 2003/87/EC and is not dependent on the inclusion in the list of aircraft operators established by the Commission on the basis of Article 18a(3) of that Directive. -

Prior compliance list of aircraft operators specifying the administering Member State for each aircraft operator – June 2014 Inclusion in the prior compliance list allows aircraft operators to know which Member State will most likely be attributed to them as their administering Member State so they can get in contact with the competent authority of that Member State to discuss the requirements and the next steps. Due to a number of reasons, and especially because a number of aircraft operators use services of management companies, some of those operators have not been identified in the latest update of the EEA- wide list of aircraft operators adopted on 5 February 2014.
