Founded in 2011 by Douglas Baldasare, a Wharton MBA and passionate entrepreneur, ChargeItSpot addresses a constant and critical need shared by millions of consumers every day – running out of “juice” due to a low battery and no place to charge their phones. ChargeItSpot provides free, secure and easy-to-use charging stations that can charge eight phones at a time. For retailers like Neiman Marcus, Under Armour, Nordstrom and Staples, ChargeItSpot charging stations are an innovative way to provide a much appreciated convenience for their customers while serving as a traffic and sales generator for their stores. In fact, a recent study conducted by GfK, a trusted international market research firm, found that the installation of ChargeItSpot charging stations in one retail chain brought numerous benefits to participating retail stores. The study found a 54 percent conversion rate of customers making a purchase while charging their phone, a 115 percent increase in customer in-store dwell time and a 29 percent increase in the value of each transaction. The GfK study estimated that ChargeItSpot stations generated an approximate $80,000 annual lift per unit. A significant part of ChargeItSpot’s appeal to brands, retailers and other venue owners, is the ability to fully customize the kiosk including the exterior wrap, and the touch screen interface – creating an innovative consumer engagement platform for branded messages and sponsorships.

The deal will result in the creation of a company with a combined enterprise value of c. $24bn and expected revenues of $83bn this year. Besides being part of the recent wave of consolidation characterizing the drug retailing sector, the deal can also be interpreted as a clear move against the potential entry of Amazon in the industry. FOR PUBLICATION UNITED STATES COURT OF APPEALS FOR THE NINTH CIRCUIT BRYON STAFFORD, on behalf of No. 20-55333 himself and all others similarly situated, D.C. Nos. Plaintiff-Appellee, 3:17-cv-01340-AJB-JLB 3:18-cv-00152-AJB-JLB v. OPINION RITE AID CORPORATION, Defendant-Appellant. Appeal from the United States District Court for the Southern District of California Anthony J. Battaglia, District Judge, Presiding Argued and Submitted April 12, 2021 Pasadena, California Filed May 21, 2021 Before: MILAN D. SMITH, JR., SANDRA S. IKUTA, Circuit Judges, and KATHRYN H. VRATIL,* District Judge. Opinion by Judge Milan D. Smith, Jr. * The Honorable Kathryn H. Vratil, United States District Judge for the District of Kansas, sitting by designation. 2 STAFFORD V. RITE AID CORP. SUMMARY** Arbitration The panel affirmed the district court’s order denying Rite Aid Corporation’s motion to compel arbitration in a putative class action alleging that Rite Aid fraudulently inflated the reported prices of prescription drugs to insurance companies, which resulted in class members paying Rite Aid a higher co-payment for their drugs. Although Rite Aid and lead plaintiff Bryon Stafford had no contract between them containing an arbitration clause, Rite Aid did have such contracts with the intermediaries who coordinated insurance reimbursement and co-payment calculations, called “pharmacy benefits managers.” The panel held that, under California law, Stafford’s claims did not depend on Rite Aid’s contractual obligations to the pharmacy benefits managers. Consequently, equitable estoppel did not apply to bind Stafford to the arbitration agreements in those contracts. The panel affirmed the district court’s denial of Rite Aid’s arbitration motion to compel arbitration, and remanded for further proceedings.
