  • Sinclair Broadcast Group Closes on Acquisition of Barrington Stations
Contact: David Amy, EVP & CFO, Sinclair Lucy Rutishauser, VP & Treasurer, Sinclair (410) 568-1500 SINCLAIR BROADCAST GROUP CLOSES ON ACQUISITION OF BARRINGTON STATIONS BALTIMORE (November 25, 2013) -- Sinclair Broadcast Group, Inc. (Nasdaq: SBGI) (the “Company” or “Sinclair”) announced today that it closed on its previously announced acquisition of 18 television stations owned by Barrington Broadcasting Group, LLC (“Barrington”) for $370.0 million and entered into agreements to operate or provide sales services to another six stations. The 24 stations are located in 15 markets and reach 3.4% of the U.S. TV households. The acquisition was funded through cash on hand. As previously discussed, due to FCC ownership conflict rules, Sinclair sold its station in Syracuse, NY, WSYT (FOX), and assigned its local marketing agreement (“LMA”) and purchase option on WNYS (MNT) in Syracuse, NY to Bristlecone Broadcasting. The Company also sold its station in Peoria, IL, WYZZ (FOX) to Cunningham Broadcasting Corporation (“CBC”). In addition, the license assets of three stations were purchased by CBC (WBSF in Flint, MI and WGTU/WGTQ in Traverse City/Cadillac, MI) and the license assets of two stations were purchase by Howard Stirk Holdings (WEYI in Flint, MI and WWMB in Myrtle Beach, SC) to which Sinclair will provide services pursuant to shared services and joint sales agreements. Following its acquisition by Sinclair, WSTM (NBC) in Syracuse, NY, will continue to provide services to WTVH (CBS), which is owned by Granite Broadcasting, and receive services on WHOI in Peoria, IL from Granite Broadcasting. Sinclair has, however, notified Granite Broadcasting that it does not intend to renew these agreements in these two markets when they expire in March of 2017.

Vertically integrated behemoths like Netflix and Amazon continue to grow with no end in sight. Despite this, we believe there is a place in the media ecosystem for traditional terrestrial broadcast companies. SUMMARY AND OPINION We view the broadcasters as attractive investments. We believe there is the potential for consolidation. On April 20, 2017, the FCC reinstated the Ultra High Frequency (UHF) discount giving broadcasters with UHF stations the ability to add stations without running afoul of the National Ownership Cap. More importantly, the current 39% ownership cap is under review at the FCC. Given the ubiquitous presence of the internet which foster an excess of video options and media voices, we believe the current ownership cap could be viewed as antiquated. Should the FCC substantially change the ownership cap, we would expect consolidation to accelerate. Broadcast consolidation would have the opportunity to deliver substantial synergies to the industry. We would expect both cost reductions and revenue growth, primarily in the form of increased retransmission revenue, to benefit the broadcast stations and networks.

  • Free Press Written Testimony
Written Testimony of Matthew F. Wood Policy Director Free Press and the Free Press Action Fund before the Congress of the United States House of Representatives Committee on Energy and Commerce Subcommittee on Communications and Technology regarding “Reauthorization of the Satellite Television Extension and Localism Act” March 12, 2014 Free Press/Free Press Action Fund Testimony – March 12, 2014 House Committee on Energy and Commerce – Subcommittee on Communications and Technology SUMMARY Section 4 of the Discussion Draft for Reauthorization of the Satellite Television Extension and Localism Act would prohibit the Federal Communications Commission from preventing serious and ongoing violations of its local television multiple ownership rule. These violations harm competing businesses and diminish the number of competing viewpoints on our nation’s airwaves. They cause job losses, as broadcasters outsource the news and consolidate newsrooms. And they diminish the number of competing local newscasts, because stations subject to outsourcing agreements and de facto control by another broadcaster simply do not gather or air their own news. The FCC moved on Thursday, March 6th, to begin addressing these rule violations, and the harms that media concentration cause. The current wave of consolidation has been fueled by outsourcing agreements that violate the letter and the spirit of the FCC’s rules. No one other than the FCC treats so-called “sidecar” companies of large broadcasters as separate entities from the controlling stations. In fact, the Securities and Exchange Commission treats these shell companies as what they are: subsidiaries and assets of the operating broadcaster. The agency in charge of making sure investors know the truth doesn’t allow companies to play these shell games, and neither should the FCC.

Stearns Joe Torres Nov. 6, 2009 Free Press 501 Third Street, NW Suite 875 Washington, DC 2001 202-265-1490 1 Introduction Free Press submits these comments in response to the Federal Trade Commission’s request for information regarding the state of journalism, and, in particular, how the emergence of the Internet has affected traditional journalism and economic models for providing news.1 The FTC has also stated that it will hold public workshops examining these issues.2 Given the role that quality journalism plays in providing a check on government and corporations, exposing corruption, and, above all, ensuring an informed citizenry, we are pleased the Federal Trade Commission is launching this review. Indeed, the timing couldn’t be more critical. Accordingly, Free Press takes this opportunity to address a few of the problems facing journalism and to present range of potential solutions for discussion. Free Press is a national, nonpartisan organization working to reform the media. Through education, organizing and advocacy, we promote diverse and independent media ownership, strong public media, and universal access to communications. We submit these comments on behalf our more than 500,000 activists and members from across the country. Free Press has a strong interest in the future of journalism and the vibrancy of the news marketplace. We are currently engaged in a broad effort to solicit ideas from the public, scholars and advocates about what the response to this crisis should be, particularly in terms of government policy.

Ross J. Lieberman Vice President of Government Affairs American Cable Association 2415 39th Place, NW Washington, DC 20007 [email protected] (202) 494-5661 June 3, 2013 VIA ECFS Marlene H. Dortch Secretary Federal Communications Commission 445 12th Street, SW Washington, DC 20554 Re: Ex Parte Communication of the American Cable Association; 2010 Quadrennial Regulatory Review -- Review of the Commission's Broadcast Ownership Rules and Other Rules Adopted Pursuant to Section 202 of the Telecommunications Act of 1996, MB Docket No. 09-182; Amendment of the Commission’s Rules Related to Retransmission Consent, MB Docket No. 10-71. Dear Ms. Dortch: The American Cable Association (“ACA”) has previously brought to the Commission’s attention the widespread and increasing consolidation in the local television station marketplace, particularly the rising prevalence of separately owned, same market Big 4 network affiliates (e.g., ABC, CBS, FOX, NBC) coordinating their activities in ways that are harmful to competition and consumers. ACA submits this letter in the above referenced dockets now in light of the significant number of recent broadcast television mergers and acquisitions and sharing agreements, which present fresh evidence highlighting how broadcasters effectively ignore the Commission’s prohibition on duopoly ownership between top four-rated stations in the same market (usually Big 4 network affiliates), particularly through creative structuring of license transfers, followed by subsequent arrangements to coordinate activities. Taking into account deals that have closed in 2013, and those currently pending, within months there will likely be at least five new instances of top four-rated stations in a single market operating under a sharing arrangement, and the year is only half over.

  • Cease to Resist: How the FCC’S Failure to Enforce Its Rules Created a New Wave of Media Consolidation
Cease to Resist: How the FCC’s Failure to Enforce Its Rules Created a New Wave of Media Consolidation S. Derek Turner Free Press October 2013 EXECUTIVE SUMMARY The U.S. broadcast television industry is in the midst of a wave of consolidation, which one longtime industry insider described as “the biggest wave ... in the history of television.”1 This wave is leaving in its wake shuttered newsrooms and jobless journalists in communities all across the country. And there is likely much more of this to come. Local broadcast journalism is already suffering from two decades of rampant media consolidation. Absentee corporate owners, concerned only with profit maximization, long ago pushed out most station owners with ties to their communities. Prioritizing profit above public service, these corporations replaced political reporters with political ads. Cross-promotions for American Idol displaced important news stories. Cheap-to-produce traffic, weather and sports updates now comprise nearly half of all local news programming. And in many communities, the same company owns multiple media outlets: Changing the channel brings the same content from the same newsroom, packaged with slightly altered graphics. The Federal Communications Commission — the agency tasked with ensuring the public airwaves serve the public interest — has been a willing accomplice to this destruction of local journalism. Indeed, as this report demonstrates, FCC policies are a major factor driving the latest wave of consolidation. Even as the agency fought in court to maintain its ownership limits, it signaled to the market that it had no intention of even examining covert- consolidation agreements, much less calling them out as blatant violations of the agency’s rules.
