Fees: A registration fee of $25 is charged for the initial registration to conduct business in the state, which is effective to the end of the calendar year; the same fee charged annually for renewing your registration.

A certificate of good standing, duly authenticated by the proper officer of the original jurisdiction, also is required. These documents must be filed with the Corporation’s Division of the Secretary of State, along with a fee of $100.

The registered agent must have a business office identical with the foreign corporation’s registered office. The corporation must promptly notify the Corporation’s Division of the Secretary of State, by filing a statement of change, whenever it changes its registered office of agent. The fee is $20.

When a foreign corporation changes its name, the period of its duration, or the state or country of its incorporation, it must amend its certificate of authority. This fee is $25.

Each foreign corporation authorized to do business in Vermont must file an annual report with the Corporation’s Division of the Secretary of State within two and a half months after the close of the corporate fiscal year, along with a fee of $150.

If a foreign corporation authorized to do business in the state fails to file the annual report within two and a half months after the close of the corporate fiscal year, the Corporations Division of the Secretary of State’s office will notify the corporation that the corporation’s authority has been involuntarily terminated; its ability to transact business lawfully in Vermont will cease on the date shown on the termination notice. The foreign corporation will have to file for reinstatement before it can resume doing business in Vermont as a foreign corporation. Reinstatement involves payment of the $150 fee for filing each delinquent annual report plus a fee of $25 for each year the corporation is delinquent.

In Vermont, foreign corporations do not dissolve; they withdraw. Upon receiving an application to withdraw and a fee of $20, the Corporation’s Division of the Secretary of State issues a certificate of withdrawal.

The fees for copies of corporation documents on file with the Corporation’s Division of the Secretary of State are $1 per page plus $20 per document if the copies are to be certified.
