2008 Report of Political Financial Support 2008 Report of Political Financial Support POLITICAL CONTRIBUTIONS Eli Lilly and Company is committed to participation in the political process as a responsible corporate citizen to help inform the debate in the United States over healthcare and pharmaceutical innovation. As a company that operates in a highly competitive and regulated industry, we must participate in the political process in order to fulfill our fiduciary responsibility to our shareholders. Government actions such as price controls, importation, and access restrictions impact availability of medicines to patients and Lilly’s ability to invest in innovation. We maintain a comprehensive government relations operation to monitor and influence the public policy-making process at both the state and federal levels. Corporate Contributions Elected officials, no matter what level, have an impact on public policy issues affecting Lilly. We are committed to backing candidates of any party who support public policies that contribute to pharmaceutical innovation and healthy patients. A number of factors are considered when reviewing candidates for support. The following evaluation criteria are used to allocate corporate contributions: • Has the candidate historically voted or announced positions on issues of importance to Lilly, such as pharmaceutical innovation and healthcare? • Has the candidate demonstrated leadership on key committees of importance to our business? • Does the candidate demonstrate potential for legislative leadership? • Is the candidate dedicated to improving the relationship between business and government? • Does the candidate represent a state or district where Lilly operates a facility or has a large concentration of employees or retirees? • Would Lilly support have an impact on his or her campaign? It is against company policy for any company funds, property, or employee services to be used to support any candidate for political office, political party, official, or committee unless the support is permitted by law. Lilly corporate donations are made in accordance with a budget for company contributions. This budget is determined annually and allocated by state. Throughout the year, members of the company’s government affairs organization bring forward specific recommendations for company contributions. The Chief Financial Officer and General Counsel of the company must approve U.S. corporate contributions before they are made. The government affairs group manages the process for delivery of contributions so approved. Lilly PAC Contributions In addition to corporate contributions, Lilly also enables voluntary employee participation by sponsoring a Political Action Committee, the Lilly PAC. The Lilly PAC Governing Board oversees all 2 2008 Report of Political Financial Support donations made by the PAC. This board is comprised of 13 employees who range in level from associate to president. These employees represent components throughout the company. Lilly PAC donations are made in accordance with a budget, which is determined annually by the Lilly PAC Board. The Board utilizes the same corporate contribution criteria outlined above for determining Lilly PAC contributions. Lilly PAC support is divided equally between federal and state candidates. Throughout the year, members of the company’s government affairs organization and employee PAC members bring forward specific recommendations for Lilly PAC contributions. Lilly PAC contributions are not required to be approved separately by the Chief Financial Officer or General Counsel of Lilly. The PAC is funded by contributions from eligible employees. All disclosure requirements are met that apply to the PAC. PAC contribution data is available to the public on the Federal Election Committee (FEC) website and through the individual states’ agencies. Memberships In addition to direct political contributions, Eli Lilly and Company also maintains memberships in organizations that report lobbying activity to the U.S. federal government. Lilly is committed to supporting these organizations who champion public policies that contribute to pharmaceutical innovation and healthy patients. Below is a list of organizations in which Lilly contributes $50,000/ year or more. Organizations where the company has a board seat are noted to reflect the greater degree of involvement in setting priorities for those organizations. Memberships in 2008 include: Biotechnology Industry Organization (Board), Business Roundtable, California Chamber of Commerce, California Independent Voter, Democratic Legislative Campaign Committee, Gingrich Group, Healthcare Leadership Council (Board), Latino Legislative Caucus, PhRMA (Board), National Association of Manufacturers (Board), Republican Governor's Association, Republican State Leadership Committee, Third Way, and US Chamber of Commerce.
