The City Council of the City of Natchitoches met in legal and regular session at the Natchitoches Municipal Building, 560 Second Street, Natchitoches, Louisiana on Monday, October 14, 2019 at 5:30 p.m.

There were present:

Mayor Lee Posey called the meeting to order and welcomed everyone for coming. Michael Braxton was asked to lead the invocation and Councilman Eddie Harrington led the Pledge of Allegiance.

Mayor Posey then called for the reading and approval of the minutes for the September 23, 2019 meeting. Mr. Mims moved that we dispense with the reading of the minutes and approval of same. Seconded by Ms. Morrow a roll call vote was as follows:

Mayor Posey asked everyone to please keep the families of John Lodrigue, David Cox, and Carol Wells in your prayers as they all recently passed away. The following Resolution was introduced by Mr. Mims and Seconded by Mr. Harrington as follows, to –wit:

RESOLUTION NO. 077 OF 2019

PROCLAMATION DECLARING MONDAY, OCTOBER 14, 2019 AS “PAINT THE TOWN PURPLE DAY” AND OCTOBER 14 THROUGH OCTOBER 19, 2019 AS “HOMECOMING WEEK” AT NORTHWESTERN STATE UNIVERSITY

WHEREAS, Northwestern State University’s 2019 Homecoming Festivities will feature some new attractions, this year’s theme is “Disney” and will offer reunion events and student events such as the annual homecoming parade & pep rally; and

WHEREAS, October 14 – 19, 2019 Northwestern State University will celebrate Homecoming Week and the City wishes to proclaim this as a time to generate school spirit throughout the City of Natchitoches and surrounding communities; and

WHEREAS, Monday, October 14th is Paint the Town Purple Day and the City of Natchitoches encourages all citizens, businesses and organizations to support Northwestern State University by displaying purple and white during Homecoming Week and to join in the celebrations of our distinguished university; and

WHEREAS, NSU President Dr. Chris Maggio, Head Football Coach Brad Laird and all homecoming honorees would like city-wide support and attendance at day-long activities, pre-game and the homecoming football game, NSU versus Central Arkansas, on Saturday, October 19, 2019.

NOW, THEREFORE, I, Lee Posey, Mayor, and the City Council of the City of Natchitoches, do hereby proclaim the week of October 14 through 19, 2019 as:

In the City and Parish of Natchitoches and urge all citizens to join in the celebration of our Northwestern State University football team in the Homecoming Game scheduled Saturday, October 19, 2019.

Mr. Don Mims presented the proclamation to the NSU Homecoming Court and thanked them for everything they do for Northwestern and our community. Jacob Ellis, SGA President, thanked everyone who had a hand in presenting this proclamation tonight. He expressed the students’ excitement for homecoming week and invited everyone to come out. Mayor Posey thanked them for their efforts and how big they have made the NSU Homecoming Parade as they have ventured off campus and parade downtown to the riverbank. The following Ordinance was introduced by Mr. Mims at the Natchitoches City Council meeting held on October 14 2019 as follows:

ORDINANCE NO. 041 OF 2019

AN ORDINANCE DECLARING THE BUILDINGS ON THE PROPERTY SITUATED AT 312 SECOND STREET IN NATCHITOCHES, LOUISIANA, TO BE DILAPIDATED, DANGEROUS AND UNSAFE AND ORDERING THEIR DEMOLITION AND REMOVAL WITHIN A CERTAIN DELAY; PROVIDING FOR A HEARING FOR THE OWNER TO SHOW CAUSE WHY SAID BUILDINGS SHOULD NOT BE DEMOLISHED AND REMOVED; AND AUTHORIZING THE MAYOR TO PROCEED WITH DEMOLITION AND REMOVAL IN THE EVENT THE OWNER FAILS TO COMPLY WITH DEMOLITION ORDER

WHEREAS, the City Building Inspector and the Director of Planning & Zoning have filed a written report with the City Council declaring the buildings on the below described property of the below named Owner to be in a dilapidated and dangerous condition which makes said buildings unsafe and endangers the public welfare, and recommending that said buildings be demolished and removed, to wit:

WHEREAS, in accordance with La. R.S. 33:4762(A)(1) the Owner is allowed to show cause at a public hearing before the City Council why the buildings on the above described property should not be condemned and ordered demolished and removed; and

WHEREAS, this Ordinance provides for a public hearing before the City Council on the 25th day of November, 2019, on the condemnation, demolishment and removal of the buildings on the property situated at 312 Second Street, Natchitoches, Louisiana; and

WHEREAS, in the event the evidence adduced at the public hearing before the City Council on November 25, 2019, shows the buildings on the property situated at 312 Second Street, Natchitoches, Louisiana, are in a dilapidated and dangerous condition which endangers the public welfare, and should be demolished and removed, the City Council is authorized by La. R.S. 33:4761 to cause said buildings to be demolished and removed;

WHEREAS, La. R.S. 33:4763 allows the City Council, after the public hearing, to enter an order condemning buildings and ordering said buildings to be demolished and removed within a certain delay, if in the opinion of the City Council, the facts warrant said action;

WHEREAS, La. R.S. 33:4765 provides that in the event the Owner fails or refuses to comply with the decision ordering the buildings to be demolished and removed and fails to timely appeal the order requiring demolition and removal of the buildings, the Mayor may proceed with demolition and removal of the condemned buildings upon serving notice on the Owner, giving the time when work will begin on the demolition and removal of the buildings.

NOW THEREFORE, BE IT ORDAINED by the City Council in legal session convened as follows: (1) That a public hearing before the City Council be and hereby is set for November 25, 2019, at which hearing the Owner of the property situated at 312 Second Street, Natchitoches, Louisiana, is to appear and show cause why the buildings thereon should not be condemned and ordered demolished and removed;

(2) That approval of this Ordinance by the City Council, after due proceedings had on November 25, 2019, will serve as a declaration that the buildings on the property situated at 312 Second Street, Natchitoches, Louisiana, are in a dilapidated and dangerous condition which makes said buildings unsafe and a danger to the public welfare;

(3) That approval of this Ordinance will serve as the condemnation of the buildings on the property situated at 312 Second Street, Natchitoches, Louisiana;

(4) That approval of this Ordinance will serve as the Order of the City Council that the buildings on the property situated at 312 Second Street, Natchitoches, Louisiana, be demolished and removed within 30 days after the approval of this Ordinance;

(5) That in the event the Owner fails or refuses to comply with the City Council’s order that the buildings to be demolished and removed and fails to timely appeal the order requiring demolishment and removal of the buildings, Mayor Lee Posey is authorized to proceed with demolition and removal of the condemned buildings upon serving notice on the Owner, giving the time when work will begin on the demolition and removal of the buildings.

THIS ORDINANCE was introduced on October 14, 2019, and published in the Natchitoches Times on October 17, 2019.

Tim Tryniecki with Sterling Bank the mortgage holder of the property mentioned stated he was here for prior meetings and presented two new exhibits tonight. The same architect has been hired who inspected the property back in April and found there is no danger and is a construction project in progress. He found no structural defects of the building. His firm has entered a contract with Sterling Bank to present a redesign of the project. The firm should have plans to submit to the City by November 8th and are 40% complete at this time. Mr. Tryniecki questioned why some clauses in respect to the demolition have changed or been removed and would like their project to be treated like any other brought before the City. Mr. Corkern addressed Mr. Tryniecki’s concern of the language change in the notice given referenced only condemnation and demolition as well as his concern of what has changed in the condition of the building. Mr. Corkern stated nothing has changed in the condition of the buildings as a result of the fact the condition of the building has been the same over the last 10 years and the proposal is to demolish them for this reason. Mrs. Fowler did state additional work had not been done other than securing fencing around the property. She did mention for the record exhibits of notices starting back in February 2018 corresponding with the owner about the condition of the property.

The following Ordinance was Introduced by Mr. Harrington and Seconded by Mr. Mims as follows, to- wit:

ORDINANCE NUMBER 036 OF 2019

AN ORDINANCE AUTHORIZING THE CITY TO LEASE A TRACT OF LAND TOGETHER WITH IMPROVEMENTS LOCATED ON THE EAST SIDE OF NORTH STREET TO SCUS HEAD START PROGRAMS, INC., D/B/A SAVE THE CHILDREN HEAD START, SETTING THE TERMS AND CONDITIONS OF SAME, AND AUTHORIZING THE EXECUTION OF THE LEASE BY THE MAYOR, LEE POSEY, AFTER DUE COMPLIANCE WITH THE LAW, AND FURTHER PROVIDING FOR ADVERTISING OF THE LEASE AND AN EFFECTIVE DATE.

WHEREAS, the City of Natchitoches (City) is the owner of certain property situated on the East right of way of North Street, bears municipal address of 319 North Street, and is more particularly described as follows, to-wit:

Those five (5) certain lots of ground described as Lots K, L, M, N and O on a plat of survey recorded in Map Book 116, page 86 and being the same property acquired by the City of Natchitoches from Nita C. and George C. Sutton by deed dated March 1, 1941 and recorded at Conveyance Book 186, page 506 of the Records of Natchitoches Parish, Louisiana, said lots having originally been purchased from I. Semmelson.

LESS AND EXCEPT: A lot off the Southern portion of said tract sold to Winnfield Life Insurance Company pursuant to Ordinance No. 953, said deed dated November 21, 1969 and recorded at Conveyance Book 289, page 425 of the Records of Natchitoches Parish, Louisiana, said lot recited to measure 100 feet by 160 feet and being the same property described on a plat of survey purportedly attached to a lease from the City of Natchitoches to the Police Jury of Natchitoches, Louisiana, recorded in Mortgage Book 246, page 27. (Sometimes hereinafter referred to as “Subject Property”); and

WHEREAS FURTHER, the Subject Property has been used as a part of the Head Start program in the City of Natchitoches in the past; and

WHEREAS FURTHER, the City desires to continue to make the Subject Property available for use associated with the Head Start program and to that end the City has negotiated the lease of the Subject Property to SCUS Head Start Programs, Inc., d/b/a Save the Children Head Start (Sometimes hereinafter referred to as “SCUS”) under the terms more fully set forth in the attached lease; and

WHEREAS FURTHER, the lease shall have a five year term with two additional one year options to extend the lease; and

WHEREAS FURTHER, the consideration for the lease shall be $500.00 per month for the first year of the lease, $550.00 per month for the second year of the lease, $600.00 per month for the third year of the lease, $650.00 per month for the fourth year of the lease, and $700.00 per month for the fifth year of the lease; and in the event that the options to extend are exercised, the rental shall increase of $50.00 per month for each annual term that the lease is extended; and

WHEREAS FURTHER, the City Council of the City of Natchitoches is of the opinion that the Subject Property is surplus property and does hereby declare and find that the Subject Property located at 319 North Street, to be surplus property; and

WHEREAS FURTHER, the City desires to lease the Subject Property described above to SCUS, under the terms set forth above and more particularly set forth in the lease attached hereto; and.

WHEREAS FURTHER, under the provisions of Louisiana R. S. 33:4712, any property owned by the City can be leased to any person after due advertisement and compliance with the law; and

NOW THEREFORE, BE IT ORDAINED by the City Council in legal session convened as follows:

(1) That after due proceedings and advertisement, the said City does lease the Subject Property located at 319 North Street to SCUS for the term of five years, with two options to renew for additional one year terms on the terms and conditions as are all as more fully described in the attached lease.

(2) That notice of this proposed ordinance be published three (3) times in fifteen (15) days, one (1) week apart, in the Natchitoches Times, the legal journal for the City, and that ordinance be posted in the City Hall.

(3) That any opposition to this ordinance shall be made in writing, filed with the Clerk for the City of Natchitoches within fifteen (15) days after the first publication of this ordinance, and that a public hearing be held after the advertisements have been completed.

(4) That the Mayor, Lee Posey, be and he is hereby authorized, after due proceedings had, and after the legal delays have run, to execute a lease in favor of SCUS, leasing the Subject Property located at 319 North Street for the term of five years, with two options to renew for additional one year terms, on the terms and conditions as are all as more fully described in the attached lease.

(5) That the City Clerk be authorized to advertise this proposed lease in accordance with law, i.e., three times in fifteen days, one week apart and to report to the City Council if any opposition is made in writing prior to the time of final adoption.

(6) That the City declares that the Subject Property located at 319 North Street, to be surplus property not needed for public purposes by the City.

THIS ORDINANCE was introduced on September 9, 2019 and published in the Natchitoches Times on September 12, September 19 and September 26, 2019.

Mayor Posey stated there is a representative from the Head Start here today. The facility that the Parish Government had a CEA with the City on, will be leased to Save the Children starting at $500.00 per month until they get established based on the guidelines in the ordinance above.

Ms. Morrow stated there are other organizations within the City has an interested in purchasing the building. The following Ordinance was Introduced by Mr. Nielsen and Seconded by Mr. Batiste as follows, to-wit:

ORDINANCE NO. 037 OF 2019

AN ORDINANCE AUTHORIZING THE CITY TO CONVEY CERTAIN PROPERTY LOCATED AT THE CORNER OF ASH STREET AND BREDA AVENUE TO SCUS HEAD START PROGRAMS, INC., D/B/A SAVE THE CHILDREN HEAD START, SETTING THE TERMS AND CONDITIONS OF SAME, AND AUTHORIZING THE EXECUTION OF THE DEED OR DEEDS BY THE MAYOR AFTER DUE COMPLIANCE WITH THE LAW.

WHEREAS, the City of Natchitoches (sometimes hereinafter referred to as “City”) is the owner of property situated on the western right of way of Breda Avenue, in that block bounded on the East by Breda Avenue, on the South by property of the City utilized by the Utility Department, on the West by Dixie Street and on the North by Phillip Street (sometimes hereinafter “Subject Tract”) which tract is more fully described as follows, to-wit:

That certain tract of land, together with all improvements thereon, situated on the West side of Breda Avenue in the City and Parish of Natchitoches, Louisiana, being bounded on the North by Lot 1, Block A of Breda Addition, owned now or formerly by Steve Moffett, et al, and by Lot 4, Block A of Breda Addition, owned now or formerly by Patricia Beaudion, on the West by Lot 7, Block 6 of Pinecrest Addition, owned now or formerly by Jimmie Houston, and by Lot 8, Block 5 of Pinecrest Addition, owned now or formerly by Natchitoches Fuller Center for Housing, Inc., on the South by a line extended from the Southeast corner of Lot 8, Block 5 of Pinecrest Addition to the Western right of way of Breda Avenue, said line being parallel to the southern lot line of Lot 8, Block 5 of Pinecrest Addition, and on the East by the western right of way of Breda Avenue.

; and

WHEREAS FURTHER, there are structures and improvements situated on the above described Subject Tract that are not owned by the City and which were placed on the Subject Property by or on behalf of the Natchitoches Head Start Program which serves children in the City of Natchitoches; and

WHEREAS FURTHER, SCUS Head Start Programs, Inc., d/b/a Save the Children Head Start (sometimes hereinafter “SCUS”) is now running the Head Start Programs in the City of Natchitoches, and desires to continue to utilize the Subject Tract to provide programs and services to the citizens of Natchitoches, Louisiana; and

WHEREAS FURTHER, SCUS desires to make additional improvements to the Subject Tract, but has indicated a desire to acquire ownership of the Subject Tract before outlaying additional funds for these improvements; and

WHEREAS FURTHER, the City Council of the City of Natchitoches desires to assist SCUS in its efforts to provide programs and services to the children of the City of Natchitoches, and further acknowledges that the services cannot be replicated by any program that the City of Natchitoches currently offers; and

WHEREAS FURTHER, the City Council recognizes the value of the programs and services provided by SCUS at the facilities located on the Subject Tract, and desires to assist SCUS in providing these programs and services; and

WHEREAS FURTHER, the City has negotiated with SCUS and has agreed to convey the Subject Tract by Quit Claim Deed to SCUS for the sum and price of $500.00, with the additional consideration that SCUS will provide programs and services to the children of the City of Natchitoches at facilities located on the Subject Tract for a period of 5 years; and

WHEREAS FURTHER, in the event that SCUS fails to provide programs and services to children of the City of Natchitoches for a period of five years then in that event, the City shall have an option to repurchase the Subject Tract for the sum and price of $500.00, but SCUS shall have the right to remove any improvements located by it on the Subject Tract; and

WHEREAS FURTHER, a copy of the Quitclaim Deed with Option to Purchase is attached hereto, and have been reviewed and approved by the City Council; and

WHEREAS FURTHER, under the provisions of Louisiana R. S. 33:4712, any property owned by the City can be sold or leased to any person after due advertisement and compliance with the law; and

WHEREAS FURTHER, the Subject Tract is of limited value and is not currently need by the City for any public purpose, and the City Council is of the opinion that the Subject Tract is surplus property, and does hereby declare the Subject Tract to be surplus property; and

NOW THEREFORE BE IT ORDAINED by the City Council of the City of Natchitoches, in legal session convened, that the terms set forth in the proposed Quitclaim Deed and Option to Purchase attached hereto are approved; and

BE IT FURTHER ORDAINED that Lee Posey, Mayor of the City of Natchitoches, be and he is hereby authorized and empowered to execute the Quitclaim Deed and Option to Purchase on behalf of the City of Natchitoches and any other documents that may be necessary to complete the conveyance of the property to SCUS Head Start Programs, Inc., d/b/a Save the Children Head Start.

BE IT FURTHER ORDAINED that notice of this proposed ordinance be published three (3) times in fifteen (15) days, one (1) week apart, in the Natchitoches Times, the legal journal for the City, and that ordinance be posted in the City Hall.

BE IT FURTHER ORDAINED that any opposition to this ordinance shall be made in writing, filed with the Clerk for the City of Natchitoches within fifteen (15) days after the first publication of this ordinance, and that a public hearing be held after the advertisements have been completed.

BE IT FURTHER ORDAINED that the City Clerk be authorized to advertise this proposed conveyance in accordance with law, i.e., three times in fifteen days, one week apart and to report to the City Council if any opposition is made in writing prior to the time of final adoption.

BE IT FURTHER ORDAINED that the City takes cognizance of the fact that the Subject Tract is not currently needed for public purposes by the City.

AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF NATCHITOCHES TO AWARD THE BID FOR THE PURCHASE OF A 3,000 GALLON REAR MODULE JET REFUELER (BID NO. 0620)

WHEREAS, Resolution No.059 of 2019 was passed by the Natchitoches City Council on August 12, 2019 authorizing the Mayor to advertise for bids for the purchase of a 3,000 Gallon Rear Module Jet Refueler (Bid No. 0620); and

WHEREAS, this bid was advertised in the Natchitoches Times on, August 15, 22, and 29, 2019 in accordance with law; and

WHEREAS, five bid proposals were received and opened as follows:

(1) Westmor Fluid Solutions Columbus, MN ...... $177,000.00

(2) American Refueler Equipment Co. Birmingham, AL ...... $180,968.00

(3) Proflo Industries, LLC Alvada, OH ...... $187,250.00

(4) Skymark Refueler, LLC Kansas City, KS ...... $189,900.00

(5) Garsite Progress, LLC Kansas City, KS ...... $214,650.00

WHEREAS, on September 17, 2019 the appointed committee of Edd Lee, Director of Purchasing; Larry Cooper, Airport Manager; Debbie Miley, Finance Director and Lawrence Batiste, Councilman, reviewed the bid proposals for the purchase of a 3,000 Gallon Rear Module Jet Refueler (Bid No. 0620); and

WHEREAS, the above appointed committee members unanimously recommend the City award the bid to the lowest bidder Westmor Fluid Solutions in the amount of $177,000.00.

NOW, THEREFORE, BE IT ORDAINED, that the Honorable Lee Posey, Mayor, is hereby authorized, empowered and directed to sign any and all documents necessary for acceptance of this bid.

AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF NATCHITOCHES, LOUISIANA, TO ENTER INTO A COOPERATIVE ENDEAVOR AGREEMENT WITH NORTHWESTERN STATE UNIVERSITY, PROVIDING FOR THE SHARING OF A ONE PERCENT SALES TAX IN THE NATCHITOCHES ECONOMIC DEVELOPMENT DISTRICT C, FURTHER PROVIDING FOR SEVERABILITY, AND FURTHER PROVIDING FOR A REPEALER AND EFFECTIVE DATE OF ORDINANCE.

WHEREAS, the City of Natchitoches (sometimes hereinafter referred to as the “City”) is a Municipality located in the State of Louisiana, Parish of Natchitoches governed under a Home Rule Charter and a Code of Ordinances adopted by Ordinance No. 5 of 1977; and

WHEREAS FURTHER, the City of Natchitoches is specifically authorized under Section 1.06 of the Charter of the City of Natchitoches to provide for the general welfare, safety, health, peace and good order of the City, and further authorized under Section 1.07 of the Charter of the City of Natchitoches to enter into Joint Service Agreements or Cooperative Efforts with other governmental agencies; and

WHEREAS FURTHER, Northwestern State University (sometimes hereinafter referred to as “NSU”) is a Louisiana governmental agency; and

WHEREAS FURTHER, the City has proposed a sales tax of one percent in the Natchitoches Economic Development District C, State of Louisiana, (sometimes hereinafter referred to as the “District”) by Ordinance Number 23 of 2019, which was introduced on the 10th day of June 2019; and

WHEREAS FURTHER, Ordinance Number 23 of 2019 provides that the purpose of the tax is to provide for the “paying the costs of acquiring, constructing, equipping, operating and maintaining recreational facilities in the City and for the promotion of recreation and sporting events in the City”; and

WHEREAS FURTHER, the City intends to use a portion of the funds to offset the costs of acquiring, constructing, equipping, operating and maintaining the new recreational facility known as Parc Natchitoches which is located on the South side of Highway 6 between I-49 and the Highway 1 By-Pass; and

WHEREAS FURTHER, NSU has an athletic department that hosts sporting events and related activities on campus and in the City of Natchitoches that attracts numerous visitors to the City of Natchitoches, which visitors have a large economic impact on the City and Parish of Natchitoches, Louisiana; and

WHEREAS FURTHER, examples of this impact include the following:

1- During the 2018-19 academic year, the NSU athletic program hosted three Southland Conference championship events (volleyball, softball, men’s and women’s track) over the course of 13 days that had an economic impact of over $1 million. 2- The NSU Athletic Department hosts an estimated 250 recruits and their families annually. 3- The estimated economic impact of the two-day Louisiana High School Athletic Association Cross Country Championship Meet, which has been hosted annually by NSU for over 30 years, is over $7 million annually. 4- NSU hosts over150 regular season games, camps/clinics, high school and other events annually. ; and

WHEREAS FURTHER, NSU will continue to host sporting events and related activities attracting visitors to its campus and the City of Natchitoches, and seeks to improve and expand the quality of athletic facilities and increase the quantity of sporting events, but has limited funds to enhance facilities, promote such events, and increase participation; and

WHEREAS FURTHER, enhanced facilities, events and participation could help the university and the community bringing greater numbers of visitors to the City, which would expand economic development in the City and Parish of Natchitoches and help generate increased tax revenues, and hotels, restaurants and other businesses in the taxing district would benefit financially from those increased visitors; and

WHEREAS FURTHER, the City has proposed to NSU that a portion of the revenue generated by the proposed sales tax of one percent in the Natchitoches Economic Development District C, State of Louisiana, be dedicated to the promotion of recreation and sporting events hosted by NSU in the City of Natchitoches, and that these funds be transferred to NSU to be used for certain defined purposes, as follows:

Facility upkeep and enhancement Event Management operations Social Media Website platform Billboard and radio advertising Video streaming Promotions Funds expended to attract conference championships to Natchitoches Provide ability to reduce admission for citizens of the City to NSU sporting events being held in conjunction with activities held at Parc Natchitoches ; and

WHEREAS FURTHER, the City has proposed that forty percent of the revenue generated by the proposed sales tax of one percent in the Natchitoches Economic Development District C, State of Louisiana, be transferred to NSU (sometimes hereinafter “Transferred Funds”) to be utilized by NSU specifically as set forth above; and

WHEREAS FURTHER, NSU is in need of funds to promote and attract recreation and sporting events to its campus and the City of Natchitoches, and agrees that in exchange for forty percent of the revenue generated by the sales tax of one percent in the Natchitoches Economic Development District C, State of Louisiana, it will use and utilize said funds for those purposes defined above, and further agrees that it will provide annual reports itemizing how the Transferred Funds are expended; and

WHEREAS FURTHER, the City and NSU desire to enter into a Cooperative Endeavor Agreement (sometimes hereinafter “CEA”) setting forth the above agreement between the parties, a copy of said CEA attached hereto; and

WHEREAS FURTHER, the City Council of the City of Natchitoches has reviewed the attached CEA and has approved the terms of same; and

WHEREAS FURTHER, under the general law and the Home Rule Charter of the City of Natchitoches, the City has the right, power, and authority to promote, protect, and preserve the general welfare, safety, health, peace and good order of the City; and

WHEREAS FURTHER, the City Council of the City of Natchitoches is of the opinion that the CEA with the HDBA will promote the health, safety and welfare of the citizens of the City and Parish of Natchitoches, Louisiana, and will provide for the promotion of recreation and sporting events in the City which will lead to economic development; and

NOW THEREFORE BE IT ORDAINED by the City Council of the City of Natchitoches, Louisiana, that the Mayor of the City of Natchitoches, Lee Posey is hereby authorized to execute the attached Cooperative Endeavor Agreement with Northwestern State University.

BE IT FURTHER ORDAINED that the City Council of the City of Natchitoches finds that the proposed Cooperative Endeavor Agreement with Northwestern State University will provide for the promotion of recreation and sporting events in the City which will lead to economic development.

BE IT FURTHER ORDAINED that the terms of the Cooperative Endeavor Agreement, attached hereto, are approved and accepted by the City Council of the City of Natchitoches, Louisiana.

Mr. Innis approached the podium stating he questions the legality of a municipality taxing their residents and turning it over to the state. Mayor Posey stated he disagrees as he see this is giving money to NSU and not the state as they are the heartbeat of this community and this will promote economic development. Mr. Harrington attempted to provide clarification based on a three prompt test from the Attorney General’s office in regards to CEA with those the points being 1) Are you a public entity? 2) It cannot be gratuitous and 3) It has to be in an exchange of value or services of some sort. Mr.Corkern stated it is not a gift, but we are getting something in return from NSU by the services lined out in the CEA. These funds will allow NSU to drive more tournaments to our area and in turn benefit the City of Natchitoches.

Mr. Harrington asked what further services will be provided that will benefit the City and the public. Athletic Director, Greg Burke, addressed the council by stating, for example the state cross country meet is hosted in Natchitoches for the last 30 year that brings over 10,000 people to the community over a three day period, but in 2017 someone bid against us and we collaborated to make a presentation to Baton Rouge as to why we should still have the privilege to continue to host this event. We continue to try to host events for the Southland Conference in various athletic events that have an economic impact on this community. We have to bid on these event and we have to feel confident that we can host these events at our facilities so this is on one hand about now, but also enhancing the quality of the events we want to have in the future.

AN ORDINANCE APPROVING THE ACQUISITION OF A TRACT OF LAND SITUATED ON THE WESTERN RIGHT OF WAY OF SIXTH STREET IN THE CITY OF NATCHITOCHES, FROM EAGLE DISTRIBUTING OF SHREVEPORT, INC., FOR THE TOTAL CONSIDERATION OF FOUR HUNDRED THOUSAND DOLLARS, AUTHORIZING THE MAYOR OF THE CITY OF NATCHITOCHES, LEE POSEY, TO EXECUTE A CASH SALE DEED ON BEHALF OF THE CITY FOR THE ACQUISITION OF THE TRACT AND TO EXECUTE ANY AND ALL OTHER RELATED DOCUMENTS THAT MIGHT BE NECESSARY AND PROPER, TO PROVIDE FOR ADVERTISING, AND A SAVINGS CLAUSE.

WHEREAS, Eagle Distributing of Shreveport, Inc. WHEREAS FURTHER, by Ordinance Number 34 of 2019, the City of Natchitoches (sometimes hereinafter referred to as “City”) approved a Lease with the National Park Service of certain property situated in those blocks bounded on the East by Sixth Street, on the South by Trudeau Street, on the West by Railroad right of way and on the North by Sibley Street, said lease premises to include the “Depot”, which is currently owned by the City and the Subject Property; and

WHEREAS FURTHER, Ordinance Number 34 of 2019 contemplated that the City would negotiate for the purchase of the Subject Property from Eagle, and the City and Eagle have now reached an agreement for the transfer of the Subject Property for the sum and price of $400,000.00; and

WHEREAS FURTHER, the parties have further agreed that the purchase will occur as soon as the acquisition is approved by the City, but that possession of the Subject Property will not occur until January 1, 2020; and

WHEREAS FURTHER, the parties have further agreed that Eagle will grant the City access to the Subject Property so that the City, or its agents, may conduct the inspections necessary to prepare bid documents for repairs and upgrades to the Subject Property; and

WHEREAS FURTHER, Eagle has further agreed to allow the City access to begin minor repairs if such repairs do not interfere with Eagles’ operations at the Subject Property; and

WHEREAS FURTHER, the City Council of the City of Natchitoches has been ordered an appraisal of the Subject Property, and the approval of the purchase is conditioned upon receiving an appraisal which reflects a market value of the real estate in excess of the amount of $400,000.00; and

WHEREAS FURTHER, the City Council of the City of Natchitoches has reviewed the proposed purchase and is of the opinion that the purchase of the Subject Property is in the best interests of the City of Natchitoches and is necessary in order for the City to meet its above described commitments to the National Park Service and that the funds for the purchase and refurbishing of the Subject Property will be recovered over time through lease payments received from the National Park Service; and

WHEREAS FURTHER, the Mayor and City Council have studied the matter and have concluded that it is in the best interest of the CITY, its citizens, and the general public to acquire the Subject Property; and

WHEREAS FURTHER, the City Council of the City of Natchitoches desires to purchase the Subject Property from Eagle Distributing of Shreveport, Inc. for the sum of $400,000.00, under the terms and conditions as set forth in the attached Cash Sale Deed; and

WHEREAS FURTHER, the City Council of the City of Natchitoches is of the opinion that it is in the interest of the City to purchase of the Subject Property and desires to authorize Mayor Lee Posey, to execute a deed and all associated documents; and

WHEREAS FURTHER, the Mayor and City Council have studied the matter and have concluded that the acquisition of the Subject Property would be in the best interest of the City, its citizens, and the general public; and

NOW THEREFORE BE IT ORDAINED by the City Council in regular session convened as follows:

I. That the purchase of the Subject Property, under the terms set forth in the attached Cash Sale Deed, is approved, and the Honorable Mayor, Lee Posey, be and he is hereby authorized and empowered to execute the Cash Sale Deed on behalf of the City, all in accordance with the general terms and conditions set forth in this Ordinance. The said Mayor is hereby given full and complete authority to incorporate in said instrument such terms, conditions, and agreements as may be necessary to protect the interest of the City in substantial compliance with the general terms and conditions set forth in this Ordinance in order to acquire the property described as follows, to-wit:

The following Ordinance was introduced by Mr. Mims at the Natchitoches City Council meeting held on October 14 2019 as follows:

ORDINANCE NO. 045 OF 2019

AN ORDINANCE FURTHER AMENDING THE GEOGRAPHICAL BOUNDARIES OF NATCHITOCHES ECONOMIC DEVELOPMENT DISTRICT C, STATE OF LOUISIANA; EXTENDING THE LEVY AND COLLECTION OF AN EXISTING 1% SALES AND USE TAX AND A 2% HOTEL OCCUPANCY TAX INTO THE EXPANDED GEOGRAPHICAL BOUNDARIES OF THE DISTRICT; AND PROVIDING FOR OTHER MATTERS IN CONNECTION WITH THE FOREGOING.

WHEREAS, Part II, Chapter 27, Title 33 of the Louisiana Revised Statutes of 1950, as amended (La. R.S. 33:9038.31, et seq.) (the "EDD Act") authorizes municipalities, parishes and certain other local governmental subdivisions to create economic development districts to carry out the purposes of the Act, which economic development districts are political subdivisions of the State of Louisiana and possess such power and authority and have such duties as provided by the EDD Act and other law; and WHEREAS, La. R.S. 33:9038.39 permits economic development districts to levy sales taxes and hotel taxes for authorized purposes in addition to any other sales taxes then in existence or permitted to be in existence therein, and provided that in the event there are no qualified electors in the district in question, as certified by the Registrar of Voters, no election shall be required prior to the levy of such sales taxes; and WHEREAS, pursuant to the EDD Act this City Council, acting as the governing authority of the City of Natchitoches, State of Louisiana (the "City"), adopted Ordinance No. 032 of 2010 on August 23, 2010, which created the "Natchitoches Economic Development District C, State of Louisiana" (the "District"), in accordance with La. R.S. 33:9038.32; and WHEREAS, pursuant to Ordinance No. 027 of 2011 adopted on May 12, 2011, this City Council, acting as the governing authority of the District, levied a two percent (2.00%) hotel occupancy tax (the "District Tax") in the District to finance economic development projects, in accordance with La. R.S. 33:9038.39; and WHEREAS, pursuant to Ordinance No. 004 of 2019, adopted on March 25, 2019, this City Council, acting as the governing authority of the City, amended the boundaries of the District to include two additional parcels and to remove one parcel from the District, as described in said Ordinance No. 004, and further extended the levy of the District Hotel Tax into the amended boundaries of the District; and WHEREAS, pursuant to Ordinance No. 023 of 2019 adopted on September 23, 2019, this City Council, acting as the governing authority of the District, levied a one percent (1.00%) sales and use tax (the "District Sales Tax", and together with the District Hotel Tax, the "District Taxes") in the District to finance economic development projects, in accordance with La. R.S. 33:9038.39; and

WHEREAS, in accordance with the EDD Act and Resolution No. 082 of 2019 adopted on October 14, 2019, this City Council gave notice of its intention to hold a public hearing relative to the

proposed amendment of the geographical boundaries of the District, which notice was published two times in the official journal of the City on October 17, 2019 and October 24, 2019, prior to a public hearing held on this date, at which time the public was afforded an opportunity to comment upon the proposed amendments to the geographical boundaries of the District and the extension of the levy and collection of the District Taxes in the expanded geographical boundaries, and no objections were made thereto;

NOW THEREFORE, BE IT ORDAINED by the City Council of the City of Natchitoches, State of Louisiana, acting as the governing authority of the City and of the District, that:

§1. All of the above "Whereas" clauses are adopted as part of this Ordinance. §2. Expansion of Geographical Boundaries of District. Under the authority of La. R.S. 33:9038.32 and the aforesaid Notice of Intention, the geographical boundaries of the District are hereby expanded to include five additional parcels of land to the District. §4. Extension of Sales Tax and Hotel Occupancy Tax Levy. The (i) one percent (1%) sales and use tax previously levied in the District pursuant to Ordinance No. 023 of 2019 and the (ii) two percent (2%) hotel occupancy tax previously levied in the District pursuant to Ordinance No. 027 of 2011, both shall be extended into the additional territory added to the District by this Ordinance. This governing authority has received a certification from the Natchitoches Parish Registrar of Voters that no registered voters reside in the property being added to the District, which certification is attached to this ordinance as Exhibit A. §5. Authorization of Officers. The Mayor, Mayor Pro Tempore and City Clerk are hereby authorized, empowered and directed to do any and all things necessary and incidental to carry out the provisions of this ordinance. §6. Severability. If any provision of this Ordinance shall be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this ordinance, but this ordinance shall be construed and enforced as if such illegal or invalid provisions had not been contained herein. Any constitutional or statutory provision enacted after the date of this ordinance which validates or makes legal any provision of this ordinance which would not otherwise be valid or legal, shall be deemed to apply to this ordinance. §7. ORDINANCE NO. 046 OF 2019

AN ORDINANCE LEVYING AN ADDITIONAL SALES TAX OF ONE PERCENT (1.00%) IN NATCHITOCHES ECONOMIC DEVELOPMENT DISTRICT A, STATE OF LOUISIANA (THE "DISTRICT"); DESIGNATING THE FULL AMOUNT OF SUCH ADDITIONAL SALES TAX AS THE SALES TAX INCREMENT IN THE DISTRICT FROM WHICH THE LOCAL SALES TAX INCREMENTS WILL BE DETERMINED AND USED TO FINANCE ECONOMIC DEVELOPMENT PROJECTS IN ACCORDANCE WITH AND AS AUTHORIZED BY PART II, CHAPTER 27, TITLE 33 OF THE LOUISIANA REVISED STATUTES OF 1950, AS AMENDED, DESIGNATING THE INITIAL ANNUAL BASELINE COLLECTION RATE AND ESTABLISHING A MONTHLY BASELINE COLLECTION RATE FOR THE DISTRICT; PLEDGING AND DEDICATING SUCH TAX INCREMENTS TO REIMBURSE ECONOMIC DEVELOPMENT COSTS AND PROVIDING FOR OTHER MATTERS IN CONNECTION WITH THE FOREGOING.

WHEREAS, Part II, Chapter 27, Title 33 of the Louisiana Revised Statutes of 1950, as amended (La. R.S. 33:9038.31, et seq.) (the "EDD Act") authorizes municipalities, parishes and certain other local governmental subdivisions to create economic development districts to carry out the purposes of the Act, which economic development districts are political subdivisions of the State of Louisiana and possess such power and authority and have such duties as provided by the EDD Act and other law; and WHEREAS, pursuant to the EDD Act this City Council, acting as the governing authority of the City of Natchitoches, State of Louisiana (the "City"), adopted Ordinance No. 030 of 2010 on August 23, 2010, creating the "Natchitoches Economic Development District A, State of Louisiana" (the "District"), in accordance with La. R.S. 33:9038.32; and WHEREAS, La. R.S. 33:9038.39 permits economic development districts to levy up to two percent in sales taxes and up to two percent hotel taxes for authorized purposes in addition to any other sales taxes then in existence or permitted to be in existence therein, and provided that in the event there are no qualified electors in the district in question, as certified by the Registrar of Voters, no election shall be required prior to the levy of such sales taxes; and WHEREAS, pursuant to Ordinance No. 025 of 2011 adopted on May 12, 2011, this City Council, acting as the governing authority of the District, levied a two percent (2.00%) hotel occupancy tax (the "District Hotel Tax") in the District to finance economic development projects, in accordance with La. R.S. 33:9038.39; and WHEREAS, this City Council, in its capacity as governing authority of the District, has found and determined that it would be advisable and beneficial to exercise the authority granted in La. R.S. 39:9038.39 to levy a one percent (1%) sales and use tax in the District for the purpose of paying the costs

[Sales Tax Ordinance - Page 3] of acquiring, constructing, improving, operating and maintaining public infrastructure improvements in the downtown Natchitoches area (the "District Sales Tax"); and WHEREAS, this City Council, in its capacity as governing authority of the District, adopted Resolution No. 081 of 2019 on October 14, 2019, giving notice of intention to levy a sales and use tax of one percent (1%) in the District, which notice of intent was published in two consecutive weekly issues of the City’s official journal, specifically on October 17, 2019 and October 24, 2019 (the "Notice of Intent"); and WHEREAS, on this date and pursuant to the EDD Act and the aforesaid Notice of Intent, this City Council met in open and public session to hear any objections to the levy of the District Sales Tax and to the adoption of this ordinance levying the District Sales Tax pursuant to said Notice of Intent; and WHEREAS, La. R.S. 33:9038.34(O) provides for the creation of a special trust fund for the furtherance of economic development projects, as defined in the Act, into which the incremental increases in sales taxes shall be deposited and loaned, granted, donated, or pledged in furtherance of economic development projects (each Project hereinafter approved being referred to herein as a "Project" or "Projects"); and WHEREAS, in accordance with the EDD Act, this Governing Authority wishes to create a special trust fund in order to account for the revenues of the sales tax levied herein separately from the existing revenues of the District Hotel Tax; NOW THEREFORE, BE IT ORDAINED by the City Council of the City of Natchitoches, State of Louisiana, acting as the governing authority of the District, that:

§1. Adoption of Findings. All of the above "Whereas" clauses are adopted as part of this ordinance. §2. Levy of Sales tax. In accordance with La. R.S. 33:9038.39 and other constitutional and statutory authority supplemental thereto, there is hereby levied in the District, effective January 1, 2020, and continuing in perpetuity, an additional sales and use tax of one percent (1.00%), upon the sale at retail, the use, the lease or rental, the consumption, and the storage for use or consumption, of tangible personal property, upon the lease or rental of tangible personal property and on the sales of services in the District, as defined by law (the "District Sales Tax").

The proceeds of the District Sales Tax shall be used for the for the purpose of paying the costs of acquiring, constructing, improving, operating and maintaining public infrastructure improvements in the downtown Natchitoches area. The Uniform Local Sales Tax Code, as enacted by Act No. 73 of the 2003 Regular Session of the Louisiana Legislature, and as it may be amended from time to time, shall apply in the assessment, collection, administration and enforcement of the District Sales Tax, the provisions of which Uniform Local Sales Tax Code are hereby incorporated by reference. As provided by La. R.S. 33:9038.39, no election shall be required in connection with the levy of the District Sales Tax, since there are no qualified electors in the District, as certified by the Natchitoches Parish Registrar of Voters by certification attached hereto as Exhibit A. In the event that the boundaries of the District are expanded, then the levy of the District Sales Tax and the aforesaid District Hotel Tax shall automatically be extended into the expanded boundaries of

[Sales Tax Ordinance - Page 4] the District provided that there are no registered voters within such expanded boundaries as evidenced by certification of the Natchitoches Parish Registrar of Voters, without the necessity of any further action on the part of this City Council in its capacity as governing authority of the District.

§3. Vendor’s Compensation. For the purpose of compensating the dealer in accounting for and remitting the District Sales Tax levied by this ordinance, each dealer shall be allowed two percent (2.00%) of the amount of District Sales Tax due and accounted for and remitted to the Tax collector in the form of a deduction in submitting his report and paying the amount due by the dealer, provided the amount due was not delinquent at the time of payment, and provided the amount of any credit claimed for taxes already paid to a wholesaler shall not be deducted in computing the commission allowed the dealer hereunder. §4. Exclusions or Exemptions. This Governing Authority adopts none of the optional exclusions or exemptions allowed by state sales tax law, nor does this Governing Authority adopt any exclusions or exemptions authorized by legislation enacted under Article VI, Section 29(D)(1) of the Constitution of the State of Louisiana of 1974 that are not allowed as an exclusion or exemption from state sales tax. Included within the tax base of the District Sales Tax is every transaction, whether sales, use, lease or rental, consumption, storage or service, with no exclusions or exemptions except for those mandated upon political subdivisions by the Constitution or statutes of the State of Louisiana. §5. Tax Collector. The District Sales Tax is authorized to be collected by a "Collector" which term shall mean the Natchitoches Tax Commission, or its successor in the role of parishwide sales tax collector. The Collector is hereby authorized, empowered and directed to carry into effect the provisions of this ordinance, to appoint deputies, assistants or agents to assist it in the performance of its duties, and in pursuance thereof to make and enforce such rules as it may deem necessary.

The District Sales Tax shall be collected in the same manner, under the same terms and conditions and with the same penalty, interest, collection and compensation arrangements as other sales taxes in the City are collected by the Collector. With regard to the collection of the District Sales Tax on any motor vehicle, automobile, truck, truck-trailer, trailer, semi-trailer, motor bus, home trailer, or any other vehicle subject to the vehicle registration license tax, this Governing Authority, acting through the City and on behalf of the District, for the collection of the District Sales Tax on such vehicles, is authorized to enter into an agreement with the Vehicle Commissioner, Department of Public Safety and Corrections, as provided by R.S.47:303(B). All taxes, revenues, funds, assessments, moneys, penalties, fees or other income which may be collected or come into the possession of the Collector under any provision or provisions of this ordinance relating to the District Sales Tax shall be promptly deposited by the Collector for the account of the District in the Trust Fund, provided, however, any amount which is paid under protest or which is subject to litigation may be transferred to a separate account established by the Collector with said fiscal agent pending the final determination of the protest or litigation.

§6. Penalty, Interest and Attorneys Fees. As provided above, the District Sales Tax shall be collected in the same manner, under the same terms and conditions and with the same penalty, interest, collection and compensation arrangements as other sales taxes of the City are collected by the Collector

[Sales Tax Ordinance - Page 5] §7. Designation of Baseline Collection Rate. The District Sales Tax levied pursuant to this ordinance is a new sales tax and the full amount thereof is hereby designated by the Governing Authority to be used in determining the local sales tax increment pursuant to the Act.

The initial annual baseline collection rate for the District, which is the amount of the District Sales Tax collected in the District in the most recent completed fiscal year of the City prior to the establishment of the District, is hereby designated to be zero ($0) (the "Initial Baseline Collection Rate"), as the District Sales Tax was not levied during the most recently completed fiscal year of the City prior to the establishment of the District. The monthly baseline collection rate, which is the initial annual baseline collection rate divided by twelve (12), is hereby designated to be zero ($0) (the "Monthly Baseline Collection Rate").

§8. CFO Certification. The Treasurer of the City has furnished the certification in the form attached hereto as Exhibit B, as to the accuracy of the Initial Annual Baseline Collection Rate and Monthly Baseline Collection Rate and is authorized and directed to publish such certification in The Natchitoches Times, the official journal of the City, one time, as required by La. R.S. 33:9038.34(C). If the amounts of the Initial Annual Baseline Collection Rate and Monthly Baseline Collection Rate are not contested within thirty days after the said publication, then such amounts shall be conclusively presumed to be valid, and no court shall have any jurisdiction to alter or invalidate the designation of the amount of either the Initial Annual Baseline Collection Rate and Monthly Baseline Collection Rate. §9. Designation of Sales Tax Increment. This City Council hereby designates the entire amount of the District Sales Tax as the local sales tax increment, which is to be deposited in the special trust fund created herein for the purposes stated in Section 2 above and hereby pledges and dedicates to such purpose the local sales tax increment in the manner provided by the Act. §10. Notice to Public. The City Council hereby acknowledges and affirms the prior publication of a notice describing the levy of the District Sales Tax and informing the citizens of the date of consideration of this ordinance, said notice having been published once a week for two weeks in the The Natchitoches Times, the official journal of the City, in the form of notice attached hereto as Exhibit C. §11. Use of Sales Tax Increments. Notwithstanding anything to the contrary contained herein, sales tax increments within the District shall be used for the for the purpose of paying the costs of acquiring, constructing, equipping, operating and maintaining recreational facilities in the City, and for the promotion of recreation and sporting events in the City. §12. Authorization of Officers. The Mayor, Mayor pro tem and City Clerk are hereby authorized, empowered and directed to do any and all things necessary and incidental to carry out the provisions of this ordinance. §13. Severability. If any provision of this ordinance shall be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this ordinance, but this ordinance shall be construed and enforced as if such illegal or invalid provisions had not been contained herein. Any constitutional or statutory provision enacted after the date of this ordinance which validates or makes legal any provision of this ordinance which would not otherwise be valid or legal, shall be deemed to apply to this ordinance.

AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF NATCHITOCHES, LOUISIANA, TO ENTER INTO A MEMORANDUM OF UNDERSTANDING WITH THE NATCHITOCHES COMMUNITY ALLIANCE FOUNDATION, INC., WHICH SAID MEMORANDUM PROVIDES FOR SERVICES TO BE PROVIDED BY THE NATCHITOCHES COMMUNITY ALLIANCE FOUNDATION, INC., PROVIDING FOR A THREE YEAR TERM, PROVIDING FOR ADVERTISING, FURTHER PROVIDING FOR SEVERABILITY, AND FURTHER PROVIDING FOR A REPEALER AND EFFECTIVE DATE OF ORDINANCE.

WHEREAS, the City of Natchitoches (sometimes hereinafter referred to as the “City”) is a Municipality located in the State of Louisiana, Parish of Natchitoches governed under a Home Rule Charter and a Code of Ordinances adopted by Ordinance No. 5 of 1977; and

WHEREAS FURTHER, the City of Natchitoches is specifically authorized under Section 1.06 of the Charter of the City of Natchitoches to provide for the general welfare, safety, health, peace and good order of the City, and further authorized under Section 1.07 of the Charter of the City of Natchitoches to enter into Joint Service Agreements or Cooperative Efforts with other governmental agencies; and

WHEREAS FURTHER, the Natchitoches Community Alliance Foundation, Inc. (sometimes hereinafter referred to as “Community Alliance”) is a Louisiana not for profit corporation and has been designated as a 501C-3 entity by the IRS; and

WHEREAS FURTHER, the City and the Community Alliance both have an interest in promoting economic growth, commerce and tourism in the City and Parish of Natchitoches, Louisiana; and

WHEREAS FURTHER, the Community Alliance is strategically positioned to support the City in its efforts to grow its tax base by aligning resources and tools to foster an expanding and growing business and industrial sector, and the City desires to assist the Community Alliance in its goal to become the voice of economic development for Natchitoches Parish; and

WHEREAS FURTHER, the Community Alliance is in need of funds to move forward in its plan to promote economic development in the City and Parish of Natchitoches, and the City desires to provide funds in exchange for the services to be provided by Community Alliance; and

WHEREAS FURTHER, the Community Alliance has presented a Memorandum of Understanding between City of Natchitoches and the Natchitoches Community Alliance Foundation, Inc., (sometimes hereinafter “Agreement”) a copy of which is attached hereto; and

WHEREAS FURTHER, under the terms of the Agreement, the Community Alliance will provide to following services to the City:

1) Maintain updated, professional, and useful economic development website for one- stop information 2) Be the lead contact for economic development request for proposals and information 3) Lead the evaluation and development of business and industrial sites 4) Serve as local liaison for business retention and expansion visits in conjunction with LED and NLEP

5) Provide expertise, experience, and leadership for special projects and initiatives of the administration

WHEREAS FURTHER, in exchange for the above services the City agrees to the following pay schedule:

1) $50,000 for FY 2019 by December 31, 2018 2) $55,000 for FY 2020 by October 15, 2019 3) $55,000 for FY 2021 by July 15, 2020

WHEREAS FURTHER, the term of this Agreement is three (3) years; and

WHEREAS FURTHER, the Agreement further provides that either party may terminate the Agreement with written notice within 60 days of the date of execution of the Agreement; and

WHEREAS FURTHER, under the general law and the Home Rule Charter of the City of Natchitoches, the City has the right, power, and authority to promote, protect, and preserve the general welfare, safety, health, peace and good order of the City; and

WHEREAS FURTHER, the City Council of the City of Natchitoches has reviewed the proposed Agreement, attached hereto, and is of the opinion that the Agreement with the Community Alliance will promote the health, safety and welfare of the citizens of the City and Parish of Natchitoches, Louisiana and the City Council desires to authorize the Mayor of the City of Natchitoches to execute same; and

WHEREAS FURTHER, the City Council of the City of Natchitoches desires to enter into this Agreement to help encourage and promote economic development in the City and Parish of Natchitoches; and

NOW THEREFORE, be it ordained by the City Council of the City of Natchitoches, in legal session assembled as follows:

Section 1. The boundaries of the City of Natchitoches are hereby enlarged so as to include the area described on the attached Exhibit “B”.

Section 2. Be it further ordained that the City of Natchitoches takes cognizance of the fact that this ordinance was introduced at a regular session of the City Council on the 14th day of October, 2019, after receiving the petition signed by the person listed on the attached Exhibit “A”, and that a public hearing was held on the day of , 2019;

Section 3. Be it further ordained that the above and foregoing property be and is hereby annexed to the City of Natchitoches, declared to be included in Council District No. 4, all in accordance with Section 2.03B of the Homerule Charter of the City of Natchitoches, Louisiana.

Section 4. The various properties herewith annexed, with their various ownerships, shall be included within the municipal corporate limits of the City of Natchitoches, retaining their present zoning classifications as they presently exists either by use or by classification under the Natchitoches Parish Planning Commission, and these classifications, together with the uses permitted thereunder shall continue until such time as each property is properly rezoned by the City of Natchitoches by application of the then owner or owners. In those cases where the property is presently being used for timber growing, agriculture purposes, hunting purposes, livestock raising, and the like, those uses together with all the rights associated with the permitted use may be continued, notwithstanding any city ordinance to the contrary, until such time as the specific property in question is rezoned in accordance with law. In those areas annexed herewith which have been historically used for hunting, fishing, and recreational purposes, it shall be permissible to continue to use such properties for those historical uses until the property is rezoned in accordance with law. In the event that the then owner of the property wishes to change the present or historical use of his property, then it shall be necessary for him to rezone the said property with the City in accordance with law. Until each separate ownership is rezoned, as set forth above. Section 5. Be it further ordained by the City Council that this ordinance shall go into effect thirty (30) days after the publication of this ordinance in accordance with Louisiana Revised Statute 33:173. Mr. Jerry Smith, resident of Monroe Drive, stated in the last year and half petitions have been floating around to not be annexed in the City limits. There have been a lot of promises made, but we have not received any information via letters or official notice. Mr. Smith requested that this be tabled until every resident be notified and given the information on this annexation.

Mayor Posey stated the City of Natchitoches is legally bound to notify the official journal, the Natchitoches Times, of our meetings, but also notified the Natchitoches Parish Journal and posted on our website. Tonight’s proposal comes to the table tonight from residents who want to be annexed in. This area if annexed in would be grandfathered in which means residents would not be mandated to adhere to City codes. Mr. Smith stated the big thing that has been promised is there would be a new road, but he hasn’t heard anything official about a new road or the rumor of bring sewer to the residents. Mayor Posey stated the sewer is not something that will be implemented immediately and honestly may never happen, but if it did it would be the resident’s choice to tie into that system. The road and fire protection would be the first priority. Mr. Smith is requesting in writing for everyone that lives in this area. He would also like some information on what is going to happen and when it is going to happen. Mayor Posey then stated he would get with the City attorney to lay this out and have a public hearing before the final vote on November 25th.

Mrs. Karen Apponey also a resident of Monroe Drive stated when she found out about the meeting today and called around the question everyone had was why were the residents not notified in writing. She stated she never looks at the Natchitoches Parish Journal nor does she have a subscription to the Natchitoches Times. She does not have any communication to be aware of the meetings and would have appreciated some type of letter. She stated you said it will be grandfathered in and it will be in writing. Mayor Posey said this would have to be done so and he yields to the attorneys for answers and looking at prior annexations. As far as the sewage, the Waterworks District board is very concerned about the sewage going into Sibley Lake and have adopted by their board to cover the cost of hooking residents up to the sewer lines if ever brought to the area. She also asked if a new road would be constructed within a year of voting on this ordinance. Mayor Posey stated yes. She then asked what is the huge benefit of providing us a road and having us annexed in the City. Mayor Posey stated he did not go after the residents on Monroe Drive. There are residents on Monroe Drive who initiated this annexation. Mr. Corkern stated there are two reason he thinks the city would be interested in this annexation. One being the increase tax base of all the home there and two he has always been in favor of the City taking in as much property as possible around Sibley Lake as that is the City’s water source. Mr. Harrington stated in the ordinance presented tonight states the properties shall be included, but are able to retaining the current zoning classification and would not be changed. This language is included to protect the residents in this area unless they want change it.

Ms. Morrow stated as council members we do not have all the facts here tonight. She knows annexations should be done fairly. Payne Subdivision has been trying to come in for years, but they seem to have all kinds of voids where they can’t come in. This is going to have be done the right way and we need to know all the information now.

Mr. Mims asked Mrs. Fowler if some years back we tried to go out to Payne Subdivision and solicit signatures for annexation? Mrs. Fowler stated that was many years ago, but it was her understanding the property had to be contiguous with the City of Natchitoches.

Mr. Luke Spears stated he has a three tenths of a mile drive not located on Monroe Drive, but his properties borders this area and he has concerns about when bringing in the sewer for him to connect he would have to go through two adjacent property owners just to get access to the line.

He is unsure if those properties owners would allow him to cross their property and how would that affect things.

Mr. Mark Busby stated those in favor of this petition should have gone to each property owner or notified them in some way, but it seems they have only contacted the ones they know who are in favor and collected the bare minimum of signatures to bring this before the council. Even if residents are not in favor of it, they should still be notified.

A RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE CHANGE ORDER NO. 3 TO THE CONTRACT BETWEEN THE CITY OF NATCHITOCHES AND RATCLIFF CONSTRUCTION COMPANY, LLC FOR THE NATCHITOCHES SPORTS & RECREATION PARK

WHEREAS, the City of Natchitoches (CITY) awarded the bid to Ratcliff Construction Company, LLC (CONTRACTOR) on September 10, 2018 by Ordinance No. 031 of 2018 in the amount of $13,930,000.00 for the Natchitoches Sports & Recreation Park, (Bid No. 0602); and

WHEREAS, on September 10, 2018, the City Council approved Change Order No. 1, in the amount of $-1,071,534.23 making the revised contract total $12,858,465.77; and

WHEREAS, on May 7, 2019, the City Council approved Change Order No. 2, in the amount of $95,002.01 making the revised contract total $12,953,487.78; and

WHEREAS, on September 24, 2019, CONTRACTOR issued Change Order No. 3, fully described in Attachment “A”; and

WHEREAS, the contract sum will be increased by this Change Order No. 3 in the amount of $3,624.69 and the revised contract total will be $12,957,112.47; and

WHEREAS, the project Architect, Washer Hill Lipscomb Cabaniss, has recommended this change order; and

WHEREAS, the CITY is of the opinion that Change Order No. 3 is in the best interest of the CITY.

WHEREAS, the Community Water Enrichment Fund (CWEF) was established in the 2008 Louisiana regular legislative session by way of HB 926 (Act 513). Its intent is to provide a source of funding to aid units of local government solely for the purpose of rehabilitation, improvement, and construction projects for community water systems to provide safe and clean drinking water; and

WHEREAS, eligible activities funded through the CWEF Program include water system improvements; and

WHEREAS, the Natchitoches Utility Department is in need of water system improvements and desires to submit an application for the 2019-2020 Community Water Enrichment Fund Grant.

A RESOLUTION AUTHORIZING THE PUBLICATION OF A NOTICE OF INTENTION TO LEVY AND COLLECT A NEW ONE PERCENT (1%) SALES AND USE TAX IN NATCHITOCHES ECONOMIC DEVELOPMENT DISTRICT A, STATE OF LOUISIANA, IN ACCORDANCE WITH AND AS AUTHORIZED BY PART II, CHAPTER 27 OF TITLE 33 OF THE LOUISIANA REVISED STATUTES OF 1950, AS AMENDED; AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH.

WHEREAS, Part II, Chapter 27, Title 33 of the Louisiana Revised Statutes of 1950, as amended (La. R.S. 33:9038.31, et seq.) (the "EDD Act") authorizes municipalities, parishes and certain other local governmental subdivisions to create economic development districts to carry out the purposes of the Act, which economic development districts are political subdivisions of the State of Louisiana and possess such power and authority and have such duties as provided by the EDD Act and other law; and

WHEREAS, pursuant to the EDD Act this City Council, acting as the governing authority of the City of Natchitoches, State of Louisiana (the "City"), adopted Ordinance No. 030 of 2010 on August 23, 2010, creating the "Natchitoches Economic Development District A, State of Louisiana" (the "District"), in accordance with La. R.S. 33:9038.32; and

WHEREAS, La. R.S. 33:9038.39 permits economic development districts to levy up to two percent in sales taxes and up to two percent hotel taxes for authorized purposes in addition to any other sales taxes then in existence or permitted to be in existence therein, and provided that in the event there are no qualified electors in the district in question, as certified by the Registrar of Voters, no election shall be required prior to the levy of such sales taxes; and

WHEREAS, pursuant to Ordinance No. 025 of 2011 adopted on May 12, 2011, this City Council, acting as the governing authority of the District, levied a two percent (2.00%) hotel occupancy tax (the "District Hotel Tax") in the District to finance economic development projects, in accordance with La. R.S. 33:9038.39; and

WHEREAS, this City Council, in its capacity as governing authority of the District, has found and determined that it would be advisable and beneficial to exercise the authority granted in La. R.S. 39:9038.39 to levy a one percent (1%) sales and use tax in the District for the purpose of paying the costs of acquiring, constructing, improving, operating and maintaining public infrastructure improvements in the downtown Natchitoches area; and

WHEREAS, pursuant to La. R.S. 33:9038.39, this governing authority desires to give notice of intention relative to the aforesaid tax levy;

NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Natchitoches, State of Louisiana, acting as the governing authority of the District, that:

§1. Intention to Levy 1% Sales Tax. In accordance with the EDD Act, and particularly La. R.S. 33:9038.39, this City Council, in its capacity as governing authority of the District, does hereby give notice of its intention to levy a one percent (1%) sales and use tax in the District for the purpose of paying the costs of acquiring, constructing, improving, operating and maintaining public infrastructure improvements in the downtown Natchitoches area (the "District Sales Tax").

R.S. 33:9038.32, amending the geographical boundaries of an existing economic development district within the City called "Natchitoches Economic Development District C, State of Louisiana" (the "District") to add five additional parcels of land in the District, and further to extend the levy and collection of the District's existing (i) one percent (1%) sales and use tax and (ii) two percent (2%) hotel occupancy tax (collectively, the "District Taxes") into the expanded area of the District. Please find below the legal descriptions of the parcels proposed to be added to the District:

TRACT 1: (NATCHITOCHES LODGING PARTNERS, LLC)

A certain piece, parcel or tract of land, together with all buildings and improvements located thereon, situated on the East side of Louisiana Highway #1 By-Pass in Section 46, Township 9 North, Range 7 West, Natchitoches Parish, Louisiana, bearing municipal address of 5821 Highway 1 By-Pass, and being more particularly described as follows, to- wit:

All that portion of Tract “D” as shown on the Certificate of Survey prepared by A. J. Brouillette, R.S. dated November 4, 1971, and recorded at Conveyance Book 311, page 680, lying North of dedicated Dean Street, which said Dean Street is shown on a Certificate of Survey prepared by A. Beginning at Station 199+28.59 of Louisiana Highway 6 shown on Right of Way map, State Project Number 34-05-22; thence North 15 degrees 53 minutes 6 seconds West a distance of 66.13 feet to a point which is on the Northern right of way of Louisiana Highway 6 being the point of beginning of the tract herein described and being Point 4 as shown on a survey by Jack E. NOTICE IS HEREBY FURTHER GIVEN that the City Council, in its capacity as governing authority of both the City and the District, will meet in open and public session on Tuesday, November 12, 2019, at five-thirty o'clock (5:30) p.m., at the City of Natchitoches Municipal Building, 560 Second Street, Natchitoches, Louisiana, to hear any objections to the amendment of the geographical boundaries of the District as described above, and the extension of the levy and collection of the District Taxes into the expanded area of the District.

§3. Public Hearing. At the date, time and place mentioned in the aforesaid Notice of Intention, or at such other time and place as may be determined by the Mayor and properly advertised, this Governing Authority will meet in open and public session, to hear any objections to the proposed amendment of the geographical boundaries of the District and the extension of the levy and collection of the District Taxes into the amended boundaries of the District, as described above. §4. Employment of Special Counsel. This governing authority finds and determines that a real necessity exists for the employment of special counsel in connection with the expansion of the boundaries of the District, and accordingly Adams and Reese LLP, of New Orleans, Louisiana, are hereby employed as special counsel to the City in connection with the foregoing. Said special counsel shall prepare and submit to this governing authority for adoption all of the proceedings incidental to the foregoing, and shall counsel and advise the City, the District and this governing authority in connection with the foregoing. The fee of special counsel in connection with the foregoing shall be negotiated between the Mayor and special counsel. §5. Authorization of Officers. The Mayor, Mayor Pro Tempore and the City Clerk are hereby authorized, empowered and directed to do any and all things necessary and incidental to carry out the provisions of this resolution.

Said Resolution having been read and considered by a quorum of the City Council, on motion to adopt by Councilwoman Morrow, seconded by Councilman Mr. Nielsen, a record vote was taken and the following result was had:
