PROCEEDINGS OF THE CITY COUNCIL OF THE CITY OF NATCHITOCHES, STATE OF , REGULAR MEETING HELD ON MONDAY, OCTOBER 9, 2017 AT 5:30 P.M.

The City Council of the City of Natchitoches met in legal and regular session at the Natchitoches Arts Center, 716 Second Street, Natchitoches, Louisiana on Monday, October 9, 2017 at 5:30 p.m.

There were present:

Mayor Lee Posey called the meeting to order and welcomed everyone for coming. Michael Braxton was asked to lead the invocation and Councilman Dale Nielsen was asked to lead the pledge of allegiance.

Mayor Posey then called for the reading and approval of the minutes for the September 25, 2017 meeting. Mr. Mims moved that we dispense with the reading of the minutes and approval of same. Seconded by Ms. Morrow the roll call vote was as follows:

Mayor Posey then recognized Jordan Rachal an 8th grader at the Natchitoches Magnet school for his life saving efforts recently as his great grandfather suffered a heart attack heading to Lafayette. Jordan was in the car and sprang into action when his great grandfather slumped over. Jordan was able to take control of the vehicle and pull it over to safety. Jordan was presented a “You Made A Difference” award by Mayor Posey.

Mr. Harold Foster addressed the City Council with information in reference to Lots 3 & 4 at the Natchitoches Regional Airport. He stated he included a letter which stated he was not approved to purchase a hangar at the airport. The concern at the time was that Mr. Foster did not own an aircraft at that time. This time they are trying to make sure they follow all regulations for purchasing a hangar at the airport. He recently attended an airport commission meeting in which he showed ownership of an aircraft and a bill of sale for the hangar, but due to no quorum a decision could not be decided. He attended another meeting on September 18th in which the attorney was also there and it was the recommendation they didn’t want to approve the sale of the hangar because the bill of sale stated the sale was for the whole hangar and not just Mr. Millican’s half. They asked for a tentative approval from the commission with the commitment they would come back with a corrected bill of sale, but were denied. Mr. Foster then stated they have met all the questions that have come up from the commission and the Council. He is asking the council to vote and approve him purchasing this hangar.

Mr. Corkern stated his recommendation came from the current situation of still being in litigation over the estate of Mr. McGregor and Mr. Millican as they were joint owners of Lots 3 & 4. The sale presented to sale the entire hangar to Mr. Foster. By agreeing to this I felt it would be endorsement by the airport commission that Mr. Millican had all of the property to sell, but he did not. If the bill of sale was changed to ½ interest it would be my recommendation to approve that, but I didn’t think it would be appropriate to approve it as is.

The following Resolution was introduced by Mr. Mims and Seconded by Mr. Nielsen as follows, to –wit: RESOLUTION NO. 086 OF 2017

PROCLAMATION DECLARING OCTOBER 17, 2017 AS “PAINT THE TOWN PURPLE DAY” AND OCTOBER 16 THROUGH OCTOBER 21, 2017 AS “HOMECOMING WEEK” AT NORTHWESTERN STATE UNIVERSITY WHEREAS, Northwestern State University’s 2017 Homecoming Festivities will feature some new attractions, this year’s theme is “Homecoming House Party Demon Edition ” and will offer reunion events and student events such as the annual homecoming parade & pep rally; and

WHEREAS, October 16 – 21, 2017 Northwestern State University will celebrate Homecoming Week and the City wishes to proclaim this as a time to generate school spirit throughout the City of Natchitoches and surrounding communities; and

WHEREAS, Tuesday, October 17th is Paint the Town Purple Day and the City of Natchitoches encourages all citizens, businesses and organizations to support Northwestern State University by displaying purple and white during Homecoming Week and to join in the celebrations of our distinguished university; and

WHEREAS, NSU President Dr. Chris Maggio, Head Football Coach Jay Thomas and all homecoming honorees would like city-wide support and attendance at day-long activities, pre- game and the homecoming football game, NSU versus Central Arkansas, on Saturday, October 21, 2017.

NOW, THEREFORE, I, Lee Posey, Mayor, and the City Council of the City of Natchitoches, do hereby proclaim the week of October 16 through 21, 2017 as:

Councilman Mims presented the proclamation to Homecoming King Antavious Roberson and the remaining homecoming court. Each individual introduced themselves, shared their major, and stated where they were from. The students told the council all the activities that would be going on during the week and invited everyone out to attend the football game at Turpin Stadium, Saturday, October 21st at 6:00p.m.

Chelsea White (602 Amulet) stated she wanted to apologize to the City of Natchitoches for letting her property get to the point it is at. This was her grandmother’s house and had plans of moving back to Natchitoches after retirement. After some unfortunate circumstances she halted construction on the house. She has now made plans to move back to the property and bring the structure up to the City code.

Mary Lee Briggs (437 Payne Street) stated she has plans to demolish the property by the first two months into the New Year. With weather permitting she plans to start working on this by December. Her sons will be helping her complete this project.

Temika Payton (430 Howell St.) stated she had started working on this house, but lives out of town. She has someone who has come to look at the house. She stated she lives in Houston, but it is hard to get stuff down. Mayor Posey asked if this house is worth saving with the pictures presented. She stated the house is salvageable and she would like to try to repair it.

Robert Murphy (930 Anita St.) stated his nephew has been living in this house. He stated his brother is going to purchase the property and possible tear it down and put a trailer on the property. His brother will be in contact with Mrs. Fowler to make decisions on tearing this down.

Thurmon Mitchell (1124 Old Robeline Rd.) stated the house belongs to his sister and she has plans to have the house torn down. He needs to get with her to discuss who she is going to get to do this work.

Cathy Chester (1219 Pavie St.) stated in 60 days she will have the structure torn down.

Sharon Beard (210 Paula Ln) stated the property sustained a fire several years ago and is trying to get the family on the same page of what to do with the property, but are leaning towards tearing the structure down.

Each property owner was notified that improvements to the property must begin taking place immediately as the City gives a 60 day time period for significant improvements. Also, the owners must be in contact with the Planning and Zoning office to apply for the necessary permits.

The following Ordinance was introduced by Mr. Batiste at the Natchitoches City Council meeting held on October 9, 2017 as follows:

ORDINANCE NO. 037 OF 2017

AN ORDINANCE AMENDING ORDINANCE NO. 64 OF 2001 BY CHANGING ZONING CLASSIFICATION OF PROPERTY DESCRIBED AS FOLLOWS:

WHEREAS, Resolution No.067 of 2017 was passed by the Natchitoches City Council on August 14, 2017 authorizing the Mayor to advertise for bids for Liquid Chlorine for the Water Treatment Plant (Bid No. 0600); and

WHEREAS, this bid was advertised in the Natchitoches Times on August 17, August 24 and August 31, 2017, in accordance with law; and

WHEREAS, two bid proposals were received and opened as follows:

(1) Brenntag Southwest, Inc., Houston, TX ...... $740.00 per ton

(2) DPC Enterprises Reserve, LA ...... $760.00 per ton

WHEREAS, on September 19, 2017 the appointed committee of Pat Jones, Director of Finance; Edd Lee, Director of Purchasing; Charles Brossette, Director of Utilities; and Don Mims, Councilman at Large reviewed the bid proposals for Liquid Chlorine for the Water Treatment Plant (Bid No. 0600); and

WHEREAS, the above appointed committee members unanimously recommend the City award the bid to the lowest bidder Brenntag Southwest, Inc of Houston, TX in the amount of $740.00 per ton; and

NOW, THEREFORE, BE IT ORDAINED, that the Honorable Lee Posey, Mayor, is hereby authorized, empowered and directed to sign any and all documents necessary for acceptance of this bid.

A RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE CHANGE ORDER NO. 4 TO THE CONTRACT BETWEEN THE CITY OF NATCHITOCHES AND PAT WILLIAMS CONSTRUCTION FOR THE RUE BEAUPORT RIVERFRONT PROJECT

(BID NO. 0585)

WHEREAS, the City of Natchitoches (CITY) awarded the bid to Pat Williams Construction (CONTRACTOR) on December 12, 2016 by Ordinance No. 060 of 2016 in the amount of $3,885.000.00 for the Rue Beauport Riverfront Project, (Bid No. 0585); and

WHEREAS, on January 9, 2017, the City Council approved Change Order No. 1, in the amount of $70, 544.00 making the revised contract total $3,955,544.00; and

WHEREAS, on April 18, 2017, the City Council approved Change Order No. 2, in the amount of $130,185.97 making the revised contract total $4,085,729.97; and

WHEREAS, on June 14, 2017, the City Council approved Change Order No. 3, in the amount of $64,056.83 making the revised contract total $4,149,786.80; and

WHEREAS, on October 4, 2017, CONTRACTOR issued Change Order No. 4, fully described in Attachment “A”; and

WHEREAS, the contract sum will be increase by this Change Order No. 4 in the amount of $148,972.75 and the revised contract total will be $4,298,759.55; and

WHEREAS, the project Architect, Jeffery Carbo, has recommended this change order; and

WHEREAS, the CITY is of the opinion that Change Order No. 4 is in the best interest of the CITY.

NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Natchitoches, in legal session convened, that the Honorable Lee Posey, Mayor, be and is hereby authorized, empowered and directed to execute the referenced Change Order No. 4 to the agreement between the City of Natchitoches and the contractor, Pat Williams Construction.

RESOLUTION NO. 088 OF 2017

A resolution ordering and calling a special election to be held in the City of Natchitoches, State of Louisiana, to authorize the renewal of a special tax therein; making application to the State Bond Commission in connection therewith; and providing for other matters in connection therewith.

BE IT RESOLVED by the City Council of the City of Natchitoches, State of Louisiana (the "Governing Authority"), acting as the governing authority of the City of Natchitoches, State of Louisiana (the "City"), that:

SECTION 1. Election Call. Subject to the approval of the State Bond Commission, and under the authority conferred by Article VI, Sections 30 and 32 of the Constitution of the State of Louisiana of 1974, the applicable provisions of Chapter 5 and Chapter 6-A of the Louisiana Election Code, and other constitutional and statutory authority, a special election is hereby called and ordered to be held in the City on SATURDAY, MARCH 24, 2018, between the hours of seven o'clock (7:00) a.m., and eight o'clock (8:00) p.m., in accordance with the provisions of La. R.S. 18:541, and at the said election there shall be submitted to all registered voters qualified and entitled to vote at the said election under the Constitution and laws of this State and the Constitution of the United States, the following proposition, to-wit:

PROPOSITION (MILLAGE RENEWAL)

Shall the City of Natchitoches, State of Louisiana (the "City"), continue to levy a ten (10) mills tax on all property subject to taxation in said City (an estimated $1,285,000 reasonably expected at this time to be collected from the levy of the tax for an entire year) beginning with the year 2019 and ending with the year 2028, for the purpose of maintaining, operating, improving and/or constructing public safety facilities and services for the fire and police departments of the City?

SECTION 2. Publication of Notice of Election. A Notice of Special Election shall be published in the Natchitoches Times, a newspaper of general circulation within the City, published in Natchitoches, Louisiana, and being the official journal of the City, once a week for four consecutive weeks, with the first publication to be made not less than forty-five (45) days nor more than ninety (90) days prior to the date of the election, which Notice shall be substantially in the form attached hereto as "Exhibit A" and incorporated herein by reference the same as if it were set forth herein in full.

Notwithstanding the foregoing, prior to the publication of the Notice of Election, the Mayor is authorized and directed to make any amendments to the foregoing propositions that may be required to comply with any state or federal regulatory agencies.

SECTION 3. Canvass. This Governing Authority shall meet at its regular meeting place, the Arts Center, 716 Second Street, Natchitoches, Louisiana, on MONDAY, APRIL 23, 2018, at FIVE- THIRTY O'CLOCK (5:30) P.M., and shall then and there in open and public session proceed to examine and canvass the returns and declare the result of the said special election.

SECTION 4. Polling Places. The polling places for the precincts set forth in the aforesaid Notice of Special Election are hereby designated as the polling places at which to hold the said election, and the Commissioners-in-Charge and Commissioners, respectively, will be the same persons as those designated in accordance with law.

SECTION 5. Election Commissioners; Voting Machines. The officers designated to serve as Commissioners-in-Charge and Commissioners pursuant to Section 4 hereof, or such substitutes therefor as may be selected and designated in accordance with La. R.S. 18:1287, shall hold the said special election as herein provided, and shall make due returns of said election for the meeting of the Governing Authority to be held on Monday, April 23, 2018, as provided in Section 3 hereof. All registered voters in the City will be entitled to vote at the special election, and voting machines shall be used.

SECTION 6. Authorization of Officers. The City Clerk of the Governing Authority is hereby empowered, authorized and directed to arrange for and to furnish to said election officers in ample time for the holding of said election, the necessary equipment, forms and other paraphernalia essential to the proper holding of said election and the Mayor and/or City Clerk of the Governing Authority are further authorized, empowered and directed to take any and all further action required by State and/or Federal law to arrange for the election.

SECTION 7. Furnishing Election Call to Election Officials. Certified copies of this resolution shall be forwarded to the Secretary of State, the Clerk of Court and Ex-Officio Parish Custodian of Voting Machines of Natchitoches Parish and the Registrar of Voters of Natchitoches Parish, as notification of the special election, in order that each may prepare for said election and perform their respective functions as required by law.

SECTION 8. Application to State Bond Commission. Application is made to the State Bond Commission for consent and authority to hold the special election as herein provided, and in the event said election carries for further consent and authority to continue to levy and collect the special tax provided for therein. A certified copy of this resolution shall be forwarded to the State Bond Commission on behalf of this Governing Authority, together with a letter requesting the prompt consideration and approval of this application.

A-1 The polling places for the precincts set forth above are hereby designated as the polling places at which to hold the said election, and the Commissioners-in-Charge and Commissioners, respectively, shall be those persons designated according to law.

Notice is further given that a portion of the monies collected from the tax described in the Proposition shall be remitted to certain state and statewide retirement systems in the manner required by law.

The said special election will be held in accordance with the applicable provisions of Chapter 5 and Chapter 6-A of Title 18 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority, and the officers appointed to hold the said election, as provided in this Notice of Special Election, or such substitutes therefor as may be selected and designated in accordance with La. R.S. 18:1287, will make due returns thereof to said Governing Authority, and NOTICE IS HEREBY FURTHER GIVEN that the Governing Authority will meet at its regular meeting place, the Arts Center, 716 Second Street, Natchitoches, Louisiana, on MONDAY, APRIL 23, 2018, at FIVE-THIRTY O'CLOCK (5:30) P.M., and shall then and there in open and public session proceed to examine and canvass the returns and declare the result of the said special election. RESOLUTION NO. 089 OF 2017

A resolution giving preliminary approval to the issuance of not to exceed Fourteen Million Dollars ($14,000,000) of Sales Tax Bonds of the City of Natchitoches, State of Louisiana; providing certain terms of said bonds; making application to the State Bond Commission for approval of said Bonds; and providing for other matters in connection therewith.

WHEREAS, the City of Natchitoches, State of Louisiana (the "Issuer"), is now levying and collecting a special one percent (1%) sales and use tax pursuant to special elections held on January 11, 1966, July 23, 1968, September 13, 1980 and April 9, 2016. The Issuer is now receiving fifty percent (50%) of the revenues of the one percent (1%) sales and use tax (the "Tax") for various purposes, including the purpose of constructing, acquiring and improving recreation facilities (the "Project"); and

WHEREAS, pursuant to and in accordance with the foregoing, the Issuer now desires to incur debt and issue not to exceed Fourteen Million Dollars ($14,000,000) of its Sales Tax Bonds, in one or more series, for the purpose of the Project, establishing a reserve fund and paying the costs of issuance of the Bonds; and

WHEREAS, the Issuer desires to make formal application to the State Bond Commission for approval of the Sales Tax Bonds described below;

NOW, THEREFORE BE IT RESOLVED by the City Council of the City of Natchitoches, State of Louisiana (the “Governing Authority”), acting as the governing authority of the Issuer, that:

SECTION 1. Preliminary Approval of Bonds. Preliminary approval is given to the issuance of not exceeding Fourteen Million Dollars ($14,000,000) of Sales Tax Bonds, in one or more series (the "Bonds") of the City of Natchitoches, State of Louisiana, pursuant to Section

1430 of Title 39 of the Louisiana Revised Statutes, and other constitutional and statutory authority, for the purpose of the Project, establishing a reserve fund and paying the cost of issuance of the Bonds. The Bonds will be payable from and secured by an irrevocable pledge and dedication of 50% of the avails or proceeds of the special one percent (1%) sales and use tax now

A-4 being levied and collected by the Issuer pursuant to special elections held on January 11, 1966,

July 23, 1968, September 13, 1980 and April 9, 2016, subject only to the prior payment of the

reasonable and necessary costs and expenses of collecting and administering the sales tax. The

Bonds will be issued at an interest rate not exceeding 6% per annum, and sold at not less than

95% of the par value thereof and shall mature over a period of not exceeding fifteen (15) years from the date of issuance. The Bonds shall be issued in fully registered form and shall have such additional terms and provisions as may be determined by this Governing Authority.

SECTION 2. State Bond Commission. Application is hereby made to the State Bond

Commission, Baton Rouge, Louisiana, for approval of the issuance and sale of the Bonds and for

consent and authority to proceed with the issuance and sale of the Bonds as provided above, and

Bond Counsel is directed to make application to the State Bond Commission in accordance with

the foregoing on behalf of the Issuer. By virtue of applicant/issuer=s application for, acceptance

and utilization of the benefits of the Louisiana State Bond Commission=s approval(s) resolved and set forth herein, it resolves that it understands and agrees that such approval(s) are expressly

conditioned upon, and it further resolves that it understands, agrees and binds itself, its

successors and assigns to, full and continuing compliance with the "State Bond Commission

Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges,

Etc.," adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s)

subject to the approval(s), including subsequent application and approval under said Policy of the

implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby.

SECTION 3. Employment. This Governing Authority finds and determines that a real

necessity exists for the employment of special counsel in connection with the issuance of the

Bonds, and accordingly, Foley & Judell, L.L.P., of New Orleans, Louisiana, as Bond Counsel, is

hereby employed to do and perform work of a traditional legal nature as bond counsel with respect to the issuance and sale of said Bonds. Said Bond Counsel shall prepare and submit to this Governing Authority for adoption all of the proceedings incidental to the authorization, issuance, sale and delivery of such Bonds, shall counsel and advise this Governing Authority as to the issuance and sale thereof and shall furnish its opinions covering the legality of the issuance of the Bonds. The fee of Bond Counsel for each issue or series of sales tax bonds shall be fixed at a sum not exceeding the fee allowed by the Attorney General=s fee guidelines for such revenue bond counsel work in connection with the issuance of such series of bonds and based on the amount of said Bonds actually issued, sold, delivered and paid for, plus Aout-of-pocket@ expenses, said fees to be contingent upon the issuance, sale and delivery of said bonds. The

Mayor is hereby authorized and directed to execute, and this Governing Authority hereby agrees to and accepts the terms of, the engagement letter of Bond Counsel appended hereto as Exhibit

A. A certified copy of this resolution shall be submitted to the Attorney General of the State of

Louisiana for his written approval of said employment and of the fees herein designated, and the

Clerk is hereby empowered and directed to provide for payment of the work herein specified upon completion thereof and under the conditions herein enumerated.

SECTION 4. Appointment of Placement Agent/Underwriter. Raymond James &

Associates, Inc., of New Orleans, Louisiana, is hereby appointed as placement agent/underwriter in connection with all or any portion of the Bonds, any compensation to be subsequently approved by the Issuer and to be paid from the proceeds of the Bonds and contingent upon the issuance of the Bonds; provided that no compensation shall be due to said placement agent/underwriter unless the Bonds are sold and delivered.

SECTION 5. Declaration of Intent. Prior to the delivery of the Bonds, the Issuer antici- pates that it may pay a portion of the costs of the Project from the Issuer's Sales Tax Fund or the

City's General Fund, not to exceed $14,000,000. Upon the issuance of the Bonds, the Issuer reasonably expects to reimburse any such expenditures of other available funds from a portion of the proceeds of the Bonds. Any such allocation of proceeds of the Bonds for reimbursement will be with respect to capital expenditures (as defined in Reg. 1.150-1(b)) and will be made upon the delivery of the Bonds and not later than eighteen months after the later of (i) the date such expenditure was paid or (ii) the date on which the project was placed in service, but in no event more than three years after the original expenditure was paid. This Section is intended to be a declaration of official intent within the meaning of Reg. 1.150-2.

ENGAGEMENT LETTER

October 9, 2017

Hon. Lee Posey, Mayor City of Natchitoches Natchitoches, Louisiana Re: Proposed Sales Tax Bonds of the City of Natchitoches, State of Louisiana Dear Mayor:

The purpose of this engagement letter is to set forth certain matters concerning the role we will serve and the legal services we will provide as bond counsel to the City of Natchitoches, State of Louisiana (the "Issuer") in connection with the issuance of the captioned bonds (the "Bonds"). We understand that the Bonds will be issued for various purposes, including the purpose of constructing, acquiring and improving recreation facilities (the "Project").

As bond counsel, we will prepare and submit to the City Council of the City of Natchitoches, State of Louisiana (the "Governing Authority"), acting as the governing authority of the Issuer for adoption all of the legal proceedings required for the authorization, issuance, sale and delivery of the Bonds and provide advice of a traditional legal nature as to the issuance and sale of the Bonds. Our job is principally to render certain opinions to the Issuer regarding (i) the validity of the Bonds under applicable Louisiana law, (ii) the exemption of interest paid on the bonds from federal and/or state taxes, and (iii) other matters as may be applicable. The bond opinion will be based on facts and law existing as of its date. In rendering such opinion, we will rely upon the certified proceedings and other certifications of public officials and other persons furnished to our firm without undertaking to verify the same by independent investigation, and we will assume continuing compliance by the Issuer with applicable laws and other resolutions relating to the Bonds. During the course of this engagement, we will rely upon the staff of the Issuer and the members of the Governing Authority to provide us with complete and timely information on all developments pertaining to any aspect of the Bonds.

In our engagement as bond counsel, we will:

Confer with members of the working group, including you and other officials of the Issuer, relating to the Project and review legal issues relating to the structure of the Bond issue;

Prepare the Issuing Bond Resolution and all related financing documents (collectively, the "Bond Documents");

As requested, attend meetings of the Governing Authority at which the Bond Documents are adopted, including (as applicable) preparation of notices; Prepare the application for approval of the issuance of the Bonds by the State Bond Commission and attend the State Bond Commission meeting at which such approval will be considered;

Prepare the closing index and various closing certificates, including the Tax Compliance Certificate, and supervise the execution of certain closing documents by the various parties thereto;

Prepare and file Internal Revenue Service Form 8038-G, as required by Federal law;

Prepare the Bonds and supervise their execution and authentication,

-8- Prepare complete transcripts of record covering the issuance of the Bonds and furnishing the transcripts to various parties in connection therewith; and

Submit post-closing reports to the State Bond Commission, if required.

Our fee as bond counsel is based upon the terms, structure, size and schedule of the financing, the services provided, and the responsibilities assumed; however, our fee will not exceed that permitted by guidelines set forth by the Attorney General of the State of Louisiana and is subject to his approval. Our fee as bond counsel is a "contingent fee", meaning you are required to pay for our legal services only in the event the Bonds are actually sold and delivered.

Other vendors or members of the working group may charge additional fees or costs for their services.

We will continue to serve as bond counsel until the delivery of the Bonds; however, the Issuer and our firm each have the right to terminate this engagement at any time after providing reasonable advanced written notice, subject to the applicable rules of professional responsibility. Upon conclusion or termination of our representation of the Issuer, papers and property furnished by the Issuer will be returned promptly upon request.

Please note that we are not municipal advisors, and we do not render financial advice or other financial services to the Issuer; however, in the course of providing traditional legal services, we may provide factual information that is not specifically tailored to the Bonds or that does not rise to the level of a recommendation concerning a course of action. We will, however, analyze, discuss and advise the Issuer regarding the legal ramifications of the structure, timing, terms and other provisions of the Bonds, as these functions are essential to developing a plan of finance.

Applicable ethical rules in Louisiana prohibit us from undertaking this representation if we represent another party that is directly adverse to the Issuer or if there is a significant risk that other considerations will materially limit our representation of the Issuer. As you are aware, our firm represents many political subdivisions, including others in Natchitoches Parish. At this time, we do not believe any other current or past engagement of our firm adversely affects our ability to represent the Issuer as provided in this letter; however, we invite you to discuss any concerns you have with us.

If this letter is acceptable to the Issuer, please so indicate by executing where indicated below and returning a copy to us, retaining the original for your files. We appreciate the opportunity to serve the Issuer and look forward to working with you.
