For the first time ever, a special customer card integrated into this proven ticketing system will be in use. In collaboration with the General Coordinator of Cultural Capital 2007 and the local ticketing partner, Luxembourg Ticket, EVENTIM has developed the ‘Pass 2007’ system, a personal customer card valid for a whole year. This is just one way in which the company is bringing its technology leadership to the fore. Luxembourg is the first European city to bear the ‘Cultural Capital’ title for the second time, having been ‘European City of Culture’ back in 1995. KGaA, Bremen (hereinafter: CTS) from acquiring the majority of shares in each of the companies Four Artists Booking Agentur GmbH and Four Artists Events GmbH, both based in Berlin (hereinafter: jointly known as Four Artists), via a subsidiary of CTS. In the Bundeskartellamt’s view the planned merger would strengthen CTS’s dominant position on the multi-sided market for ticketing system services and thus significantly impede effective competition on this market. I. Background CTS is active in the areas of ticketing services and live entertainment. With its ticketing system EVENTIM.NET, the company offers promoters of live entertainment and advance booking offices ticketing system services and other ticketing services. CTS also operates the important online shop EVENTIM.DE and organises live entertainment events itself, especially rock/pop tours and concerts as well as festivals. Four Artists is also active in the area of live entertainment; it organises and finances concerts, events and open-air concerts, and provides event marketing and production services for events. It specialises in the organisation of festivals and tours and functions as a local promoter of tours organised by third companies. Moreover, as a booking agency Four Artists organises concerts for artists in Germany and provides corresponding services. CTS EVENTIM, one of the world’s leading providers of ticketing and live entertainment, has further enhanced its market position in Italy. The company is acquiring an interest in Vivo Concerti, a promoter of concerts and musicals. In the future, CTS EVENTIM will hold a controlling stake in Vivo Concerti through one of its local subsidiaries. The transaction includes other activities held by Vivo Concerti’s CEO, Clemente Zard, which will now be transferred to Vivo Concerti. Over the past two years, Clemente Zard has led Vivo Concerti as its CEO, before recently buying the company from the previous owner, Warner Music Italy, in a management buy-out. Among the artists whose Italian tours Vivo Concerti has organised in recent years are international acts such as Evanescence, David Guetta, Demi Lovato, Tokio Hotel, Sam Smith, Brian Wilson and Hans Zimmer, as well as regional stars like Benji & Fede, Mannarino and Thegiornalisti.
